Loan Out Company acknowledges and agrees that the foregoing dates are subject to change at the discretion of LBI upon notice to Loan Out Company or Talent.

Talent’s duties shall also include advertising and promoting the Program, LBI and its corporate affiliates and their respective media properties, including the EstrellaTV Network and affiliate group.

The Program Services described in Section 1.1 and the Promotional Services described in Section 1.2 are collectively referred to as the “Services.”

Notwithstanding the foregoing, Talent may travel outside Burbank/Los Angeles subject to the foregoing:

(1) Talent may return home on weekends with the exception of the week preceding the Program’s final episodes; or

If requested by LBI, Talent will engage in temporary travel as LBI may reasonably request or as may be required to carry out Talent’s duties and responsibilities hereunder.

Loan Out Company agrees that the first place winner of the dance competition featured in the Program will be awarded by LBI a monetary sum in an amount to be determined by LBI in its sole discretion before production commences, in addition to Compensation paid pursuant to this Agreement.

This Agreement shall remain in full force and effect for the period commencing on the date hereof-and ending on the earlier of (i) the date which is one (1) day following the initial broadcast of the final episode of the Program, or (ii) December 31, 2012, unless sooner terminated in accordance with the provisions of this Agreement (the “Term”).

Production Period. Período de Producción

“Production Period” shall mean the period commencing on the date on which Talent begins actively participating in the pre-production or production of the Program, and ending on the date active production of the Program terminates.

The Production Period for the Term is anticipated to commence on August 20, 2012, and is anticipated to end on November 30, 2012.

Talent's presence in Burbank, California will be required no later than noon on August 20, 2012, provided that such date is subject to change at the discretion of LBI on notice to Talent.

In consideration for the Services and the rights granted to LBI hereunder, LBI will pay to Loan Out Company a sum (the “Compensation”) equal to one-thousand US Dollars ($1,000), plus sixteen percent (16%) of such sum to cover the IVA tax imposed by the Republic of Mexico for each week of production of the Program in which the Talent renders Services.

In addition to the Compensation, LBI will provide reimbursement to Loan Out Company for all reasonable and necessary business expenditures made by Loan Out Company and/or Talent in rendering the Services in accordance with LBI's standard policies, provided that such expenditures have been pre-approved in writing by LBI in each instance.

LBI hereby approves and shall arrange and provide the following:

One (1) round-trip coach class airfare for Talent (and only for Talent) per week between Mexico and Los Angeles as needed for Talent to travel from Mexico to Los Angeles to render the Services.

Hotel accommodations for Talent in Burbank during Talent's required stay in Burbank, California, for purposes of rendering the Program Services;

The sum of seventy-five US Dollars ($75) per day for each day of Talent's required stay in Burbank, California, for purposes of rendering the Program Services (and specifically excluding any days during which Talent is not in Burbank, California, and also specifically excluding any Shoot Days).

(a) One Hundred US Dollars ($100) for the first infraction;

The Loan Out Company shall have the sole obligation to compensate or otherwise pay Talent, and provided that LBI has made all payments called for under this Agreement, the Loan Out Company shall indemnify, defend and hold harmless LBI, its affiliates, officers, directors, employees and agents from and against all damages or claims, including without limitation reasonable attorneys' fees and costs, arising out of claims for compensation by Talent.

For purposes hereof, (i) “Competitive Programming” means programming, including without limitation reality shows which are produced, co-produced and/or produced in association with a Competitor Business (but specifically excluding re-runs of previously recorded and broadcast programming);

Tal como se usan en este Contrato, los siguientes términos y expresiones tendrán los significados que a continuación se especifican: i) Se entiende como "Programación de la Competencia" toda programación que incluye entre otras cosas reality shows que son producidos, co-producidos o producidos en asociación con una Empresa de la Competencia (pero excluyendo específicamente repeticiones de cualquier programación previamente grabada o emitida);

(ii) “Territory” means the United States of America; and (iii) “Competitor Business” means a free over-the-air, cable, or pay-TV television network or station or television affiliate that transmits or otherwise distributes programs in the Territory in the Spanish language and any Internet and/or content company that markets its services in the Territory in the Spanish language, including, without limitation, any Internet service provider, web portal, web site, web browser, e-commerce company or mobile services provider.

(ii) "Territorio" significa los Estados Unidos de América; y (iii) "Empresa de la Competencia" significa una red de televisión por aire, cable o televisión paga o gratuita o emisora o afiliada televisiva que transmite o de otra manera difunde programas en el Territorio en idioma español y cualquier empresa de Internet y/o de contenido que comercializa sus servicios en el Territorio en idioma español, que incluye entre otros cualquier proveedor de servicios de Internet, portal web, sitio web, navegador web, empresa de comercio electrónico o proveedor de servicios móviles.

Neither Talent nor Loan Out Company shall, directly or indirectly,

(b) Ni Talento ni Loan Out Company podrán directa o indirectamente,

engage in any activities which may (i) discredit the image of LBI, any LBI affiliated entity, EstrellaTV Network affiliated station, and/or the Program; (ii) interfere with the performance by Talent of Talent’s obligations under this Agreement; and/or (iii) hinder or negatively impact the Program.

(c) Neither Talent nor Loan Out Company shall authorize or permit Talent’s name, voice, photographs, drawings or likeness to be used directly or indirectly for advertising or promoting of any Competitive Programming for which Talent is prohibited from rendering services pursuant to Section 6(a) above.

LBI may require Talent to perform in scenes and segments that include “product placement” or “product integration” (as those terms are commonly understood in the television industry), and neither Loan Out Company nor Talent will receive any additional compensation in connection with such product placement services.

Each of Loan Out Company and Talent agrees to abide by the terms hereof and to keep in the strictest confidence all information and materials disclosed to or obtained by Loan Out Company and/or Talent in connection with the Program or LBI, including without limitation, rules, operational methods, trade secrets, participant auditions, participant selections, participant identity and information, participant eliminations, the outcome of any programs, winners of any competitions and/or any other information or material relating to LBI, the EstrellaTV Network, the Program, or any participants in the Program (“Confidential Information”).

Termination of this Agreement under this Section 12.1(c) will not limit LBI's rights and remedies against Loan Out Company or Talent under this Agreement, at law or in equity.

Loan Out Company represents and warrants that each of Loan Out Company and Talent is familiar with the provisions of Sections 317 and 507 of the Communications Act of 1934, as amended, recognizes Talent’s responsibilities and personal liabilities thereunder, and will fully comply with those provisions during the Term.

Loan Out Company, for itself and on behalf of Talent, hereby grants to LBI, its affiliates, the EstrellaTV Network and its affiliates, and LBI’s licensees and distributors the irrevocable license throughout the universe, to use, simulate and portray in any and all media, whether now known or hereafter developed, including, without limitation the Internet, mobile, and social networking media (e.g., Facebook, Twitter, etc.), Talent’s likeness, photograph, name, voice and other personal identification and biography in connection with advertising, publicizing and otherwise exploiting LBI’s programming incorporating the services of Talent and promoting LBI’s business generally, including, without limitation, in connection with LBI’s Internet, mobile, and social network media activities.

The foregoing right shall include, without limitation, the right to use such likeness in photographs, drawings, computer-generated graphic images, and other personal likeness and identification.

Furthermore, each of Loan Out Company and Talent agrees to indemnify, defend and hold harmless LBI, its affiliates, the EstrellaTV Network and its affiliates, and LBI’s officers, directors, employees and agents from and against any and all claims, damages, liabilities, losses, expenses (including reasonable attorney’s fees) and causes of action whatsoever arising from or suffered as a result of a breach of this Agreement by Loan Out Company, and to promptly notify LBI of any such claims and damages.

This instrument constitutes and contains the entire agreement and final understanding concerning the services to be rendered to LBI by Loan Out Company and Talent and the other subject matters addressed herein between the Parties.

If LBI must retain an attorney to (i) enforce the terms of this Agreement, or (ii) appear in any proceeding seeking a declaration of the parties’ rights under this Agreement, Loan Out Company agrees to pay the costs of any legal proceedings and LBI’s reasonable attorneys’ fees, including any attorneys' fees and costs incurred by LBI as a result of appellate proceedings (regardless of the party initiating the appeal).

The Parties hereto agree and acknowledge that money damages may not be an adequate remedy for certain breaches of the provisions of this Agreement by Loan Out Company or Talent and that LBI may in its sole discretion apply to any court of law or equity of competent jurisdiction for injunctive relief in order to enforce or prevent any violations of the provisions of this Agreement.

Loan Out Agreement and Talent further acknowledge that the Spanish language version of this Agreement has been prepared for Loan Out Company and Talent’s convenience only.

Loan Out Company y Talento reconocen además que la versión en español de este Acuerdo ha sido preparada únicamente para la conveniencia de Loan Out Company y de Talento.

Survival. Supervivencia.

The provisions of Sections 5, 6, 9, 10, 11, 12.3, 14, 16, and 17 will survive the expiration or earlier termination of this Agreement.

Arbitration. Arbitraje.

Any controversy arising out of or relating to this Agreement, its enforcement or interpretation, or because of an alleged breach, default, or misrepresentation in connection with any of its provisions, or arising out of or relating in an way to or Loan Out Company’s engagement, employment or association with Company or any corporate affiliate of Company or termination of same, including, without limitation, any alleged violation of statute, common law or public policy, including but not limited to any state or federal statutory claims, shall be submitted to arbitration in Los Angeles County, California, before a sole arbitrator selected from Judicial Arbitration and Mediation Services, Inc, Los Angeles County, California, or its successor (“JAMS”), or if JAMS is no longer able to supply the arbitrator, such arbitrator shall be selected from the American Arbitration Association, and shall be conducted in accordance with the provisions of California Code of Civil Procedure sections 1280 et seq. as the exclusive forum for the resolution of such dispute; provided, however, that provisional injunctive relief may, but need not be, sought by LBI in a court of law while arbitration proceedings are pending, and any provisional injunctive relief granted by such court shall remain effective until the matter is finally determined by the Arbitrator. The Arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, then by striking from a list of arbitrators provided by JAMS.

Cualquier controversia que surja de o se relacione con el presente Acuerdo, su aplicación o interpretación, o debido a una supuesta violación, incumplimiento o falsedad en relación con cualquiera de sus disposiciones, o que surja de o esté relacionada de alguna manera con la contratación, empleo o asociación de Loan Out Company o Talento con la Compañía (o cualquier entidad relacionada o matriz de la Compañía) o la terminación de tales, incluyendo, sin limitar la generalidad de lo anterior, cualquier supuesta violación de la ley, derecho consuetudinario o el orden público, incluyendo, pero no limitado a, cualquier reclamación legal estatal o federal, se someterá a un arbitraje vinculante en Los Ángeles, California, ante un único árbitro seleccionado de Judicial Arbitration and Mediation Services, Inc. [Servicios Judiciales de Arbitraje y Mediación, Inc.], Los Ángeles, o su sucesor ("JAMS"), o si JAMS ya no puede suministrar al árbitro, dicho árbitro será seleccionado de la Asociación Americana de Arbitraje; y se llevará a cabo conforme a las disposiciones del Código de Procedimiento Civil artículos 1280 y siguientes como fuero exclusivo de resolución de dichas disputas, siempre que, sin embargo, esa medida cautelar provisional se pueda, pero no necesariamente, procurar por cualquiera de la Partes en el presente Acuerdo en un tribunal de justicia ordinario, mientras que los procedimientos de arbitraje estén pendientes, y cualquier medida cautelar provisional por mandato judicial otorgada

Final resolution of any dispute through arbitration may include any remedy or relief which the Arbitrator deems just and equitable, including any and all remedies provided by applicable state or federal statutes.

La resolución final de cualquier disputa mediante el arbitraje puede incluir cualquier recurso o desagravio que el Árbitro considere justo y equitativo, incluyendo cualquier y todo recurso previsto por estatutos estatales o federales aplicables.

At the conclusion of the arbitration, the Arbitrator shall issue a written opinion that sets forth the essential findings and conclusions upon which the Arbitrator’s award or decision is based.

A la conclusión del arbitraje, el Árbitro emitirá una decisión por escrito que incluya los resultados y las conclusiones esenciales en que se basa el laudo o decisión Arbitral.

Any award or relief granted by the Arbitrator hereunder shall be final and binding on the parties hereto and may be enforced by any court of competent jurisdiction.

Cualquier laudo o desagravio concedido por el Árbitro será definitivo y vinculante para las partes aquí y podrá ser ejercido por cualquier tribunal de jurisdicción competente.

The parties acknowledge and agree that they are hereby waiving any rights to trial by jury in any action, proceeding or counterclaim brought by either of the parties against the other in connection with any matter whatsoever arising out of or in any way connected with this Agreement.

Las Partes reconocen y acuerdan que por la presente renuncian a cualquier derecho a un juicio por jurado en cualquier acción, procedimiento o demanda de reconvención interpuesta por cualquiera de las partes una contra la otra en relación con cualquier asunto que surja de o relacionado de alguna manera con este Acuerdo o la prestación de servicios en virtud del presente Acuerdo.

IN WITNESS WHEREOF, each of the Parties has executed this Agreement as of the day and year first above written.
