DIRECTORS REPORT

To,The Shareholders ofNational Film Development Corporation Limited

During the year under report, the Corporation has turned the corner by registering a net profit of Rs.2.38 Crores againsta loss of Rs.3.87 Crores in the previous financial year. The Corporation proposes to renew its commitment to promotinggood cinema in India and facilitating promotion of Indian Cinema abroad through new activities, in addition to its existingwork, in the forthcoming year. These include facilitation of co-productions, promotion of films made by independent filmmakers in global markets and Script Development. In addition, the Corporation has also initiated measures to improve itsperformance by renewing its marketing and by introducing cost cutting measures in administrative and personnel heads ofexpenditure.

On behalf of the Board of Directors, I present the 31st Annual Report of NFDC and the accounts for the year ended 31st

March, 2006.

FINANCIAL RESULTSThe financial performance of the Corporation has improved for the year 2005-2006 by registering a net profit of Rs.2.38Crores against the net loss of Rs.3.87 Crores, posted in the previous year. After prior year adjustments, the net profitstands at Rs.2.40 Crores against a net loss of Rs.5.12 Crores in the previous financial year.

DIVIDEND :In view of the accumulated loss suffered by the corporation for the last three years and the liquidity crunch faced by thecorporation during the year under report, the Directors are unable to recommend any dividend for the year ended 31st

March, 2006.

OTHER HIGHLIGHTS

FILM FINANCING & PRODUCTIONDuring the year 2005-2006, the Corporation completed the production of one feature film in Tamil language while onefilm in Bengali language is under production:

The Corporation has received a loan of Rs.4.77 Crores from the Government of India as working capital to enable it tocontinue its core activity of film production.

National / State RecognitionDuring the year under report, ANAND (Telugu) directed by Shekhar Kammula and co-produced by NFDC, won theState “Nandi” Award for best feature film in Telugu.

POPULARISING INDIAN FILMS THROUGH FESTIVAL PARTICIPATION:During the year under report, the Corporation participated in 8 International Film Festivals across the globe showcasingaround 22 Indian films in different languages. NFDC promotes not only its own films but also promotes the films of otherIndian producers. The Corporation acts as the nodal agency for spreading awareness of Indian Cinema and also co-ordinates with foreign agencies by providing information about Indian films

DISTRIBUTION OF FILMS (Through TV and other Media) :The Corporation continues to supply film software to a few channels of Doordarshan.

EXPORTSThe Export revenue of the Corporation during the year 2005-2006 amounted to Rs.67.92 lakhs. The Corporation alsoundertakes promotional activity by regularly participating in International Film Markets like the American Film Marketheld in November, 2005, Hong Kong (FILMART) in March, 2006 and Cannes Film Festival in May, 2006.

TECHNICAL PROJECTSThe section has contributed immensely to the Corporation’s revenue income since its inception, in particular the SubtitlingDepartment situated at Mumbai.

Subtitling – Laser Subtitling & Video SubtitlingThe Laser Subtitling Unit of the Corporation is a State of the Art facility which undertakes subtitling of films in variousIndian and Foreign languages. The unit caters to positive and interpositive celluloid films with several Hindi Feature Filmshaving been subtitled in various languages. The recent incorporation of new software has enabled Laser Subtitling inRussian language as well.

The unit is also equipped with Video Subtitling facilities in multi language formats for all formats of video as well as DVD/VCD mastering facilities for all formats of video.

OTHER TECHNICAL FACILITIES

1. Cine Camera 35mm ARRI BL III and ARRI III with latest flicker free video to assist pre-production facilitiesavailable at all centers of the Corporation.

2. The 16mm Film Centre, Kolkata has the film dubbing facilities on Magnatech machines with the addition of “DHWANI”,the unit caters to the entire northeastern sector.

3. Video Centre, Chennai undertakes Telecine transfer, Video Duplication, Multilingual subtitling, Avid Non Linear andVCD / DVD mastering – duplication facilities. The Chennai Centre also imparts training work shops for students inAvid Non- Linear Editing.

4. Equipments and facilities in all formats of video are available at the Mumbai Project Section for editing and post-production work. The unit is equipped with SDI and component facilities for recording.

PROMOTION OF GOOD CINEMAThe Corporation continues to organize festivals of its own and acquired films all over the country in collaboration withFilm Societies, Universities, State Film Development Corporation etc. on a regular basis. The National Film Circle isbeing revived in all the four metros with a view to spreading the culture of Cinema

CINE ARTISTES WELFARE FUND OF INDIAThe Cine Artistes Welfare Fund of India (CAWFI) the biggest ever trust in the Indian Industry, was set up by theCorporation in 1992 and aims at extending financial assistance to needy cine artistes of yester years. The total fund ofthe Trust ( including the corpus of Rs.4.65 Crores) stands at Rs.6.70 Crores. More than 969 cine artistes have availedof pensionary and other benefits from the trust until now, and about 520 cine artistes are currently availing financialassistance from the trust. Rs.48.60 lakhs have been disbursed as pension to cine artistes in financial year 2005-2006.

OFFICIAL LANGUAGE IMPLEMENTATIONThe Official Language Act along with the Rules made there under and orders issued by the Department of OfficialLanguage and Ministry of Information and Broadcasting and Department of Public Enterprises regarding the progressiveuse of Hindi were implemented in the offices of the Corporation during the year.

The meetings of the Official Language Implementation Committee were held regularly for reviewing the progressive useof Hindi in the Corporation and suitable steps were taken to implement the Annual Programme for the year 2005-2006issued by the Department of Official Language Ministry of Home Affairs, Government of India. During the year, NFDCwon the “Ashirwad Award” for outstanding work in Hindi.

RESERVATION FOR SCHEDULED CASTES / SCHEDULED TRIBESGovernment directives relating to SC/ST reservation/recruitment were followed. The roster is maintained as per theGovernment’s directives in the matter of reservation for Scheduled Castes/Scheduled Tribes and other notified categoriesin service.

STAFF MATTERSRelations between Management and Staff continued to be cordial and not a single man day was lost during the year. TheUnit Council of the Corporation met periodically to discuss measures relating to cost reduction, increase in productivityand staff welfare matters.

VIGILANCE MATTERThere are no vigilance cases pending during the year.

MOUNFDC signed an MEMORANDUM OF UNDERSTANDING with the Ministry of Information & Broadcasting duringthe year under report, which defined the various parameters of its expected performance. The rating for performanceduring the year was “Good”.

VISIT OF PARLIAMENTARY STANDING COMMITTEE ON INFORMATION & TECHNOLOGYThe Parliamentary Standing Committee on Information & Technology visited Mumbai during the year under report tostudy the working of NFDC and other Media Units / PSUs.

BOARD MEETINGS AND THE DIRECTORATESix Board Meetings were held during the year. During the year, Shri D Mukhopadhyay, Managing Director, Shri AfzalAmanullah, Joint Secretary (Films) and Shri.C.A. Bodh, Director, ceased to be Directors of the Board.

Ms.Nina Lath Gupta was appointed as Managing Director as well as the Director on the Board of Corporation with effectfrom 17th April, 2006. Shri Raghu Menon, Additional Secretary / Financial Advisor and Ms. Stuti Kacker, Joint Secretary(Films) Ministry of Information & Broadcasting were nominated as Directors with effect from 20th March, 2006 and 13th

June, 2006 respectively on the Board of Directors of the Corporation .

AUDIT COMMITTEEThe Audit Committee of the Board met three times during the year to discuss various issues related to Finance andAccounts.

DIRECTORS’ RESPONSIBILITY STATEMENTPursuant to Section 217 (2AA) of the Companies Act, 1956, it is hereby confirmed that

(i) In the preparation of the Annual Accounts, the applicable accounting standards have been followed along withproper explanation relating to material departures;

(ii) The Directors had selected such accounting policies and applied them consistently, and made judgments and esti-mates that are reasonable and prudent, so as to give a true and fair view of the state of affairs of the company at theend of the financial year and of the profit or loss of the company for that period.

AUDITOR’S REPORT

The Shareholders,National Film Development Corporation Ltd.,Mumbai.

We have audited the attached Balance Sheet of NATIONAL FILM DEVELOPMENT CORPORATION LTD asat 31st March, 2006 and also the Profit and Loss Account for the year ended on that date, annexed thereto. Thesefinancial statements are the responsibility of the Corporation’s management. Our responsibility is to express an opinion onthese financial statements based on our audit.

We conducted our audit in accordance with the auditing standards generally accepted in India. Those Standards requirethat we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free ofmaterial misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures inthe financial statements. An audit also includes assessing the accounting principles used and significant estimates madeby the management, as well as evaluating the overall financial statement presentation. We believe that our audit providesa reasonable basis for our opinion.

1. As required by the Companies (Auditor’s Report) Order, 2003 issued by the Central Government of India in terms ofsub-section (4A) of Section 227 of the Companies Act, 1956, we enclose in the Annexure a statement on the mattersspecified in paragraphs 4 and 5 of the said Order.

2. Further to our comments in the Annexure referred to above, we report that:-

(i) We have obtained all the information and explanations, which to the best of our knowledge and belief werenecessary for the purpose of our audit;

(ii) In our opinion, proper books of account as required by law have been kept by the Corporation, so far as it appearsfrom our examination of such books;

(iii) The Balance Sheet, Profit and Loss Account and Cash Flow Statement dealt with by this report are in agreementwith the books of account;

(iv) In our opinion, the Balance Sheet, Profit and Loss Account and Cash Flow Statement dealt with by this reportcomply with the accounting standards referred to in sub-section (3C) of section 211 of the Companies Act, 1956,except non-compliance of Accounting Standard – 5 (AS 5) on ‘Net Profit or loss for the Period, Prior PeriodItems and Changes in Accounting Policies’ as mentioned in (b) of (vi) below.

(v) In terms of Circular No.2/5/2001-CLV dated 22/03/2002 issued by the Ministry of Law, Justice and CompanyAffairs, Government of India, Department of Company Affairs, the provisions of Section 274(1) (g) of theCompanies Act, 1956 regarding disqualification of directors do not apply to the Corporation.

(vi) Attention is invited to the following:

(a) There is no consensus with Management’s decision of writing off the T.V. Marketing Govt. Debts amountingto Rs.13,34,71,234/-(Refer Note No.4 (a) of Schedule 30), as Govt. debts are neither acknowledged norconfirmed in explict monitory terms by the concerned debtors and documentary evidence provided to usdoes not enable us to form an opinion that recovery efforts by the Corporation, if any, have yeilded no resultsand there are no chances of recovery from these Govt. Debtors. Had the management not written off thesedebts as Bad debts, the Net Profit of the corporation for the current year without considering Income Taxliability would have been Rs.1572.86 lacs (as against reported figure of Rs.238.15 lacs) and credit balance ofProfit and Loss Account would have been Rs.487.92 lacs (as against the reported figure of debit balance ofRs.846.79 lacs).

(b) We are of the opinion that debts of Rs.3,39,77,808/- out of T.V. Marketing Debts (other than Govt. T.V.Marketing Debts) of Rs. 3,59,29,153/- are prior period expenditure since these debts arose due to errors andommissions in earlier years and the same should be debited to ‘Prior Period Expenditure’ in compliance ofAccounting Standard - 5 ralating to “Prior period Items and changes in Accounting Policies”. However,Management of the Corporation has different opinion and treated the said debts as ‘Bad Debts’ and ac-counted accordingly (Refer Note No. 4 (b) of Schedule 30). Had the management not written off thesedebts as bad debts, the net profit of the Corportion for the current year without considering Income Taxliability would have been Rs.577.93 lacs (as against reported figure of Rs.238.15 lacs) and Prior PeriodExpenditure would have been Rs.359.72 lacs (as against reported figure of Rs.19.94 lacs in Schedule 29).

Consolidated effect of (a) and (b) above, has resulted in increasing Net Profit to Rs.1912.64 lacs (as againstreported figure of Rs.238.15 lacs), change in Profit and Loss Account balance to credit balance of Rs.487.92lacs (as against the reported figure of debit balance of Rs.846.79 lacs) and increasing Prior Period Expendi-ture of Rs.359.72 lacs (as against reported figure of Rs.19.94 lacs in Schedule 29).

(c) Note No. 10 of Schedule 30 regarding Sundry Debtors, Loans & Advances, Other Advances, Deposits andCurrent Liabilities being subject to confirmation and consequential adjustments, if any, arising out of recon-ciliation; the impact, if any, on the financial statements, of the same presently not ascertainable; further weare unable to express an opinion on the recoverability of Sundry Debtors and Theatre, Film and TV SerialLoan balances aggregating to Rs.2455.83 lacs and Rs.246.57 lacs respectively as these are either underarbitration or have not been collected till date.

(vii) Subject to our comments in (vi) above, and read with note No. 2 of Schedule 30 — regarding the corporation’scontention that it continues to be a going concern, notwithstanding significant fall in the revenue of the Corpora-tion due to discontinuance of major line of activity, in our opinion and to the best of our information and accordingto the explanations given to us, the accounts subject to the Significant Accounting Policies and Notes on Ac-counts thereon, give the information required by the Companies Act, 1956 in the manner so required and give atrue and fair view in conformity with the Accounting principles generally accepted in India —

a. In the case of the Balance Sheet, of the state of affairs of the Corporation as at 31st March, 2006.

b. In the case of the Profit and Loss Account, of the Profit for the year ended on that date.

c. In the case of Cash Flow Statement of the cash flows for the year ended on that date.

ANNEXURE TO THE AUDITORS’ REPORT

(Referred to in paragraph 1 of the Auditor’s Report of even date to the members of ‘National Film Development CorporationLimited’ on the financial statements for the year ended 31st March 2006).

1. (a) The Corporation has maintained records of Fixed Assets, however, the asset-wise details of exact location,accumulated depreciation, WDV at the year-end, identification, movement of assets are not available from suchrecords.

(b) Though the physical verification of Fixed Assets was conducted by the management at the year-end, materialdiscrepancies on such verification could not be ascertained in the absence of detailed records. In our opinion,periodicity of physical verification on yearly basis is reasonable having regard to size of Corporation and natureof its business.

(c) There was no substantial disposal of fixed assets during the year, which would affect the going concern of theCorporation.

2. (a) As per the information and explanation given to us, the management has not carried out the physical verificationof inventory at some of its units, since inventory constitutes negligible amount in its current assets as comparedto the size of the business of the Corporation.

(b) Since no physical verification was carried out by the management, our opinion regarding reasonableness andadequacy about the procedures of physical verification is not required to be given.

(c) As per the information and explanations given to us, the Corporation is maintaining proper records of inventory.

(d) Pending physical verification, we are unable to comment on whether there is material discrepancy betweenphysical verification and book records.

3. The Corporation has neither granted nor taken loans and advances, secured or unsecured, to companies, firms or otherparties covered in the register maintained u/s 301 of the companies Act, 1956. Hence the question of reporting whetherthe rate of interest and other terms and conditions of loans given/ taken by the corporation, are prejudicial to the interestof the corporation, and whether reasonable steps for recovery of overdues of such loans are taken for loans grantedby the corporation or regularity of payment of principal and interest of loans taken by the corporation, does not arise.

4. In our opinion and according to the information and explanation given to us, there are adequate internal controlprocedures commensurate with the size of the Corporation and nature of its business for the purchase of inventoryand fixed assets and sale of goods and services. On the basis of our examination of the books and records of theCorporation, carried out in accordance with the Auditing Standards generally accepted in India, we have not observedany continuing failure to correct the major weaknesses in the aforesaid internal control procedures.

5. Based on our examination of Corporation’s records, we are of the opinion that register maintained u/s 301 of theCompanies Act, 1956 has not been properly maintained and updated.

In accordance with the information and explanations given to us, no contracts or arrangements have been executedby the corporation which are required to the entered in the register maintained u/s 301 of the companies Act, 1956.Hence our reporting regarding whether such contracts or arrangements have been made at reasonable prices havingregard to prevailing market prices, does not arise.

6. To the best of our knowledge and according to the information and explanations given to us, the Corporation h a snot accepted any deposits U/S 58A and 58AA or any other relevant provisions of the Companies Act, 1956.

7. In our opinion and according to information, the internal audit system needs to be strengthened to make it commensuratewith the size of the Corporation and nature of its business.

8. Provision for maintenance of cost records U/S 209 (1) (d) of the Companies Act, 1956 is not applicable to theCorporation.

9. (i) According to the records of the Corporation, the Corporation is generally regular barring few instances of delaysin depositing with appropriate authorities, undisputed Statutory dues, including Provident Fund, Employer StateInsurance, Investor Education Protection Fund, Income Tax, Sales-Tax, Wealth Tax, Service Tax, Custom Duty,Excise duty, Cess and other Statutory Dues applicable to it.

(ii) According to the information and explanations given to us, there are no undisputed amounts payable in respectof income-tax, wealth-tax, sales tax, service tax, customs duty and excise duty which were outstanding at theyear-end for a period of more than 6 months from the day became payable.

(iii) As explained to us and according to the records of the Corporation, except for the cases mentioned below, nodues of Income Tax, Sales Tax, Wealth Tax, Service Tax, Custom Duty, Excise Duty and Cess which have notbeen deposited on account of any disputes.

10. Considering the qualification, which is quantifiable (Refer clause 2 (vi) of Auditor’s Report) the corporation does nothave any accumulated loss at the end of the financial year. The corporation has incurred cash losses during the financialyear covered by audit and in the immediately proceeding financial years

11. According to the records of the Corporation, the Corporation has not borrowed from financial institutions or bank orissued any debentures, till the end of the year. Hence, in our opinion, the question of reporting on defaults in repaymentof dues to financial institutions or banks or debentures does not arise.

12. According to the information and explanations given to us and based on the documents and records produced by theCorporation, the Corporation has not granted loans and advances on the basis of security by way of pledge of shares,debentures and other securities.

13. In our opinion and according to information and explanations given to us, the nature of activities of the Corporationdoes not attract any special statute applicable to chit fund, nidhi / mutual benefit fund/ societies.

14. As per the records of the Corporation and the information and explanations given to us, the Corporation is not dealingor trading in shares, securities and debentures and other investments.

15. According to information and explanations given to us, the Corporation has not given any guarantees for loans takenby others from banks or financial institutions.

16. According to the records of the Corporation, the Corporation has obtained Non-plan loan from Government of Rs.4.77crores. Since said loan is availed on the last day of the financial year, our comments regarding application for thepurpose for which they are obtained, are not called for.

17. According to the information and explanations given to us, and on an overall examination of the Balance Sheet of theCorporation, we report that no funds raised on short-term basis have been used for long-term investments by theCorporation.

18. According to the records of the Corporation and information and explanations given to us, the Corporation has notmade any preferential allotment of shares to any parties or companies covered in the register required to be maintainedunder section 301(3) of the Companies Act, 1956.

19. According to the records of Corporation, the Corporation has not issued any debentures.

20. Since the Corporation has not raised money by public issue during the year, our comments under clause 4 (xx) of theorder are not called for.

21. Based on the information and explanations furnished by the Management which have been relied upon by us, therewere no frauds on or by the Corporation noticed or reported during the year.

Management Reply to comments of the Auditor in their report dated 15/9/2006

Para 2 (vi) (a)

TV MARKETING GOVERNMENT DEBTS of Rs.1334.71 lakhs due from Government department are outstanding inthe books of the Company for more than four years, as these amounts are pending realization from the year 2001-02. Theamounts are not forthcoming in spite of constant follow up and sincere effort at various level and the company has facedit extremely difficult to recover any portion of these long outstanding debts and management has decided to write offamount as bad debts. The Board of Directors of the Corporation has already passed a resolution to write off the amountas bad and irrecoverable. In case if any amount is recovered subsequently against these debts, the amount will be treatedas income of the year of realization. The observation of the auditors that debts are not confirmed in explicit monetaryterms by concerned debtors is incorrect as these debts are realizable on account of income accounted in the earlier yearsand included in audited financial statement of the company for the earlier years.

Para 2 (iv) and (vi) (b)

The Corporation has been consistently following all the Accounting Standards and the observation of Auditor regardingnon-compliance of Accounting Standard – 5 (AS 5) on Net Profit or Loss for the period, prior period items and changesin accounting policies as mentioned in sub para (b) (vi), in the opinion of the Management is not correct, as the debts inrespect of TV Marketing referred in the Para (vi) (b) were considered as doubtful of recovery by the Management andprovision had been made during earlier years.

The Management with approval of Board of Directors has written off the debts, since in spite of best efforts the amountcould not be realized. The write off Rs. 339.78 lakhs will not have any effect on the net profit as the amount has been fullyprovided during earlier years and adjusted against provision for doubtful debts and the auditors observations on the impacton the profit is factually incorrect.

Para 2 (vi) (c)

The Auditors comment regarding recoverability of Sundry Debtors aggregating to Rs. 2455.83 lakhs is incorrect asManagement has made Provision for doubtful debts to the extent of Rs. 2172.90 lakhs and debts considered good by themanagement is to the extent of Rs. 282.93 lakhs only. Against the Theatre, Film and TV Serial loan outstanding aggregat-ing to Rs. 246.57 lakhs provision for doubtful of recovery to the extent of Rs. 167.53 lakhs has been made and loan treatedas good and recoverable by the Management is Rs 79.04 lakhs only. The debts considered as good are those debts wheremanagement is confident of recovery.

SCHEDULE 30 -: NOTES ON ACCOUNTS FOR THE YEAR ENDED 31ST MARCH, 2006.

A. SIGNIFICANT ACCOUNTING POLICIES FOLLOWED IN THE COMPILATION OF THE ACCOUNTS:

1. Basis for preparation of financial statements:The financial statements have been prepared under historical cost convention on accrual basis of accounting andin accordance with the applicable accounting standards specified by the Institute of Chartered Accountants ofIndia and the relevant provisions of the Companies Act, 1956. A summary of important accounting policies is setout below:

2. Revenue Recognition:

2.1 Item of income and expenditure are generally accounted for on accrual basis.

2.2 Amortization of cost of films & Television serials:� Amortization of the cost of Films/Television serials in respect of foreign

Commercial films and prints and TV rights and cost of own production films and taken over films andCorporation’s share in-

a) Indian co-production films

b) Foreign co-production films is done by following the provision of Income Tax rules as under:

� Where the film is released for exhibition on Commercial basis, at least for a period of 90 days beforethe close of the financial year, the entire cost of production/acquisition of the films has been amortized.

� Where the film is released for exhibition on Commercial basis for a period less than 90 days beforethe close of the financial year, the cost of production/acquisition is amortized to the extent of realizationand balance if any carried forward to the next financial year and amortized fully in that year.

� Where the film is complete and not released or exhibited during the year the entire cost of production/acquisition is carried forward to the next financial year and amortized fully in that year.

2.3 Cost of production of Indian Television serials/acquired programmes and films purchased for TV rights arecharged off in the financial year in which the first telecast of such films/serials take place or in the Financial Year,in which the rights expired, whichever is earlier.

2.4 Rights in films for distribution through Television acquired by the Corporation wherein no telecast is made areaccounted as advance to the extent of the amounts paid thereof. No provision is made for the unpaid acquisitionprice thereof, since actual liability shall arise only in the event of telecast as per terms of the agreement.

2.5 Income from Non-Performing Loans:

2.5.1 Interest on loans for Films and Purchase of Equipments/Constructions of Theatres is accrued and accounted inthe income only to the extent equal to principal amount and no further credits are recognized thereafter unless thesame is actually realized.

2.5.2 Interest on non-performing loans for Films and Purchase of Equipments/Constructions of Theatres is accruedand accounted in the income only to the extent to principal amount and no further credits are recognized thereaf-ter unless the same is actually realized.

3. Fixed Assets:

Fixed Assets are stated at original cost (gross block) less accumulated depreciation. All other costs for bringingthe asset to their working condition for their intended use and net charge on foreign exchange contracts oradjustments arising from foreign exchange rate variations attributable to the fixed assets are capitalized.

4. Depreciation:

4.1 Depreciation on assets has been provided on the “Written Down Value” basis at the rates prescribed by ScheduleXIV of the Companies Act, 1956 unless otherwise stated below.

4.2 Leasehold land is depreciated over the period of lease.

4.3 Depreciation in respect of video cassettes recording equipment / telecine equipment, subtitling unit, 16mm infra-structure and Laser sub-titling, video studio has been provided @ 10% on Straight line method in accordance withthe Board Resolution dated June 28, 1982.

4.4 Depreciation on the Avid Airplay and Special Effects Studio has been provided @ 25% on Straight Line Methodconsidering the life span of the equipments.

4.5 Depreciation is charged on Straight Line method upto 95% of capitalized value.4.6 Depreciation on all additions made during the year has been provided pro-rata from the date of such addition.4.7 Assets costing upto Rs.5000/- are depreciated fully in the year of purchase.

5. Prior Period Items:

Adjustments arising due to errors or omissions in the financial statements of earlier years are accounted under“Prior Period Adjustments”.

6. Transactions in Foreign Exchange

Export revenues are accounted on accrual basis and translated at the rates as on the date of receipt of funds.

Amounts not realized by the year-end, are accounted on the basis of exchange rate prevailing on the last workingday of the financial year. Any income or expenses on account of exchange difference, either on settlement ortranslation, are recognized in the Profit & Loss Account.

7. Employees’ Retirement benefits:

7.1 Consequent upon the Corporation’s forming a Group Gratuity Trust for the employees and taking a policy underGroup Gratuity cum Life Assurance Policy with LIC. The Premium paid to LIC stands debited to GratuityAccount.

7.2 Separate Provision has been made for the past service liability as per actuarial valuation.

7.3 Provision for Leave encashment payable to employees has been made on the assumption that such benefits arepayable to all employees at the end of the accounting year.

7.4 VRS expenditure is amortised equally over 5 years.

8 Provisions for Doubtful Debts/ Advances/ Loans are made as follows:

8.1 In respect of all Sundry Debtors/other Debts outstanding for a period of more than 3 years other thanGovernment dues.

8.2 In respect of all other sundry debtors/debts to the extent considered necessary in the opinion of the management

8.3 In respect of loans for film/ theatre/ TV serial finance and other advances, the provisions are made for the loansand advances to the extent considered not recoverable by the Management.

9 Exploitation expenses in respect of co-production films:

Exploitation expenses in respect of co-production films are carried forward in the Balance Sheet to be recoupedagainst future revenues there-from except in those cases where in the opinion of the Management, the chancesof recoveries are doubtful. In such cases, the balances are charged to the Profit & Loss Account of that year.

10 Inventories:

10.1 Inventories include unamortized cost of :

a) completed films,b) exploitations rights in imported films &c) Corporation’s share in foreign co-production films and cost of films under production, stock of blank video

cassettes and gold.10.2 Stocks of video-cassettes and films under production have been valued at cost.

11 Taxation:

11.1 Tax expense comprises both deferred and current taxes. Deferred income taxes reflect the impact of currentyear timing differences between taxable income and accounting income for the year and reversal of timingdifferences of earlier years.

11.2 Deferred tax is measured based on tax rates and the tax laws enacted or substantively enacted atthe Balance Sheet date.

11.3 Deferred tax assets are recognized only to the extent that there is reasonable certainty that suffi-cient future taxable income will be available against which such deferred tax assets can be real-ized.

12 Intangible Assets:

Following items of expenditure are treated as “Intangible Assets” in compliance of Accounting Standard –26(AS 26) in respect of “intangible assets” to be amortised or recouped as under:

b) Balance salary payable to Sr. General Manager under suspension:Sr. General Manager is suspended for charge of mis-representation of facts and impounding of documents of theCorporation. He is paid 50% of salary from 1st April’05 up to 25th August’05 and 75% of salary from 26th

August’05 till 31st March’06. There is a contingent liability in respect of balance salary payable of Rs.614883/-(Rs.447441/-) to him, in case, he is re-instated in services on exoneration of all charges leveled against him.

2. Notwithstanding the significant fall in the revenue in the year due to discontinuing of major line of activity i.e. FreeCommercial Time (FCT), Management is of the view that the Corporation continues to be a ‘Going Concern’considering the fact that it has received financial support from the Government in terms of loan of Rs.4.77 croresas Non Plan working Capital Loan and is hopeful of getting further assistance from Ministry to pursue its coreobjective of film making. Keeping this view in mind, the Corporation has prepared the accounts on‘Going Concern’ basis.

3. The Corporation has given effect to the ‘Arbitration Award dated 14th June, 2006 of Rs.1167.45 lacs towards netpayable to Door- darshan in the books of current year, reconciling Door-darshan and Corporation balances as on31.03.2004’. This effect given in the accounts (after closure of financial year) is in compliance with the Ac-counting Standard-4 – ‘Contingencies and Events occurring after Balance –Sheet date’. Consequently, the Cor-poration has written back excess liability of Rs.2499.81 lacs booked in the previous years. Subsequently, duesfrom Door-darshan pertaining to the year 2004-05 amounting to Rs.10.62 crores are adjusted in books of ac-counts against the Arbitration Award amount.

4. a) The Corporation has identified and written off the Government department dues of Rs. 1334.71 lakhsduring the year by debiting to Profit and Loss Account as the claim for the same were now finally deter-mined to be irrecoverable. These dues were outstanding for more than 3 years and could not be realized inspite of best efforts. No provision against the debts from Government departments were considered inprevious year as per the declared Accounting Policy No. 8.1 of the Corporation , which state that provisionis made for Sundry Debtors/Other Debts other than Government dues.

b) Further the Corporation has written off debts of T.V. Marketing dues of private parties amounting toRs.359.29 lakhs which is outstanding for more than 3 years and doubtful of recovery for which provisionwas made during earlier years.

5. Number of Directors of the Corporation fell below the minimum number of five (as specified in the Articles ofAssociation of the Corporation) within the period from 17.10.05 till the appointment of new Managing Director on17th April, 2006. The Management of the Corporation has written to Ministry of Information & Broadcasting forfilling up the vacancies in the Board.

6. The Company Secretary of the Corporation superannuated from the services of the Corporation w.e.f. 28.02.2006,which has resulted in vacating office of the Company Secretary w.e.f. 01.03.2006 till the completion of audit andconsequent non-compliance of provisions of Section 383-A of the Companies Act, 1956. The Management hasinitiated action to fill up the vacancy of Company Secretary.

7. Various project accounts containing credit and debit balances amounting to Rs. 23.77 lacs and Rs.43.32 lacsrespectively need to be reconciled after ascertaining the exact status of Project.

8. The Corporation has received Rs.4.77 crores as Non-Plan Government loan as on 31.03.2006. Since the remit-tance in respect thereto could not be deposited in the current year, the same is shown as ‘cheques in hand’ underthe head ‘Current Assets’ in the Balance Sheet.

9. Re-schedulement of ‘Pro-video’ TV serial loan is made to the extent of Rs.8.00 lacs as against total outstandingdues of Rs.15.06 lacs by the Chairman of the Corporation in the capacity of sole-arbitrator but the same is subjectto Board approval.

10. Sundry Debtors of Rs.2455.83 lacs, Theatre Film & TV Serial Loan balances of Rs.246.57 lacs included inLoans & Advances, Other Advances, Deposits and Current Liabilities are subject to confirmation and conse-quential adjustments, if any, arising out of reconciliation. The impact, if any, on the financial statements, of suchconfirmation is not ascertainable.

11. a) Provision for Bad and Doubtful DebtsDuring the year provision for bad and doubtful debts of Rs.7, 13,67,854/- has been made towards sundrydebtors.

b) Excess provision written backDuring the year excess provision written back amounts to Rs.22.31 lacs (includes provision towards FilmLoan Rs.5.75 lacs, Theatre Loan Rs.1.50 lacs and re-schedulement of TV Serial Loan of Rs. 15.06 lacs)

c) Bad Debts written offThe Corporation has written off Rs.1702.90 lacs as Bad Debts during the year out of which amounts ofRs.363.68 lacs have already been provided in the books of accounts in the earlier years.

12. Total Liability of Rs. 123.31 lacs as on 31.03.06 (Rs.110.85 lacs) is on the basis of actuarial valuation done by LIC.

13. Investments of Rs. 171.02 lacs as on 31.03.06 in co-production films made by the Corporation on behalf ofDoordarshan are not considered in arbitration and are subject to confirmation by DD. However, the same isrecouped from time-to-time out of co-production income.

14. The old outstanding of Rs.183.44 lacs due from ‘M/s. Bisawa Creation’ was settled under One Time Settlement(OTS) to the extent of Rs. 87.69 lacs as full and final settlement. Difference between the actual outstanding andthe amounts settled under OTS is adjusted against provision of Rs.91.25 lacs already made in the books ofaccounts and balance of Rs.4.50 lacs is debited to ‘Bad Debts written off’.

15. Delhi Govt. has claimed an amount of Rs.44.00 lacs from the Corporation due to change in finance arrangementin respect of film ‘Chakachak’ of Sai Paranjape.

16. In the opinion of the Board, the current assets, loans and advances have been at least equal to the amount stated,if realized in the ordinary course of business. The provision of depreciation and for all known liabilities is adequateand not in excess of amounts reasonably necessary.

17. Loans and Advances

a. Loans and Advances of Rs.1172.65 lacs include interest accrued and outstanding of Rs.104.45 lacs andadvance tax paid amounting to Rs.474.92 lacs pertaining to various assessment years.

b. Loans to film producers of Rs.214.59 lacs are classified as secured to the extent of Rs.50.04 lacs as man-agement expects to realize in future from exploitation of negatives on which the Corporation has a charge.The balance of uncovered loans of Rs.164.55 lacs are treated as “Unsecured” and provision is made for thesame in the accounts.

18. Deposits of Rs.30.00 lacs placed with third parties in 1991 are secured against residential premises. The partieshave not refunded the deposits and securities are also not liquidated, the provision for the same is recommended.The Corporation has filed an arbitration against the defaulting parties for recovery of deposits.

19. The profits and distribution fees from the film “Gandhi” are accounted on Calendar year basis based on thestatement of accounts received from the agents appointed under the agreement.

20. Since Corporation is not maintaining Asset Movement Register in few locations, revenue generated from utiliza-tion of assets is not ensured.

21. Amounts due to small-scale industrial undertakings together with interest due for more than 30 days are NIL(NIL).

22. No provision for Income tax is made in the accounts in view of unabsorbed business losses and unabsorbeddepreciation claimed by the Corporation in Income tax returns of earlier years.

The segmental revenues and expenses include all directly attributable to the respective segment. Administrativeexpenses, personnel costs and depreciation on fixed assets cannot be identified with any particular segment andare considered as unallocable.

The segmental assets and liabilities include all directly attributable to the respective segment. All other assets andliabilities not attributable to any particular segment have been grouped under unallocated Assets and liabilities.

iv. Geographical Segment:

Since the segregation of the business geographically is not possible, in view of the Management, the Corporationdoes not have geographical segmentation in the context of the Accounting Standard 17 on segment Reportingissued by The Institute of Chartered Accountants of India.
