Gv Design has always blended manufacturing skill with research in materials and design. We always try to use at best the materials that nature and our history offer us, but we do it within the never-ending effort to actualise and differentiate continuously our creations. Warmth, tactile sensation and comfort are our proper guidelines, but we do move in the direction of declining them into the different testes, fashions and trends that a fast changing world proposes.

GV Design declines it with the purpose of keeping the classic comfort and updating the design according to the contemporary trends.

La possibilità di inclinazione dello schienale è notevolmente migliore rispetto ad una poltrona da barbiere normale per consentire di effettuare i trattamenti in assoluto comfort. The possibility to incline the backrest is better than in a classic barber chair in order to provide a better comfort when treating the customer.

ForzaMaggioreAGVGROUP SpA non sarà responsabile del ritardonell’adempimentodellesueobbligazioni(inclusoilritardonellaconsegna)setaleritardosiacausatodacircostanzeal si fuori del suo ragionevole controllo e avrà diritto afruire di un’estensione temporale per l’adempimento;esempi di forza maggiore includono scioperi, problemiinerentiallafornitura/trasporto/fabbricazionedeiprodottifinitie/osemilavorati,oscillazionideitassidicambio,azionigovernativeoregolamentari,catastrofinaturali.Se l’evento di forza maggiore persiste per un periodosuperiore a 2 mesi, ciascuna delle Parti avrà diritto direcederedalContratto, senzachealcunrisarcimentosiadovutoallacontroparte.

Il cliente potrà esercitare idiritti di accesso, correzione, cancellazione e blocco deltrattamento dei suoi dati inviando lettera raccomandataadAGVGROUPSpA.Il cliente potrà imporre ad AGVGROUP SpA di nonutilizzareisuoidatiascopidimarketing.

DefinitionsThe Customer: the individual or corporation acting inperformanceof theirownbusiness, commercial, craftorprofessional activities, or their agent,whopurchases theProductssoldandmanufacturedbyAGVGROUPSpA.AGVGROUPSpA: the companywith registeredoffice inViaContarella17,42019Scandiano(RE)-Italy,whichsellstheProducts.OrderConfirmation:writtennoticeofconfirmationoftheproduct ordered, sent to theCustomer ofAGVGROUPSpA.Price:theoneindicatedontheorderconfirmation.Product : the one indicated on the order confirmation.Theproductcharacteristicsillustratedinthecataloguearenotbinding.Wereservetherighttomakeallchangesweconsiderappropriate,withoutanypriornotice.Contract: the one concluded betweenAGVGROUP SpAand the customer through exchange of the order andorder confirmation, governed by these general terms ofsaleandwarranty.

EfficacyThis Contract is applied to this sale and all subsequentones between AGVGROUP SpA and the Customer,without prejudice to subsequent signing of other anddifferenttermsofsaleandwarranty.SendingofanorderimpliesacceptanceoftheContract.

OrdersOrdersareacceptedsolelyandexclusivelyinwriting(e-mailandfaxarethesame)andbecomebindingforAGVGROUPSpA and between the parties when AGVGROUP SpAsends the order confirmation to the Customer. Theorderconfirmationmustbechecked immediatelyby theCustomer(withinandnolaterthan24hoursofreceipt),whomustimmediatelynotifyAGVGROUPSpAinwritingofanyerrorfound.Failingthis,after3workingdays,theindicationscontainedintheorderconfirmationwillbeappliedtotheContract.AnorderwillNOTbeacceptedunlessitisaccompaniedbythesegeneraltermsofsaleandwarrantysignedbytheCustomer.Subsequentorders,acceptedandconfirmedbyAGVGROUPSpAthroughtheorderconfirmation,remainsubjecttothiscontract.

PriceandpaymenttimesThe estimates of AGVGROUP SpA are only valid ifpreparedinwritingandfortheperiodindicatedinthem.ThePriceincludesexclusivelythegoodsandserviceslistedandmust be intended as netofVAT. Paymentmust takeplace in the methods and in the times indicated in theorderconfirmation.AGVGROUPSpAmaysuspenddeliveryorfulfilmentoftheorderuntilpaymenthastakenplace,ifpriorpaymenthasbeenagreed,orofallotherprevioustransactionsinwhichtheCustomerislatewithpayments.TheCustomerherebywaivesanyexceptionofoffsettingbetween the sumsdue from it toAGVGROUPSpAandanyothersumforwhichitisorclaimstobeacreditor,foranyreason,even if liquidandcollectable,andeven ifnotdisputedandlegallycollectable.In thecaseof latepayment, theCustomermustpay the

interest indicated in LegislativeDecree no. 231/2002 onthesumstilldue,andalsothecostsforrecoverythereof,withouttheneedforformalplacinginarrears.

Delivery/Title/RiskThedelivery time indicated in theorder confirmation isindicative. Partial deliveries are permitted.The place ofdeliveryisindicatedintheorderconfirmation.Thegoodstravel at the exclusive risk and danger of the purchaser,evenwhensoldcarriagefree.Transfer of ownership of the product only occurs onpayment of the full price.Without prejudice to whatis indicated in Article 1525 of the Italian Civil Code,AGVGROUP SpA may (without any liability with theCustomer)re-enterintopossessionoftheProduct.AGVGROUPSpAmaytakelegalactiontoobtaintheprice,includingbeforetransferofownership.If the Customer refuses the delivery without prioragreementwithAGVGROUPSpA, itwill be liable for allcostsorlossessustainedbyAGVGROUPSpAduetosaidrefusal, includingthecostsofstorageuntilacceptanceofthedelivery.

AcceptanceOndeliveryoftheProduct,theCustomermustcheckandinspectit,and,ifnecessary,refuseitorindicatedefectsatthemoment of delivery.On expiry of this deadline, theproductwillbeconsideredasacceptedbytheCustomer.If AGVGROUP SpA allows return of the product, inexceptionalconditionsandatitsowndiscretion,thismustbe returned in its original conditions, with the relativepackaging,withanoteofreturnandwiththerelativeproofofpurchase;thecostsofreturnwillalwaysbepaidbytheCustomer.

LiabilityAGVGROUP SpAwill not be held in anyway liable fordirector consequential damagesor consequential lossesin the case of non-functioning or poor functioning ofthe products, for loss of business, profits, salaries, fees,savings,withoutprejudiceto legalwarrantiesoranythingcontemplatedinthesegeneraltermsofsale.AGVGROUP SpA will equally not be held liable fordamages caused during installation of the products tofloors, furniture, household furnishings, furnishings andanythingelsepresentonthepremises,withtheCustomeracknowledgingthatishastheprecisecontractualobligationofarrangingpriorprotectionormovingthem.TheCustomeracknowledgesthattheyhavebeeninformedbeforehand by AGVGROUP SpA of the interventionsnecessaryforinstallationoftheProducts,particularlythemethodsandcharacteristicsthereof.

ForcemajeureAGVGROUPSpAwillnotbeliableforanydelayinfulfilmentof its obligations (included late delivery) if said delay iscausedbycircumstancesbeyonditsreasonablecontrolandwillbeentitledtoanextensionforfulfilment;examplesofforcemajeureincludestrikes,problemsrelatingtosupply/transport/manufacturing of finished and/or semi-finishedproducts,exchangeratefluctuations, governmentactionsorregulatoryactions,naturalcatastrophes.If the event of force majeure persists for a periodexceeding2months,eachofthePartieswillbeentitledtowithdraw from theContract,without any compensationbeingduetotheotherparty.

ProtectionofPersonalDataThe personal data of the Customer will be processed,kept and/or communicated according to law and theCustomerhereby agrees to this in accordancewith andundertheeffectsofregulationsonPrivacy.TheCustomermayexercisetheirrightofaccess,correction,deletionandblockingofprocessingoftheirdatabysendingaregisteredlettertoAGVGROUPSpA.TheCustomermayrequireAGVGROUPSpAnottousetheirdataforpurposesofmarketing.

WARRANTYAreaofapplicationThiswarrantyisdestinedforCustomersoperatingintheirownprofessionalactivities,asperthedefinitioninarticle1.The sales indicated in these general terms relate toPRODUCTS NOT DESTINED FOR CONSUMERS, asidentifiedinarticle3ofLegislativeDecree206/2005.ThewarrantyrelatestodefectsoftheProducts,intendingas suchmaterial imperfections of the article, such as toaffectinasignificantwayitsusabilityorvalue,relatingtoanomalies of the production, manufacturing, formation,conservationprocessandoperatingwithinthelimitsandaccordingtothetermslistedbelow.DurationAGVGROUP SpA guarantees the Products for one yearfromthedateofdelivery.WhenitisappliedWithout prejudice to the specifications, exclusions orlimitationsindicatedhereunder,or,inanycase,referredtointhiscontract,thewarrantyisappliedtodefectsoftheProducts,asidentifiedaccordingtothedefinitionofarticle1490,firstparagraph,oftheItalianCivilCode.Methods, termsand forfeitureofapplicationofwarrantyrightsOndiscoveryofthedefect,theCustomerisrequiredtonotifyAGVGROUPSpAinwriting,attachingacopyofthesalesinvoiceandtheorderconfirmationofreferenceandaccompanying this with photographic documentation ofthedefectfound.Wherepossible,theserialnumberofthedefectiveproductmustalsobeprovided.The communication must be received in writing byAGVGROUP SpA within 8 days of discovery, failingwhichthewarrantyrightswillbe forfeit.Warrantyrightslast for one year.Any intervention of the Customer or

third parties on the defective product, if not authorisedin writing byAGVGROUP SpA, constitutes a reason offorfeitureofthewarranty.ExclusionsandlimitationsWithoutprejudicetowhatisspecifiedabove,thewarrantyis excluded if the defect is caused or accentuated byimproper use of the Product by theCustomer or thirdparties,orbymaintenancewhichdoesnotconformwiththemanufacturer’sindications,orinterventionsofanykind,includingmaintenance,onthemwhichisnotperformedornotauthorisedbyAGVGROUPSpA.Thewarrantyisalsoexcluded:- if,oncommunicationof thedefect, thedocumentsandtheinformationindicatedinart.10.4arenot,respectively,attachedandprovided;- if the Products have been installed, kept or stored inunsuitable areas for protecting their quality (such asexternal,dampandpoorlyairedenvironments);-iftheProductshavenotbeeninstalledcorrectly,orhavebeentamperedwith,hadnon-originalpartsorcomponentsorwhicharenotauthorisedbyAGVGROUPSpAadded,havebeencleanedwithproceduresorproducts liabletodamagethem;-inthecaseofdamageswhichdonotderivefromoriginalmanufacturing defects and/or the poor quality of thematerialsused,butwhicharetheconsequenceoftraumaticfactsoreventsfortheproducts,suchas,bywayofexampleonly:blows,scratches,dents,cuts,stainscausedbyexternalfactors,suchasdyes,lacquersandcleaningproducts;- fordamages fromwearandtearcausedbynormaluseoftheProducts;-iftheProductsarenotusedbythepartiesforwhomtheyaredestinedandforwhomtheyaremanufactured,namelyhairdressers,beauticians,beautysalonsandbeautyfarms.SpecifictermsofwarrantyThefollowingspecifictermsofwarrantyapply,dependingonthecomponentormaterial,asindicatedbelow.Pumps:These are guaranteed for 24 months from the deliverydate.Forthechairs,theheightindicatedisalwaysindicative,since it depends partly on the typeof foot chosen. It isrecommendednot tomovechairswithhydraulicpumpsbyliftingthembythearmrests.Thisoperationcausesairtoenterthepump,causingmalfunctioning.Inthiscase,itisnecessarytoraisetheseatuptothemaximumheightandpressthepedalrepeatedlytodischargetheairandrestorenormalconditions.Skay-VinylSkay/Vinyl, particularly white or light coloured, is notguaranteed against damages which do not derive fromoriginal manufacturing defects and/or poor quality ofthe materials used, but which are the consequence oftraumaticfactsoreventsfortheproduct,suchas,bywayof example only: blows, scratches, cuts, stains caused byexternalfactors,suchasdenim/jeansfabricdyes,lacquersandcleaningproducts.Anydifferenceinthecolourshadeof articles or productswith the same type of Skaymaynotbeconsideredasanoriginalmanufacturingdefect.Thecleaning process for synthetic upholstery (SKAY/VINYL)requires use of soapy water to be distributed using aspongeordampcloth.Chemicalproductsmayirreparablydamage synthetic upholstery, as may use of cleaningequipmentwhich is toohardor rough.AgvGroup isnotliable for damages caused by use of these products orequipment.PaddedarticlesmaybecoveredwithmaterialsuppliedbytheCustomer.WedonotguaranteethequalityofthefinishifthematerialissuppliedbytheCustomer.Paintedparts:Damageswhichdonotderivefromoriginalmanufacturingdefectsand/orthepoorqualityofthematerialsused,butwhicharetheconsequenceoftraumaticfactsoreventsfortheproduct,suchas,bywayofexampleonly:blows,dents,scratches,cuts, stainscausedbyexternal factors, suchasdyes, lacquersandcleaningproducts,arenotguaranteed.Anydifferenceinthecolourshadeofarticlesorproductswiththesametypeofpaintmaynotbeconsideredasanoriginalmanufacturingdefect.Aluminiumparts:Damageswhichdonotderivefromoriginalmanufacturingdefectsand/orthepoorqualityofthematerialsused,butwhich are the consequenceof traumatic facts or eventsfor theproduct, such as, bywayof exampleonly: blows,scratches, dents, cuts, stains caused by external factors,such as dyes, lacquers and cleaning products are notguaranteed.Anydifferenceinthecolourshadeofarticlesorproductswiththesametypeofaluminiumparts,oranyimperfectionsofthesurfaceduetoporosityofthematerial,maynotbeconsideredasanoriginalmanufacturingdefect.Donotuseabrasivecleaningproductstocleanaluminiumcomponents.ElectricalequipmentElectricalpartsandelectricalequipment (excludingneonlights,ledsandbulbs).These are covered by the general terms of warranty,providedthedamageisnotcausedbysuddenchangesinvoltagewhichexceedthelimitsindicatedbyCEregulations(220/240V,50hz,+/-10%).Neonlights,LedsandBulbs:Thesearenotcoveredbythegeneraltermsofwarranty,sincetheyareconsumables.On delivery, solely compliance with the temperature,colour and chromatic yield parameters indicated in thespecificationsaccording to thecatalogueof theprincipalmanufacturers is guaranteed (e.g. Philips catalogue,paragraph 12). The Customer is therefore requiredto conduct an immediate check on the componentsindicatedinthisparagraphand,wheredeviationsfromsaidspecificationsarefound,isrequiredtonotifyAGVGROUPSpAwithin8daysofreceiptofthegoods;failingthis,theCustomerforfeitstherighttoinvokesaiddeviation.The terms of warranty exclude normal wear and tearof articles due to use and the Customer declares theyare aware of this, herebywaiving any claim on this, andthat,withpassingoftime,neonlights,ledsandbulbsmay

presentdeformitiesofcolourorstopworking.GlassandMirrors:Damageswhichdonotderivefromoriginalmanufacturingdefectsand/orthepoorqualityofthematerialsused,butwhicharetheconsequenceoftraumaticfactsoreventsfortheproduct,suchas,bywayofexampleonly:blows,dents,scratches,cuts, stainscausedbyexternal factors, suchasdyes, lacquersandcleaningproducts,arenotguaranteed.AgvGroupspecifiesthatcorrectinstallationofthemirrorsrequiresthemtobeattachedtothebearingstructurewithsilicone.AgvGroup isnot liable fordamage tomirrors iftheyhavebeeninstalledwithoutusingthisprocedure.Washbasinsandsinks:Damageswhichdonotderivefromoriginalmanufacturingdefectsand/orthepoorqualityofthematerialsused,butwhicharetheconsequenceoftraumaticfactsoreventsfortheproduct,suchas,bywayofexampleonly:blows,dents,scratches,cracks,stainscausedbyexternalfactors,suchasdyes,lacquersandcleaningproducts,arenotguaranteed.Taps,showersandhoses:Taps are guaranteed for 3 years, showers and hoses for6months, ceramic cartridges for1 year (all assessedonthebasisofthehardnessofthewaterwheretheproducthas been installed,with it remaining understood that anapprovedwatersoftenermustbeinstalledupstreamofthesystem).AGVGROUPSpAinterventionmethodsAGVGROUPSpAwillexaminetheproductandwillassess,atitsownunquestionablediscretion,whetherornottheproblem is covered by theAGVGROUP SpA warranty,through its own intervention service or through anauthorisedassistancepartner, and, followingexamination,agrees to replaceor repair itemswhich aredefective atorigin,whichwillbereturnedexworks.Ifsendingofsparepartsisrequested,thepurchaserwillberesponsibleforthetransportcostsandrelativerisk.Inanycase,thewarrantydoesnotcoversupplyoflabour,oranydamagessufferedbythepurchaser.Thereplaceditemswillbecome the property ofAGVGROUP SpA. If the articleis no longeron sale atAGVGROUPSpA, itwill arrangeanappropriatereplacement.AGVGROUPSpA,atitsownexclusivediscretion,willdecidewhichreplacementistobeconsideredasappropriate.Exclusionofimplicitrecognitionofthedefect.With reference to art.1495, 2nd paragraph, of theItalianCivilCode, it is specified that the interventionofAGVGROUP SpA, or the party delegated or authorisedby it, does not automatically imply recognition of thedefect, but is aimed exclusively at assessment of theclaim submitted by the Customer. The intervention ofAGVGROUP SpA, the party delegated or authorisedby it, in replacement or repair, also does not imply anyrecognition, since this may have been performed solelyfor thepurposeof avoidingdispute and/or forpurposesofsettlement.Thedefectmustbeintendedasrecognisedinaccordancewiththelawsolelywherethishasexpresslyoccurredinwriting.

AssistanceoutsidetheWARRANTYIftheCustomerrequestsfromAGVGROUPSpAassistanceoutsidethewarrantyontheProductsithassupplied,theCustomer will be charged all expenses and accessorychargeswhichAGVGROUPSpAsustains forspareparts,man-hours, travel expenses, board and lodgingnecessarytocompletetheassistance.

JurisdictionThiscontract isgovernedbyItalian lawandissubjecttotheexclusivejurisdictionofReggioEmiliaCourt.

FinalclausesThetext in Italianof thiscontract is theonlyonetobeconsideredastheoriginaltext.

EfficacitéLe présent Contrat s’applique à la présente vente et àtoutes les ventes successives entreAGVGROUP SpA et

leClient,sanspréjudiced’autresconditionsdifférentesdeventeetdegarantiesouscritesparlasuite.L’envoid’unecommandeimpliquel’acceptationduContrat.

CommandesLes commandes sont acceptées uniquement par écrit(courrier électronique et fax sont assimilés), après quoiellesobligentAGVGROUPSpA;ellesengagentlespartiesaprès l’envoi parAGVGROUP SpA de sa ConfirmationdeCommande au client. La confirmation de commandedoitêtrecontrôlée immédiatementpar leclient(auplustard24heuresaprèslaréception)quidoitcommuniquerpromptementparécrit àAGVGROUPSpA touteerreurconstatée.A défaut, au bout de 3 jours ouvrables, les indicationscontenues dans la confirmation de commandes’appliquerontauContrat.Une commande NE SERA acceptée que si elle estaccompagnée des présentes conditions générales deventeetdegarantiesignéesparleclient.Lescommandessuivantes,acceptéesetconfirméesparAGVGROUPSpAàtraverslaconfirmationdecommande,demeurentsujettesauprésentcontrat.

PrixetpaiementsLesdevisdeAGVGROUPSpAsontvalablesuniquements’ilsontétéétablisparécritetpourlapériodequiyestindiquée.LePrixcomprendexclusivementlesbiensetlesprestationsquiysontprécisésetilesttoujourshorsTVA.LepaiementdevraêtreeffectuéaveclesmodesetdanslesdélaisindiquésdanslaConfirmationdeCommande.AGVGROUPSpApeutarrêterlalivraisonoul’exécutionde la commande jusqu’au paiement de celle-ci, s’il aété convenu un paiement anticipé, ou de toute autretransaction précédente pour laquelle le client serait enretarddanslespaiements.Le Client renonce dès à présent à toute exception decompensationentrelessommesqu’ildoitàAGVGROUPSpAettouteautresommedont ilseraitou ilestimeraitêtrecréditeur, àn’importequel titre,mêmesi liquideetexigible,mêmesinoncontestéeetlégalementexigible.Dans le cas de retard dans le paiement, le client devrapayerlesintérêtsvisésauD.Lég.n.231/2002surlasommeencoredue,ainsiquelescoûtspourlerecouvrementdeladitesomme,sansmiseendemeurepréalable.

Livraison/Titre/RisqueLe délai de livraison indiqué dans la Confirmationde Commande est indicatif. Les livraisons partiellessont admises. Le lieu de livraison est indiqué dans laConfirmationdeCommande.Lamarchandisevoyageauxrisques et périls exclusifs de l’acheteur,même si vendueenportfranc.Le passage de propriété du produit n’a lieu qu’après lepaiement du prix entier.AGVGROUP SpA pourra (sansresponsabilitéenvers leClient)rentrerenpossessionduProduit, sanspréjudicedesdispositionsde l’Article1525duCodeCivil.AGVGROUP SpA pourra le poursuivre en justice pourobtenirlepaiementduprixavantlepassagedepropriété.DanslecasoùleClientrefuseraitlalivraisonsansl’avoirconvenupréalablementavecAGVGROUPSpA,lesperteset les frais engagés parAGVGROUP SpA à cause de cerefusresterontàlachargeduClient,ycomprislesfraisdestockagejusqu’àl’acceptationdelalivraison.

AcceptationLorsdelalivraisonduproduit, leclientdoitlecontrôleret le vérifier et, le cas échéant, le refuser ou faire unedéclaration des vices au moment-même de la livraison.Sansquoi,leproduitseraconsidéréacceptéparleclient.SiAGVGROUPSpA,dansdesconditionsexceptionnellesetàsadiscrétion,autoriselarestitutionduproduit,celui-ci sera restitué dans l’état d’origine, avec son emballage,accompagnéd’unederestitutionetdelapreuvedel’achat;les coûts de restitution seront toujours à la charge duclient.

ResponsabilitéAGVGROUP SpA ne sera aucunement tenue pourresponsable des dommages directs ou indirects ou despertes dues au non-fonctionnement ou au mauvaisfonctionnementdesproduits,delaperted’affaires,profits,salaires, rémunérations, économies, sauf cequiestprévuparlesgarantiesdelaloiouparlesprésentesconditionsgénéralesdevente.AGVGROUPSpAneseratenuepourresponsablemêmepas des dommages provoqués pendant l’installationdes produits aux carrelages, mobiliers, accessoires,ameublementsetàtoutcequisetrouveraitdansleslocaux,étant entendu que le client a l’obligation contractuelleformelledelesprotégerpréalablementoudelesdéplacer.LeClient reconnaît avoir étépréalablement informéparAGVGROUPSpAdesinterventionsnécessairesenvuedel’installationdesproduits,enparticulierdesmodalitésetdescaractéristiquesdeceux-ci.

ForceMajeureAGVGROUP SpA ne sera pas responsable du retarddans l’exécutiondessesobligations (ycompris le retarddans la livraison) lorsque leretardestprovoquépardescirconstances qui sont raisonnablement hors de soncontrôleet ilauraledroitdebénéficierd’uneextensiontemporellepourl’exécution;onconsidèreàtitred’exemplecommeforcemajeurelesgrèves,problèmesconcernantlafourniture/transport/fabrication des produits finis et/ousemi-ouvrés,lesoscillationsdestauxdechange,lesactionsgouvernementales ou réglementaires, les catastrophesnaturelles.Sil’événementdeforcemajeurepersistepourunepériodesupérieureà2mois,chaquePartieauradroitderésilierleContrat,sanspourcelanedevoiraucuneindemnisationàlacontre-partie.

ProtectiondesDonnéesPersonnellesLes données personnelles du client seront traitées,conservéeset/oucommuniquéesconformémentàlaloietleclientdonnesonautorisationdèsàprésentauxtermeset pour les effets de la loi en vigueur sur la protectionde la vie privée. Le client pourra exercer les droitsd’accès,correction,suppressionetblocagedutraitementde ses données en envoyant une lettre recommandée àAGVGROUPSpA.Le client pourra imposer àAGVGROUP SpA de ne pasutilisersesdonnéespourdesactivitésdemarketing.

GARANTIEDomained’applicationLaprésentegarantieestdestinéeauxclientsquiopèrentdans ledomainede leuractivitéprofessionnelle, selon ladéfinitiondel’article1.Les ventes visées par les présentes conditions généralesse réfèrent à des PRODUITS NON DESTINÉS AUXCONSOMMATEURS, tels que définis par l’article 3 duD.Lég.206/2005.La garantie concerne les vices des produits, c’est-à-direles imperfections matérielles du bien telles à influer demanièreimportantesurleurutilisationousurleurvaleur,relatives à des défauts du procédés de production, defabrication, de formation, de conservation, et s’appliquedansleslimitesetselonlesconditionsdécritesci-après.DuréeAGVGROUPSpAgarantit lesproduitspouruneannéeàcompterdeladatedelivraison.ApplicationCompte tenu des précisions, exclusions ou limitationsindiquéesci-après,ourappeléesdanscecontrat,lagaranties’applique aux vices des Produits, tels que déterminésselonladéfinitiondel’article14901eralinéaducodecivil.Modalités,termesetdéchéancesdudroitdegarantieDès la découverte du vice, le client est tenu de lecommuniquer par écrit àAGVGROUP SpA, en joignantunecopiedelafacturedeventeetdelaConfirmationdecommandeconcernéesainsiquetoute ladocumentationphotographiqueduviceconstaté.Si possible, spécifier le numéro de série (serial number)dubienvicié.LacommunicationdoitparvenirparécritàAGVGROUPSpAauplustard8joursaprèsladécouverte,souspeinededéchéancedudroitdegarantie.Ledroitdegarantieserasanseffetaprèsunan.Touteinterventionduclientoudetierssurleproduitvicié,siellen’estpasautoriséeparécritparAGVGROUPSpA,constitueunmotifdedéchéancedelagarantie.ExclusionsetlimitationsSans préjudice de ce qui est spécifié ailleurs, la garantieest exclue si le vice est provoqué ou accentué soit parune utilisation non conforme du Produit de la part duclientoudetiers,soitparunentretiennonconformeauxindicationsduproducteuroupardesinterventionssurleProduitdequelquenaturequecesoit,mêmed’entretien,noneffectuéesounonautoriséesparAGVGROUPSpA.Lagarantieseraaussisanseffetdanslescassuivants:-si la communication de déclaration du vice n’est pasaccompagnée des documents et ne contient pas lesinformationsprévuesparl’art.10.4.-silesproduitsontétéinstallés,conservésoustockésdansdesenvironnementsquinesontpaspropresàengarantirla qualité (tels les environnements extérieurs, humides,faiblementaérés);-silesproduitsn’ontpasétémontéscorrectement,oubienontétémanipulés,intégréspardespiècesetdesélémentsqui ne sont pas d’origine ou ne sont pas autorisés parAGVGROUPSpA,nettoyésselondesprocéduresouavecdesproduitsquipeuventlesendommager;-en cas de dommages qui ne sont pas dus à des vicesd’originedeproductionet/ouàunemauvaisequalitédesmatériaux utilisés,mais qui sont la conséquence de faitsou d’événements traumatiques pour le produit, et plusprécisémentàtitred’exemplenonlimitatif:chocs,rayures,bosses, coupes, taches provoquées par des facteursextérieurs,telsquelaquesetproduitsd’entretien;-pourlesdommagesd’usureprovoquéeparuneutilisationnormaledesProduits;-silesproduitsnesontpasutiliséspardessujetsauxquelsilssontdestinésetpourlesquelsilssontfabriqués,c’est-à-dire lescoiffeurs,esthéticiens, salonsdebeauté,beautyfarm.ConditionsparticulièresdegarantieLes conditions particulières de garantie suivantess’appliquent en fonction de l’élément ou du matériauindiquésci-dessous:Pompes:Ellessontgaranties24moisàpartirdeladatedelivraison.Pour les fauteuils, la hauteur indiquée est toujoursindicativecarelledépendenpartiedutypedepiedschoisi.Nousconseillonsdenepasbougerlesfauteuilséquipésdepompeshydrauliquesenlessoulevantparlesaccoudoirs.Cetteopérationprovoquel’injectiond’airàl’intérieurdelapompeenprovoquantdesdysfonctionnements.Danscecas il est nécessaire de soulever aumaximum l’assise etpuisd’intervenirplusieursfoissurlapédaledemanièreàfairesortirl’airetrétablirlesconditionsnormales.Skaï–Vinyle:Les Skaï/Vinyles, en particulier le blanc et les teintesclaires,nesontpasgarantiscontre lesdommagesquinesontpasdus àdes vicesd’originede fabricationet/ouàunemauvaisequalitédesmatériauxutilisés,maisquisontla conséquence de faits ou d’événements traumatiquespourleproduit,etplusprécisémentàtitred’exemplenonlimitatif:chocs,rayures,coupes,tachesprovoquéespardesfacteurs extérieurs, tels que teintures, tissu denim/jeans,laquesetproduitsd’entretien.Onnepeutpasconsidérercomme vice d’origine toute différence éventuelle detonalité de la couleur que pourraient présenter desarticles ou Produits ayant le même type de Skaï. Laprocédure de nettoyage de la tapisserie synthétique(SKAÏ/VINYLE) prévoit l’utilisation d’eau savonneuse à

distribueraumoyend’uneépongeoud’unlingesouple.Lesproduitschimiquespeuventabîmerdemanièreirréparablelatapisseriesynthétique,demêmequel’utilisationd’outilstrop durs ou rêches pour le nettoyage. AgvGroup nerépond pas des dommages provoqués par l’utilisationde ces produits ou outils. Les rembourrés peuvent êtrerecouvertsavecdumatériaufourniparleclient.Parailleursnousnegarantissonspaslaqualitédefinitionsilematériauestfourniparleclient.Partiespeintes:Les dommages qui ne sont pas dus à des vices d’originede fabrication et/ou à une mauvaise qualité desmatériaux utilisés, mais qui sont la conséquence de faitsou d’événements traumatiques pour le produit ne sontpas garantis, et plus précisément à titre d’exemple nonlimitatif:chocs,bosses,rayures,coupes,tachesprovoquéespar des facteurs extérieurs, tels que teintures, laques etproduits d’entretien. Les piècesremplacées deviendront la propriété d’AGVGROUP SpA.Sil’articlen’estplusenventeauprèsdeAGVGROUPSpA,celle-ciprévoiraunremplacementapproprié.AGVGROUPSpA décidera, à sa discrétion exclusive, de définir quelremplacementestàconsidéreradéquat.Exclusiondelareconnaissanceimpliciteduvice.Par référence à l’art.1495 2e alinéa du code civil il estprécisé que l’intervention deAGVGROUP SpA ou d’un

sujet délégué ou autorisé par celle-ci, ne comportepas la reconnaissance automatique du vice, mais viseexclusivementàévaluerladéclarationdudéfautprésentéeparleclient.L’interventiondeAGVGROUPSpA,oudusujetdélégué ou autorisé par celle-ci, pour le remplacementou la réparation, ne comporte aucune reconnaissance,car celui-ci aura pu être fait dans le seul but d’éviter uncontentieux ou en vue de transactions. Le vice s’entendreconnuauxtermesde la loiseulementquandceciaétéfaitexplicitementparécrit.

WarenannahmeBei der Auslieferung des Produkts muss der Kundesie gründlich untersuchen und, wenn es erforderlichist, zurückweisen und die Fehler bei der Auslieferungerklären.BeiAblaufdieserFristverstehtsichdasProduktals vom Kunden angenommen.Wenn AGVGROUP SpAin Ausnahmebedingungen und nach eigenem Ermessenmit der Rückgabe des Produkts einverstanden ist, mussdieses im ursprünglichen Zustand, mit seinerVerpackungeinerRückgabeerklärungunddemBelegfürdenerfolgtenErwerbzurückgegebenwerden.DieRückgabekostengehenimmerzuLastendesKunden.

HaftungAGVGROUPSpAhaftetaufkeineWeise fürdirekteoderindirekte Schäden oderVerluste infolge des mangelndenoder schlechten Betriebs der Produkte, fürVerlust vonGeschäften,Gewinnen, Löhnen,Vergütungen, Ersparnissen,vorbehaltlich dessen, was von den gesetzlichenGarantien oder den hier vorliegenden allgemeinenGeschäftsbedingungenvorgesehenist.AGVGROUP SpA ist ebenfalls nicht für Schädenverantwortlich zu betrachten, die während derInstallation der Produkte an Fußböden, Möbeln,Einrichtungsgegenständen,Einrichtungoderallemsonstigenverursachtwerden,wasindenRäumenvorhandenist,weilder Kunde anerkennt, dass es seine genaue vertraglicheVerpflichtung ist,diesevorher zu schützenoderaneinenanderenOrtzubringen.DerKunden anerkennt, dass er vorher vonAGVGROUPSpA auf die Eingriffe hingewiesenworden ist, die für dieInstallation der Produkte erforderlich sind, insbesonderedieModalitätenunddieEigenschaftenderselben.

HöhereGewaltAGVGROUPSpAhaftetnichtfürdieVerzögerungbeiderErfüllungihrerObliegenheiten(einschließlichLieferverzug),wenndieseVerzögerungdurchUmständeverursachtwird,die sich außerhalb ihrer Risikosphäre befinden, und siehatdasRecht,einezeitlicheVerlängerungfürdieErfüllungauszunutzen. Beispiele für höhere Gewalt sind Streiks,ProblemebeiLieferung/Transport/HerstellungderfertigenProdukteund/oderderHalbfertigware,SchwankungenderWechselkurse, Regierungs- oderVerwaltungsmaßnahmen,Naturkatastrophen.Sollte das Ereignis höherer Gewalt für einen Zeitraumvon mehr als 2 Monaten andauern, hat jede Partei dasRecht darauf, vomVertrag zurückzutreten, ohne dass dieGegenseiteirgendeineEntschädigungzuzahlenhat.

DatenschutzDie personenbezogenen Daten des Kunden werdengesetzesgemäßverarbeitet,aufbewahrtund/odermitgeteiltundderKundeerteiltschonjetztimSinneundhinsichtlichder Auswirkungen des geltenden Datenschutzrechtsseine Genehmigung dazu. Der Kunde kann sein Rechtauf Auskunft, Berichtigung, Löschung oder Sperrung derBehandlung seiner personenbezogenen Daten ausüben,indem er einen Einschreibebrief an AGVGROUP SpAsendet.DerKunde kannAGVGROUP SpA auflegen, seineDatennichtzuMarketing-Zweckenzubenutzen.

GARANTIEGeltungsbereichDie hier vorliegende Garantie ist für Kunden bestimmt,die imRahmen ihrereigenengewerblichenTätigkeit aktivwerden,sowieesinderKlausel1festgelegtist.DieVerkäufe,aufdiesichdiehiervorliegendenallgemeinenGeschäftsbedingungen beziehen, betreffen PRODUKTE,DIE NICHT FÜRVERBRAUCHER BESTIMMT SIND, sowiesieimArtikel3desitalienischenGesetzesvertretendenDekretNr.206/2005festgelegtwerden.Die Garantie betrifft die Mängel der Produkte, wobeidarunter die Materialfehler derWare zu verstehen sind,die so beschaffen sind, dass sie sich auf relevanteWeiseauf die Benutzbarkeit oder den Wert auswirken, undzwarhinsichtlichStörungendesProduktions-, Fertigungs-,Bildungs- oder Aufbewahrungsprozesses, und sie istinnerhalbderGrenzenundnachdenBedingungenoperativ,diehierangeführtwerden.DauerAGVGROUPSpAgarantiertihreProduktefüreinJahrabdemLieferdatum.

Abs. desitalienischenBGBgefundenwerden.Modalitäten, Fristen und Fälligkeiten, um denGewährleistungsanspruchgeltendzumachenBeiderEntdeckungdesMangelsistderKundeverpflichtet,AGVGROUP SpA eine schriftliche Mitteilung zu machen,indemerdieKopiederVerkaufrechnungunddersichdaraufbeziehenden Auftragsbestätigung beilegt und das ganzemit der fotografischen Dokumentation des festgestelltenMangelsausstattet.Wo möglich die Serien-Nummer der mit MängelnbehaftetenWareangeben.DieMitteilungderMängelmussAGVGROUPSpAbinnen8Tagen ab ihrer Entdeckung unter sonstigemVerfall desGewährleistungsanspruchs auf dem Schriftweg zugestelltwerden. Der Gewährleistungsanspruch verjährt in einemJahr. Der Eingriff vonAGVGROUP SpA oder eines vondieser bevollmächtigten oder autorisierten Betriebszum Austausch oder zur Reparatur bedingt keinerleiAnerkennung,weildiesernurzumZweckderVermeidungvonStreitfällenund/oderzuVergleichszweckenausgeführtwordenseinkann.DerMangelistnurdannalsgesetzmäßiganerkanntzuverstehen,sodieseAnerkennungausdrücklichaufdeSchriftweggegebenwordenist.

KundendienstaußerhalbderGARANTIEFalls ein Kunde von AGVGROUP SpA eineKundendienstleistung außerhalb der Garantie auf vondieser gelieferte Produkte verlangt, werden alle Kostenund die zusätzlichenAuslagen, dieAGVGROUP SpA fürdie Ersatzteile, dieArbeitsstunden, dieKoste fürAn- undRückfahrt, Kost und Logis entstehen, die erforderlichsind, um den Kundendienst auszuführen, dem, Kunden inRechnunggestellt.

RechtsprechungDer hier vorliegendeVertrag wird durch das italienischGesetz geregelt und unterliegt ausschließlich derRechtsprechungdesGerichtsvonReggioEmilia.

Lamercancíaviajaaexclusivoriesgoypeligrodelcompradoraúnsihasidovendidaconlacláusulaconportepagado.La propiedad del producto se transfiere una vez que hasidopagadoelpreciototal.SinperjuiciodeloprevistoporelArtículo1525delcódigocivilitaliano,AGVGROUPSpApodrá (sin responsabilidad hacia el cliente) readquirir lapropiedaddelproducto.AGVGROUP SpA podrá ejecutar acciones legales paraobtenerelprecio,inclusoantesdeltraspasodepropiedad.Si el cliente rechazara la entrega sin previo acuerdo conAGVGROUPSpA,permaneceránasucargolosgastosolaspérdidasincurridasporAGVGROUPSpAacausadedichorechazo,incluidoslosgastosdedepósitohastalaaceptacióndelaentrega.

AceptaciónAl realizar la entrega del producto, el cliente debecontrolarloe inspeccionarloy,si fueraelcaso,rechazarloo denunciar los vicios hallados almomento de recibir elproducto.Traselvencimientodedichoplazoelproductoseconsideraráaceptadoporelcliente.SiAGVGROUPSpA,en condiciones excepcionales y a su discreción, aceptaralarestitucióndelproducto,éstedeberádevolverseen lascondiciones originales, con el relativo embalaje, con unanotadedevoluciónylapruebadelacomprareal;losgastosderestituciónestaránsiempreacargodelcliente.

ResponsabilidadAGVGROUPSpAnoseráenningúnmodoresponsablepordañosdirectosoindirectosopérdidasconsecuencialesencaso de falta omalfuncionamiento de los productos, porlapérdidadenegocios,ganancias,sueldos,compensaciones,ahorros,salvoloquehasidoprevistoporlasgarantíasdeleyoporlaspresentescondicionesgeneralesdeventa.AGVGROUPSpAnoseráigualmenteresponsableporlosdañosprovocadosdurantelainstalacióndelosproductosen suelos, mobiliario, objetos, decorados y todo aquellopresente en los locales, reconociendo el cliente tenerla obligación contractual precisa de encargarse de laprotecciónpreventivaodeldesplazamientodelosmismos.El Cliente reconoce haber sido advertido previamentepor AGVGROUP SpA de las intervenciones necesariaspara la instalación de los productos, en particular de lasmodalidadesydelascaracterísticasdelosmismos.

FuerzamayorAGVGROUP SpA no será responsable del retardo en elcumplimiento de sus obligaciones (incluido el retardoen la entrega) si dicho retardo ha sido causado porcircunstancias ajenas a su control razonable y tendráderecho a una prórroga temporal para el cumplimiento,siendo algunos ejemplos de eventos de fuerza mayorlas huelgas, los problemas inherentes al suministro/transporte/fabricación de los productos terminados y/osemielaborados,lasoscilacionesdelastasasdecambio,lasaccionesgubernamentalesoreglamentarias,lascatástrofesnaturales.Si el evento de fuerza mayor persiste por un períodosuperior a los 2 meses, cada una de las Partes tendráderechoarescindirelcontrato,sinquelacontrapartetengaderechoaalgúntipoderesarcimiento.

ProteccióndelosDatosPersonalesLos datos personales del cliente serán tratados,conservados y/o comunicados como ha sido estipuladoporla leyyelclienteautoriza,apartirdeestemomento,el tratamiento de dichos datos en virtud y conforme alos efectos de la normativa vigente sobre la tutela de laprivacidad.Elclientepodráejercerlosderechosdeacceso,corrección,cancelaciónybloqueodel tratamientodesusdatosenviandounacartacertificadaaAGVGROUPSpA.ElclientepodráimponeraAGVGROUPSpAnoutilizarsusdatosparafinesdemarketing.

GARANTÍAÁmbitodeoperatividadLa presente garantía está destinada a los clientes queejercensupropiaactividadprofesional,segúnladefinicióndelartículo1.LasventasalascualesserefierenlaspresentescondicionesgeneralessonrelativasaPRODUCTOSNODESTINADOSALOSCONSUMIDORES,comohansidoindividuadosenelartículo3delD.Leg.206/2005.La garantía se refiere a los vicios de los productos,entendiéndose como tales las imperfecciones materialesdelproducto,queseantalesdeincidirdemodorelevanteensucapacidaddeusooensuvalor,relativasaanomalíasdel proceso de producción, fabricación, formación,conservaciónyseaplicadentrode los límitesysegún lascondicionesquesecitanacontinuación.DuraciónAGVGROUPSpAgarantizalosproductosporunañodesdelafechadeentrega.CuándoseaplicaSinperjuiciodelasaclaraciones,exclusionesolimitacionesquesecitanacontinuacióno,de todosmodos,evocadasen este contrato, la garantía se aplica a los vicios de losProductos,comohansidoidentificadossegúnladefinicióndelartículo1490,apartado1delcódigocivil.Modalidades, plazos y expiración para hacer valer elderechoalagarantíaTraseldescubrimientodelvicioelclientetienelaobligaciónde comunicar el mismo por escrito aAGVGROUP SpA,adjuntandocopiadelafacturadeventaydelaconfirmacióndepedidodereferenciayacompañandotodoellojuntoconladocumentaciónfotográficadelviciohallado.Dondefueraposible,suministrarelnúmerodeserie(serialnumber)delbienviciado.LacomunicacióndebeenviarseporescritoaAGVGROUPSpAdentrodelos8díasdelhallazgodelvicio,sopenadeexpiracióndelderechoalagarantía.Elderechoalagarantíaprescribe en un año.Toda intervención del cliente o de

terceros en el producto viciado, si noha sido autorizadaporescritoporAGVGROUPSpA,constituyeunmotivodeinvalidezdelagarantía.ExclusionesylimitacionesSinperjuiciodetodoaquelloespecificadoenotrolugar,seexcluyelagarantíasielvicioesprovocadooacentuadoporunusonoconformedelProductoporpartedelclienteode terceros, o bien, por unmantenimiento no conformecon las indicaciones del productor, o por intervencionesde cualquier naturaleza, incluso el mantenimiento, norealizadasoautorizadasporAGVGROUPSpA.Lagarantíaseinvalidatambién:- si en la comunicación de denuncia del vicio no se hanadjuntado los documentos y no se suministran lasinformacionesprevistasporelArt.10.4.- si los productos han sido instalados, conservados oalmacenados en ambientes que no son idóneos paratutelar la calidad (como ambientes externos, húmedos,escasamenteventilados);- si los productos no han sido montados de modocorrecto o resultan manipulados, integrados con partesy componentes no originales o no autorizados porAGVGROUP SpA, limpiados con procedimientos oproductosquepuedendañarlos;- en caso de daños que no deriven de vicios originariosde producción y/o de la mala calidad de los materialesutilizadossinoqueseanconsecuenciadehechosoeventostraumáticosparaelproductocomolosquecitamos,atítuloenunciativoperonolimitativo:golpes,rayados,magullados,cortes, manchas causadas por factores externos comotinturas,lacasyproductosparalalimpieza;- por los daños de desgaste derivadodel usonormal delosproductos;-silosproductosnosonutilizadosporsujetosparaquieneshansidodestinadosypara loscualeshansidofabricados,esdecir,peluqueros,esteticistas,salonesdebelleza,centrosdesaludybelleza.CondicionesparticularesdegarantíaRigen las siguientes condiciones particulares de garantíasegún el componente o el material que se indica acontinuación:Bombas:Tienenunagarantíade24mesesdesdelafechadeentrega.Para los sillones, la altura indicada es siempre indicativaporque depende en parte del tipo de pie escogido.Se aconseja no mover los sillones que tienen bombahidráulicaalzándolosyaferrándolosporlosreposabrazos.Dichaoperaciónprovoca la inmisióndeairedentrode labomba causando malfuncionamientos. En dicho caso, esnecesarioalzar lomásaltoposibleel asientoypresionarreiteradamenteelpedalparahacersalirelaireyrestablecerlascondicionesnormales.Skay-ViniloLosSkay/Vinilo,enparticularelblancoyloscoloresclaros,noestángarantizadoscontralosdañosquenoderivendeviciosoriginariosdeproduccióny/odelamalacalidaddelosmaterialesutilizados,sinoqueresultenconsecuenciadehechosoeventostraumáticosparaelproductocomolosquecitamos,atítuloenunciativoperonolimitativo:golpes,rayados, cortes, manchas causadas por factores externoscomo tinturas, tejido denim/jeans, lacas y productos paralalimpieza;NosepuedeconsiderarcomoviciooriginariolaposiblediferenciadetonalidadesdecolorquedebieranpresentarartículosoproductosquetienenelmismotipodeSkay.Elprocesodelimpiezadelatapiceríasintéticaprevéelusodeaguaenjabonadaadistribuirseconunaesponjaoun paño suave.Cualquier producto químico puede dañarirreparablemente la tapicería sintética como tambiénpuede dañarla el uso de equipos para la limpieza queseandemasiadodurosoásperos.AgvGroupnorespondepor los daños causados por el uso de dichos productosoequipos.Losacolchadospuedenrecubrirseconmaterialde suministro del cliente. No garantizamos la calidad deacabado,sielmaterialessuministradoporelcliente.Partesbarnizadas:No se garantizan los daños que no deriven de viciosoriginarios de producción y/o de la mala calidad de losmaterialesutilizadossinoquesonconsecuenciadehechoso eventos traumáticos para el producto como los quecitamos, a título enunciativo pero no limitativo: golpes,magulladuras, rayados, cortes, manchas causadas porfactores externos como tinturas, lacas y productos paralalimpieza.Nosepuedeconsiderarcomoviciooriginariolaposiblediferenciadetonalidadesdecolorquedebieranpresentar los artículosoproductosque tienenelmismotipodebarnizado.Partesdealuminio:No se garantizan los daños que no deriven de viciosoriginarios de producción y/o de la mala calidad de losmaterialesutilizadossinoquesonconsecuenciadehechoso eventos traumáticos para el producto como los quecitamos, a título enunciativo pero no limitativo: golpes,magulladuras, rayados, cortes, manchas causadas porfactores externos como tinturas, lacas y productos paralalimpieza.Nosepuedeconsiderarcomoviciooriginariolaposiblediferenciadetonalidadesdecolorquedebieranpresentar los artículosoproductosque tienenelmismotipodepartesde aluminio,ni posibles imperfeccionesdelasuperficiedebidasalaporosidaddelmaterial.Noutilizarproductosabrasivospara la limpiezade loscomponentesenaluminio.AparatoseléctricosParteseléctricasyaparatoseléctricos(excluidosneón,ledylámparas)Estáncomprendidasenlascondicionesgeneralesdegarantíasalvo que el dañono haya sido causadoporoscilacionesbruscasdetensiónderedquesuperenloslímitesprevistosporlanormativaCE(220/240V,50hz,+/-10%).Neón,LedyLámparas:No están comprendidas en las condiciones generales degarantía,porquesonmaterialdeconsumo.Se garantiza exclusivamente el respeto, al momento dela entrega, de los parámetros de temperatura, color y

prestación cromática indicadas en las especificacionesprevistas por el catálogo de los fabricantes principales(por ej, catálogo Philips apartado 12). El cliente tiene laobligación de realizar la verificación inmediata de loscomponentesenunciadosenelpresenteapartadoy,dondeencontraradiferenciascondichasespecificaciones,deberácomunicarlasporescritoaAGVGROUPSpAdentroynomásalládelos8díasdelarecepcióndelamercancía;encaso de ausencia, el Cliente pierde el derecho de hacervalerlaantedichadiferencia.Se excluyen de las condiciones de garantía el desgastenormaldelosartículosdebidoalusoyelClientedeclarayasaberlo,renunciandodesdeahoraacualquierpretensiónalrespecto,queconelpasodeltiemponeón,led,lámparaspuedanpresentardiferenciasdecolorodejardefuncionar.Vidriosyespejos:No se garantizan los daños que no deriven de viciosoriginarios de producción y/o de la mala calidad de losmaterialesutilizadossinoquesonconsecuenciadehechoso eventos traumáticos para el producto como los quecitamos, a título enunciativo pero no limitativo: golpes,magulladuras, rayados, cortes, manchas causadas porfactoresexternoscomotinturas,lacasyproductosparalalimpieza;AGVGROUPrecuerdaqueelmontajecorrectodelosespejosimplicalafijacióndelosmismosalaestructuraportantemediantesilicona.AGVGROUPnoresponderápordañosenlosespejosenaquelloscasosdonderesultequehansidomontadossinobservardedichoprocedimiento.Piletasylavabos:No se garantizan los daños que no deriven de viciosoriginarios de producción y/o de la mala calidad de losmaterialesutilizadossinoquesonconsecuenciadehechoso eventos traumáticos para el producto como los quecitamos, a título enunciativo pero no limitativo: golpes,magulladuras, rayados, grietas, manchas causadas porfactoresexternoscomotinturas,lacasyproductosparalalimpieza.Griferías,duchasypartesflexibles:La grifería tiene una garantía de 3 años, las duchas y laspartesflexibles6meses, loscartuchosencerámica1año(todoelloevaluadoenfuncióndeladurezadelaguadondeelproductoha sido instalado,quedaentendidoqueen laentradade la instalacióndeberácolocarseunablandadordeaguahomologado).ModalidaddeintervenciónAGVGROUPSpAAGVGROUP SpA examinará el producto y evaluará, asuentero juicio,sielproblemaestácubiertoonopor lagarantía comercialAGVGROUP SpA, mediante el propioservicio de intervención o mediante un partner deasistenciaautorizado;despuésdelexamendelproducto,secomprometeasustituirorepararlaspiezasqueresultaranserdefectuosasalorigen,queserándevueltasfrancofábrica.Sisesolicitaelenvíoderepuestos,losgastosdetransportey el riesgo relativo estarán a cargo del comprador.Igualmente,noestá incluidaen lasgarantías, laprestacióndemano de obra, así como tampoco los posibles dañossufridos por el comprador. Las piezas sustituidas pasaránaserpropiedaddeAGVGROUPSpA.SielartículoyanoestámásenventaenAGVGROUPSpA,éstaseencargaráderealizarlasustituciónadecuada.AGVGROUPSpAserá,asuexclusivadiscreción,quienestableceráquésustitucióndebeconsiderarsecomoadecuada.ExclusióndereapariciónimplícitadelvicioCon referencia alArt.1495 2º apartado del código civil,seprecisaque la intervencióndeAGVGROUPSpA,odeun sujeto delegado o autorizado por ésta, no comportaautomáticamente el reconocimiento del vicio sino quedepende exclusivamente de la evaluación de la denunciapresentadaporelcliente.LaintervencióndeAGVGROUPSpA,odeunsujetodelegadooautorizadoporésta,paraunasustitucióno reparación, no comporta igualmente ningúnreconocimiento,pudiendohabersidorealizadaconelúnicofindeevitaruncontenciosoy/oconfinestransaccionales.El vicio debe entenderse reconocido en virtud de la ley,sólodondeestohayaocurridoexplícitamenteporescrito.

AsistenciafueradelaGARANTÍAEn el caso de que un cliente solicite aAGVGROUP SpAuna asistencia fuera de la garantía en los productossuministrados por ésta, se debitarán al cliente todos losgastos y los cargos accesorios que AGVGROUP SpAincurrirápara losrepuestos, lashorashombre, losgastosdeviaje, alojamientoycomidanecesariosparacompletarlaasistencia.

JurisdicciónElpresentecontratoestáreguladoporlaleyitalianayestásujeto a la jurisdicción exclusiva delTribunal de ReggioEmilia.

CláusulasfinalesEltextoenidiomaitalianodelpresentecontratoeselúnicoquedafecomotextooriginal.

Envirtudyconformea losefectosde losartículos1341y 1342 del Código civil italiano, el Cliente declara haberleídoyapruebaexpresamentelossiguientesartículosdelasCondicionesgeneralesdeventaydegarantíadeAGVGROUPSpA.Art.2(eficacia),Art.3(pedidos),Art.4(precioytérminosde pago),Art.5 (entrega/título/riesgo),Art.6 (aceptación),Art.7 (responsabilidad), Art.8 (fuerza mayor) Art.10(garantía,apartados:10.1,10.2,10.3,10.4,10.5,10.6,10.7,10.8),Art.12(jurisdicción),Art.13(cláusulasfinales).
