COMUNICADO AO MERCADO 

Alienação de Participação Acionária 

A BM&FBOVESPA S.A.  –  Bolsa de Valores, Mercadorias e Futuros (“Companhia”)

comunica que, nos termos do Artigo 12 da Instrução CVM nº 358/02, conforme

alterada, e do Estatuto Social da Companhia, recebeu na data de ontem

correspondência de seu acionista Invesco Ltd., informando que alienou ações deemissão da Companhia, que em 24 de dezembro de 2014 representavam 5,29% do

capital social da Companhia, passando a deter, de forma agregada, 83.533.594 ações

ordinárias, 4,6% das ações emitidas pela Companhia. A íntegra das correspondências

do acionista encontram-se anexas a este comunicado.

Invesco Ltd., on behalf of certain clients managed by its investment manager subsidiaries, each of which are

investment companies registered under the U.S. Investment Company Act of 1940, as amended, hereby

informs you pursuant to article 12 of CVM 358, of the acquisition of an equity interest greater than 5% of the

total outstanding common shares (“TSO”) of BM&F BOVESPA SA. We currently hold 100,662,748 shares

which represent 5.29% of the TSO of the Company. We emphasize that neither Invesco Ltd. nor its clients

have any intention to alter the composition of the control or administrative structures of the Company. In

compliance with article 12, paragraph 6 of the Instruction CVM 358, we kindly request the transmission of
