中国葛洲坝集团股份有限公司(英文简称 CGGC)是一家集投资、建筑、环保、房地产、

截至 2015 年底,公司总资产达到 1,276 亿元,员工 4 万余人。

China Gezhouba Group Company Limited (CGGC) is a multinational corporation with international

competitiveness integrating investment, construction, environmental protection, real estate, cement,

civil explosives, equipment manufacturing and finance business segments. By the end of 2015, the

Company’s total assets reached CNY 127.6 billion, with more than 40,000 employees.

The Company is an energy construction company with international brand influence. The Company has

independently undertaken the construction of the Gezhouba Project, setting the highest standards for

Chinese water conservancy and hydropower project construction, and has built the world’s largest water

control project — the Three Gorges Project — as the main contractor, marking China’s world-class

dam construction technology. The Company has built more than 5,000 engineering masterpieces of all

types for the world by means of investment in construction and construction contracting, etc., occupying

the commanding heights of world technology in terms of closure of major rivers, dam construction,

underground engineering, installation of large units, etc., and playing a leading role in hydropower, thermal

power, power grid, nuclear power transportation, municipal works, water conservancy, park, etc. In recent

The Company is a pioneer in the transformation and upgrading, having achieved the transformation

from traditional construction industry to emerging business, high-end business, international business

and investment business through years of efforts. The Company has a multi-channel, low-cost and

sustainable financing capability, and vigorously expands water affairs, environmental protection, new

energy and other strategic emerging businesses, nurturing new economic growth points; as one of the

first batch of 16 main central enterprises with the main business of real estate determined by SASAC,

the Company targets high-end markets and deeply cultivates first-tier cities, becoming one of the Top

100 Real Estate Enterprises with excellent performance; the Company boasts the country’s largest

production base for special cement, with the cement profitability ranking in the forefront of the industry;

the Company boasts the complete industrial chain of civil explosives integrating research, production,

sales and service, with the comprehensive strength of civil explosives ranking in the forefront of the

domestic industry. At present, the Company’s business structure has been fundamentally improved,

with the non-construction sectors contributing half of the profits.

The Company is one of China’s fastest-growing multinational enterprises. Early in the 1970s, the

Company began carrying out businesses with foreign countries. In recent years, the Company keeps

up with the national strategy, with in-depth integration into the international cooperation, improving the

layout of the global markets and further enhancing the international influence, resulting in rapid growth

of international business. The Company ranked 6th in the 2015 Top 100 Enterprises with Turnover of

Foreign Contracted Projects in China released by the Ministry of Commerce. More than 20,000 Chinese

and foreign employees of the Company are distributed in 90 countries and regions in the world, with the

business scope being expanded to large-scale construction and installation areas, robust carrying out of

头企业,进入再生资源业务领域;通过海外并购成功进入水务行业;拥有污水污土治理、固

废处理等行业领先的核心技术,正在实施的云南滇池治理项目,是全球处理量最大的湖泊治

理机械化脱水工程,治理效果得到环保部、云南省充分肯定;突破欧美技术垄断,大力推广

The Company enters the environmental protection emerging business market with high starting point

and high standard. The Company enters the renewable resource business through acquisition and

reorganization of the leading enterprises in Northeast China being engaged in renewable resource

utilization; successfully enters the water affairs industry through overseas merger and acquisition; boasts

the sewage and contaminated soil treatment, solid waste treatment and other industrial leading core

technologies, and the Yunnan Dian Lake Management Project being implemented is the world’s largest

lake management mechanization dehydration project, with the treatment effect being fully affirmed by

the Ministry of Environmental Protection and Yunnan Province; the Company breaks the monopoly of

European and American technologies, and vigorously promotes the application of steel slag aggregate

technology, with the products having been widely used; the co-processing of garbage through cement kiln

becomes the reproducible model for low-carbon circular economy. The whole industrial chain and great

第二节 董事长致辞 Address of the Chairman

2015 年是葛洲坝发展史上面临形势最为严峻、收获也最为丰硕的一年。公司全年市场中标

同比增长 32%;营业收入、归母净利润分别同比增长 15%、26%,实现了逆势增长。

2015 was not only the year in which Gezhouba faced the most severe situation, but also the most fruitful

harvest year in the development history of Gezhouba. In 2015, the bid-winning in the market of the

Company was up 32% year on year; the operating income and net profit of the parent company were

up 15% and 26%, respectively, achieving a growth against trend.

在抓好业务发展、实现逆势前行的同时,我们牢记央企担当和上市公司职责,全面提升企

业价值。

Besides strengthening the business development and achieving a growth against trend, we kept in mind

the responsibility of a central enterprise and listed company, and enhanced the corporate value.

We pursued an innovative and open development. In China, we cooperated with the governments of

many places by means of PPP business, and were actively involved in urban construction and people’s

livelihood construction, making efforts to promote economic development and improve people’s lives. In

other countries, we followed by the national “Belt & Road Initiative”, and sped up the “going out” pace,

with in-depth integration into the international cooperation, contributing to 90 countries and regions in

the world with numerous fine works. Gezhouba has become a good image for China’s culture, China’s

creation and China’s responsibility at abroad.

初步打造出集规划、研发、设计、制造、施工和运营于一体的全产业链。实施的滇池治理

效果显著,得到国家环保部、云南省高度赞誉;建成运行水泥窑协同处置生活垃圾示范线,

成为城市低碳循环经济可复制的样板;并购重组东北地区再生资源利用龙头企业,成功进

入再生资源领域,取得显著社会效益和经济效益。

We adhered to green and coordinated development. We entered the environmental protection business

at high point, and was successful in flood control, soil treatment, solid waste, renewable resources, etc.

东增持、高比例现金分红等方式维护股东权益、提高品牌溢价。2015 年,公司入选“最受

投资者尊重的百家上市公司”,本人荣获“2015中国上市公司最受尊敬功勋企业家”和“全

国劳动模范”称号。

We attached importance to maintaining the value of the Company. We enhanced the investor

relationship management, and maintained the shareholders’ equity and enhanced the brand premium

by accelerating the transformation and upgrading, creating excellent performance, increasing holdings of

major shareholders, high proportion of cash dividends and other ways. In 2015, the Company has won

一、投资 Investment

水务:加快推进原水、污水处理、海水淡化、水环境综合治理、水务一体化、再生水等水

务项目投资运营业务,以并购为主、新建为辅,迅速壮大水务资产规模。深耕天津、河北、

山东、四川、海南等已布局区域;大力拓展江西、广东、江苏、河南、湖南、安徽等区域

地级市。

Water Affairs: Accelerate the raw water, sewage treatment, desalination, water environment

comprehensive management, integrated water affairs, recycled water and other water affairs projects

investment and operation businesses, and rapidly expand the scale of water affairs assets mainly by

means of mergers and acquisitions, supplemented by new construction. Deeply cultivate Tianjin, Hebei,

The Company establishes the social responsibility organization system according to the CSR

Management Method of China Gezhouba Group Company Limited, and Assessment Method for

CSR Management of China Gezhouba Group Company Limited. The Company sets up the Social

Responsibility Committee with the Chairman serving as the Director to be responsible for the

development of the annual social responsibility work plan and budget approval; the Social Responsibility

Committee sets up the office to be responsible for coordinating the implementation of social

responsibility, and preparation and disclosure of report.

1. 提质增效 Improve the quality and efficiency

面对国际经济复苏乏力、国内经济持续下行、央企业绩整体下滑、建筑企业举步维艰的严

峻形势,公司深入推进结构调整、转型升级、改革创新和科技进步,实现了企业发展的精

彩跨越。

Faced with weak international economic recovery, continued downward domestic economy, overall

performance decline of central enterprises, and grim struggling situation of construction companies,

the Company further promotes the structural adjustment, transformation and upgrading, reform and

innovation and technological progress, achieving a wonderful leap in enterprise development.

市场签约量逆势飙升。中标总额达到 1,816 亿元,同比增长 32%。其中新兴高端业务占比

达到 64%。

A surge in market contract signing amount against trend. The total bid-winning amount reaches CNY

181.6 billion, up 32% year on year, wherein the emerging high-end businesses account for 64%.

资产规模快速扩张。2015 年底总资产达到 1,276 亿元,同比增长 22%。

Rapid expansion of assets scale: By the end of 2015, the total assets reached CNY 127.6 billion, up

22% year on year.

业务结构根本改善。非建筑业务收入占比上升至 32%,毛利占比上升至 50%。

盈利能力大幅增强。2015 年利润总额 44 亿元,同比增长 17%,营业利润率上升至 4.85%。

News published the Fast Layout of Gezhouba in Environmental Protection Field, China Business

Network published the Gezhouba with Early Layout of “Belt & Road Initiative” will Transform to the

Environmental Protection Emerging Businesses and other articles, the market knows more clearly of the

advances in Company’s structural adjustment, transformation and upgrading strategic planning, as well

as mergers and acquisitions, water affairs, polluted soil management, renewable resources, distributed

energy and other emerging businesses, and the investment confidence of institutional investors on the

Company is significantly enhanced through the continuing reporting of the Company’s transformation

and upgrading by domestic mainstream financial media.

Measures are timely taken to maintain a stable share price in case of stock market crash. In July 2015,

the domestic stock market was subject to drastic fluctuation, the Company issued the additional

share-holding plan, with the additional share-holding rate within 6 months not more than 2%. In

January 2016, the domestic stock market was subject to drastic fluctuation, in order to maintain a

favorable market environment, and protect the legitimate rights and interests of investors, based on

the confidence on the sustainable development and approval of the long-term investment value of the

Company, the Company’s controlling shareholder–China Gezhouba Group Company Limited and the

Company’s directors, supervisors and executives promised not to reduce the holding of the Company’s

shares.

虚假负面舆情跟踪及澄清。为防止虚假负面舆情对公司股价造成的不利影响,2015 年,公

司及时核实市场上关于公司的有关报道,向上交所提交相关情况说明 2 份,回复上交所函

件 1 份,发布澄清公告 1 份。

Tracking and clarification of false negative public opinions. In order to prevent the adverse impact of

false negative public opinions on the Company’s share price, in 2015, the Company promptly verified

the reports about the Company on the market, submitted 2 copies of relevant situation description and

1 reply letter to the Shanghai Stock Exchange, and published 1 clarification announcement.

3. 股东回报 Returns to shareholders

公司保持高比例现金分红。最近三年分配的现金红利比例均超过当年可供分配利润的

30%,投资者获得了较好的回报。

近三年,公司建筑业务新签订单额逐年上升,建筑业务中,水电签约量占比呈下降趋势,

非水电业务占比已经超过 50%。

In recent three years, the newly signed order amount in the construction business of the Company

increased year by year, wherein the proportion of hydropower signing amount was in a downward trend,

and the proportion of non-hydropower businesses was more than 50%.

2015 年,公司实现 PPP 项目签约 8 个,签约额达 535.78 亿元,走在了国内各大建筑央企

的前列。

In 2015, the Company signed 8 PPP projects, with the contract price amounted to CNY 53.578 billion,

In recent years, the Company has won the bid of most large-scale hydroelectric projects at both home

and abroad, which has laid a solid foundation for the Company to stand as “the leading hydropower

brand in China and a renowned brand worldwide”. In the cement section, the company takes on the

mission to becoming the “front runner of environmental protection in the cement industry”. The “Three

Gorges” cement boasts absolute brand advantages and influences in fields of special cements, dam

cements, as well as in key markets. In the civil explosion section, the company has insisted on the

strategy of nationwide expanding; the brand of “EXPL” has been developed into a reputed brand in

domestic civil explosive field. In the real estate section, the company is dedicated to build a high-end

brand from the very beginning; it has established a high-value brand image of “Gezhouba real estate” in

Beijing, Shanghai, Hubei, and Hainan, etc. At present, the Company has established a multiple-brand

system under one integrated enterprise.

1. 内控体系建设是基石 Internal control system served as the cornerstone

截至2015年底,公司共有现行内部控制制度221项,基本涵盖了企业的组织架构、发展战略、

人力资源管理、财务管理、市场开发、项目管理、合同管理、采购管理、企业文化、党建

管理等各个方面。公司有健全、合法、有效的内部控制体系,确保了企业的依法合规经营。

By the end of 2015, the Company boasted a total of 221 existing internal control systems, basically

covering the organizational structure, development strategy, human resources management,

financial management, market development, project management, contract management, purchase

management, corporate culture, party building management, etc. of enterprise. The Company

boasted sound, legitimate and effective internal control systems, ensuring the Company’s operation in

accordance with laws and regulations.

2. 审计制度发挥监督及评价作用 The audit system played the role of monitoring

and evaluation

(1) 审计制度建设。公司制定了《关于五类施工项目必须审计的规定》、《内部审计成果运

用管理暂行规定》、《董事会审计委员会议事规则》等规章制度,有效规范了内部审计以

及整改工作流程,为更好发挥内部审计监督和评价作用奠定了基础。

(1) Audit institution building. The Company developed the Regulations on the Required Audit of Five

Types of Construction Projects, Interim Provisions on the Use and Management of the Internal Audit

Results, Rules of Procedure for the Audit Committee of the Board of Directors and other regulations,

which effectively regulated the internal audit and rectification work processes, laying a foundation for

better play of internal audit monitoring and evaluation role.

(2) 经济责任制审计和专项审计情况。2015 年,公司完成年度经营责任制审计 149 项,完

成任期经济责任审计 37 项,完成各类专项审计 51 项。

(2) Situation of economic responsibility audit and special audit. In 2015, the Company completed 149

annual operation responsibility audits, 37 term economic responsibility audits, and 51 special audits of

all types.

3. 集中采购降低成本 Reduce costs through centralized purchase

2015 年,公司不断完善集中采购平台,全面推行集中采购,不断强化分包商分级分类管

理,促进采购行为的阳光、规范。公司平台上线实现全覆盖,全年通过集采平台公开发布

采购信息 4,069 条,累计完成采购项目 4,840 项,上线采购总额 168 亿元,综合上线率为

94%,有效提高了采购效率,节约了采购成本。

amount of CNY 16.8 billion, the comprehensive on-line rate of 94%, effectively improving the purchasing

efficiency and saving the purchase cost.

4. 科技进步助推公司发展 The scientific and technological progress boosted

the development of the Company

(1) 信息化建设 Information technology construction

2015 年,公司首创信息化项目后评价模式,构建了科学合理的信息化项目后评价模型。完

成了科技信息平台系统建设,实现了科技管理工作的网络化协同、信息共享和科技成果的

全方位展示。公司总部新版 OA 系统完成了升级,并定制了移动 APP。

In 2015, the Company firstly established the information technology project post-evaluation model,

constructed a scientific and reasonable information technology project post-evaluation model,

completed the construction of a scientific and technological information platform system, and realized

the network collaboration, information sharing and all-round display of technological achievements

of science and technology management. The upgrade of the new OA system of the Company’s

Headquarters was completed, with customized mobile APP.

公司建设完成的资金管理系统资金结算更方便快捷,可实时监控资金流量、流向和结余情况,

提升了公司资金管控水平。同时,该系统具有复制和推广能力,可及时将并购重组企业融

入其中,便于资金集中管控。2015 年,结算费用减免 600 余万元,内部资金调剂产生直接

经济效益约 4.4 亿元。

The fund management system completed by the Company realized more convenient and faster of fund

settlement, real-time monitoring of funds flow, flow direction and balances, enhancing the Company’s fund

management and control. Besides, the system has the ability of replication and promotion, which can timely

integrate the enterprises subject to mergers and acquisitions in it, facilitating centralized management and

control of funds. In 2015, the system realized a settlement fee reduction of more than CNY 6 million, and the

direct economic benefits generated by internal funds transfers of about CNY 440 million.

(1) 质量规章制度建设。公司为确保质量,建立《质量管理办法》、《质量事故报告和调查

处理办法》、《质量工作人员管理规定》、《优质工程奖评选办法》、《QC 小组活动管理

办法》、《质量奖励实施办法》、《安全质量环保监督检查实施办法》、《安全质量环保

工作考核办法》等规章制度。

(1) Establishment of quality rules and regulations. The Company established the Measures for Quality

Management Measures for Quality Accident Reporting and Investigation Treatment, Regulations on

Management of Quality Staff, Measures for Appraisement of High-Quality Project Award, Management

Measures for QC Group Activities, Implementation Measures for Quality Incentives, Implementation

Measures for Supervision and Inspection of Safety, Quality and Environmental Protection, Assessment

Measures for Safety, Quality and Environmental Protection Work, etc. to ensure the quality.

(2) 为促进质量提升所开展的工作。与子公司签订了年度质量工作责任书和约束性指标责任

书;根据重点项目检查计划,先后对苗尾项目部等 27 个国内重点项目进行了检查;公司召

开 QC 成果发布会,择优推荐优秀 QC 小组(成果)参加中国电力建设企业协会等外部协

会的评审和发布,2015 年,获得省(行业)级奖 36 项,国家级奖 3 项。

(2) The work to be performed to promote the quality. The Company signed the annual quality work

responsibility letter and the binding indicator responsibility letter with its subsidiaries; the Company

inspected 27 domestic key projects of Miaowei Project Department according to the inspection plan

for key projects; the Company held the QC Achievement Release Meeting and recommended the

excellent QC group (achievement) to participate in the review and publication of China Electric Power

Construction Association and other outside associations; the Company won 36 provincial (industrial)

awards, and 3 national awards in 2015.

(3) 工程质量验收。公司在建项目共计完成单元工程评定 151,288 个,优良单元工程 44,330

个,合格率 100%,优良率 95.09%,公司全年未发生重大质量事故。

(3) Project quality acceptance. The projects in progress of the Company completed the evaluation of

a total of 151,288 unit works, including 44,330 excellent unit works, with a pass rate of 100% and an

excellent rate of 95.09%. The Company was subject to no major quality accidents in 2015.

(4) Obtained quality awards. Fujian Xianyou Power Station constructed by the Company won the “National

High Quality Gold Medal”, the Chongqing Yutan Reservoir constructed by the Company won the “China

Construction Engineering Luban Award”, the Longkaikou Hydropower Station constructed by the

Company won the China Electric Power High Quality Project Award.

3. 满意度调查 Satisfaction survey

公司严格按照要求进行在建承包工程项目满意度调查、客户回访等工作。2015 年,公司对

258 个工程项目从工程进度、质量、安全、文明施工及项目经理管理等方面进行了顾客沟

通与满意度专项调查,绝大多数项目受到业主或监理单位好评,全部调查项目都在较满意

评价之上。

The Company carried out the satisfaction survey, return visit to customers, etc. for the contracted

projects in progress in strict accordance with the requirements. In 2015, the Company carried out

the customer communication and special satisfaction survey for 258 projects in terms of the project

progress, quality, safety, housekeeping, project manager management, etc., wherein the vast majority

of the projects were praised by the Owner or Supervision Unit, and all surveyed projects received

satisfactory evaluation.

截止 2015 年底,公司在建工程项目合同个数 1,092 个,执行合同总金额 4,180.91 亿元,

全年总计收到 172 个项目的 264 份表彰,较 2014 年表彰增加约 7%。

By the end of 2015, the number of contracts for the projects in progress of the Company reached 1,092,

with a total executed contract amount of CNY 418.091 billion, receiving a total of 264 praises for 172

projects in 2015, up about 7% compared with 2014.

4. 投诉受理 Complaint handling

公司制定了在建工程项目投诉处理规定,对投诉项目处理原则、处理程序、处理结果评价

与处罚做了详细阐述,以保证有诉必应。2015 年,公司 8 个投诉项目经过认真整改,现履

约都已基本满足要求,得到业主认可。

The Company developed the complaint handling regulations for projects in progress, giving an

elaboration for complaint handling principles, handling processes, handling results evaluation and

punishment, so as to ensure handling of each complaint. In 2015, 8 complained projects of the

Company can basically meet the requirements and recognized by the Owner after seriously rectification.

2. 公司部分重点项目及其对所在国家和地区的意义 Part of the Company’s key

projects and their significance for the countries and regions

(1) 安哥拉卡古路卡巴萨水电站项目 Angola KK Hydropower Project

该项目位于安哥拉境内宽扎河中游,电站装机容量 2,171MW,合同总金额 45.32 亿美元,

总工期 80 个月。该项目是非洲目前最大的水电站,有“安哥拉三峡工程”的美誉,公司实

施该项目进一步提升了公司的国际知名水电品牌影响力。

(1) Angola KK Hydropower Project. The Project is located in the middle reaches of Kwanza River

in Angola, with the installed capacity of the power station of 2,171MW, the total contract amount

of USD4,532,000,000, and the total duration of 80 months. The Project is currently Africa’s largest

hydropower station, known as the “Three Gorges Project in Angola”, the implementation of the Project

by the Company further enhanced the internationally renowned hydropower brand influence of the

Company.

(2) 孟加拉湖城房建项目 Bangladesh Lake City Housing Construction Project

该项目位于“一带一路”的孟中印缅经济走廊,是孟政府十分重视的民生工程,合同总金

额 14.18 亿美元,主要设施包括高层公寓住宅楼、社区医疗中心、社区国际学校、社区活

动中心、社区购物中心、清真寺及其它相关配套设施等。

(2) The Project is located in the Bangladesh-China-India-Myanmar Economic Corridor of the “Belt

& Road Initiative”, and the Government of Bangladesh attaches great importance to this people’s

livelihood project, with the total contract amount of USD1.418 billion, and major facilities including

high-rise apartment buildings, community health centers, community international schools, community

centers, community shopping malls, mosques and other relevant support facilities.

(3) 埃及国家乡村卫生项目 (罗塞塔河流域) Egyptian National Rural Health Project (Rosetta

River Basin)

该项目被埃及政府列为优先推进的民生工程,也是公司首次在埃及签约的项目,合同金额

10 亿美元。该项目建成后,将实现对上述村庄的生活污水收集和处理,有效治理有关水域

污染,改善水质环境。

(4) 厄瓜多尔保特——索普拉多拉水电站项目 Paute – Sopladora Hydropower Project in

Ecuador

该项目在注重项目顺利履约的同时,高度重视保护生态环境,在进行工程建设时,定期对

各个施工区域隔油池进行清理、定期对营地饮用水池进行彻底清理、消毒各施工区域放置

有机垃圾、无机垃圾、危险垃圾三色垃圾桶以满足当地对垃圾分类的要求。

(4) Besides focusing on the successful performance of the Project, the Project also attaches great

importance to protecting the ecological environment; during construction of the Project, the oil traps

of each construction area undergo regular cleaning; the camps’ drinking water tanks undergo regular

thoroughly cleaning and disinfection; each construction area is provided with the three-color trash

cans for placement of organic waste, inorganic waste and hazardous waste, so as to meet the local

requirements for garbage classification.

第一节 政府责任 Government Responsibility

1. 大力推进诚信建设常态化机制建设 Vigorously promote the construction of

integrity and normalization mechanism

(1) 公司成立了诚信建设工作专项领导小组,由董事长担任组长,党委书记与总经理担任副

组长。明确了诚信管理的主管部门,制定了诚信建设工作方案,建立了失信单位约谈和责

任追究等制度,公司加强诚信建设责任制约束性考核指标的考核,有效防范了诚信风险。

(1) The Company set up a special leading team for integrity construction, with the Chairman as the

team leader, and the party secretary and General Manager as the deputy team leader. The Company

defined the integrity management competent department, developed the work scheme for integrity

construction, established the system of interview and accountability for enterprises breaking the

promise, and strengthened the assessment of the accountability binding assessment indicators of

integrity construction, effectively preventing the integrity risks.

(2) 公司积极提升合同管理水平和诚信履约意识,形成了一套完整的合同信用管理体系。公

司搭建了物资与设备、工程分包与劳务组织的集中采购平台,建立供应商推荐注册、登记

审核机制,确保供应商管理合法有效,探索分包商分类分级管理方式,降低工程分包商使

用风险,健全供应商“黑名单”管理制度,保证合作队伍诚信履约。通过创新管理模式,

提升管理效果,促进了信用管理体系进一步的健全与完善。

(2) The Company actively enhanced the contract management level and integrity compliance awareness,

and formed a complete set of contract credit management system. The Company set up the centralized

purchase platform for materials and equipment, project subcontracting and labor organization,

established the supplier recommended registration and registration audit mechanism to ensure

legitimate and effective management of suppliers; explored hierarchical and classified management

method for subcontractors to reduce the use risk of the subcontractors of the project, improved the

“blacklist” management system of suppliers to ensure the integrity compliance of the cooperation team.

The Company enhanced the management effectiveness through innovative management model, and

promoted the further improvement of credit management system.

(3) 公司持续推进重大项目合规审查和风险评估制度,确保重大决策、合同签订等工作依法

合规。公司研究制定《总部机关合同审批流程》,明确了立项申请、项目实施人选择、合

同签订及合同履约等阶段的审批流程及要求。

(3) The Company continued to promote the compliance review and risk assessment system for major

projects to ensure that major decisions, contract signing, etc. were in line with the laws and regulation.

Through research, the Company developed the Contract Approval Process for Headquarters Offices,

which defined the approval processes and requirements for the project approval application, selection of

project implementation people, contract signing and contract performance stages, etc.

(4) 公司积极推进典型纠纷案例警示工作,督促各单位“举一反三、持续改进”。2015 年,

公司将各单位近年发生的缺乏诚信及管理失控的 16 个案例进行了汇总分析,编印了两期典

型纠纷案例集,并在项目管理、风险管理等多个培训班上进行宣讲,督促各单位提高法律

意识、诚信意识和契约意识,切实降低因自身问题导致的诉讼纠纷及法律风险。

Winning the honorary titles

(4) The Company actively promoted the warning for typical dispute cases to supervise all units to

“draw inferences about other cases from one instance and perform continuous improvement”. In

2015, the Company performed meta-analysis for the 16 cases subject to lack of integrity and out of

control of management of various units in recent years, prepared and printed two issues of the list of

typical dispute cases, lectured them on multiple training courses such as the project management, risk

management, etc. training courses, so as to supervise various units to improve the legal awareness,

sense of integrity and contractual awareness, and effectively reduced the legal disputes and legal risks

caused by their own problems.

继荣获“湖北省文明诚信示范企业”、“2011-2015 年中央企业法制宣传教育先进单位”

In 2015, the Company’s sound credit management system, standardized contract management, and

2. 社会责任审计 Audit of social responsibility

2015 年,公司审计部开展了对重点民生工程的审计工作,审查了包括宜昌市锦绣泽园经适

房、绵羊山路改造、老年活动场所建设、背街小巷整治等 51 个项目。

In 2015, the Auditing Department of the Company carried out audit of key livelihood projects, and

reviewed 51 projects including Jinxiuzeyuan Economically Affordable Housing Project in Yichang City,

Mianyangshan Road Transformation Project, Construction Project of Arena for Senior Citizens, Alleyway

and Alley Renovation Project, etc.

3. 党风廉政建设 Construction of an honest party and a clean government

2015年,公司党委认真贯彻落实习近平总书记关于全面从严治党的重要论述,牢固树立“不

抓党风廉政建设就是失职”的理念,把党风廉政建设纳入党委总体工作部署,融入到具体

业务工作中。

In 2015, the Company’s Party Committee conscientiously implemented the important statement of

General Secretary Xi Jinping on the overall comprehensively strengthening of party discipline, firmly

established the concept of “being deemed as dereliction of duty without grasping the construction of

an honest party and a clean government”, included the construction of an honest party and a clean

(1) Strengthen the organization and leadership of the construction of an honest party and a clean

government The important deployment decisions of the superior Party committees and discipline

inspection commissions on the construction of an honest party and a clean government clean

government were timely communicated and implemented through the convening of the Party Committee

Standing Committee Meeting, the Party and Government Joint Meeting, meeting on the construction of

出台了《领导干部选拔任用办法》、《所属单位领导班子和领导干部综合测评实施细则》等

制度,建立了以业绩为导向的激励机制。认真落实领导干部个人有关事项报告制度,组织公

司中层以上干部重新填报《领导人员个人重大事项报告表》;坚持“凡提必查”,全年完成

258 人次个人有关事项核查工作。认真落实干部交流制度,积极推动总部与基层、基层与基

层的干部交流。坚持公道正派选人用人,从源头上助推了公司风清气正、干事创业环境的形成。

(2) Strengthen the selection, appointment and management of cadres. Adhering to the principle of

cadres being managed by the Party, the Company strengthened the cadre selection, appointment and

management. The Company introduced the Measures for Selection and Appointment of Cadres, Rules

for the Implementation of Comprehensive Evaluation of Leaders and Cadres of Subordinate Units and

other systems, and established the performance-oriented incentive mechanism. The Company earnestly

implemented the reporting system for the cadres’ personal matters, organized the Company’s cadres

above the middle level to refill the Report Form for Leaders’ Personal Major Matters, and adhered to

the “checking of any proposed matter”, completing verification of 258 person-times of personal matters

in 2015. The Company earnestly implemented the cadre exchange system, and actively promoted the

exchange of cadres between the Headquarters and the grassroots, and between the grassroots and

the grassroots. The Company adhered to the fair and honest selection and appointment of personnel,

boosting the forming of the Company’s entrepreneurial environment from the source.

(3) 加强和改进作风建设。组织完成了“三严三实”专题党课和三个专题研讨,编发专题教

育学习资料 3 期、工作简报 4 期,将习近平总书记系列重要讲话精神宣贯到基层党组织和

全体党员,统筹指导各直属党组织扎实开展专题教育工作。

(4) 认真落实源头防腐。从思想认识、机构设置、制度建设、执行监督等方面,全面构建党

员干部不敢腐、不能腐、不想腐的机制。创造性地建立了专职董监事制度,设立专职董事5人、

专职监事会5个,向18家子企业派驻专职董监事,使子企业科学决策、规范运作能力得到提高。

(4) Seriously implement the anti-corruption from the source. The Company built a comprehensive

mechanism where the Party members and cadres dare not to corrupt, cannot corrupt and do not want

to corrupt in terms of ideological understanding, institution setting, system building, implementation

supervision, etc. The Company creatively established the full-time director and supervisor system,

appointed 5 full-time directors, 5 full-time supervisors, sent full-time directors and supervisors to 18

subsidiaries, improving the scientific decision and standardized operating capability of subsidiaries.

(5) 大力支持纪检监察部门严格执纪。支持纪检监察部门从与监督无关的 18 个议事协调结

构中退出,以集中力量更好地聚焦主业;加强对纪律审查工作的领导,及时召开党委常委

会研究重要案件查办及涉案人员处理。

(5) Vigorously support the discipline inspection and supervision department to strictly enforce the

discipline. The Company supported the discipline inspection and supervision department to retreat from

18 deliberation coordination structures irrelevant to supervision to concentrate effort to better focus

on the main industry; strengthened the leadership of the disciplinary review, and timely convened the

Party Committee Standing Committee Meeting to research the investigation of important cases and

processing of involved personnel.

4. 促进就业 Promote employment

2015 年,公司出台了《社会成熟人才引进管理暂行办法》,大力支持公司所属的子企业招

聘社会人员,补充企业的用工不足。2015 年招聘社会人员 1,148 人,引进社会成熟人才

106 人,接受应届生 2,093 人。通过采取多种措施,解决长期待岗职工,单亲家庭、工亡

家庭和零就业家庭职工子女创造就业机会,解决就业 67人;妥善安置退伍复转军人 16人。

使用外籍管理人员 241 人,外籍劳务 15,626 人。公司对劳务用工实行项目本地化,90%

的一线劳务人员都是当地招聘。

In 2015, the Company introduced the Interim Measures for The Management of Introduction of

Social Mature Talents, vigorously supported the Company’s subsidiaries to recruit social workers to

supplement the lack of personnel. In 2015, the Company recruited 1,148 social workers, introduced

106 social mature talents, and accepted 2,093 fresh graduates. The Company created jobs for the

employees awaiting job assignment for a long time, children of employees from single-parent families,

families with dead workers and zero-employment families, solved the employment of 67 people, and

properly placed 16 demobilized soldiers by taking a variety of measures. The Company employed 241

foreign managers and 15,626 foreign labors. The Company implemented project localization for labor

1. 员工权益保障 Protection of employees’ rights

截止 2015 年底,公司共有职工 41,835 人。其中,29 岁及以下 13,158 人、30 至 39 岁

10,268人、40至 49岁 12,841人、50至 54岁 4,497人、55岁及以上 1,071人;博士 19人、

硕士 1,171 人、大学本科 13,602 人、大学专科 11,616 人、中专及以下 15,427 人。劳动合

同签订率为 100%,集体合同覆盖率为 100%,社会保险覆盖率为 100%,职业病发生次

数为 0,职工体检及健康档案覆盖率为 100%,员工满意度 98.5%,员工流失率 5.22%。

Measures for Work Time, Rest and Vocation of Employees of the Company to protect the rights and interests

of employees’ paid leave, and the employees’ paid leave per capita in 2015 was 9.2 days.

公司要求项目部建立农民工管理专责,加强农民工工资发放、社会保险、劳动安全卫生等

管理,切实维护农民工的合法权益。

The Company required the Project Department to establish the specific responsibility for management of

migrant workers, strengthening the payoff of migrant workers, social insurance, labor safety and health

management, etc., earnestly safeguarding the legitimate rights and interests of migrant workers.

2015 年,公司加大人才引进和培养力度,优化人力资源结构。一是创新招聘方式,充分

利用微信平台、微视频,所属企业“一把手”走进知名高校,扩大企业品牌推介影响力。

2015 年招聘大学毕业生 2,093 人,其中博士研究生 2 人,重点高校毕业生招聘人数同比增

长 18.1%。按照“着眼高端、引进急需、优化配置、强化激励”的总体思路,运用市场化

选聘的方式,引进成熟人才 106 人。二是完善人才晋升通道,为员工提供发展平台。公司

建立了专家晋升通道,出台了《工程技术专家评聘试行办法》、《商务专家评聘试行办法》、《财

会专家评聘试行办法》,完善评聘、考核制度,提高专家薪酬待遇,拓宽了高素质人才发

展路径,提升了专业地位。打破了各类专业人员以行政职务晋升为唯一通道的观念,专业

人员可以立足专业岗位、展示才能、体现价值,实现个人晋升发展。2015 年,公司有 1 人

享受国务院政府特殊津贴,1 人获得国家有突出贡献中青年专家称号,1 人获得湖北省有突

In 2015, the Company strengthened the talent introduction and training to optimize the human resources

structure. The first is innovative recruitment methods. The Company made full use of the WeChat and

micro-video platforms, with the Company’s “leaders” going to the well-known colleges and universities,

expanding the influence of brand promotion of the Company. In 2015, the Company recruited 2,093

undergraduates, including 2 doctoral candidates, up 18.1% of undergraduates from key universities

year on year. According to the general idea of “focusing on high-end, introduction of urgently need

talents, optimization of the configuration, and strengthening the incentives”, the Company adopted the

market-based hiring method to introduce 106 mature talents. The second is improvement of the talent

promotion channels, providing development platform for employees. The Company established the

expert promotion channel, and issued the Pilot Measures for Evaluation and Employment of Engineering

Technical Experts, Pilot Measures for Evaluation and Employment of Business Experts, Pilot Measures

for Evaluation and Employment of Accounting Experts, which improved the evaluation, employment

and assessment system, enhanced the remuneration of experts, broadened the development path

for high-quality talents, and enhanced the professional status. The Company broke the concept of the

sole promotion channel through administrative duties for all types of professionals, and professionals

could show their capabilities and reflect their value based on the professional positions to achieve

personal career promotion and development. In 2015, there was 1 expert enjoying the special

government allowances of the state council, 1 people won the title of young and middle-aged expert

with outstanding national contributions, 1 people won the title of young and middle-aged experts with

outstanding contributions to Hubei Province, and 2 people won the title of national technical expert.

3. 员工培训 Training for employees

公司职工培训管理工作实行公司总部和所属子企业两级管理,依据管理权限,分层、分类

地有序开展培训工作。公司总部层面的培训项目分为重点培训项目和职能系统培训项目,

重点培训项目包括国际工程业务培训、专职董监事培训、中层领导人员轮训、项目经理培训、

中青年后备干部岗位任职资格培训、PPP 业务管理培训、新员工入职培训等,主要由公司

人力资源部组织实施;职能系统培训项目包括企业管理、投资、财务、生产经营、集中采购、

安全质量环保、人力资源、党群等系统专业培训,主要由各职能部门组织实施。所属子企

业主要负责本企业中层及以下管理人员、专业技术人员和技能操作人员培训。

The Company’s employee training management implemented two-level management of the

Headquarters and subsidiaries, with hierarchical, classified and orderly carrying out of training according

to the management authority. The training items of the Company’s Headquarters were divided into

key training items and functional system training items, wherein the key training items included the

international engineering business training, training for full-time directors and supervisors, rotated training

for middle management personnel, training for project manager, training for job qualifications for young

and middle-aged reserve cadres, training on PPP business management, induction training for new

employees, etc., which were mainly carried out by the Human Resources Department of the Company;

the functional system training items included the systematic and professional training on enterprise

management, investment, finance, production and operation, centralized purchasing, safety, quality and

environmental protection, human resources, the Party and mass, etc., which were mainly carried out by

the main functional departments. The Company’s subsidiaries were mainly responsible for the training

for the middle managers or below, professional technical personnel and skilled operators.

人次。结合公司新的战略实施要求,重点进行国际工程业务、专职董监事、中层领导人员轮训、

中青年后备干部培训、PPP 业务管理等人才培训。在培训方案策划、课程设置、师资选配、

培训人员选拨、培训效果评估和人员评价等方面,做了深入细致的研究,培训效果显著提升,

为企业结构调整、转型升级提供了有力的人才保障。

The Company issued the 2015 Training Plan for Employees. The Company carried out a total of 71

company-level trainings of all types, with training of 7,378 person-times in 2015. Combined with the

Company’s new strategy implementation requirements, the Company focused on the international

engineering business training, training for full-time directors and supervisors, rotated training for

middle management personnel, training for young and middle-aged reserve cadres, training on PPP

business management, etc. The Company performed a thorough and careful research on the training

scheme planning, curriculum setting, selection of teachers, selection of trainers, training effectiveness

位绩效工资制度,加大绩效工资权重,进一步向关键岗位、核心技术人员、生产一线职工倾斜,

The Company established a new total wage budget management method, wherein the total wage of

each unit was directly linked to the profits, operating income, contract signing, and other production

and operation indicators, forming the incentive and restraint mechanism of increase and decrease of

wage. The Company implemented the job performance wage distribution system, increased the weight

of performance wage, further tilted to the key positions, core technical personnel and production line

workers, greatly improving the competitiveness of the Company.

公司实行全员绩效考核,员工进出、薪酬、职务与工作业绩挂钩,实现了员工能进能出、

薪酬能增能减、职务能升能降的良性管理状态。

The Company implemented the full-employee performance appraisal, wherein the employment and

dis-employment, remuneration and position of employees were directly linked to the work performance,

achieving the sound management state of employment and dis-employment of employees, increase

and decrease of remuneration, and promotion and demotion of position.

5. 困难员工帮扶 Helping poor employees

构建了帮扶组织领导机制、分层工作机制、困难帮扶“一条龙”服务机制、困难户动态管

理机制等四大帮扶机制,积极实施帮扶行动爱心助学、“两节”送温暖、特殊困难、大病

救助、就业安置等帮扶行动。

第三节 安全生产 Safe Production

1. 安全生产标准化建设体系。公司通过了水利施工企业安全生产标准化一级达标评审,取

得了电力行业和水利安全生产标准化一级企业证书。

Safe production standardization construction system. The Company passed the Class I standard review

for safe production standardization of water conservancy construction enterprises, and obtained the

Class I corporate certificate for the safe production standardization of electric power industry and water

conservancy.

2. 安全生产检查情况。2015 年,公司组织开展了危化品、电梯、防坍塌事故、防汛、消防、

隧洞施工等专项检查活动,还组织开展了“安全月”、“质量月”等活动,取得了良好效果。

加强国际重点项目巡查,先后对埃塞、肯尼亚、老挝、印尼、尼日利亚、厄瓜多尔、巴基

斯坦等 11 个国家的 15 个重点监控项目进行了检查。公司共排查安全隐患 1,658 项,隐患

整改率 100%。

4. 安全培训及投入。2015 年,公司组织了 45 人参加了国际项目质量安全总监培训、46 人

参加安质环部门负责人培训、180人参加应急管理专题讲座。2015年,公司为满足生产安全,

共投入安全费用 115,528.94 万元,有效的遏制了各类安全事故发生。

(5) 伊朗鲁德巴水电站项目部捐建桥梁。针对所在地交通情况,公司出资 15 万元在工地下

游巴兹那维村和恰法哈瑞村周围兴建了一座简易桥梁,方便了两村的学生上学和村民出行,

受到了当地居民的高度赞赏,这座友谊之桥展示公司良好的企业形象。

Donating bridges to the Project Department of Iran Rudbar Hydropower Station Project. As for the local

traffic situation, the Company invested CNY 150,000 to build a simple bridge in the Bazinawei Village

and Qiafaharui Village at the downstream of the construction site, facilitating students’ travel to the

school and travel of villagers of the two villages, being highly appreciated by the local residents, and

Donating a Hope Primary School for Ethiopia GD-3 Hydropower Station Project. The Company attached

great importance to the local education with the establishment of a Hope Primary School in Negelle

Town – the project site, solving the difficult problem of schooling of the local elementary school students.

The Company adopted a variety of policies, training a large number of professional technical personnel

for Ethiopia, and laying a solid foundation for continued development of the Company in Ethiopia. Many

local labors expressed a strong willingness to work for the Company.

第一节 环境体系建设 Environmental System Construction

公司制定了《污水排放管理规定》、《大气污染物排放管理规定》、《固体废物处理规定》、《水

土保持管理规定》、《噪声控制规定》等环境保护制度。公司于 2005 年通过 ISO14001 环

境管理体系认证,并顺利通过第三方审核。

The Company developed the Management Regulations on Sewage Discharge, Management

Regulations on Air Pollutant Emission, Disposal Regulations on Solid Waste, Management Regulations

on Soil and Water Conservation, Regulations on Noise Control and other environmental protection

systems. The Company passed the ISO14001 environmental management system certification in 2005,

and successfully passed the third-party audit.

第二节 环保型生产经营 Environment-Friendly Production and Operation

1. 为推进节能所采取的政策、措施。实行大宗物资和大型设备集中采购、集中管理;关注

主要能源资源消耗指标量及变化趋势,有针对性地采取控制措施,并积极探索“日核算、周

分析”等有利于提高物资设备利用率的精细化管理方式,不断降低单位产值能源资源消耗量。

1. Policies and measures adopted to promote energy conservation. Implementation of centralized

purchasing and management of bulk materials and large equipment; focusing on the consumption

indicators and change trends of main energy resources, taking tailored control measures, and actively

exploring the “daily accounting and weekly analysis” and other fine management methods which were

conducive to improve the utilization rate of materials and equipment, and continually reduce the energy

resource consumption per unit output value.

2. 绿色办公。优先采购节能、节水或有环保标志的产品;合理控制空调开启时间和温度;

对燃煤锅炉进行太阳能、燃气系统改造;推行无纸化办公;控制会议数量和规模,压缩会

议时间,推行视频会议;采用节能型灯具、节水型洁具,尽量采用自然光照明。

2. Green office. Preferential purchase of energy-saving, water-saving products or products with

environment-friendly labels; reasonable control of the startup time and temperature of air conditioner;

carrying out solar energy and gas system reform for coal-fired boilers; implementation of the paperless

office; control of the number and scale of meetings, shortening of the meeting time, and implementation

3. 绿色采购。公司积极推进绿色采购,优先选择能耗低、对环境负面影响小的环境标志产品,

减少产品在使用过程中对环境造成的压力。

4. 建立绿色环保施工过程。公司尊重自然规律,在施工生产中,采取科学和规范的施工方法,

最大限度地减少施工活动给周围环境造成的不利影响。如优化施工组织设计,减少土地占用,

严禁滥砍乱伐、滥捕乱杀,严格保护周围环境;积极开展粉尘、噪声、废渣、生活污水和

施工废水等治理,减少污染物排放量;加强开挖边坡治理,防止冲刷和水土流失。

4. Establishment of green and environment-friendly construction process. Respecting the laws of

nature, and adopting scientific and standardized construction methods during the construction and

production process to minimize the adverse impact of construction activities on the surrounding

environment, such as optimization of the construction organization design, reduction of land occupation,

forbidding deforestation, overfishing and indiscriminate killing, and strict protection of the environment;

active carrying out of treatment of dust, noise, waste, sewage and construction waste water, etc., and

reduction of pollutant emissions; strengthening excavated slope treatment to prevent erosion and soil

erosion.

2015 年,公司不断加大环保基础设施建设投入力度,投资总额达 24,630 万元。同时,公

司重点加大了对环境监测和污染源的监管力度,有效的遏制了各类环境事件发生。

In 2015, the Company continually increased the investment in environment-friendly infrastructure

construction, with a total investment of CNY 246.30 million. Besides, the Company strengthened the

environment monitoring and pollution source supervision, effectively curbing the occurrence of various

environmental incidents.

第四节 环保业务发展 Development of Environmental Protection Business

公司积极推广绿色建筑技术和产品,推动绿色建筑发展。如使用高性能水泥混凝土、轻质

高强混凝土,具有轻质、高强、防水、保温、隔热、隔声等功能的新型墙体材料,具有改

善居室生态环境和保健功能的建筑材料(如抗菌、除臭、调温、调湿、屏蔽有害射线的多

development of green construction. Such as the use of high-performance concrete, light high-strength

concrete, the new wall materials with lightweight, high strength, waterproof, heat insulation, sound

insulation and other functions, the building materials with improving the indoor ecological environment

and health care functions (such as multifunction glass, ceramics, paint, etc. with antibacterial,

在再生资源回收业务方面,2015 年,公司累计回收销售废钢 112.15 万吨、废纸 154.16 万

吨、废塑料 62.11 万吨。在国内同行业中,公司拥有工艺流程设置最齐全、系统最完备、

机械自动化程度最高的再生资源回收利用设备。

In terms of renewable resource recycling business, in 2015, the Company recycled and sold a total of

1.1215 million t of steel scrap, 1.5416 million t of waste paper, and 621,100 t of waste plastic. Among the

same domestic industry, the Company boasted the renewable resource recycling equipment with the most

complete process setting, the most complete system, and the highest automation degree of machinery.

emission reduction of 4,600 t.
