The Capitol Connection Q&A for Contractors By Shauna Krause, Capitol Services, Inc.

Contractors come in all sizes. Some work close to home while some contractors need licensing across the country. Several quality answers ‘qualify’ as expert assistance to contractors large and small. But first we begin with an important question on an LLC licensing…

Q: I have been approached by another company interested in purchasing 60% of my construction company to form a new Limited Liability Company (LLC). I currently hold a license as a Sole Owner/ Proprietor. Can my license be transferred to the new LLC if I will only have 40% ownership of the new company?

A: You can transfer your qualification to the new LLC license, however because you only own 40% you will not be able to transfer the license number. The CSLB allows a Sole Owner to transfer their license number to an LLC only if the following conditions exist:• The Sole Ownership license is in good standing;• The LLC was formed by the same licensee as the Sole Ownership license; AnD• The licensee maintains ownership directly or indirectly of membership interests evidencing at least 51% of the voting power of the LLC.

This can be confusing, so call my office if

any further clarification is needed. Q: We are a large company with licenses all over the country. In several States we have listed more than one Qualifier per classification to try and avoid a situation where someone suddenly leaves and we have to scramble to replace them. We are currently in the process of obtaining a California license and I have heard that CA does not allow for more than one Qualifying Party per classification. Is that accurate?

A: Yes, that is accurate. Often times large companies will have one (or several) of their employees obtain their own Inactive Sole Owner licenses as a sort of “back up” license. That way if the company’s Qualifier leaves, in which case you would have 90 days to replace them, than one of the licensed employees can jump on the license right away without needing to go through testing and fingerprinting.

Q: Our Company currently has a “C-10” (Electrical) license however over the past several years we have strictly been doing low voltage work. As I’m sure you’re aware, the “C-10” license requires that our employees obtain an Electrical Certification to perform any work. If we wanted to obtain a separate “C-7” Low Voltage license to avoid the electrical certifications, would our Qualifying Individual need to take an exam, or would

he be eligible for a waiver based on the fact that he passed the full electrical exam for our current license?

A: If your company is applying for a separate “C-7” license and your Qualifier has never held the license before then he will not qualify for a waiver of the trade exam.

Under certain circumstances, B&P Code section 7065.3 allows an individual to request a waiver of an exam when adding the classification to an existing license. To request this, you have to be able to show that the classification being added is closely related to the classification currently listed on the license. Additionally, you will need to show that low voltage work has been a significant part of the work you have done with your “C-10”. The CSLB will want to see that you have at least four years of experience within the last ten performing “C-7” work at a journeyman level or above.

Since your work is strictly low voltage, once you add that classification, you may want request to have the “C-10” classification removed from the license in order to avoid the need for electrical certifications for your employees.

Using Independent Contractors? Don’t Control the Details

The California Chamber cautions, if your business uses independent contractors, you should not attempt to control the details of the contractors’ work — instead, the contractors need to be able to exercise meaningful discretion to accomplish their work.

Your company can make suggestions or recommendations as to the details of the work and how it is done, and your company can also generally supervise the contractor to ensure satisfactory performance of the contract. But attempting to control the manner and means of accomplishing the contract’s goals can result in a re-classification of the individual from independent contractor to employee, as demonstrated by a recent California case, Beaumont-Jacques v. Farmers Group Inc., 217 Cal.App.4th 1138 (2013).

Californians not only believe infrastructure is critical to the economy and quality of life, they are willing to pay for it. So says a recently completed online survey from California Forward which chronicles Californians’ sentiments on priorities and financing options for our state’s infrastructure needs.

The information gleaned from the survey was invaluable. Despite its small sample size of about 200, the findings were in line with other surveys done throughout the state in past years: Californians have demonstrated their willingness to foot the bill for the public good in some way or another.

A whopping 80 percent of survey respondents expressed a willingness to pay at least something to better maintain and improve California’s infrastructure, including paying increased gas and property taxes. Where respondents varied was on how much and by what method everyone should pay. 21 percent of survey takers felt tying who pays to who uses the infrastructure would be the most fair.

“If one uses one element of infrastructure

more than others, he/she should support it to a greater degree,” one respondent wrote. “Parents with children in schools should shoulder more of the burden of supporting their school systems than the general public, disabled, or seniors!”

Ten percent of respondents advocated for a more progressive approach, where those that can pay should pay. “Water fees, gas tax, property tax – let’s make them progressive so those who can afford to pay more do so,” one survey taker wrote.

While respondents fell into ideological camps, the important thing to take away from the survey is that, despite disagreements over exactly how infrastructure should be paid for, Californians are willing to pay in some form.

“The real question is now that we know people are interested in investing in transportation and education, whose responsibility is it?” said California Forward’s Fred Silva, commenting on the survey’s results. “Everyone from community government to state government has some kind of role. What we’re doing is trying to figure out an allocation of responsibility.”

Surveys carried out by the Public Policy Institute of California over the last ten years also fall in line with California Forward’s results. A 2008 PPIC study established the importance of roads and other infrastructure to quality of life and economic vitality, with 67 percent declaring infrastructure to be “Very Important.”

the state should spend more, the same, or less on roads, 54 percent said more, with only 36 percent calling for less. A 2006 surveyrevealed that 61 percent of Californians thought it was a good idea to use bonds to pay for infrastructure.

But in the grand scheme of California’s future, what does this all mean? People have proven their desire to pay for their infrastructure – where do we move from here?

As our own Fred Silva said, the next step is figuring out how to allocate financial responsibility, a question to be answered at the California Economic Summit. “We’re driven by the notion that some entity, somewhere, has some responsibility for investment,” Silva said. “What we’re doing is trying to figure out an allocation of responsibility.”

But the most critical question of all to be answered at the Summit is how to pay. State and local governments can’t continue passing bonds as the sole avenue for funding infrastructure as they may face a tough road to pay them off, meaning more innovative and results-driven ways for investing in infrastructure must be found.

That’s why the California Economic Summit took on the infrastructure challenge which is vital to all regions of California and the people who live and work here.

One example of a new way to invest in our infrastructure is through private-public partnerships, and this isn’t some fantasy funding strategy; the Presidio Parkway project in San

Francisco is funded through one, proving that innovative minds are the ones that will help California climb out of its projected $765 billion infrastructure deficit for the next decade.

Flagging Safety 101As a very important part of the construction crew, flaggers ensure that other workers can get the job done by diverting traffic away from the job site. They are required on construction sites where barricades and signs cannot successfully divert traffic. This position can be extremely dangerous in high speed areas or in the presence of aggressive drivers. There are several safety tips that will ensure a safe working environment on the roadside. Flagger Dos:

1. Attend safety training on directing traffic, understanding work zone layouts and responding to emergency vehicles.

2. Ask your supervisor how to handle situations with particularly aggressive drivers.

3. wear a vest, shirt or jacket with highly visible colors: fluorescent orange, yellow or green.

a. in the evening, wear reflective clothing so drivers can see you from 1,000 feet away.

b. wear a hard hat, long-sleeved shirt and long pants to protect against flying debris.

4. Stay alert to your surroundings at all times.

5. Stand on the shoulder visible to oncoming traffic – do not stand in the traffic lane.

6. Establish a communication system with other flaggers and the rest of the crew to use in an emergency.

7. Be courteous to motorists as you encounter them. Do not respond to angry drivers; instead call law enforcement if necessary.

Flagger Don’ts:

1. Avoid standing in areas where you may be crushed.

2. Avoid standing in the shade, around a curve or over the crest of a hill, as drivers may not see you.

3. wait for a co-worker to relieve you before leaving your post.

4. Avoid distracting activities such as reading, day dreaming or talking with co-workers.

5. Do not listen to music.

6. Never turn your back to oncoming traffic.

7. Stay a safe distance away from construction equipment.

Flaggers are the barrier between a construction site and traffic. Stay alert and keep your guard up!

Señalización de seguridad 101Como una parte muy importante de la cuadrilla de construcción, los señalizadores aseguran que los trabajadores puedan realizar el trabajo desviando el tránsito del lugar de trabajo. We are seeking an Estimator for our growing company. Estimator must be proficient in estimating public work for excavation, demolition, shoring and pipe work.

• Interpret architectural and structural drawings, specifica-tions, and bid documents

• Perform take offs and write RFPs, and RFIs• Review Job site conditions to determine scope, costs and

project timeline• Compile detailed scope of work inclusions, exclusions, &

Job requirements

• Previous experience with computer estimating using Dodge Pro and similar sites a plus

• Project Manager experience is a plus but Estimating is the priority

directions and have own transportation• Local references are a prerequisite of the position
