HEREWITH the MC, lINDP, Municipality and Chitalishte/Librarl (hereinafter referred to as "the Parties") agree as follows:

Article 1 Objectives and Subject of the Partnership

1.1. The Parties agree to cooperate in the implementation of the "Glob@1 Libraries ­Bulgaria" Program, which aims to facilitate new computer workstations, provide free access to the Internet for the general population at public libraries in Bulgaria; ensure training for library staff in computer skills, new services and library management, as well as trainings, advocacy and e-content for library users. The Memorandum of Understanding is effected entirely in public benefit.

1.2. The Program is implemented according to the national execution rules of UNDP in accordance with the Project Document and the regulations, rules and procedures of UNDP.

Article 2 Obligations of the Municipality

2.1. The Municipality is a partner of the "Glob@1 Libraries - Bulgaria" Program at the local level and a party to the present Memorandum of Understanding.

the purposes of the Program.

2.3. The nominated municipal official cooperates with the respective District Coordinator for the Program, the PMU and all Program partners.

2.4. The Municipality shall ensure that the following mandatory conditions for inclusion of the target library in the Program are met:

2.4.1. refurbished rooms and service premises for library visitors;

2.4.2. suitable heating / air conditioning / ventilation of the public access areas in the library - according to the sanitary norms of the Bulgarian State Standard No. 14776 - 87;

2.4.3. desks and chairs as per the ICT package approved by the Program Board and the number of computer workstations for library visitors;

2.4.4. Internet connection in the visitors rooms of the library with a minimum bandwidth of 512 kb/s;

2.4.5. technical support for the equipment provided under the Program, after expiration of the term of support ensured from the grant under the Program;

2.4.6. network equipment and electrical installation for the equipment provided under the Program;

2.5. A verification protocol signed by an authorized member of the PMU, the District Coordinator, authorized representatives of the Chitalishte / Library and the Municipality will certify whether the mandatory conditions for inclusion of the target library in the Program have been met.

2.6. The Municipality, together with an authorized representative of the PMU, the District Coordinator and an authorized representative of the Chitalishte / Library, will sign a handover protocol for delivery of the ICT equipment provided to the beneficiary library for free-of-charge use.

2.7. The Municipality shall insure against natural disasters, earthquake, larceny, damage, arson and flood the equipment provided under the Program, from the date of handing over the title of ownership on the equipment certified by a handover protocol for transfer of title of ownership on equipment signed by authorized member of the Municipality, the Ghitalishte I Library and an authorized representative of UNDP. The Municipality will provide security measures for the provided equipment as per the requirements of the insurance company. Until the date of transfer of title of ownership on the equipment, the latter will be insured under Project No. 00071115 from the date of purchase. During this period of time, the Municipality is obligated to provide security measures for the provided equipment as per the requirements of the insurance company.

2.8. The Municipality shall support the opening of a full-time librarian position at the beneficiary library, in cases where such a position is not currently available, by transferring the funds provided by the MG for the new position immediately after creation of the position and receipt of the funds from the MG. The Municipality oversees the expedient spending of the funds for the new position secured by the MG.

2.9. Through the present Memorandum the Municipality requests from the PMU to provide the Municipality with specific information as to the requirements of the Program at the local level (and the specific obligations for providing cost-share, if any), suggestions as to how these needs can be satisfied, calculations as to what that will cost and how the funding might be secured, and suggestions as to what acts at the local level need to be adopted I amended in order for the Program to be carried out successfully. In addition, the PMU shall provide any other technical assistance that the Municipality needs with respect to program implementation. The information shall be sent by the PMU to the mayor or to the respective municipal department that needs it with a copy to the mayor. This provision will apply for the entire duration of Project No. 00071115 unless both parties agree in writing to change it.

2.10. The Municipality, through the nominated municipal official or through another authorized representative, participates in periodic meetings with the PMU and the program partners in order

2.11. The Municipality actively participates in the development of the strategy for long-term sustainability of the Program by the program partners and undertakes respective obligations after the end of the subsidy in 2013.

2.12. The Municipality shall fulfill its responsibilities under the present agreement in accordance with the Local Self-Government and Local Administration Act and the effective Bulgarian legislation.

2.13. The Municipality shall comply with the Bulgarian public procurement legislation in regards of the procurement, undertaken for implementation of the present agreement.

Article 3 Obligations of the Chitalishte I Library5

3.1. The Chitalishte / Library is a beneficiary and partner of the "Glob@1 Libraries - Bulgaria" Program at the local level.

3.2. The Chitalishte / Library participates in the Program by:

3.2.1. cooperating in the implementation of planned program activities at the local level;

3.2.2. taking care as a responsible good proprietor of the equipment provided under the Program and using this equipment in accordance with the program objectives, warranty conditions and operating instructions. The equipment is installed, placed and located in the premises, specified in the handover protocol or in cases when these premises are not specified, in premises most suitable for the achievement of the objectives of the Program and of the Memorandum.

3.2.7. assisting the PMU and the Program partners in carrying out initiatives, projects, campaigns and other activities which contribute to the success and sustainable development of the Program;

3.2.8. providing free access of visitors to computers and library services at a minimum of 8 hours daily, 5 days per week.

3.3. The Chitalishte / Library uses the funds granted from the MC purposefully for support of the new to-be-appointed librarian in the beneficiary library. The Chitalishte / Library engages itself to hire an employee as per the relevant job description no later than one month after receiving the funds from the MC through the municipality.

3.4. The Chitalishte / Library participates in periodic meetings with the PMU and the Program partners to discuss the progress of program implementation at the local level. The Chitalishte / Library provides information to the PMU on the implemented activities. The periodicity of meetings is determined by the PMU.

3.5. The Chitalishte / Library enables access to on-the-spot checks concerning the development and progress of the Program by persons authorized by the Program partners. The Chitalishte / Library submits the required documentation regarding the implementation of the Program to the PMU in form and order determined by tile PMU.

3.7. The Chitalishte Board / Library Management appoints a representative who provides assistance to the respective District Coordinator for the Program, the PMU and the Program partners in relation to the immediate and long-term progress of the Program at the local level.

3.8. The Chitalishte / Library uses its participation in the Program as a basis for continued upgrading of activities and initiatives which further the achievement of the announced objectives of the Program at the local level: community development, increasing the quality of human capital and inclusion into the global information society through a package of diverse and modern services for citizens.

3.9. The Chitalishte / Library shall comply with the Public Libraries Act, respectively the Chitalishte Act, and effective Bulgarian legislation in performance of its responsibilities under this agreement.

Article 4

Obligations of the Ministry of Culture

4.1. The MC is the executing agency (lead partner) for Project No. 00071115 and a partner of the "Glob@1 Libraries - Bulgaria" Program at the national level.

4.2. The MC participates in the Program by:

4.2.1. providing the necessary funding to the Chitalishte / Library for supporting one full-time librarian position, where needed, within one month from signing the present Memorandum;

4.2.2. monitoring through the respective District Coordinator for the Program the hiring of the new librarian in the target library through communication with the Chitalishte Board / Library Management.

5.1. UNDP is the implementing agency for Project No. 00071115 and a partner of the "Glob@1 Libraries - Bulgaria" Program at the national level.

5.2. Further to the Project Document, regulations, rules and procedures of UNDP, UI\IDP participates in the Program by:

5.2.1. cooperating in the implementation and control of the obligations of the parties, provided in this Memorandum, in accordance with the annual work plans for Project NQ 00071115 and in line with UNDP's rules and regulations.

5.2.2. providing general management support and technical assistance to the Program through cooperation with the PMU, the program partners and the parties of this Memorandum.

5.2.3. providing free-of-charge the equipment provided under the Program to the beneficiary library. The ownership of the equipment shall be transferred during or at the end of the implementation of Project No. 00071115 according to the rules and procedures of UNDP and with the agreement of the MC. The provision of the property is certified through a handover protocol, as stipulated in Art. 2.6. The transfer of title of ownership on the equipment is certified through a handover protocol for transfer of title of ownership on equipment signed by the Municipality, the Chitalishte / Library and an authorized UNDP representative.

5.2.4. insuring under Project No. 00071115 the equipment provided under the Program for free­of-charge use by the beneficiary library until the title of ownership of this equipment is transferred.

5.3. Through the PMU, UNDP ensures software applications for all workstations purchased for the Program. The software applications will be selected from the list under Microsoft's donation program and will include an operating system, an office package and specific applications.

5.4. Through the PMU and in consultation with the program partners, UNDP develops recommendations for the necessary qualification and experience of the to-be-hired librarians.

Non-Compliance

6.1. In case a party is unable to comply with an obligation, the party informs the other partners and:

6.1.1. if capacitated, overcomes the non­compliance and complies with the obligation on its own;

6.1.2. requests assistance, following a justification of objective incapacity to comply with its obligation;

6.1.3. terminates its participation in the Memorandum due to incapacity to comply with its obligations, and is obligated to the other partners to the Memorandum for all that it has received from them for the purposes of the Memorandum in the case this due obligation can no longer be utilized for the purposes of the Memorandum.

Article 7 Sustainability and PUblicity

7.1. The Program beneficiaries shall ensure its sustainability following the expiration of the duration of Project No 00071115 or following termination of the project's financing. Sustainability includes:

7.1.1. expending the funding, equipment and consumables received as intended;

7.1.2. meeting the objectives of the present Memorandum and observing them in the long­run;

7.1.3. technical maintenance for the equipment provided, consumables for this equipment and human resources necessary for its functioning.

7.2. Publicity includes:

7.2.1. placing a text and graphic logo of the Program on every equipment item provided and utilized for the purposes of the project, on the premises where services, funded by the project are provided or in line with its objectives;

7.2.2. sharing of information with the local population about the purposes of the Program and the opportunities it provides.

Article 8 Interpretation

8.1. In case of need of interpretation of the Memorandum, this interpretation shall be done in accordance with the objectives and subject matter of the Memorandum, the text and contents of the Project Document of Project No. 00071115 and its annexes, as well the Grant Agreement with the Bill and Melinda Gates

19thFoundation as of May 2009 and the documents related to its execution, taking into consideration that this agreement is effected entirely for the public good.

8.2. Nothing in or relating to this agreement shall be deemed to prejUdice or constitute a waiver of the privileges and immunities nor any other rights or remedies of the UNDP. The UNDP shall not be liable for any consequences of, or claim based upon, any act or omission on the part of the Ministry of Culture, the Municipality and the Chitalishte I Library.

Article 9 Settlement of Disputes

9.1. The parties under this Memorandum are bound to use their best efforts to settle any dispute, controversy or claim arising out of, or relating to this Memorandum or the breach, termination or invalidity thereof through negotiation, conciliation or other modes of amicable settlement.

9.2. In the event that UNDP is not a concerned party and the parties fail to resolve amicably the dispute, controversy or claim, these shall be settled in accordance with the Bulgarian legislation.

9.3. In the event that UNDP is a concerned party:

9.3.1. the parties shall use their best efforts to settle amicably any dispute, controversy or claim arising out of, or relating to this Memorandum or the breach, termination or invalidity thereof. Where the parties wish to seek an amicable settlement through conciliation, the conciliation shall take place in accordance with the UNCITRAL Conciliation Rules then obtaining, or according to such procedure as may be agreed between the parties.

9.3.2. any dispute, controversy or claim between the parties arising out or relating to this agreement or the breach, termination or invalidity thereof, unless settled amicably under the preceding paragraph within sixty (60) days after receipt by one party of the other party's request for such amicable settlement, shall be referred by either party to arbitration in accordance with the UNCITRAL Arbitration Rules then obtaining. The arbitral tribunal shall have no authority to award punitive damages. The parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute.

904. In the event that the Municipality or the Chitalishte / Library is not executing its obligations under this Memorandum and is not taking the respective measures according to the terms of the envisaged annual work, the MC and UNDP may withdraw the support under the Program.

Article 10 Final Clauses

10.1. In effecting their rights and obligations, the parties will document their actions via handover protocols, verification protocols, financial and accounting documents and other documents applicable by law. The documents may be used for settling specific issues among the signatory parties such as for instance specifying the liable person, the specific premise for hosting the eqUipment, etc.

10.2. The present Memorandum may be amended only in writing upon the agreement of the parties.

10.3. The present Memorandum enters into force on the date of its signing by all parties and remains in force until the completion of Project No. 00071115.

1004. The present Memorandum may continue to be in force following the completion of Project NQ 00071115 in the case of substitution of UNDP and the PMU by another entity or in the case of institutionalizing the project for the purposes of achieving sustainability of the project's objectives and maximum benefits for society.
