ARTICLE IMEETINGS

Section1. Annual Mee tings- Theannualmeetingsofthe members shallbe held alIheprincipal o fficeoftheassociationon July_31 ofeachyear.ThePresidentshallrenderhisannualrporttothe membersregardingthe activitiesoftheassociation. Theelectiond irectorsshallalso beheldduringthisregu larmeeting .Section 2. Special Meetings - Specialmeetings ofthemembersshall beca lledasthe needthereofarises, bythe Board ofTrustees orthe Pres identorupon petition of1/3 ofthe genera lmembership. tSection 3. Notices- Noticesofthe time and place ofannual, and spec ial meetingsofthemembersshallbe g iven eitherpersonallyorby special delivery mail, atleasttwo(2)weeksbeforethe date setforsuch meeting. The notice ofevery special meeting shallstatebriefly thepurposeorpurpo sesofthe meeting .Section 4. Quorum - A quorum forany meetingofthemembers shallconsistofa majorityo fthemembersand a majorityofsuch quorum may dec ideany question atthe meeting, exceptthosematterswheretheCorporationCodercc|ui;cstheaffirmativevote ofagreaterproportion .

OFFICERSSection1. Officers- The officersofthe association shallbea President, aV ice-President.aSecretary,andaTreasurer. They shallbeelected by theBoard ofTrusteesfrom amongthemselves. TheBoard may combinecompatib leoffices in asingleperson .

ARTICLE IVFUNCTIONS&POWERSOFOFFICERS

Section 1. President- ThePres identshall berhe Ch iefHxecutive O fficer ofihe assoc iation .He shallpresidein allmeetingsofthemembersoftheassociationandtheboardoftrustees .

He shallexecuteall reso lutionsofthe Board ofTrustees. He shall becharged w ithdireciing and overseeingThe activities ofthe association. He shallsubm itto theBoard assoonas possibleafterthecloseofeach fisca l year, andto the members ofeach annual meeting, acompJetereportofthe activitiesand operations oftheassociation forthefiscalyeartinderh isterm .

Section 2. Vice-president- The V ice-President, ifqua lified, sha llexerciseallpowers andperform aHduties ofthePresidentduringtheabsence orincapac ity ofrhehfterand shallperform dutiesthatmaybeassigned by theBoard of Trustees .

Section 3. Secretary - TheSecretary shall give allnotices required by these by-laws and keepthe m inu tesofallmeetingsofthe membersand oftheBoard ofTrusteesin a book keptforrhepurpose. Heshallkeepthe sealoftheassociation andaffix suchsea lto any paperorinstrumentrequiringthe same. Heshallhavecustody ofthemembers registerandthecorrespondence filesoftheassoc iation.He shallalsoperform allsuchotherduties andworkasthe BoardofTrusteesmay from timetotimeassignto him .

Section4, Treasurer - The Treasurershall havechargeofthe funds,receiptsandd isbursementsof theassociation. He shallkeep allmoneysand other valuables of theassociation in such banksastheBoard ofTrusteesmaydesignate, Heshallkeep andhavecharge ofthebooksofaccounts. Heshallalso perform such otherdutiesand functions as maybeassignedto him from time to time by theBoard ofTrustees. Heshallposta bondin suchamountasmayhefixed bythe Boa rdofTrustees .

ARTICLE VMEMBERS

Section1. Qualifications forMembersh ip- The board shalldeterm inethequalificationsofanapplicantformembership .

Section2. R ightsofMembers - A membershallhave thefol low ing rightsa. To exercisetherighttovoteonallmattersrelating tothe affairsoftheassoc iation;b. To be eligible to any electiveorappointive officeof1he association ;c. Toparticipate ina lldeliberations/meetingsoftheassociation ;

d. To availofallthefacilitiesoftheassociation ;e. To examinealltherecordsorbooksoftheassociation during business hours .

Section3, Dutiesand Responsibilities ofthe Members - A membershall havethefollowingdutiesand responsibi lities :

a. To obey and complyw iththeby-laws,rulesand regulationsthatmaybepromulgatedby theassociationfrom timetotime;

b. To attend allmeetingsoftheassociation ;o. Topay membershipduesand otherassessmentsoftheassoc iation .

ARTICLE VISUSPENSION,EXPULSIONANDTERMINATIONOFMEMBERSHIP

Suspension, expulsionand termination ofmembership,shallbe in accordancew ith therules andregu lationsoftheassociation .

Any memberofthe association may file chargesagainsta member by fling a writtencomplaintwith theSecretaryoftheassociation. The Board ofTrusteesshallcall aspecia lmeeting to considerthecharges. Theaffirmative vote ofmajorityofallthetrusteesshallbenecessaryto suspend a member; Provided thatwherethe penalty is expulsion, the affirmativevoteofmajorityofallthe membersoftheassociationshall benecessary

Section 1. Funds- The fundsoftheassociation shall bederived from adm ission fees, annua lduesand specialassessmentsofmembers,gifts,ordonations .

Section 2, D isbursements - W ithdrawalfrom the fundsofthe association, whetherby checkorany otherinstrumentshall be signed by the Treasurerand countersigned bythePresident.
