1. A Protomate, Fábrica de Processos de Tomate, Frutas e Vegetais, Lda (PROTOMATE),

recebeu uma subvenção do Banco Africano de Desenvolvimento e pretende utilizar parte desta subvenção para a seguinte actividade: 1) Elaboração de um Estudo de Viabilidade Tecnico, Económico e Financeiro (EVTEF), 2) Elaboração de Estudo de Impacto Ambiental e Social (EIAS) e 3) Assessoria na Estruturação e busca de Financiamento para o Projecto (AEFP).

2. Os serviços a serem prestados no âmbito desta consultoria incluem: 1) Elaboração do

TERMS OF REFERENCE

TECHNICAL, ECONOMIC AND FINANCIAL FEASIBILITY

STUDY

TOMATO PRODUCTION AND PROCESSING PROJECT

CHILEMBENE, CHOCKWE, GAZA, MOZAMBIQUE

1. Background/origin, nature of the Assignment

PROTOMATE – FÁBRICA DE PROCESSAMENTO DE TOMATE, FRUTA E

VEGETAIS, LDA (PROTOMATE) received a Grant from Agriculture Fast Track (AFT)

Fund/ African Development Bank (AfDB) and wants to use part of this to fund an

Technical, Economic and Financial Feasibility Study for the project.

The project consists in production and processing of tomato in Chilembene, Chokwé

District, Gaza Province in Mozambique.

The project investment is estimated in USD 35.5 Million and expects to produce in an

area of 3,000 Hectares and process 500 Tons of fresh tomato per day. It comprises four

main subcomponents, namely:

1) Agriculture Production – the investment in this component includes the

purchase of agriculture and irrigation equipment and opening of irrigation

channels. The agriculture component will absorb 27% of the planned investment

or USD 9.5 Million.

The agriculture activity will be developed in 3,000 hectares, of which 700

hectares belongs to PROTOMATE and the remaining 2,300 hectares belongs to

local and small farmers which will be involved in the project through the project

outgrowing program.

All the land considered is within the existing irrigation scheme managed by

HICEP a government company and the scheme has recently benefited with deep

rehabilitation. These areas have been producing tomato and other crops for more

than 50 years.

2) Tomato Processing - this component represents 60% of the total investment

amount or USD 21.4 Million. This is the main component of the project and

expects to process around 500 Ton of fresh tomato per day and with an output of

60 Tons/ Day or 9,000 Tons/ Year of tomato paste.

The final product will be packaged in different packaging system, being 60% in

cans of 400g, 850g, 3kg and 4.5kg, 10% of sachets of 10g, 50g, 100g, 250g, etc.

and 30% of aseptic bags, in drums of 120 kg and 220 kg.

The final product will be sold in the local market (around 10% of the total

production) and the remaining 90% will be exported to the southern Africa region

via tracks and train and to international marketing via Maputo Port.

3) Packaging Production Line – this line is expected to cost around USD 3 Million

or 8% of the project investment. The plant will be installed to produce around 10

Million of cans, sachets and drums per year.

4) Transport – the transport system will cost around USD 1,25 Million or 4% of the

project cost and will consist mainly on trucks responsible to deliver raw material

to the factory and transport the final product to the consumption markets and for

export.

2. Goals and Objectives of the Assignment

The main object of this assignment is to elaborate the Technical, Economic and

Financial Feasibility Study of the project in order to apply for financing in the private,

governmental and multilateral institutions such as AfDB, the World Bank, European

Investment Bank, etc.

The study must cover the technical, economic and financial feasibility of each of the four

project components described above, namely

a) agriculture production of fresh tomato, as raw material for the factory using the

outgrowing approach,

b) tomato processing factory,

c) packing production line, which will produce sachets, cans and drums and

d) Transport branch.

The agriculture, packaging and transport, will generate revenues selling the products or

services to Tomato Processing Factory and, selling to other clients.

3. Scope of Services, Tasks and Expected Deliverables

3.1 Activities, Components and Tasks

For each of the four components, the Consultant will conduct feasibility studies

covering:

• The Business Plan

o Project Description

o Project Objectives and rationale

o The project strategies and strategic elements

o Description of Technical and technology aspects

• Marketing Plan

• Economic and Financial Projections and Analysis

• Economic and social impact

3.2 Proposed Method of execution

The Consultant will elaborate the mentioned studies based on the statistical data

collection from reliable or official sources, like the National Institute of Statistics, Ministry

of Industry and Commerce, Ministry of Agriculture, Ministry of Economy and Finance,

etc.

This information will be complemented by desk review about similar projects in other

countries and using expert reports about production, consumption and trading of tomato

and tomato paste in the world, southern Africa region and Mozambique in particular.

The report will be presented in the descriptive form, using tables, graphs and pictures

for batter explanation and summary of the main ideas and findings of the study.

The currency of the study will be United States Dollars (USD) and the feasibility study

will be evaluated using discounted cash flows method, using Net Present Value (NPV),

Internal Rate of Return (IRR), Profitability Index and Payback Period to decide if the

implementation of the project is recommendable or not, if not, recommend the best

approach for a feasible project.

A sensibility analysis of the project will be part of the project assessment and risk

analysis, aiming to test the stability and consistency of the project if the main and critical

variables change, mainly for worse.

3.3 Expected deliverables

As stated above, this assignment will deliver a Feasibility Study with four components:

Agriculture, Processing, Packaging Production and Transport.

Each component will be divided in

• Businesses Plan

• Marketing Plan

• Economic and Financial Projections and Analysis

• Economic and social impact

The Economic and Financial Projections will include the following statements:

• Assumptions

• Investment Plan

• Financing Plan

• Debt Service

• Working Capital

• Amortizations and Depreciations

• Human Recourses (number, positions and salaries)

• Costs

• Revenues

• Income Statement

• Calculation of Feasibility Indicators

4. Team Composition and Qualification Requirements for the Key Experts

This assignment requires at least three experts, namely:

• Specialist in Agribusiness

o Minimum bachelor’s in economics, agro economy, agronomy or similar

o More than 10 years of experience

o Familiar with national and international processed food markets

o Fluent in Portuguese and working knowledge of English.

• Specialist in Agriculture Production and Irrigation Schemes

o Minimum Bachelor in Agronomy

o More than 10 years of experience

o Familiar with national and international agriculture products markets

o Fluent in Portuguese and working knowledge of English.

• Economist/ Financial Analyst

o Minimum bachelor’s in economics, Business Administration or Finance

o More than 10 years of experience

o Familiar with national and international agriculture products and processed

food markets

o Fluent in Portuguese and working knowledge of English.

5. Reporting Requirements and Time Schedule for Deliverables

• Format, frequency, and contents of reports:

o An inception report will be delivered two weeks after signature of the

contract, outlining the main findings from the desk review that will include

both project documents to be provided by the Client and similar studies.

o One month after signature of the contract it’s expected Data Collection

Report, summarizing in tables and graphs the main data collected in

different institution and expert reports about production, consumption,

import and export of Fresh Tomato and Tomato Paste in Mozambique,

Region and in the World.

o Two months after signature of the contract, the Consultant will submit:

§ the Marketing Plan describing the fresh tomato and tomato paste

market in Mozambique, by main regional countries and in the word.

The market plan will discuss competitiveness of the tomato paste to

be produced by the project against the imports from other

countries, mainly from South Africa, China, Italy, etc. Also, the plan

will present the project market strategy in order to overcome the

competition mainly of imported products. And

§ the Business Plan and Economic & Financial Projection about

Tomato Processing Plant will be due. At this time, the final

Feasibility Study of Tomato Processing Component must have

been finalized.

o The feasibility of Agriculture, Packing Production and Transport

components will be submitted in the third month.

o The reports will be submitted in both Work and Excel for tables and

graphs.

6. Client’s Input and Counterpart Personnel

the Consultant’s team:

The rehabilitation project included an Environmental and Social Impact

Assessment and we advise the consultant to consult and adopt this study to

PROTOMATE agriculture component, as it will be entirely developed within the

irrigation scheme perimeter.

No resettlement needed in any of the project area, both in the agriculture and

processing facilities.

6) Tomato Processing - this component represents 60% of the total investment

amount or USD 21.4 Million. This is the main component of the project and

expects to process around 500 Ton of fresh tomato per day and with an output of

Certificate from the Ministry of Land and Environment of Mozambique.

The report and the certificate abovementioned will also be presented as part of project

financing application in the private, governmental and multilateral institutions such as

AfDB, the World Bank, European Investment Bank, etc.

The main objective of the ESIA is to provide an overview of the tomatoes plant’s

anticipated environmental and social impacts that includes an Environmental and Social

Management Plan (ESMP) and Pest Management Plan (PMP). In doing so, the

consultant shall:

• Review the Mozambican laws, regulations and policies as well as the AfDB

environmental and social safeguards;

• Collect, evaluate and present baseline data on relevant physical, economic,

social cultural and environmental characteristics of the project and study area,

including health and safety;

• Outline the relevant policy, institutional and legal framework pertaining to the

project’s environmental and social aspects, including involuntary resettlement,

• Determine the potential environmental and social impacts of the proposed

interventions focusing on both the positive and negative effects, short and/or long

term impacts as well as effects to the biophysical, social, economic and cultural

components of the environment,

• Identify the affected parties, including those who will benefit or be disadvantaged

by the project, directly or indirectly, categorized by severity of impacts, with

special attention to gender and vulnerable groups,

• Quantify the losses of (a) homesteads and associated structures, (b) arable and

other land, (c) other productive assets and sources of income and (d) community

infrastructure that are expected as a result of the interventions;

• As part of the ESIA, an Environmental and Social Management Plan (ESMP) and

Pest Management Plan by which all of the mitigation and enhancement

measures prescribed above will be carried out. The ESMP needs to indicate a

concise budget for the recommended mitigation and enhancement measures,

specify which organizations will be responsible for each of these measures, and

provide an schedule for when these measures will be initiated and completed

during project implementation (construction and operation). The ESMP should

also describe how the above mitigation and enhancement measures will be

monitored, controlled and managed to ensure their effectiveness.

3.2 Expected deliverables and Timeline

It is expected that the consultants deliver in 4 (Four) month time period the following

deliverables:

• Project Pre-Assessment Application (Screening )

• Scoping report and Terms of Reference (EPDA and ToR)

• Environmental Impact Assessment Report (EIAR) including the Environmental

Management Plan and Pest Management Plan

• Issuance of Environmental License by MITADER.

4. Key Experts and Qualification Requirements

In order to carry out the objectives set out in these Terms of Reference, the Consultant

shall present his / her Key Staff including tasks and responsibilities. It should include,

but not be limited to, the following:

Environmental Specialist: Minimum Master of Science (MSc) in Social Sciences, and

related fields, with at least 7 years of relevant professional experience and familiarity

with environmental and social regulations of the GoM and African Development Bank

policies requirements concerning implementation of safeguard policies - 3 man/month.

Hydrologist: Minimum Bachelor’s Degree in hydrology, with at least 10 years of

relevant hydrology work, with emphasis on: Development of hydrological studies, hydro

climatic data management systems, flood and drought warning models, and warning

systems and flood and drought management, proficiency in mapping and GIS-based

data management capability. Fluent in Portuguese and working knowledge of English. –

3 man/month.

Socio-Economist/Anthropologist - Minimum Bachelor’s Degree Economics,

Anthropology, Social Science, with at least 10 years of relevant socio-economic

surveys, social impact assessment, resettlement action plan design and

implementation, stakeholders engagement. Fluent in Portuguese and Changana and

working knowledge of English. – 3,5 man/month.

Agronomist/Pest Management Expert - Minimum Bachelor’s Degree in Agriculture,

Land Economics, Agro-Industry or related field, with at least 10 years of relevant

experience in large scale irrigated agriculture production, pest risk assessment, pest

management and agro-procesing. Fluent in Portuguese and working knowledge of

English. – 2,0 man/month.

Air pollution /noise Expert - Minimum Bachelor’s Degree in Chemical Science and

Related field, with at least 10 years of relevant experience in assessing and monitoring

air quality, noise emissions and vibrations. Fluent in Portuguese and working knowledge

of English. – 1,0 man/month.

ADVISE ON INVESTMENT STRUCTURING AND FINANCING

TOMATO PRODUCTION AND PROCESSING PROJECT

CHILEMBENE, CHOCKWE, GAZA, MOZAMBIQUE

1. Background/origin, nature of the Assignment

PROTOMATE – FÁBRICA DE PROCESSAMENTO DE TOMATE, FRUTA E

VEGETAIS, LDA (PROTOMATE) received a Grant from Agriculture Fast Track (AFT)

Fund/ African Development Bank (AfDB) and wants to use part of this to fund the

Advise on Investment Structuring and Financing for the project.

The project consists in production and processing of tomato in Chilembene, Chockwe

District, Gaza Province in Mozambique.

The project investment is estimated in USD 35.5 Million and expects to produce in an

area of 3,000 Hectares and process 500 Tons of fresh tomato per day. It comprises four

main subcomponents, namely:

9) Agriculture Production – the investment in this component includes the

purchase of agriculture and irrigation equipment and opening of irrigation

channels. The agriculture component will absorb 27% of the planned investment

or USD 9.5 Million.

The agriculture activity will be developed in 3,000 hectares, of which 700

hectares belongs to PROTOMATE and the remaining 2,300 hectares belongs to

local and small farmers which will be involved in the project through the project

outgrowing program.

All the land considered is within the existing irrigation scheme managed by

HICEP a government company and the scheme has recently benefited with deep

rehabilitation. These areas have been producing tomato and other crops for more

than 50 years.

10) Tomato Processing - this component represents 60% of the total investment

amount or USD 21.4 Million. This is the main component of the project and

expects to process around 500 Ton of fresh tomato per day and with an output of

60 Tons/ Day or 9,000 Tons/ Year of tomato paste.

The final product will be packaged in different packaging system, being 60% in

cans of 400g, 850g, 3kg and 4.5kg, 10% of sachets of 10g, 50g, 100g, 250g, etc.

and 30% of aseptic bags, in drums of 120 kg and 220 kg.

The final product will be sold in the local market (around 10% of the total

production) and the remaining 90% will be exported to the southern Africa region

via tracks and train and to international marketing via Maputo Port.

11) Packaging Production Line – this line is expected to cost around USD 3 Million

or 8% of the project investment. The plant will be installed to produce around 10

Million of cans, sachets and drums per year.

12) Transport – the transport system will cost around USD 1,25 Million or 4% of the

project cost and will consist mainly on trucks responsible to deliver raw material

to the factory and transport the final product to the consumption markets and for

export.

2. Goals and Objectives of the Assignment

The main object of this assignment is to advise the project on investment structuring

and financing.

Using the Technical, Economic & Financial Feasibility Study and the Environmental &

Social Impact Assessment Study that will be provided by the Client, the consultant will

identify the most appropriate sources of Equity Funds and Loans in order to fund the

project.

The main goal of this assignment is to get the funding in a timely manner, preferably not

later than 6 months, at competitive cost (less than 5% of interest rate) and with

favorable repayment terms (up to 15 years, with at least 3 years of moratorium) that will

allow the funding of the purchase of equipment, infrastructures building and the working

capital for the four project components as described above.

3. Scope of Services, Tasks and Expected Deliverables

3.1 Activities, Components and Tasks

The Consultant will conduct the following main activities:

• Revise all project documents, including the Feasibility Studies, Environmental

Impact Assessment, Licenses, Authorizations, etc.;

• Prepare a Complete Project Dossier to be presented to the Potential Investors

and Financiers;

• Prepare the official Project Presentation (Teaser) to attract investors, financiers,

off takers, government authorities, among other project stakeholders;

• Prepare and present the list, profile, terms and conditions of all potential project

investors, financiers and off takers.

3.2 Proposed Method of execution

This assignment will essentially be based on the desk review and field work that will

consist in visiting and negotiating the funding with potential investors and financiers.

Also, it is recommended to organize selected investors workshops and/or present the

project in appropriate workshops and fairs across the world that will take place during

the assignment timeline.

3.3 Expected deliverables

This assignment will deliver the following main documents:

• Due Diligence Report about the project documents

• Complete Project Dossier to be presented to the Potential Investors and

Financiers;

• The Project Presentation (Teaser); and

• Investors, financiers and off takers profile and Terms & Conditions.
