CLAUSE 17 - SERVICE LEVELS17.1.2 In the event the Company fails and/or neglects to carry out any

Services or the Services are carried out not in accordance with thisAgreement, provided that the failure or neglect is not due to theomission or delay on the part of the Government, the Governmentshall have the right to:

impose the demerit value penalty; and

deduct such amount from the Fees for such month,

for the said failure, neglect and/or omission in accordance with the Deduction Formula as set out in Appendix 11.

PENALTY - CRITICAL EVENT

An event that involved death or permanent disability and/or seriousinjury due to proven negligence by the Company.

An event that involved outbreak of infectious disease at the ContractHospital due to proven negligence by the Company.

An event or activity that creates any major disruption and/ orabandonment of clinical services at critical hospital department (referSchedule VI) more than 24 hours due to failure of the Services which isproven negligence by the Company.

An event that leads to major regulatory non-compliance, legal claimcases and/ or negative publicity to hospital image which is provennegligence by the Company.

IMPACT OF PENALTY - CRITICAL EVENT

5% from monthly fee of each Service

1 Critical Event shall be apply per Service per Month

Deduction shall not be exempted
