Tutti i rapporti commerciali sul sito www.powergres.it sono regolati dalle “condizioni Generali di Vendita” che definiscono le modalità di vendita tra Powergres S.p.A. ed i suoi Clienti.

EVASIONE ORDINI 1) Per ordini di importo inferiore a € 50,00 IVA esclusa, addebito costi di fatturazione € 25,00. 2) Il materiale viene evaso in confezioni intere sia che si tratti di accessori / decori / mosaici che di piastrelle. Pertanto non vengono accet-

tati ordini per singoli pezzi.3) Le aggiunte su eventuali rimanenze d’ordine verranno gestite ed addebitate come un nuovo ordine.4) I pagamenti devono essere effettuati a favore della Powergres, nella valuta convenuta, con le modalità e nei termini indicati nella com-

missione o nella fattura.

In caso di ritardato pagamento saranno addebitati gli interessi di mora nella misura corrispondente alle normative vigenti.

All commercial relationships on the website www.powergres.it are regulated from general selling conditions which define the form of selling between Powergres S.p.A. and his cutomers.

ORDERS EXECUTION1) For orders with an amount less than Euro 50,00 inclusive VAT, we charge the costs of invoicing of Euro 25,00.2) We deliver only full boxes whether if they are accessories, decorations, mosaics or tiles. We don’t accept any order of single pieces.3) Additions is some possible remainder orders will be managed and added as a new order.4) Payments have to be credit to Powergres, in the agreed money, according with payment terms written in the order confirmation or in the

invoice.In case of delayed payment we will charge the interest in accordance with the law in force.

Auftragsabwicklung1) Für Aufträge mit einem Auftragswert unter 50€ (ausschließlich IVA) werden Fakturierungskosten von 25€ belastet.2) Das Material wird ausschließlich in vollen Kartons, sowohl für Zubehör, Dekore, Mosaike, Sonderteile als auch für Fliesen, geliefert.3) Ergänzungen zu eventuellen Auftragsbeständen werden wie ein Neuauftrag gehandhabt und belastet.4) Die Zahlungen werden zugunsten der Powergres ausgeführt, in der gültigen Währung und zu den in der Rechnung oder Auftragsbe-

stätigung angegebenen Zahlungsbedingungen. Sollte es zu Verzögerungen der Zahlungen kommen, behält die Powergres sich vor, Verspätungszinsen nach allgemein gültiger Rechtssprechung zu erheben.

Una contrapposizione grafica che viene accentuata dalla superficie brillante.Su richiesta i differenti disegni sono componibili per taglio in diversi sottomoduli 60x60 30x120 e 30x60. Questa lavorazione viene quotata su richiesta.

The ICON collection opens a new frontier in the paradox design. Slabs sized 60x120 cm with uneven pattern are matched thanks to the subject and shade “familiarity“. A graphical contrast that is further stressed by the glossy surface of a ground and squared quality porcelain stoneware. Upon request, the different patterns can be combined for the cut in the various sub-modules 60x60 - 30x120 and 30x60 cm. This manufacturing is quoted upon request.

Per interpretare correttamente il prodotto naturale, Pietra Pece by Powergres è un prodotto “stonalizzato” e visualizza una gradazione cromatica che mostra una leggera – moderata differenza di tono delle singole piastrelle come non omogenee tra di loro. Per cortesia fate attenzione e visualizzate uno schema di posa per armonizzare al meglio le piastrelle tra loro prima della loro definitiva messa in opera a pavimento o rivestimento.

To reproduce as well as it is in the real nature, the Pietra Pece by Powergres is a shading product and has a visible chromatic gradations. It indicates a slight - moderate difference of tone of single tiles that are not homogeneous. Please consider it and attention must be paid to harmonizing the tiles by a pre visual schema before laying and final fitting the ceramic tiles on the floor or wall.

The decorating strips in natural stone iSTONE are created by joining the different stone sizes in several colours or in single shade in an original and traditional way.As the iSTONE Stoneware collection offers an entirely natural material, the stone sizes composing the strip/s can have different shades; for this same reason, we absolutely cannot guarantee the same shade for the different sizes of the same stone, even if included in a single order and when re-stocking the same code and product code description of the material. The composed sizes are realized in natural stone and therefore can have imperfect edges and little thickness differences (for example, the table specifies the thickness of the items such as: 15-25 mm). Thus, the size dimensions of the strip and indicated on price list, catalogue and web site are to be intended as nominal. Condizioni Generali di Vendita

1. APPLICABILITÀ DELLE CONDIZIONI1.1 Le presenti condizioni generali (qui di seguito “le CONDIZIONI”) costituiscono parte integrante di tutti i contratti di vendita delle piastrelle ed altro materiale ceramico (qui di seguito “il/i PRODOTTI”) a cui sia parte la Powergres S.p.A. (qui di seguito “il CEDENTE”). Salvo singoli casi in cui esse siano state derogate con espresso pattui-zioni scritte a firma del CEDENTE, esse costituiranno la disciplina esclusiva di tali vendite. Se una o più parti di tali CONDIZIONI o dei singoli contratti che le includano risultassero invalide, le CONDIZIONI generali o particolari resteranno valide nel loro complesso, le parti invalidi saranno sostituite con pattuizioni che si avvicino il più possibile alla originaria volontà delle parti.

CONCLUSIONE DEL CONTRATTO DI VENDITA - CONSEGNA DEI PRODOTTI2.1 Il contratto si intende concluso al momento in cui il proponente o l’ordinante vengano a conoscenza del consenso credito della controparte.2.2 L’ordine non confermato per iscritto in nessun caso potrà intendersi accettato salvo esecuzione del medesimo da parte del CEDENTE mediante spedizione o con-segna dei PRODOTTI. La consegna parziale di PRODOTTI ordinati non comporta l’accettazione dell’intero ordine, ma solo di quella parte di PRODOTTI effettivamente consegnati.2.3 Salvo diverso accordo scritto, la consegna dei PRODOTTI e la resa degli stessi in Italia e all’estero avverrà secondo la formula di “Franco ns. magazzino”.2.4 Salvo diverso accordo, tutte le date indicate come termine di consegna si intendono a titolo indicativo.

3. CARATTERISTICHE DEI PRODOTTI – GARANZIA – RECLAMI.3.1 Le piastrelle in ceramica ed altri PRODOTTI ceramici fabbricati dalla Powergres S.p.A. sono conformi alle norme europee UNI.DIN.EN. Il CEDENTE vende esclusivamente a rivenditori professionali, questi sono responsabili della correttezza della informazioni tecniche fornite agli utilizzatori finali e/o negozi al dettaglio.La classificazione del prodotto è indicata dal CEDENTE sul materiale pubblicitario e/o sui listini prezzi, l’Acquirente deve di conseguenza utilizzare i PRODOTTO sulla base della classificazione fornita dal CEDENTE.Per facilitare le indicazioni di utilizzo, ed adattare le classificazioni standard alle specificità della produzione del CEDENTE, a fronte di ogni prodotto, nei listini o sui cata-loghi sono posti dei segni che indicano l’uso specifico consigliato dal CEDENTE.3.2 Le differenze di tonalità non sono un difetto del PRODOTTO ma bensì una caratteristica dello specifico materiale cotto ad alte temperature. Il particolare requisito di ingelività si applica solo ai PRODOTTI che il CEDENTE garantisce espressamente con apposita indicazione sul materiale pubblicitario e/o listini. In mancanza di tale indicazioni i materiali ceramici si considerano solo ed unicamente per uso in interni o comunque in locali protetti dalle intemperie.3.3 I materiali in ceramica con superficie lucido non possono mai essere utilizzati in locali a piano terreno con accesso all’esterno, né in locali in cui sia previsto un grande calpestio. Le piastrelle brillanti sono inoltre suscettibili di una certa scivolosità, specialmente se bagnate, il CEDENTE ne consiglia di conseguenza l’uso in locali pubblici. Per i locali ove sia previsto un grande calpestio l’acquirente dovrà acquistare solo i PRODOTTI classificati dal CEDENTE come PEI V (IV) ed in particolare quelle piastrelle che il CEDENTE consiglia SPECIFICAMENTE per uso in locali pubblici.3.4 Le rappresentazioni dei PRODOTTI sui depliant ed altri materiali pubblicitari del CEDENTE sono puramente illustrative e non rappresentano necessariamente il risul-tato estetico finale di posa dello PRODOTTO rappresentato.3.5 Il CEDENTE garantisce la buona qualità e l’assenza di vizi e/o anomalie nei PRODOTTI forniti. La garanzia non si applica per PRODOTTI classificati dal FABBRICAN-TI per qualità inferiori alla scelta n°1 o per partite di fine serie, vendute in blocco e segnalate come partite speciali. È comunque prevista una tolleranza del 5%.3.6 Il CEDENTE non è responsabile per vizi e/o anomalie rilevate sui PRODOTTI non dovuti alla qualità dei PRODOTTI stessi ma all’uso improprio degli stessi da parte degli acquirenti e/o dei suoi aventi causa. In particolare il CEDENTE non accetta reclami o contestazioni in relazione alle situazioni precedentemente descritte.3.7 I reclami devono essere comunicati dall’acquirente al CEDENTE entro 8 gironi dalla consegna della merce. Per vizi occulti il termine è di otto giorni dalla scoperta del vizio. In nessun caso il CEDENTE risponderà per vizi che vengano denunciati dopo 12 mesi della consegna dei PRODOTTI all’Acquirente. Per i vizi occulti la garanzia del CEDENTE si applica fino a due anni dopo la consegna dei prodotti al primo acquirente. La denuncia di vizio dovrà essere notificata al cedente tassativamente entro e non oltre 8 giorni dalla scoperta.3.8 In generale la garanzia si applica solo per vizi rilevati in prodotti non ancora posati. Per eventuali vizi occulti rilevabili solo successivamente alla posa, ai fini dell’appli-cazione della garanzia, è necessario che il CEDENTE accerti che la posa sia stata eseguita a regola d’arte (norme DIN 18352).3.9 La garanzia del CEDENTE si limita alla sostituzione dei PRODOTTI difettosi con altri dello stesso tipi esenti da vizi, trasporto incluso. È escluso il rimborso di altri oneri e/o spese accessorie e, in particolare i costi di demolizione e ri-posatura dei PRODOTTI. In tutti i casi la garanzia del CEDENTE non potrà eccedere cinque volte il valore del materiale contestato, con un massimo assoluto di € 10.000.3.10. Il CEDENTE non risponde per reclami dovuti ad una classificazione del materiale ceramico da parte di organismi di controllo e/o certificazione esteri, diversa da quella italiana, sulla base di specifiche tecniche che non corrispondano a quelle utilizzate dal CEDENTE. Eventuali expertise tecnici attivati dagli acquirenti dovranno necessariamente basarsi sulla conformità del materiale venduto alle specifiche tecniche indicate dal CEDENTE, in vigore in Italia.

4. PREZZI E CONDIZIONI DI PAGAMENTO4.1 I prezzi di vendita dei PRODOTTI sono quelli indicati nel listino del CEDENTE in vigore al momento della conferma dell’ordine. In casi di contratti di vendita a consegne ripartite il prezzo, se non convenuto fermo per iscritto, sarà quello del listino in vigore al momento delle singole consegne. Per tutti i PRODOTTI destinati all’estero i prezzi potranno essere calcolati, a scelta dal CEDENTE, nella valuta estera del paese di destinazione o in euro.4.2 Tutte le spese bancarie e di negoziazione sono a carico dell’Acquirente. In caso di ritardo dei pagamenti, il CEDENTE avrà diritto a percepire, senza alcuna necessità di messa in mora, oltre agli eventuali danni, un interesse moratorio pari al tasso ufficiale di sconto in Italie maggiorato del 3%.

5. AGENTI DEL CEDENTE.5.1 Gli agenti del CEDENTE promuovono le vendite e non sono autorizzati ad agire in nome e per conto del CEDENTE salvo specifica autorizzazione scritta.5.2 Gli ordini trasmessi dagli agenti non vincolano il CEDENTE e devono quindi essere espressamente accettati per iscritto dal CEDENTE stesso.

6. RISERVATO DOMINIO6.1 È convenuto tra le parti che la vendita dei PRODOTTI è effettuata con riserva di proprietà a favore del CEDENTE sino al totale pagamento del prezzo pattuito, ai sensi dell’art. 1523 e seguenti dei c.c. Tuttavia il rischio di perimenti della merce passa all’acquirente dal momento della consegna dei PRODOTTI. Nella vendita all’estero, nel caso in caso in cui la merce sia venduta e consegnata a clienti terzi prima del passaggio di proprietà, nell’ambito di normali rapporti commerciali dell’Acquirente stesso, la riserva di proprietà a favore del CEDENTE permane anche nei confronti dei terzi, ove la legge lo consenta.6.2 In caso di mora dell’Acquirente il CEDENTE potrà, senza necessità di alcuna formalità, compresa la messa di mora, ritirare tutta la merce oggetto di riservato dominio ed eventualmente, se la legge lo consente, tutti i titoli di credito verso terzi ad essa afferenti, con riserva di ogni ulteriore opportuno rimedio in via giudiziale per il pregiudizio subito.

7. FORZA MAGGIORE7.1 Il CEDENTE non è responsabile nei confronti dell’Acquirente per ogni inadempimento, compreso la mancata o ritardata consegna, causata da eventi al di fuori del suo ragionevole controllo quali, a titolo meramente indicativo, mancata o ritardata consegna dei materiali di lavorazione da parte dei fornitori, guasti agli impianti, scioperi ed altre azioni sindacali, interruzione dei flussi energetici, sospensione o difficoltà di trasporto.

8. DIRITTO APPLICABILI – FORO COMPETENTE 8.1 I contratti di vendita all’esportazione cui sia parte il CEDENTE sono regolati dalla legge italiana ed in particolare dalla Conservazione sui Contratti di Vendita Interna-zionali di beni mobili, ove non derogata dalle presente CONDIZIONI e dalla Convenzione di Vienna dell’ 11 Aprile 1980.8.2 Foro competente per tutte le controversie relative alle vendite di PRODOTTI da parte del CEDENTE e dei rapporti connessi a tali vendite è il FORO della sede legale del CEDENTE, anche qualora l’azione promossa riguarda titoli di credito rilasciati al CEDENTE quali mezzi di pagamento.

General sales conditions

1-APPLICABILITY OF CONDITIONS 1.1 These general conditions (the “CONDITIONS”) constitute the most important part of each contract of sale of tiles and any other ceramic material (the “PRODUCTS”)in which Powergres S.P.A. (the SELLER) is one of the parties. Excepted single cases in which they have been derogated by explicitly written agreements signed by de SELLER, they will constitute the exclusive discipline of such sales. If one or more parts of these CONDITIONS, or of single contracts including them, result to be invalid, the general or the particular CONDITIONS will remain valid as a whole : invalid parts will be substituted through agreements that are as close as possible to the original will of the parties.

2-CONCLUSION OF THE CONTRACT OF SALE – DELIVERY2.1 The contract is intended to be concluded at the moment in which the written consent of the counterpart has come to the knowledge of the proponent and of the person ordering the contract.2.2 The order that has not been confirmed in writing cannot be considered accepted in any case, except for the performance of the contract itself by the SELLER through shipment of delivery of the PRODUCTS. The partial delivery of ordered PRODUCTS doesn’t involve that the whole order has been accepted, but only that part of PRODUCTS actually delivered.2.3 Except a different written agreement, the delivery of PRODUCTS in Italy or abroad will take place “ ex-warehouse in Sassuolo” 2.4 Except a different agreement, all the dates given as delivery dates are intended in a indicative sense.

3-CHARACTERISTICS OF THE PRODUCTS – WARRANTY – COMPLAINTS.3.1 Ceramic tiles and other ceramic PRODUCTS produced by Powergres S.p.A.. comply with European norms UNI-DIN-EN.The SELLER sells exclusively to professional resellers that are responsible for the accuracy of technical information given to final users and/or to retailers.The classification of a product is indicated by the SELLER on advertising material and /or price lists. Therefore the purchaser must use the PRODUCTS according to the classification given by the SELLER. To facilitate the directions for the use of products and to adapt standard classifications to the specificity of the production, marks connected with each single product are put in price list and catalogues, indications the specific use advised by the SELLER. 3.2 Differences in the tone are not defects of the PRODUCT but a characteristic of the specific material fired at high temperatures.The particular requisite of frost resistance is applied only to those PRODUCTS explicitly guaranteed by the SELLER with the relative indication on advertising material and/or price list. In case this indication is not given, ceramic materials are considered only and exclusively for indoor use or use in placed protected from bad weather.3.3 Ceramic materials with polished surface can never be used in places located on the ground floor with access outside or in places with great pedestrian traffic. In addition polished tiles are susceptible for a certain slipperiness especially when they are wet. The SELLER advises therefore not to use them in public places.In place with great pedestrian traffic the purchase will have to buy only those PRODUCTS classified ny the SELLER as PEI V, and in particular those tiles that the SELLERadvises SPECIFICALLY for use in public places.3.4 The pictures of the PRODUCTS on leaflets and on other advertising material by the PRODUCER are only illustrative and the don’t represent necessarily the final aesthetic result of laying of the PRODUCT. 3.5 The SELLER guarantees the good quality and the absence of defects of the products supplied, the warranty is not applied to those PRODUCTS classified by the SELLER as non-first-quality products or to lots of PRODUCTS of the end of a series, sold in bulk and pointed out as special lots.However a 5% tolerance is provided.3.6 The SELLER is not responsible for defects and/or anomalies found out in the PRODUCTS that are not due to their quality, but to an improper use of them by the purchasers and/or by their assignees. In particular the SELLER doesn’t accept complaints or contestations concerning the above mentioned situation.3.7 Complaints must be communicated by the purchaser to the SELLER within 8 days from the delivery of goods. In case of defects, the term is 8 days from the discovery.In any case the SELLER is note responsible for the defects denounced 12 months after the delivery of the PRODUCTS to the purchaser. In case of hidden defects the SELLER’S warranty is applied up to 2 years after the delivery of the PRODUCTS to the first purchaser. The denunciation of defects must be notified to the SELLER within and not later than 8 days from the discovery.3.8 In general the warranty is applied only for defects found out in products that have not yet been laid. In case of hidden defects, detectable only after laying, it’s necessary for the SELLER to verify that the laying has been carried out duly (conforming to DIN 18352) .3.9 The SELLER’S warranty is limited to the substitution of faulty PRODUCTS with other products of the same model without defects, freight included. The reimbursement of other expenses or additional costs, and particular demolition costs and money paid for a second laying of the PRODUCTS is excluded. In any case the SELLER’s warranty cannot exceed 5 times the value of the contested material, with an absolute maximum of € 10.0003.10 The SELLER is not responsible for complaints due to a classification of the ceramic material by foreign bodies for control and/or certification, that is different from the Italian one, according to technical specifications that don’t correspond to those used by the SELLER. In case of technical expertise activated by the purchaser, this must be necessarily based on the conformity of the sold material with the specifications indicated by SELLER in force in Italy.

4. PRICE AND CONDITIONS OF PAYMENT4.1 The sale prices of PRODUCTS are those indicated in the price list of the SELLER in force at the moment of the confirmation of the order. In case of contracts of sale and delivery of goods divided in parts, and if there is no written agreement on the subject, the price is the one indicated in the price list in force at the moment of the delivery of each single portion of goods.For all the PRODUCTS designated to the foreign market prices can be calculated at SELLER’S choice in the foreign currency of the destination country or in euro.Every bank and negotiation costs have to be debited to the Purchaser. In case of delay in the payment the SELLER has the right, without the necessity of putting into moraTo cash a moratory interest amounting to the official discount rate in Italy, plus 3% apart from economical damages occurred.

5. SELLER’S AGENTS5.1 The SELLER’s agents promote sales but are not authorized to act in the name in the name and on the behalf of the SELLER, except in case of a specific written permission.5.2 The orders transmitted by the agents don’t bind the SELLER. Therefore they must be accepted explicitly in writing by the SELLER.

6. RESERVED DOMINION6.1 It’s agreed between the parties that the sale of the PRODUCTS is carried out with reserve of propriety in favour of the SELLER up to the total payment of the agreed price, according to the Italian Civil Code art. 1523 and following. However the risk of deterioration of the good passes to the purchaser from the moment of delivery of the PRODUCTS. In the sales of the PRODUCTS abroad, in case the goods are sold and delivered to third customers, when the law permits it.6.2 In case of a mora of the purchaser, the SELLER can take back all the goods object of reserved dominion without any formality, included the putting into mora, and if the law permits it, all documents of credit to third people relative to these goods, with reserve of any proper legal remedy for the prejudices suffered.7. SUPERIOR FORCE7.1 The SELLER is not responsible towards the Purchaser for non-fulfilment, included non-delivery or delay in delivery due to events outside his reasonable control, as for example non-delivery or delay in delivery of materials by the suppliers, breakdown of plants, strikes or other sindical actions, interruption of energy supply, interruption or difficulty of transports.

8. APPLICABLE LAW – COMPETENT COURTS8.1 The contracts of sale to export in which the SELLER is one of the party are governed by the Italian law and in particular by the “Preservation of International Contracts of Sale” of movables, where it’s not derogated by these CONDITIONS and by the Convention of Vienna (11 April 1980).8.2 The competent court for any controversy concerning the sale of the PRODUCTS by the SELLER and the trade relation connected with the above mentioned sales is the court of the registered office of the SELLER, even when the legal actions started concerns documents of credit released to the SELLER, as means of payment.

1 KONDITIONSANSANWENDBARKEIT1.1 Diese allgemeinen Verkaufs- und Lieferkonditionen (nachstehend “die KONDITIONEN” genannt) gelten als Ergänzung jedes Verkaufsvertrages über Fliesen und andere Keramikzeugnisse (nachstehend „die PRODUKTE“ genannt) mit der Firma Powergres S.P.A. (nachstehend „der VERKÄUFER“ genannt). Mit Ausnahme der einzelnen Fälle, wo diese durch schriftliche Mitteilung des VERKÄUFERS abgeändert werden, gelten die KONDITIONEN als einzige Regelung dieser Verkäufe. Falls eine oder mehrere Teile dieser Konditionen oder Teile der einzelnen Verträge, die die Konditionen enthalten, sich ungültig erweisen sollten, bleiben die allgemeinen oder besonderen KONDITIONEN grundsätzlich gültig; die ungültigen Teile werden durch Vereinbarungen ersetzt, die möglichst dem ursprünglichen Wille der Parteien entsprechen.

2 VERKAUFSVERTRAGSABSCHLUSS- LIEFERUNG DER PRODUKTE2.1. Der Vertrag gilt als abgeschlossen, wenn der Anbieter oder Auftragsgeber von schriftlichen Einverständnis der Gegenseite Kenntnis nimmt.2.2. Der nicht schriftlich bestätigte Auftrag kann keinesfalls als angenommen betrachtet werden, mit Vorbehalt der Lieferung der PRODUKTE seitens des VERKÄUFERS. Teilauslieferung der bestellten Produkte gilt nicht als Annahme des gesamten Auftrages, sondern nur teilweise, zwar der tatsächlich gelieferten PRODUKTE.2.3. Ausgeschlossen wenn nicht anders schriftlich vereinbart, erfolgt die Lieferung der PRODUKTE in Italien und ins Ausland mit der Klausel „ab Werk in Sassuolo“.2.4. Wenn nicht anders vereinbart, gelten alle angegebenen Lieferzeiten als reine annähernde Angabe.

3. EIGENSCHAFTEN DER PRODUKTE – GARANTIELEISTUNG – REKLAMATIONEN3.1. Die Keramikfliesen und andere Keramikerzeugnisse, hergestellt von Powergres S.p.A.., entsprechen den europäischen UNI-DIN-EN Normen. Der VERKÄUFER verkauft ausschließlich an Fachgrosshändler, die für die Korrektheit der technischen Informationen an die Endverbraucher und/oder Einzelhändler verantwortlich sind. Die Eigenschaften der Produkte werden vom VERKÄUFER auf Werbematerial und/oder Preisliste angegeben; somit kann sich der Käufer bei Anwendung der PRODUKTE nach den Angaben des VERKÄUFERS richten. Um die Gebrauchsanweisungen zu erleichtern und die Standardsklassen mit den des VERKÄUFERS, anzupassen, werden neben jedem Produkt Zeichen aufgeführt, die die spezifischen Anwendungsmöglichkeiten, vom VERKÄUFER empfohlen, angeben.3.2. Farbunterschiede sind nicht Fehler der Produkte sondern Eigenschaft vom spezifischen Material, da zu hohen Temperaturen gebrannt wird. Frostbeständigkeitsgarantie wird nur geleistet für die Produkte, die vom VERKÄUFER als frostsicher auf Werbematerial und/oder Preisliste angegeben werden. Falls diese Angabe fehlt, sollen sich Keramikprodukte nur für interne Anwendung oder andernfalls in gegen Kälte abgedeckten Räumen sich geeignet verstehen.3.3 Keramikmaterialien mit glänzender Glasur werden für Räume abgeraten, die Ausgang nach Außen haben und Bereiche mit höherer Beanspruchung. Glänzende Fliesen sind außerdem gewissermaßen rutschig, besonders bei näss; somit werden diese von VERKÄUFER abgeraten für Anwendung beispielsweise in öffentlichen Bereichen. Für Bereiche mit höherer Beanspruchung sollte der Verkäufer nur die PRODUKTE anwenden, die von VERKÄUFER als PEI V angegeben sind und besonders die Fliesen, die vom VERKÄUFER spezifisch für Beispielsweise öffentliche Bereiche empfohlen werden.3.4. Die Abbildungen der PRODUKTE in Katalogen und anderen Werbeprospekten des VERKÄUFERS gelten als reine Darstellung und entsprechen nicht unbedingt dem Verlegungsendeffekt der abgebildeten PRODUKTE.3.5. Der VERKÄUFER leistet Garantie für die gute und einwandfreie Qualität der gelieferten PRODUKTE. Die Garantie gilt aber nicht für PRODUKTE, die der VERKÄUFER als Untersortierung (anders als 1. Sorte) kennzeichnet, oder für PRODUKTE die stockweise als Sonderposten verkauft werden. Es besteht jedenfalls eine Toleranz von ca. 5%.3.6. der VERKÄUFER ist nicht verantwortlich für Fehler und oder Mängel, die nicht auf die Qualität der PRODUKTE zurückzuführen sind, sondern auf eine unangemessene Anwendung derselben seitens des Käufers und/oder dessen Unterkäufer.3.7. Die Reklamationen sollen dem VERKÄUFER vom Käufer in 8 Tagen ab Erhalt der Ware mitgeteilt werden. Für nicht sichtbare Fehler läuft die Meldefrist 8 Tage ab Feststellung der Fehler. Der VERKÄUFER wird keinerlei Garantie leisten oder Verantwortung tragen für Fehler, die nach 12 Monaten ab Lieferung der Produkte zum Käufer gemeldet werden. Für nicht sichtbare Fehler gilt die Garantie des VERKÄUFERS bis 2 Jahre nach der Lieferung an den ersten Käufer. Die Meldung der Fehler muss dem VERKÄUFER unbedingt innerhalb 8 Tage ab Feststellung und nicht später erfolgen.3.8. Im allgemeinen gilt die Garantie nur für Fehler von noch nicht verlegten Produkten. Für eventuell nicht sichtbare Fehler, die erst nach der Verlegung festzustellen sind, ist nur Garantiegeltendmachung notwendig, dass der VERKÄUFER in die Lager versetzt wird, die einwandfreie Fachverlegung (lt. DIN 18352 Norm) festzustellen.3.9. Die Garantie des VERKÄUFERS beschränkt sich auf den Ersatz der Fehlerprodukte mit einwandfreien Produkten gleicher Art, nebst Transportkosten. Rückerstattung von weiteren Spesen und/oder Nebenkosten, insbesondere Abbau- und Wiedervelegungskosten der Produkte, sind ausdrücklich ausgeschlossen. Jedenfalls kann die Garantie der VERKÄUFERS, nicht 5 mal den Wert der reklamierten Ware übersteigen; Höchstbeitrag ist jedenfalls maximal € 10.0003.10. Der Herstellung ist für Reklamationen nicht verantwortlich, die lt. Bewertung der Keramikmaterialien seitens ausländischer Kontrolle- und/oder Prüfungsinstitute begründet wären, wenn die angewandten Maßstäbe anders sind als die des VERKÄUFERS. Eventuelle technischen Prüfungen, durchgeführt von den Käufern, sollen sich unbedingt nach den Angaben des VERKÄUFERS LT. ITALIENISCHEN Normen richten.

4 – PREISE UND ZAHLUNGSKONDITION4.1.Die Verkaufspreise der PRODUKTE sind auf der zur Zeit der Auftragsbestätigung gültigen Preisliste des VERKÄUFER aufgeführt. Im Falle von Verkaufsverträgen mit Lieferzeit, falls nicht fest schriftlich vereinbart, wird der Preis lt. zum Zeitpunkt der vereinzelten Lieferungen gültiger Preisliste berechnet. Für alle PRODUKTE, die für das Auslandbestimmt sind, können die Preise nach Ermessen des VERKÄUFERS in der ausländischen Währung oder in Euro berechnet werden.4.2.Jegliche Bankkosten und Spesen gehen zu Lasten des Käufers. Im Falle von Zahlungsverspätung entsteht dem VERKÄUFER das Recht, ohne jegliche Fristsetzung, nebst eventuellen Schadenersatz, auf Verspätungszinsen in Höhe des offiziellen italienischen Diskontosatzes plus 5%.

5 – VERTRETER DES VERKÄUFERS5.1. Die Vertreter des VERKÄUFERS sollen die Verkäufe fördern und sind nicht beauftragt, im Namen und Auftrag des HERSTELLERS zu handeln, wenn dazu nicht ausdrücklich schriftlich vom VERKÄUFER selber ermächtigt.5.2 Die vom Vertreter erteilten Aufträge sind für den VERKÄUFER nicht verbindlich und bedürfen somit der schriftlichen Annahme des VERKÄUFERS selbst.

6 – EIGENTUMSVORBEHALT6.1. Es ist zwischen den Parteien abgeschlossen, dass der Verkauf der PRODUKTE mit Eigentumsvorbehalt zu Gunsten des VERKÄUFERS bis zur vollständigen Zahlung des Preises lt. Art. 1523 und folg. des HGB durchgeführt wird. Allerdings wird das Risiko der Beschädigung der Ware dem Einkäufer bei Lieferung der PRODUKTE übertragen. Im Falle von Verkäufen ins Ausland, wenn die Ware an Dritte vor der Eigentumsvorbehalt zu Gunsten des VERKÄUFERS auch Dritten gegenüber, wo dies vom Gesetz erlaubt wird.6.2. Im Fall von Zahlungsverspätung seitens des Käufers, kann der VERKÄUFER ohne jegliche weitere Maßnahmen, die Gesamtasendung unter Eigentumsvorbehalt zurückholen und eventuell, wenn dies vom Gesetzt erlaubt wird erlaubt wird, alle Kredittitel Dritten gegenüber zurück verlangen (mit Vorbehalt jegliche weiteren gerichtlichen Maßnahmen zum Schadenersatz zu ergreifen).

7 – HÖHERE GEWALT7.1. Der VERKÄUFER ist dem Käufer gegenüber nicht verantwortlich für jede Unerfüllung inkl, Nichtlieferung oder verspäteter Lieferung, die aufgrund Ereignisse entstanden ist, welche außer reiner vernünftigen Kontrolle liegen, wie z.B. fehlender oder verspäteter Lieferung der Roh – und Bearbeitungsstoffen seitens der Lieferanten, Anlageschaden, Streich oder dergleichen, Einstellung der Stromversorgung, Stoppung oder Hindernisse beim Transport.

8 – ANWENDBARES GESETZ – ZUSTÄNDIGES GERICHT8.1. Die Auslandsverkaufsverträge des VERKÄUFERS werden vom italienischen Gesetz geregelt, und insbesondere vom Abkommen für internationale Warenverkäufe, falls nicht ausgeschlossen von den KONDITIONEN und vom Wiener Abkommen, von 11 April 1980.8.2. Zuständig für jede Streitigkeit mit Bezug auf den Verkauf der PRODUKTE des HERSTELLER und für die dazu gehörigen Geschäftsbeziehungen ist das Gericht in Italien, wo der VERKÄUFER seinen gesetzlichen Sitz hat, auch wenn der Streit um Kredittitel geht, die dem VERKÄUFER als Zahlungsmittel gegeben wurden.


Conditions générales de Vente.

1- A PPLICABILITE DES CONDITIONS.1. Les présentes conditions générales (ci après “Conditions”), font partie intégrante de tous les contrats de vente des carreaux ou de tout autre matériel céramique (ci après “le/les produits”) desquels la Powergres S.P.A. (ci après “Le vendeur”) est une des parties. Sauf dans le cas ou elles ont été dérogées par des accords écrits et signés par le VENDEUR, elles constitueront les règles de telles ventes. Si une ou plusieurs de ces CONDITIONS ou de contrats seuls qui les incluent, se révèlent invalides, les CONDITIONS générales ou particulières resteront valides comme un tout: les parties invalides seront substituées au travers d’accords se rapprochant le plus à la volonté des parties.

2- CONCLUSION DU CONTRAT DE VENTE – LIVRAISON2.1 Le contrat s’avère conclu au moment ou l’offrant ou le demandeur prend connaissance du contrat écrit de la contrepartie. 2.2 La commande non confirmée par écrit ne pourra en aucun cas être considérée comme acceptée, excepté pour la demande du contrat lui même par le VENDEUR a travers l’envoi ou la réception des PRODUITS. La livraison partielle de produits commandés n’inclue pas l’acceptation totale de la commande , seulement la partie des PRODUITS livrés.2.3 Sauf accord écrit différent, la livraison en Italie ou ailleurs se fera directement “Franco Magasin”.2.4 Sauf accord différent, toutes les dates de livraisons données le sont à titre indicatif.

3- CARACTERISTIQUES DES PRODUITS – GARANTIE – PLAINTES3.1 Les carreaux en céramique et autres PRODUITS en céramique produits par Powergres S.p.A.. sont conformes aux normes Européennes UNI-DEN-EN. Le VENDEUR vend exclusivement a des revendeurs professionnels responsables de la véracité des informations techniques données aux utilisateurs finaux / négociants.La classification du produit est indiquée par le VENDEUR par matériel publicitaire et/ou par listing de prix. L’acquéreur se doit d’utiliser les PRODUITS sur la base de la classification donnée par le VENDEUR.Pour faciliter les indications d’usage et adapter les classifications standards aux spécificités de la production du VENDEUR, a coté de chaque produit figurant sur les listes ou les catalogues se trouvent des symboles indiquant l’usage spécifique conseillé pour chaque produit.3-2 Les différences de tons des PRODUITS ne sont pas un défaut mais bien une caractéristiques des matériaux cuits à une haute température. La particularité requise pour la résistance à l’eau s’applique seulement aux produits que le VENDEUR garantie expressément a l’aide d’indications sur le matériel publicitaire et/ou sur le listing. Si aucune indication n’est présente, le matériel doit être considéré uniquement pour un usage intérieur ou un local a l’abri de toute intempérie.3.3 Les matériaux en céramique avec une surface brillante ne peuvent pas être utilisés sur un terrain plein avec un accès a l’extérieur, ni dans un local ou est prévue une grande activité. Les carreaux brillants sont susceptibles d’une certaine porosité, spécialement si ils sont mouillés, le VENDEUR ne dissuade pas pour un usage public. Pour les locaux dans lesquels sont prévues de grandes activités, l’acheteur devra seulement acheter les PRODUITS classés par le VENDEUR comme PEI V (IV), et en particulier les carreaux que le VENDEUR conseille SPECIALEMENT pour un usage dans un local public. 3.4 Les représentations des produits sur les dépliants et autres matériels publicitaires du VENDEUR sont purement illustratives et ne représentent pas nécessairement le résultat esthétique final du PRODUIT posé représenté.3.5 Le VENDEUR garantie la qualité et l’absence de vices de fabrications dans les produits fournis. La garantie ne s’applique pas aux PRODUITS classés par le fabriquant pour une qualité inférieure au 1°choix ou pour une partie de PRODUITS de fin de série, vendue en bloc et signalée comme partie spéciale. Une tolérance de 5% est malgré tout prévue.3.6 Le VENDEUR n’est pas responsable pour des vices et/ou anomalies relevés sur des PRODUITS non dus a la qualité du PRODUIT même mais a l’usage inapproprié de celui-ci de la part de l’acheteur et/ou de sa cause. Le VENDEUR n’accepte en particulier pas les plaintes ou contestations en relation avec les situations décrites.3.7 Les plaintes devront être communiquées par l’acheteur au VENDEUR avant les 8 jours suivant la réception de la marchandise. Pour des défauts découverts, de délai est de 8 jours de la découverte du défaut. En aucun cas le VENDEUR ne répondra pour des défauts signalés plus de 12 mois de la réception des PRODUITS par l’acheteur. Pour les défauts occultés, la garantie s’applique jusqu’a deux ans après la réception des PRODUITS par le premier acheteur au VENDEUR. La dénonciation de défauts devra être notifiée au VENDEUR dans, et non après, les 8 jours suivants la découverte. 3.8 En général, la garantie s’applique seulement aux défauts découverts sur des PRODUITS non posés. Pour d’éventuels défauts découverts a la suite de la pose du PRODUIT, il est nécessaire que le VENDEUR asserte de que la pose a été effectuée selon les règles de l’art (norme DIN 18352).3.9 La garantie du VENDEUR se limite à la substitution des produits défectueux contre des PRODUITS de même types ne présentant aucun vice de fabrication , transport inclus. Le remboursement d’ornement et/ou d’accessoires est exclu et en particulier, les couts de démolition et de repose de ces PRODUITS. Dans tous les cas, la garantie du VENDEUR ne pourra excéder cinq fois la valeur du matériel contesté, avec un maximum absolu de € 10.0003.10 Le VENDEUR ne répond pas aux plaintes d’une classification du matériel céramique de la part d’organismes de contrôle et/ou de certification extérieurs, différentes des Italiennes, sur la base de spécifications techniques qui ne correspondent pas à celles utilisées par le VENDEUR. D’éventuelles expertises techniques demandées par les acheteurs devront se baser sur la conformité du matériel vendu et aux spécificités techniques indiquées par le VENDEUR, en vigueur en Italie.

4- PRIX ET CONDITIONS DE PAIEMENT.4.1 Les prix de vente des PRODUITS sont ceux indiqués dans le listing du VENDEUR en vigueur au moment de la confirmation de la commande. En cas de contrat de vente comprenant diverses livraisons, les prix s’ils n’ont pas été fermement convenus par écrit, seront ceux du listing en vigueur au moment des livraisons seules. Pour tous les produits destinés à l’extérieur, les prix pourront être calculés au choix du VENDEUR, dans la monnaie du pays de destination, ou en euros.4.2 Tous les frais bancaires et de négociation sont à la charge de l’acheteur. En cas de retard de paiement, le VENDEUR aura le droit de percevoir, sans aucun droit de consultation, un intérêt moratoire égal au taux officiel des acomptes en Italie majoré de 3%.

5- AGENTS DU VENDEUR5.1 Les agents du VENDEUR promouvaient les ventes et ne sont pas autorisées a agir au nom et pour le compte du VENDEUR sans une préalable autorisation écrite.5.2 Les commandes transmises par les agents ne sont pas associées au VENDEUR et doivent donc être expressément acceptées par écrit par le VENDEUR lui même.

6- RESERVE DE PROPRIETE6.1 Il est convenu entre les parties que la vente des PRODUITS est effectuée avec une réserve de propriété en faveur du VENDEUR jusqu’au paiement total du prix convenu, d’après l’art. 1523 et suivants des c.c. Toutefois le risque d’endommagement de la marchandise se transmet à l’acheteur des la livraison des PRODUITS. Dans la vente a l’international dans le cas ou la marchandise serait vendue et livrée aux clients tiers avant le transfert de propriété, dans le milieu de rapports commerciaux normaux de l’acheteur lui même, la réserve de propriété en faveur du VENDEUR est transférée face au tiers, comme la loi l’autorise. 6.2 En cas de défaut de paiement de l’acheteur, le VENDEUR pourra, sans la nécessité d’aucune formalités ni de mise en demeure, retirer la totalité des marchandises faisant l’objet de la clause de réserve de propriété et éventuellement, pour autant que la loi le permette, prélever la totalités des titres de créance y afférants, vis-à-vis des tiers, sans préjudice de toute autre action en justice afin d’obtenir la réparation du préjudice subi.

7- FORCE MAJEURE7.1 Le VENDEUR n’est pas responsable de l’inexécution de l’acquéreur (y compris le retard ou l’absence de livraison) due à des évènements échappant à son contrôle raisonnable permis lesquels figurent à simple titre indicatif, le retard ou l’absence de livraison de matériaux de la part des fournisseurs, des pannes survenues, des grèves et autres formes d’interventions syndicales, des interruptions d’électricité ou encore des interruptions ou difficultés de transport.

8- DROIT APPLICABLE – CLAUSE D’ATTRIBUTION DE JURIDICTION8.1 Les contrats de vente à l’exportation souscrits par le VENDEUR sont régis par les lois italiennes et, plus particulièrement par la Convention sur les Contrat de Vente Internationale de biens mobiles sauf dérogation prévue par les présentes CONDITIONS ou la Convention de Vienne du 11 Avril 1980.8.2 Pour tout litige concernant les ventes de PRODUITS par le VENDEUR et des rapports naissants en rayon de ventes précitées, c’est le TRIBUNAL ou se trouve le siège social du VENDEUR qui sera compétent, y compris lorsque le recours intenté concerne des titres de créance donnés au VENDEUR en guise de paiement.
