    43 Obligations imposed by international lawindependently of a treaty

    The invalidity, termination or

    denunciation of a treaty, the withdrawalof a party from it, or the suspension ofits operation, as a result of theapplication of the present Convention orof the provisions of the treaty, shall notin any way impair the duty of any Stateto fulfil any obligation embodied in thetreaty to which it would be subject underinternational law independently of thetreaty.

    44 Separability of treaty provisions(1) A right of a party, provided for in a

    treaty or arising under article 56, todenounce, withdraw from or suspend theoperation of the treaty may be exercisedonly with respect to the whole treatyunless the treaty otherwise provides orthe parties otherwise agree.(2) A ground for invalidating,terminating, withdrawing from orsuspending the operation of a treatyrecognized in the present Conventionmay be invoked only with respect to thewhole treaty except as provided in thefollowing paragraphs or in article 60.(3) If the ground relates solely toparticular clauses, it may be invokedonly with respect to those clauseswhere:

    (a) the said clauses are separablefrom the remainder of the treaty withregard to their application;(b) it appears from the treaty or isotherwise established that acceptanceof those clauses was not an essential

    basis of the consent of the other partyor parties to be bound by the treaty asa whole; and(c) continued performance of theremainder of the treaty would not beunjust.

    (4) In cases falling under articles 49 and50, the State entitled to invoke the fraudor corruption may do so with respecteither to the whole treaty or, subject toparagraph 3, to the particular clausesalone.

    (5) In cases falling under articles 51, 52and 53, no separation of the provisions

    of the treaty is permitted.45 Loss of a right to invoke a ground for

    invalidating, terminating, withdrawingfrom or suspending the operation of atreaty

    A State may no longer invoke a groundfor invalidating, terminating,withdrawing from or suspending theoperation of a treaty under articles 46 to50 or articles 60 and 62 if, afterbecoming aware of the facts:(a) it shall have expressly agreed thatthe treaty is valid or remains in force orcontinues in operation, as the case maybe; or(b) it must by reason of its conduct beconsidered as having acquiesced in the

    validity of the treaty or in itsmaintenance in force or in operation, asthe case may be.

    SECTION 2. INVALIDITY OF TREATIES46 Provisions of internal law regarding

    competence to conclude treaties(1) A State may not invoke the fact thatits consent to be bound by a treaty hasbeen expressed in violation of aprovision of its internal law regardingcompetence to conclude treaties asinvalidating its consent unless thatviolation was manifest and concerned arule of its internal law of fundamentalimportance.(2) A violation is manifest if it would beobjectively evident to any Stateconducting itself in the matter inaccordance with normal practice and ingood faith.

    47 Specific restrictions on authority toexpress the consent of a StateIf the authority of a representative to

    express the consent of a State to bebound by a particular treaty has beenmade subject to a specific restriction, hisomission to observe that restriction maynot be invoked as invalidating theconsent expressed by him unless therestriction was notified to the othernegotiating States prior to hisexpressing such consent.

    48 Error(1) A State may invoke an error in atreaty as invalidating its consent to bebound by the treaty if the error relatesto a fact or situation which was assumed

    by that State to exist at the time whenthe treaty was concluded and formed anessential basis of its consent to bebound by the treaty.(2) Paragraph 1 shall not apply if the

    State in question contributed by its ownconduct to the error or if thecircumstances were such as to put thatState on notice of a possible error.(3) An error relating only to the wordingof the text of a treaty does not affect itsvalidity; article 79 then applies.

    49 FraudIf a State has been induced to concludea treaty by the fraudulent conduct ofanother negotiating State, the State mayinvoke the fraud as invalidating its

    consent to be bound by the treaty.50 Corruption of a representative of a State

    If the expression of a States consent tobe bound by a treaty has been procuredthrough the corruption of itsrepresentative directly or indirectly byanother negotiating State, the State mayinvoke such corruption as invalidating itsconsent to be bound by the treaty.

    51 Coercion of a representative of a StateThe expression of a States consent tobe bound by a treaty which has beenprocured by the coercion of itsrepresentative through acts or threatsdirected against him shall be withoutany legal effect.

    52 Coercion of a State by the threat or useof forceA treaty is void if its conclusion has beenprocured by the threat or use of force inviolation of the principles of internationallaw embodied in the Charter of theUnited Nations.

    53 Treaties conflicting with a peremptorynorm of general international law (juscogens)A treaty is void if, at the time of itsconclusion, it conflicts with a peremptorynorm of general international law. Forthe purposes of the present Convention,a peremptory norm of generalinternational law is a norm accepted andrecognized by the internationalcommunity of States as a whole as anorm from which no derogation ispermitted and which can be modifiedonly by a subsequent norm of general

    international law having the samecharacter.

    SECTION 3. TERMINATION AND SUSPENSION OF THE OPERATION OF TREATIES54 Termination of or withdrawal from a

    treaty under its provisions or by consent

    of the partiesThe termination of a treaty or thewithdrawal of a party may take place:

    (a) in conformity with the provisions ofthe treaty; or(b) at any time by consent of all theparties after consultation with theother contracting States.

    55 Reduction of the parties to a multilateraltreaty below the number necessary forits entry into forceUnless the treaty otherwise provides, a

    multilateral treaty does not terminate byreason only of the fact that the numberof the parties falls below the numbernecessary for its entry into force.

    (a) it is established that the partiesintended to admit the possibility ofdenunciation or withdrawal; or(b) a right of denunciation orwithdrawal may be implied by thenature of the treaty.

    (2) A party shall give not less thantwelve months notice of its intention todenounce or withdraw from a treaty

    under paragraph 1.

    58 Suspension of the operation of a

    multilateral treaty by agreementbetween certain of the parties only(1) Two or more parties to a multilateraltreaty may conclude an agreement tosuspend the operation of provisions ofthe treaty, temporarily and as betweenthemselves alone, if:

    (a) the possibility of such a suspensionis provided for by the treaty; or(b) the suspension in question is notprohibited by the treaty and:

    (i) does not affect the enjoyment by

    the other parties of their rightsunder the treaty or the performanceof their obligations;(ii) is not incompatible with theobject and purpose of the treaty.

    (2) Unless in a case falling underparagraph 1 (a) the treaty otherwiseprovides, the parties in question shallnotify the other parties of their intentionto conclude the agreement and of thoseprovisions of the treaty the operation ofwhich they intend to suspend.

    (a) it appears from the later treaty oris otherwise established that theparties intended that the mattershould be governed by that treaty; or(b) the provisions of the later treatyare so far incompatible with those ofthe earlier one that the two treatiesare not capable of being applied at thesame time.

    (2) The earlier treaty shall be consideredas only suspended in operation if it

    60 Termination or suspension of theoperation of a treaty as a consequenceof its breach(1) A material breach of a bilateral treatyby one of the parties entitles the otherto invoke the breach as a ground forterminating the treaty or suspending itsoperation in whole or in part.

    (2) A material breach of a multilateraltreaty by one of the parties entitles:

    (a) the other parties by unanimousagreement to suspend the operationof the treaty in whole or in part or toterminate it either:

    (i) in the relations betweenthemselves and the defaultingState; or(ii) as between all the parties;

    (b) a party specially affected by thebreach to invoke it as a ground forsuspending the operation of the treatyin whole or in part in the relationsbetween itself and the defaultingState;(c) any party other than the defaultingState to invoke the breach as aground for suspending the operationof the treaty in whole or in part withrespect to itself if the treaty is of sucha character that a material breach ofits provisions by one party radically

    changes the position of every partywith respect to the furtherperformance of its obligations underthe treaty.

    (3) A material breach of a treaty, for thepurposes of this article, consists in:

    (a) a repudiation of the treaty notsanctioned by the present Convention;or(b) the violation of a provisionessential to the accomplishment ofthe object or purpose of the treaty.

    (4) The foregoing paragraphs arewithout prejudice to any provision in the

    of a humanitarian character, inparticular to provisions prohibiting anyform of reprisals against personsprotected by such treaties.

    61 Supervening impossibility of performance(1) A party may invoke the impossibilityof performing a treaty as a ground forterminating or withdrawing from it if theimpossibility results from the permanentdisappearance or destruction of anobject indispensable for the execution ofthe treaty. If the impossibility istemporary, it may be invoked only as aground for suspending the operation ofthe treaty.(2) Impossibility of performance may notbe invoked by a party as a ground forterminating, withdrawing from orsuspending the operation of a treaty ifthe impossibility is the result of a breach

    by that party either of an obligationunder the treaty or of any otherinternational obligation owed to anyother party to the treaty.

    62 Fundamental change of circumstances(1) A fundamental change ofcircumstances which has occurred withregard to those existing at the time ofthe conclusion of a treaty, and whichwas not foreseen by the parties, may notbe invoked as a ground for terminatingor withdrawing from the treaty unless:

    (a) the existence of thosecircumstances constituted an

    essential basis of the consent of theparties to be bound by the treaty; and(b) the effect of the change is radicallyto transform the extent of obligationsstill to be performed under the treaty.

    (2) A fundamental change of circumstances may not be invoked as aground for terminating or withdrawingfrom a treaty:

    (a) if the treaty establishes aboundary; or(b) if the fundamental change is theresult of a breach by the partyinvoking it either of an obligationunder the treaty or of any otherinternational obligation owed to anyother party to the treaty.

    (3) If, under the foregoing paragraphs, aparty may invoke a fundamental changeof circumstances as a ground forterminating or withdrawing from a treatyit may also invoke the change as aground for suspending the operation ofthe treaty.

    63 Severance of diplomatic or consularrelations

    The severance of diplomatic or consularrelations between parties to a treatydoes not affect the legal relationsestablished between them by the treatyexcept insofar as the existence ofdiplomatic or consular relations isindispensable for the application of thetreaty.

    64 Emergence of a new peremptory normof general international law (juscogens)If a new peremptory norm of generalinternational law emerges, any existingtreaty which is in conflict with that norm

    becomes void and terminates.SECTION 4. PROCEDURE

    65 Procedure to be followed with respect toinvalidity, termination, withdrawal fromor suspension of the operation of atreaty(1) A party which, under the provisionsof the present Convention, invokeseither a defect in its consent to bebound by a treaty or a ground forimpeaching the validity of a treaty,terminating it, withdrawing from it or

    suspending its operation, must notify theother parties of its claim. The notification

    shall indicate the measure proposed tobe taken with respect to the treaty andthe reasons therefor.(2) If, after the expiry of a period which,except in cases of special urgency, shall

    not be less than three months after thereceipt of the notification, no party hasraised any objection, the party makingthe notification may carry out in themanner provided in article 67 themeasure which it has proposed.(3) If, however, objection has beenraised by any other party, the partiesshall seek a solution through the meansindicated in Article 33 of the Charter ofthe United Nations.(4) Nothing in the foregoing paragraphs

    shall affect the rights or obligations ofthe parties under any provisions in forcebinding the parties with regard to thesettlement of disputes.(5) Without prejudice to article 45, thefact that a State has not previouslymade the notification prescribed inparagraph 1 shall not prevent it frommaking such notification in answer toanother party claiming performance ofthe treaty or alleging its violation.

    66 Procedures for judicial settlement,arbitration and conciliationIf, under paragraph 3 of article 65, nosolution has been reached within aperiod of 12 months following the dateon which the objection was raised, thefollowing procedures shall be followed:

    (a) any one of the parties to a disputeconcerning the application or theinterpretation of article 53 or 64 may,by a written application, submit it tothe International Court of Justice for a

    decision unless the parties by commonconsent agree to submit the dispute toarbitration;(b) any one of the parties to a disputeconcerning the application or theinterpretation of any of the otherarticles in part V of the presentConvention may set in motion theprocedure specified in the Annex to theConvention by submitting a request tothat effect to the Secretary-General ofthe United Nations.

    67 Instruments for declaring invalid,terminating, withdrawing from or

    terminating, withdrawing from orsuspending the operation of a treatypursuant to the provisions of the treatyor of paragraphs 2 or 3 of article 65 shallbe carried out through an instrumentcommunicated to the other parties. Ifthe instrument is not signed by the Headof State, Head of Government or Ministerfor Foreign Affairs, the representative ofthe State communicating it may becalled upon to produce full powers.

    SECTION 5. CONSEQUENCES OF THE INVALIDITY, TERMINATION ORSUSPENSION OF THE OPERATION OF A TREATY

    69 Consequences of the invalidity of atreaty(1) A treaty the invalidity of which isestablished under the presentConvention is void. The provisions of avoid treaty have no legal force.(2) If acts have nevertheless beenperformed in reliance on such a treaty:

    (a) each party may require any otherparty to establish as far as possible intheir mutual relations the position thatwould have existed if the acts had notbeen performed;(b) acts performed in good faithbefore the invalidity was invoked arenot rendered unlawful by reason onlyof the invalidity of the treaty.

    (3) In cases falling under article 49, 50,51 or 52, paragraph 2 does not applywith respect to the party to which the

    fraud, the act of corruption or thecoercion is imputable.

    70 Consequences of the termination of atreaty(1) Unless the treaty otherwise providesor the parties otherwise agree, thetermination of a treaty under itsprovisions or in accordance with thepresent Convention:

    (a) releases the parties from anyobligation further to perform thetreaty;(b) does not affect any right,obligation or legal situation of theparties created through the executionof the treaty prior to its termination.

    (2) If a State denounces or withdrawsfrom a multilateral treaty, paragraph 1applies in the relations between thatState and each of the other parties tothe treaty from the date when suchdenunciation or withdrawal takes effect.

    71 Consequences of the invalidity of atreaty which conflicts with a peremptorynorm of general international law(1) In the case of a treaty which is voidunder article 53 the parties shall:

    (a) eliminate as far as possible theconsequences of any act performed inreliance on any provision which

    72 Consequences of the suspension of theoperation of a treaty(1) Unless the treaty otherwise providesor the parties otherwise agree, thesuspension of the operation of a treatyunder its provisions or in accordancewith the present Convention:

    (a) releases the parties between which

    the operation of the treaty issuspended from the obligation toperform the treaty in their mutualrelations during the period of thesuspension;(b) does not otherwise affect the legalrelations between the partiesestablished by the treaty.

    (2) During the period of the suspensionthe parties shall refrain from actstending to obstruct the resumption ofthe operation of the treaty.

    PART VI.MISCELLANEOUS PROVISIONS

    73 Cases of State succession, State

    responsibility and outbreak of hostilitiesThe provisions of the present Conventionshall not prejudge any question thatmay arise in regard to a treaty from asuccession of States or from theinternational responsibility of a State orfrom the outbreak of hostilities betweenStates.

    74 Diplomatic and consular relations andthe conclusion of treaties

    The severance or absence of diplomaticor consular relations between two or

    more States does not prevent theconclusion of treaties between thoseStates. The conclusion of a treaty doesnot in itself affect the situation in regardto diplomatic or consular relations.

    75 Case of an aggressor StateThe provisions of the present Conventionare without prejudice to any obligation inrelation to a treaty which may arise foran aggressor State in consequence ofmeasures taken in conformity with theCharter of the United Nations withreference to that States aggression.

    PART VII.DEPOSITARIES, NOTIFICATIONS, CORRECTIONS AND REGISTRATION

    76 Depositaries of treaties(1) The designation of the depositary ofa treaty may be made by thenegotiating States, either in the treatyitself or in some other manner. Thedepositary may be one or more States,an international organization or the chiefadministrative officer of the

    organization.(2) The functions of the depositary of atreaty are international in character andthe depositary is under an obligation toact impartially in their performance. Inparticular, the fact that a treaty has notentered into force between certain ofthe parties or that a difference hasappeared between a State and adepositary with regard to theperformance of the latters functionsshall not affect that obligation.

    (1) The functions of a depositary, unlessotherwise provided in the treaty oragreed by the contracting States,comprise in particular:

    (a) keeping custody of the original

    text of the treaty and of any fullpowers delivered to the depositary;(b) preparing certified copies of theoriginal text and preparing any furthertext of the treaty in such additionallanguages as may be required by thetreaty and transmitting them to theparties and to the States entitled tobecome parties to the treaty;(c) receiving any signatures to thetreaty and receiving and keepingcustody of any instruments,

    notifications and communicationsrelating to it;(d) examining whether the signatureor any instrument, notification orcommunication relating to the treatyis in due and proper form and, if needbe, bringing the matter to theattention of the State in question;(e) informing the parties and theStates entitled to become parties tothe treaty of acts, notifications andcommunications relating to the treaty;(f) informing the States entitled tobecome parties to the treaty when thenumber of signatures or of instruments of ratification,acceptance, approval or accessionrequired for the entry into force of thetreaty has been received or deposited;(g) registering the treaty with theSecretariat of the United Nations;(h) performing the functions specifiedin other provisions of the present

    Convention.(2) In the event of any differenceappearing between a State and thedepositary as to the performance of thelatters functions, the depositary shallbring the question to the attention of thesignatory States and the contractingStates or, where appropriate, of thecompetent organ of the internationalorganization concerned.

    78 Notifications and communicationsExcept as the treaty or the present

    Convention otherwise provide, anynotification or communication to be

    made by any State under the presentConvention shall:

    (a) if there is no depositary, betransmitted direct to the States forwhich it is intended, or if there is a

    depositary, to the latter;(b) be considered as having been madeby the State in question only upon itsreceipt by the State to which it wastransmitted or, as the case may be,upon its receipt by the depositary;(c) if transmitted to a depositary, beconsidered as received by the State forwhich it was intended only when thelatter State has been informed by thedepositary in accordance with article77, paragraph 1 (e).

    79 Correction of errors in texts or incertified copies of treaties(1) Where, after the authentication ofthe text of a treaty, the signatory Statesand the contracting States are agreedthat it contains an error, the error shall,unless they decide upon some othermeans of correction, be corrected:

    (a) by having the appropriatecorrection made in the text andcausing the correction to be initialledby duly authorized representatives;(b) by executing or exchanging aninstrument or instruments setting outthe correction which it has beenagreed to make; or(c) by executing a corrected text ofthe whole treaty by the sameprocedure as in the case of theoriginal text.

    (2) Where the treaty is one for whichthere is a depositary, the latter shallnotify the signatory States and the

    contracting States of the error and of theproposal to correct it and shall specifyan appropriate time-limit within whichobjection to the proposed correctionmay be raised. If, on the expiry of thetime-limit:

    (a) no objection has been raised, thedepositary shall make and initial thecorrection in the text and shallexecute a procs-verbal of therectification of the text andcommunicate a copy of it to the

    parties and to the States entitled tobecome parties to the treaty;

    (b) an objection has been raised, thedepositary shall communicate theobjection to the signatory States andto the contracting States.

    (3) The rules in paragraphs I and 2 apply

    also where the text has beenauthenticated in two or more languagesand it appears that there is a lack ofconcordance which the signatory Statesand the contracting States agree shouldbe corrected.(4) The corrected text replaces thedefective text ab initio, unless thesignatory States and the contractingStates otherwise decide.(5) The correction of the text of a treatythat has been registered shall be

    notified to the Secretariat of the UnitedNations.(6) Where an error is discovered in acertified copy of a treaty, the depositaryshall execute a procs-verbal specifyingthe rectification and communicate acopy of it to the signatory States and tothe contracting States.

    80 Registration and publication of treaties(1) Treaties shall, after their entry intoforce, be transmitted to the Secretariatof the United Nations for registration orfiling and recording, as the case may be,and for publication.(2) The designation of a depositary shallconstitute authorization for it to performthe acts specified in the precedingparagraph.

    PART VIII.FINAL PROVISIONS

    81 SignatureThe present Convention shall be openfor signature by all States Members of

    the United Nations or of any of thespecialized agencies or of theInternational Atomic Energy Agency orparties to the Statute of theInternational Court of Justice, and by anyother State invited by the GeneralAssembly of the United Nations tobecome a party to the Convention, asfollows: until 30 November 1969, at theFederal Ministry for Foreign Affairs of theRepublic of Austria, and subsequently,until 30 April 1970, at United Nations

    The present Convention is subject toratification. The instruments ofratification shall be deposited with theSecretary-General of the United Nations.

    83 Accession

    The present Convention shall remainopen for accession by any Statebelonging to any of the categoriesmentioned in article 81. The instrumentsof accession shall be deposited with theSecretary-General of the United Nations.

    84 Entry into force(1) The present Convention shall enterinto force on the thirtieth day followingthe date of deposit of the thirty-fifthinstrument of ratification or accession.(2) For each State ratifying or acceding

    to the Convention after the deposit ofthe thirty-fifth instrument of ratificationor accession, the Convention shall enterinto force on the thirtieth day afterdeposit by such State of its instrumentof ratification or accession.

    85 Authentic textsThe original of the present Convention,of which the Chinese, English, French,Russian and Spanish texts are equallyauthentic, shall be deposited with theSecretary-General of the United Nations.IN WITNESS WHEREOF the undersignedPlenipotentiaries, being duly authorizedthereto by their respectiveGovernments, have signed the presentConvention.DONE at Vienna this twenty-third day ofMay, one thousand nine hundred andsixty-nine.

    nominated to fill a casual vacancy, shallbe five years and may be renewed. Aconciliator whose term expires shallcontinue to fulfil any function for whichhe shall have been chosen under the

    following paragraph.2 When a request has been made to theSecretary-General under article 66, theSecretary-General shall bring the disputebefore a conciliation commissionconstituted as follows:

    The State or States constituting one ofthe parties to the dispute shall appoint:(a) one conciliator of the nationality ofthat State or of one of those States,who may or may not be chosen from

    the list referred to in paragraph 1; and(b) one conciliator not of thenationality of that State or of any ofthose States, who shall be chosenfrom the list.

    The State or States constituting theother party to the dispute shall appointtwo conciliators in the same way. Thefour conciliators chosen by the partiesshall be appointed within sixty daysfollowing the date on which theSecretary-General receives therequest.

    The four conciliators shall, within sixtydays following the date of the last oftheir own appointments, appoint a fifthconciliator chosen from the list, whoshall be chairman.

    If the appointment of the chairman orof any of the other conciliators has not

    been made within the periodprescribed above for suchappointment, it shall be made by theSecretary-General within sixty daysfollowing the expiry of that period. Theappointment of the chairman may bemade by the Secretary-General eitherfrom the list or from the membership ofthe International Law Commission. Anyof the periods within whichappointments must be made may beextended by agreement between the

    parties to the dispute.

    Any vacancy shall be filled in themanner prescribed for the initialappointment.

    3 The Conciliation Commission shalldecide its own procedure. The

    Commission, with the consent of theparties to the dispute, may invite anyparty to the treaty to submit to it itsviews orally or in writing. Decisions andrecommendations of the Commissionshall be made by a majority vote of thefive members.

    4 The Commission may draw the attentionof the parties to the dispute to anymeasures which might facilitate anamicable settlement.

    5 The Commission shall hear the parties,

    examine the claims and objections, andmake proposals to the parties with aview to reaching an amicable settlementof the dispute.

    6 The Commission shall report withintwelve months of its constitution. Itsreport shall be deposited with theSecretary-General and transmitted tothe parties to the dispute. The report ofthe Commission, including anyconclusions stated therein regarding thefacts or questions of law, shall not bebinding upon the parties and it shallhave no other character than that ofrecommendations submitted for theconsideration of the parties in order tofacilitate an amicable settlement of thedispute.

    7 The Secretary-General shall provide theCommission with such assistance andfacilities as it may require. The expensesof the Commission shall be borne by theUnited Nations.
