I. Welcome and Introductions - Board Chair Terry Worthington called the meeting to order at 9:15

AM. After introducing himself and asking participants to do likewise, Worthington noted that

Margie Smith, President of the United Way of the Florida Keys, is resigning at the end of the year.

He welcomed new United Way of Florida Volunteer Board Members (2014-2017): Paul Daly

(United Way of Broward County), Adrian Laffitte (United Way of Brevard County), John Attaway

(United Way of Central Florida), and Debbie Mason (United Way of North Central Florida). He

then introduced new Chief Professional Officers to the group: Angie Bonfardino (United Way of

Hernando County), Ana Maria Moran-Loubriel (United Way of Lake and Sumter Counties), Dana

Clayton (Interim Exec, United Way of North Central Florida), Suzanne McCormick (United Way

Suncoast), and Michelle Braun (United Way of Northeast Florida).

II. Consent Agenda - Worthington asked if Board members had read the June 20, 2014 Board of

Governors meeting minutes and asked if there were any questions. There being none and motion

being made and seconded, the minutes were approved.

III. Proposed 2014-2017 Strategic Plan - Worthington noted that Debbie Mason and Ted Granger had

refined the final Strategic Plan that had been approved in concept at the February Board Meeting.

Amy Meek questioned whether the United Way of Florida should have a special reserve for its

operations in the event of a disaster. The Board agreed that funds maintained by the organization Page 4

under its Reserve Policy should be sufficient to cover the organization if a shortfall occurs due to a

disaster. A suggestion was made to form an Ad-hoc Disaster Response Committee to develop

guidelines for United Way of Florida‟s response to a disaster. Motion was then made, seconded,

and unanimously voted upon to approve the 2014-2017 Strategic Plan.

IV. Strategic Plan Priority Updates

A. ALICE - Duggan Cooley provided a very optimistic report about the reception of the ALICE

Report by Publix Associates to whom he had presented. He told the Board that the discussion

following his summary of the Report was the best he had ever had with a Publix Associates

group. Lars Gilberts then provided his Statewide Director‟s report (attached) and Bob

Thompson reported that at the last meeting of the ALICE Statewide Steering Committee, the

Committee had considered the Board‟s previous decision to request a three-year funding

commitment from local United Ways based upon their Business Performance Matrix (BPM)

categorization. The Steering Committee recommended to the Board that United Ways be

allowed to make one-year annual commitments moving forward and, because the old Metro

system of categorizing United Ways better reflects ability to provide resources to support

ALICE, that the cost-sharing methodology be based on Metro size. The United Way of

Broward County, which has been „fronting‟ the funding to support ALICE, will bill each

United Way according to that approach.

1. A question was raised about how shortfalls in funding will be addressed if some United

Ways do not support the initiative.

2. Bob Thompson reported that the Steering Committee had agreed that one option for

securing funding to sustain the statewide ALICE initiative is to seek corporate support

and support from other non-United Way entities (foundations, etc.). He also reported

that the Committee had unanimously agreed to recommend to the Board that:

a. Funds received from non-United Way sources shall be expended in priority order

as follows:

i. First, to cover shortfalls resulting from United Ways that do not make a

financial commitment to sustain the statewide ALICE initiative.

ii. Second, to cover costs associated with producing the next Florida ALICE

Report.

iii. Third, to enhance current statewide ALICE sustainability activities.

B. Public Policy - Granger provided an overview of the proposed 2015 Florida United Way

Legislative Consensus Agenda. He noted that the Public Policy Committee had provided the

Agenda and the accompanying Issue Papers to United Ways in early October, so local United

Way Boards can vote on it by December 1. The United Way of Florida Board will then take an

e-mail vote on the Agenda. An issue submitted separately to United Ways for consideration

was health care coverage expansion. The question asked is whether Florida‟s United Ways

support extending health care coverage to more than one million Floridians by drawing down

federal health care coverage expansion dollars, commonly referred to as “Medicaid expansion

dollars.” Discussion ensued on whether local United Ways should support the position and

whether the United Way of Florida should support it, regardless of whether some United Way

of Florida members oppose it. No agreement was reached. Granger then provided an overview

of United Ways Hill Days, Children‟s Week, and the inaugural Senior Day.

C. Training - Heather Mitchell then provided an overview of preliminary plans for the June

United Way of Florida Leaders Conference, and enlisted CPO assistance in participating

themselves – or their staff – on planning committees.

V. FSECC - Mitchell provided an overview of some of the initiatives that the United Way of the Big

Bend has undertaken to continue engaging state employees. The United Way of the Big Bend is

conducting a Thank-A-Thon using hand held signs and billboards, sending “thank yous” to those

employees whose addresses they have, and working to engage state employees in various United

Way of the Big Bend Impact Councils.

VI. Women’s Leadership Councils - Amy Meek questioned the benefit to United Way of having

different parameters, and standards, and even names for United Way Women‟s Leadership Councils.

Lack of consistency leads to challenges in engaging women as they move from one Leadership

Council to another, causes confusion, and raises unnecessary questions. Scot Quintel is collecting

information on different standards for Women‟s Leadership Councils around the state. He will

report his findings at the next meeting.

VII. Treasurer’s Report - Jim Judge, acting on behalf of Secretary/Treasurer Bob Brown, provided a

brief overview of the August 2014 Income and Expense Statement and Financials. There being no

questions or comments; a motion was made, seconded, and unanimously adopted to approve the

expense statements and financials.

Membership Investment Conversation Colleagues:

Stacey and I wanted to take a moment to provide an update on the dues adjustment conversation.

First, our sincerest thanks to all who have taken the time to share their insightful questions and provided suggestions. Nearly 1,000 United Way professional leaders and board members participated through webinars, phone calls, emails and office hours to learn more about the proposed changes to United Way Worldwide's dues structure.

Your input is shaping the way we move forward. One of the themes we're hearing is that this process feels rushed. That was not our intent. We are going to continue to shape the proposal based on your feedback to ensure that you and your boards are confident in our approach. To that end, we are going to deeply engage with a group of United Ways that are representatives of the breadth of our network to help develop recommendations on a framework for resourcing our work - including dues. You'll hear more details very soon.

So that we can have sufficient time for all concerns to be taken into consideration, United Way Worldwide's board will consider the dues adjustment at their June 9, 2015 meeting versus the March meeting.

We also heard that many of you are struggling with government grants and other sources of funding from which you are not covering your costs. We're taking a couple of immediate steps to help you address those challenges. As we noted in an earlier email, we're bringing together a working group to help shape recommendations about how we better, and more efficiently, address some of these critical business challenges we're all facing. We'll share more details as this group comes together.

We're also partnering with the National Council of Nonprofits to bring you a series of webinars to help you navigate and take advantage of the new grantmaking reforms from the federal government that are changing the rules for how governments at all levels reimburse nonprofits for the services they provide. Under the old rules, United Ways lost twice - as underfunded grantees of governments and as funders who subsidize governments that fail to cover nonprofits' actual costs to provide services. The new rules, that went into effect last December, treat more nonprofit expenses as reimbursable direct costs, mandate that at least a portion of a grantee's indirect costs get paid, and raise the single-audit threshold. The first webinar, tailored to small United Ways will be hosted on March 5 at 3:00 pm ET. To register, please click here. Four years after the ALICE Report launched in New Jersey the front running gubernatorial candidate is framing and directing much of his platform toward ALICE. In less than four months since the launch of Florida’s ALICE Report the Federal Reserve, Wells Fargo and Florida’s largest housing coalition have embraced and promoted the report. Thousands of community leaders and millions of Floridians are beginning to have words, stories and data to see and serve those who work hard yet struggle more each year. This report will highlight what has brought us to this point and some of the Bold Plays that can lead to more opportunities for Florida’s families and United Ways.

The ALICE Report was successfully launched by 28 local United Ways (LUW).

Every county has been touched by more than 100 TV, radio and newspaper articles and counting. The report hasbeen featured and referenced in at least as many partner newsletters and web articles.

The Drudge Report picked up a Sarasota Herald Tribune article featuring the report, which led to hundreds ofthousands of online article views as well as additional national and international coverage for Florida’s report.

Atlanta’s Branch of the Federal Reserve Bank took the momentous step of highlighting the report and how itconnected to their research and priorities and how it could impact other stakeholders. They are now planning toconvene Florida businesses, bankers and policy makers around the issues the report raises.

Scholastic Junior just released their article on the American Middle Class, featuring ALICE families, which is beingdistributed to thousands of middle schools around Florida and the country.

Wells Fargo encouraged United Way of Broward County to include outreach and education for the ALICE Reportin their most recent grant application. If fully funded this would cover the financial gap needed to coverstatewide ALICE promotion. Wells’ Community Affairs Manager (Connie Smith) organized an hour webinar for theDirector to equip all of Florida’s Community Development and Community Affairs staff on the report so they canin turn their state and local senior leaders regarding future investments and engagement. (More detail availableif so desired.)

Corporate Engagement – facilitating new and larger corporate gifts and involvement has been a key goalassociated with the ALICE Report yet the delayed launch also pushed back this work. The Director and theCorporate Engagement Committee (CEC) will be working with LUWs to bring the support of the report and thestate to bear on additional corporations.

o Florida Crystals – conversations have been started and are continuing for the first company engaged bythe Corporate Engagement Committee in partnership with the LWU (United Way of Palm Beach County).

o Engagement and Financial Support – development targets are currently equally split between engagingnon-donor organizations and current donors. Please contact the Director or the committee if you haveimminent or urgent opportunities you would like support with.

o Policy and Practice – as with financial requests, the Director will not independently approach acorporation with policy or practice opportunities. As opportunities emerge he will approach the LUWs orUWoF Board. One example and proposal would be to partner with FPL to report consumers’ ‘full file’rather than just extreme delinquency to the credit bureaus. Other utilities do this, which helps countlessfamilies access and improve credit, saving them thousands of dollars and opening new opportunities(education, occupation, transportation, housing etc).

Florida Housing Coalition – more than 70 housing groups across Florida participated in the initial webinar withmore than a dozen requesting the recording. The report and United Way’s work was featured in their monthlynewsletter as well as in a feature article in their annual report. They have already requested we present at their

prestigious annual conference in September. Their support has lead to numerous opportunities including presenting to the Florida Realtors.

Florida Realtors – the Attainable/Workforce Housing Subcommittee of the Florida Realtors asked to be briefed onthe ALICE Report and its implications. They plan to use the information to inform and support their state andlocal policy recommendations.

Florida Prosperity Partnership (FPP) – the report was presented at eight regional FPP meetings to more than 300participants. The Director was also appointed to the statewide FPP board, which will provide increasedopportunity to connect and align FPP objectives with the ALICE Report and United Way’s work.

Corporation for Enterprise Development (CFED) – United Way of Broward County was selected as a lead localorganization within CFED’s Assets and Opportunity Network (AON). The Director has been actively working withthe AON staff to make changes that will benefit Florida United Ways. He has also been working with their policyteam to update and share state and local policy tools to support issues of education, income and health. TheDirector approached CFED staff prior to the launch regarding aligning their annual Scorecard with the report andin January CFED initiated contact regarding what might be possible for the 2016 Scorecard.

Elected Officials – the Director has already presented to nearly 60 elected officials or their aides at the request ofLUWs. LUWs also shared the report to at least as many local and state officials.

Interviews – five LUWs asked the Director to participate in seven interviews with radio and newspapers and anadditional dozen LUWs asked for support in developing and refining communications.

Local Presentations – in the past three months the Director has developed numerous presentations includingnearly two dozen that he has conducted on behalf of LUWs.

ALICE Policy Primer – the Director presented to LUWs in Florida and in the five other participating ‘ALICE States’on opportunities to connect ALICE data with local and state policy recommendations. By focusing on thepopulation, economic impact and sustainable solutions we believe all political parties can be more receptive.

– The Director’s goal is to use the ALICE Report and the opportunities it offers to increase United Way’sperception as the philanthropy of choice in Florida. He hopes to accomplish this by continuing to raise United Way’s profile as a leading source for the best practices and policies that promote family stability. The strong brand, relationships and interest in the ALICE Report provide many opportunities to make some Bold Plays to grow resources, influence and solutions over the coming years.

Middle Class Messaging – with the ‘middle class’ featured strongly in national politics we have the opportunity toinfluence part of the narrative and to impartially point out the growing ALICE population below middle class butabove poverty. A stretch goal is to have this population featured in the presidential campaigns and debates.

Local Policy – at the other end of the spectrum from national policy is the virtually untapped potential of workingwith local cities and counties to provide solutions that offer protection and opportunity to ALICE households atlittle to no cost to local government. The Director is working with multiple national partners to identify the mostpromising opportunities.

Strategic Partnerships – United Way independently will never be the source of all knowledge and best practicesso strategic partnerships with reputable sources are essential. The Director is forging stronger relationships withgroups like CFED, National League of Cities and The Urban Institute to ensure Florida has greater access to dataand solutions as well as a stronger voice in influencing future priorities.

ALICE Report 2.0 – Florida’s first ALICE Report has been incredibly well received by practitioners, businesses,politicians, academics and other funders. It is clear there is a strong appetite for another edition of the reportand it should be close enough to the first to identify changes at the local and state level. Subsequent editionsmust more deeply engage partners in developing and using the report. The Director would suggest a spring 2016launch if possible meaning that if approved, preparation for the new report needs to begin immediately.

Charitable Campaign; amending s. 110.181, F.S.; 3

providing an exception to the requirement that state 4

officers and employees designate a charitable 5

organization to receive their contributions from the 6

Florida State Employees’ Charitable Campaign; deleting 7

requirements for independent unaffiliated agencies, 8

international service agencies, and national agencies; 9

requiring the fiscal agent selected by the Department 10

of Management Services to distribute undesignated 11

funds in a specified manner; deleting the requirement 12

that a local steering committee be established in each 13

fiscal agent area; providing an effective date. 14

Be It Enacted by the Legislature of the State of Florida: 16

17

Section 1. Subsections (1) and (2) of section 110.181, 18

Florida Statutes, are amended to read: 19

110.181 Florida State Employees’ Charitable Campaign.— 20

(1) CREATION AND ORGANIZATION OF CAMPAIGN.— 21

(a) The Department of Management Services shall establish 22

and maintain, in coordination with the payroll system of the 23

Department of Financial Services, an annual Florida State 24

Employees’ Charitable Campaign. Except as provided in subsection 25

(5), this annual fundraising drive is the only authorized 26

charitable fundraising drive directed toward state employees 27

within work areas during work hours, and for which the state 28

will provide payroll deduction. 29

(b) State officers’ and employees’ contributions toward the 30

Florida State Employees’ Charitable Campaign must be entirely 31

voluntary. State officers and employees shall must designate a 32

charitable organization to receive their such contributions 33

unless such contributions are collected as part of a campaign 34

event. 35

(c) Participation in the annual Florida State Employees’ 36

Charitable Campaign is must be limited to any nonprofit 37

charitable organization that which has as its principal mission: 38

1. Public health and welfare;39

2. Education;40

3. Environmental restoration and conservation;41

4. Civil and human rights; or42

5. Any nonprofit charitable organization engaged in The43

relief of human suffering and poverty. 44

(d) An independent unaffiliated agency must be a statewide 45

entity whose programs provide substantial, direct, hands-on 46

services that meet basic human or environmental needs and extend 47

throughout the year and throughout the state. 48

(e) An international service agency must have well-defined 49

programs that meet basic human or environmental needs outside 50

the United States with no duplication of existing programs. 51

(f) A national agency must demonstrate, through a well-52

defined program, direct services meeting basic human or 53

environmental needs which are readily available, being 54

administered, or providing a substantial direct benefit to the 55

residents of this state. 56

(d)(g) The financial records of a Any nonprofit charitable 57

organization participating in the Florida State Employees’ 58

annually by an independent public accountant whose examination 60

conforms to generally accepted accounting principles. 61

(e)(h) Organizations ineligible to participate in the 62

Florida State Employees’ Charitable Campaign include, but are 63

not limited to, the following: 64

1. Organizations whose fundraising and administrative65

expenses exceed 25 percent, unless extraordinary circumstances 66

can be demonstrated. 67

2. Organizations whose activities contain an element that68

is more than incidentally political in nature or whose 69

activities are primarily political, religious, professional, or 70

fraternal in nature. 71

3. Organizations that which discriminate against any72

individual or group on account of race, color, religion, sex, 73

national origin, age, handicap, or political affiliation. 74

4. Organizations not properly registered as a charitable75

organization as required by the Solicitation of Contributions 76

Act, ss. 496.401-496.424. 77

5. Organizations that which have not received tax-exempt78

status under s. 501(c)(3) of the, Internal Revenue Code. 79

(2) SELECTION OF FISCAL AGENTS; COST.— 80

(a) The Department of Management Services shall select 81

through the competitive procurement process a fiscal agent or 82

agents to receive, account for, and distribute charitable 83

contributions among participating charitable organizations. 84

(b) The fiscal agent shall withhold the reasonable costs 85

for conducting the campaign and for accounting and distribution 86

to the participating organizations and shall reimburse the 87

department the actual cost for coordinating the campaign in 88

accordance with the rules of the department. In any fiscal year 89

that in which the Legislature specifically appropriates to the 90

department its total costs for coordinating the campaign from 91

the General Revenue Fund, the fiscal agent is not required to 92

reimburse such costs to the department under this subsection. 93

Otherwise, reimbursement will be the difference between actual 94

costs and the amount appropriated. 95

(c) The fiscal agent shall furnish the department and 96

participating charitable organizations a report of the 97

accounting and distribution activities. Records relating to 98

these activities must shall be open for inspection upon 99

reasonable notice and request. 100

(d) The fiscal agent shall distribute undesignated funds to 101

each participating organization in direct proportion to the 102

percentage of designated funds pledged to the organization A 103

local steering committee shall be established in each fiscal 104

agent area to assist in conducting the campaign. The committee 105

shall be composed of state employees selected by the fiscal 106

agent from among recommendations provided by interested 107

participating organizations, if any, and approved by the 108

Statewide Steering Committee. 109

Section 2. This act shall take effect July 1, 2015. 110
