Una dintre primele ncercari de a defini operatiunile de leasing este consemnata de literatura franceza, definitie care se refera doar la leasingul imobiliar (denumitcredit-bail). Aceasta include acele operatiuni prin care o ntreprindere da n locatie bunuri imobiliare (cumparate de ea sau construite prin efortul ei financiar) n scopul unei utilizari profesionale, cu conditia ca, indiferent de calificarea lor, sa permita locatarului sa devina proprietarul bunurilor (fie printr-o promisiune unilaterala de vnzare, fie prin achizitionarea directa ori indirecta a dreptului de proprietate a terenului pe care au fost edificate imobilele nchiriate, fie prin transferul de plin drept a dreptului de proprietate asupra constructiilor edificate pentru acel locator).

Aspecte conceptualePracticafinantarii comertului international a cunoscut o permanenta nnoire, astfel nct, alaturi de tehnici financiar - bancare devenite "clasice", cum ar fi creditul - furnizor, cumparator, au aparut noi modalitati ajungndu-se ca activitatea financiara sa se mpletesca cu cea comerciala. n acest context, al diversificarii tehnicilor de finantare, a aparut si s-a dezvoltat leasingul - o solutie de o simplitate dezarmanta, fiind imaginata pentru a da un nou impuls lumii afacerilor.Cresterea rapida a volumului operatiunilor de leasing pe piata internationala, a fost determinata de usoara scadere a posibilitatilor de creditare, de necesarul tot mai mare de fonduri de investitii, dar si de politicile protectioniste practicate de anumite state sau grupuri de state.Sub aspect juridic, leasingul reprezinta un contract complex care permite unui agent economic sa obtina si sa utilizeze un lucru fara a plati imediat contravaloarea acestuia.Sub aspect economic, leasingul reprezinta o sursa de finantare, pe baza unui contract specific, n care finantatorul asigura fondurile necesare pentru ntreaga investitie. Pe ntreaga durata a contractului, nchiriatorul - proprietar permite utilizatorului - chirias sa utilizeze un anumit bun n schimbul promisiunii ultimului de a efectua o serie de plati (rate de leasing). Veniturile obtinute prin leasing att de catre finantator ct si de utilizator sunt derivate din utilizarea bunului, nu din dreptul de proprietate asupra acestuia.Scurt istoricExista dovezi ca samaritenii cu 2000 ani .e.n. au folosit o forma apropiata unei operatiuni de leasing, prin care proprietarii nchiriau fermierilor uneltele agricole care le apartineau. Aceste tranzactii au fost consemnate pe placi de argila, descoperite n anul 1984.Primele reglementari mai detaliate, care fac deosebirea dintre formele apropiate ale leasingului financiar si cel operational, dateaza din timpurile lui Justinian, fiind consemnate n cartea a III -a din "INSTITUTE".Grecii si romanii arendau si ei bunurile aflate n proprietate privata. Un exemplu l constituie nchirierea vapoarelor nca de pe vremea fenicienilor.Tehnicile de nchiriere practicate n Europa au fost rapid preluate de SUA: n nsemnarile lui George Washington exista cteva referiri asupra nchirierilor vagoanelor de tren, precum si a morilor de pe malurile rului Potomac.nchirierea vagoanelor de tren n Marea Britanie n anii 1840 reprezinta primul exemplu al facilitatilor oferite de plata n rate mici a echipamentului comercial sau industrial.Prima companie de nchiriere din lume nregistrata, BIRMINGHAM WAGON COMPANY, a fost constituita pe 20 martie 1855. Au nceput sa apara si alte companii nregistrate cu raspundere limitata, companii care si-au adus un aport considerabil la dezvoltarea rapida a cailor ferate.Leasingul, ca tehnica de comert exterior, a aparut n forma sa moderna n jurul anilor 1950, cnd D.P.BOOTH, managerul unei fabrici de produse alimentare din San Francisco, a primit o comanda foarte profitabila de produse alimentare. Neavnd utilajele necesare, BOOTH le-a procurat prin nchiriere (deoarece nu dispunea de fondurile necesare). Observnd avantajele leasingului, el a pus bazele unei companii - UNITED STATES LEASING CORP. - avnd capitalul social n jur de 20.000 USD. Dupa doi ani a reusit sa finanteze operatiuni de leasing pentru echipamente n valoare de 3 milioane USD. n prezent, aceasta firma este cunoscuta sub denumirea de U.S. LEASING INTERNATIONAL INC.Primele companii de leasing au aparut n Franta si Italia n 1961, n Germania - 1962, iar prin 1966 - n ntreaga Europa. ORIENT LEASING COMP., prima companie japoneza de leasing a fost fondata n 1963.Forme speciale de leasing,caracterizate prin particulariti aletehnicii de realizare. n aceast categorieintr operaiunile lease-back- aceast contract se caracterizeaz prin faptul c furnizorul se

Astfel, Utilizatorul este practic decis, inca de la semnarea contractului, asupra returnarii bunului finantat la finele perioadei de leasing, urmand ca Locatorul sa preia riscul de realizare a valorii ramase neamortizate la finele contractului.

Printr-o astfel de operatie se realizeaza finantarea Utilizatorului, prin scoaterea in afara bilantului contabil a unui bun aflat in proprietate, urmand ca acesta sa fie reachizitionat la finele contractului de leasing.

Evident, evaluarea bunului ce face obiectul contractului este hotaratoare si apartine in exclusivitate Locatorului. Iat un exemplu foarte bun de a utiliza cu elevii , dac avei nevoie pentru a explica conceptul de vnzare i leaseback ( o " surs de finanare " comun menionat la manuale ) .

Acesta este interesat sa foloseasca forta de munca n conditii legale, asigurndu-si necesarul de personal conform cu dezvoltarea activitatii si eliberndu-se de povara administrativa legata de operatiunile de personal, putndu-se concentra astfel asupra afacerii n care activeaza de fapt.

Compania de leasing are initiativa afacerii, persoana angajata permite derularea afacerii, iar compania de leasing este cea care faciliteaza afacerea.

ntr-o acceptiune mai larga, leasingul de personal este aplicabil unei colaborari pe termen lung. Compania de leasing este raspunzatoare de angajarea persoanei, plata salariilor si a taxelor aferente acestora conform legislatiei n vigoare.

Jha, hereinafter referred to as "User".

RECITALSThe parties recite and declare that:

The Operator is the lessee of each of the aircraft described onExhibit Aattached hereto (each such aircraft is referred to herein as an "Aircraft"), under those certain Non-Exclusive Dry Leases (the "Head Leases") entered into on December9, 2010 by and between Operator and (i)Motorola Mobility Aviation Holdings N550M, LLC, and (ii)Motorola Mobility Aviation Holdings N158M, LLC ("each an "Owner" and together the "Owners").

User desires to use the Aircraft under such terms and conditions as are mutually satisfactory to the parties for the carriage of User's officials, employees, and guests pursuant to a time sharing agreement as defined in Section91.501 (c)(1)of the Federal Aviation Regulations ("FARs").

The parties hereby agree as follows:

SECTION ONETime Share of AircraftIn consideration of the amounts to be charged as set forth below, provided Aircraft is not otherwise employed on behalf of Operator, Operator agrees to lease the Aircraft Pilots to User from and after the date hereof for the term described in Section Two below. The express intent of the parties hereto is that this Agreement shall constitute a "time sharing agreement" as such term is defined in Section91.501 (c)(1)of the FARs. The Aircraft shall be operated hereunder pursuant to the terms of Section91.501 (b)(6)of the FARs for the carriage of company officials, employees, and guests of the User.

Nothing contained herein shall obligate User to any minimum usage of any Aircraft, it being understood that User's usage shall be on an "as-needed" and "as-available" basis. User acknowledges that each of the Aircraft may be subject to the rights of third parties pursuant to other time sharing agreements, leases, charter agreements, interchange agreements and/or other similar agreements.

User shall make all requests for use of any Aircraft pursuant to this Agreement to Operator. Operator shall advise User of the identity of the person or department representative responsible for receiving such requests. Operator shall be responsible for scheduling the use by User of any Aircraft

Requests for use of the Aircraft by User shall be made to Operator no less than twenty-four (24)hours prior to the requested departure time. Such requests shall indicate the name of User, dates of requested use, the proposed itinerary, the number and identity of the persons who will be passengers on such flight, the identity of any passengers who are guests of the User, any requests related to special services, catering, provisions, ground transportation and/or insurance, and emergency contact information for each passenger which shall not be another passenger on

the same flight. All requests for use shall be subject to, among other things, prior conflicting requests for use, Operator's use of the Aircraft, the availability of the Aircraft and scheduled and unscheduled maintenance, repair and inspections. Operator, in its sole and absolute discretion, shall have the final authority to accept or reject any such request and the right to cancel or rescind any confirmed or unconfirmed request for any reason whatsoever. Operator shall use reasonable efforts to confirm any accepted requests for use and cancellations of any previously confirmed request. Operator shall not be responsible or liable for any delays or cancellations nor shall Operator be responsible for any consequential or punitive damages resulting therefrom.

SECTION TWOTermThis Agreement shall remain in full force and effect until terminated. Operator shall have the right to terminate this Agreement with immediate effect upon written notice to User. This Agreement shall automatically terminate upon cessation of User's employment by Motorola Mobility, Inc.

SECTION THREEPaymentsOperator shall be responsible for all costs and expenses of owning, operating and maintaining the Aircraft. User shall compensate Operator for the use of the Aircraft in amounts agreed upon from time to time between the parties,provided,however, in no event shall any amounts be charged by Operator or paid by User hereunder that are not specifically authorized by Section91.501 (d)of the FARs nor shall the aggregate charges for any flight exceed the amounts specifically authorized by Section91.501 (d)of the FARs.

Following the completion of each flight of the Aircraft on behalf of User, Operator shall promptly invoice User for the charges determined by the parties and on the record of the Motorola Aviation Department and User shall pay the amount promptly upon presentation of the invoice.

SECTION FOUROperatorOperator shall furnish fully qualified and properly certified pilots for the Aircraft, each of whom shall be included in the insurance coverage required to be maintained pursuant hereto. At any time during which a flight is made by or on behalf of User under this Agreement, Operator shall have possession, command, dominion and control of the Aircraft. Operator shall have complete and exclusive responsibility for (i)scheduling, dispatching and flight of the Aircraft on all flights conducted pursuant to this Agreement, (ii)the physical and technical operation of the Aircraft and (iii)the safe performance of all flights. Operator shall have operational control of the Aircraft for all purposes of the FARs. Notwithstanding the foregoing, the pilot-in-command of each flight shall have the final authority with respect to (i)the initiation or termination of any flight, (ii)selection of the routing of any flight, (iii)determination of the load to be carried and (iv)all decisions relating to the safety of any flight.

SECTION FIVEInsuranceUnder the terms of the Head Leases, Owners shall, respectively, maintain or cause to be maintained in full force and effect and at Owners' own expense, passenger liability, public liability, property damage, baggage and cargo insurance in such form, for such amounts, and for such other coverages, and with such insurers as shall be acceptable to Owners, insuring Owners, Operator, and User as their interests may appear against claims for death of or injury to persons, or loss of or damage to property in connection with the possession, use, or operation of the Aircraft by User. Notwithstanding the foregoing and subject to the limitations of Section91.501 (d), upon Owners' or Operator's request, User shall, reimburse Owners for the cost and expense of any insurance obtained for any specific flight.

SECTION SIXRisk of LossOperator shall be liable for any loss or damage to the Aircraft during the term of this Agreement in connection with the possession, use or operation of the Aircraft by User and, at Operator's own expense, shall keep the Aircraft insured (at its then current fair market value) together with all its equipment and accessories, at such times against loss or damage from crash, fire, windstorm, collision, or other casualty.

SECTION SEVENRestrictions on UseUse of the Aircraft by User shall be for User's own account and shall be subject to the use limitations set forth in Section91.501 (b)(6)of the FARs. User is hereby expressly prohibited from using the Aircraft for the transportation of passengers or cargo for compensation or hire.

User shall only use the Aircraft in accordance with the terms and provisions of each insurance policy providing coverage. User may operate the Aircraft only for the purposes, and within the geographical limits, set forth in the insurance policy or policies obtained in compliance with this Agreement. Furthermore, User shall not use the Aircraft in violation of the FARs or any foreign, Federal, state, territorial or municipal law or regulation.

SECTION EIGHTInspection by OperatorUser agrees to permit Operator or an authorized agent to inspect the Aircraft at any reasonable time and to furnish any information in respect to the Aircraft and its use that Operator may reasonably request.

Operator shall, at its own expense, at all times during the Term of this Agreement, inspect the Aircraft or cause the Aircraft to be inspected so as to keep the Aircraft currently certified as airworthy and in good and safe order, repair and condition in accordance with the Federal Aviation Administration ("FAA"), Department of Transportation and any other governmental authority, domestic or foreign, having jurisdiction therefor.

SECTION NINEMaintenance and RepairUser shall have no right to alter, modify, or make additions or improvements to the Aircraft without permission from Operator. Operator shall, at its own expense, at all times during the Term of this Agreement, maintain and inspect the Aircraft or cause the Aircraft to be maintained and keep the Aircraft currently certified as airworthy and in good and safe operating order, repair and condition in accordance with the FAA, Department of Transportation and any other governmental authority, domestic or foreign, having jurisdiction therefor. Operator will maintain the Aircraft or cause the Aircraft to be maintained in accordance with the manufacturer's operating, inspection and maintenance manuals and all Federal Aviation Regulations, as they are applicable to the Aircraft.

User hereby acknowledges that maintenance, repair and inspection schedules may make the Aircraft unavailable for use hereunder from time to time. Such maintenance, repair and inspection schedules shall have priority over User's scheduling requests.

SECTION TENTitleThe registration of, and title to, the Aircraft shall be in the name of the Owners, respectively, as set forth on Exhibit A. Notwithstanding the foregoing, with respect to any Aircraft designated as a "Leased Aircraft" onExhibit A, registration of, and title to, such Aircraft shall be in the name of Operator's lessor and Operator shall have a valid leasehold interest therein. The Aircraft, at all times during the terms of this Agreement, or any extension, shall bear United States registration markings.

SECTION ELEVENPayment of TaxesUser is responsible for and shall pay for all taxes, licenses, fees and assessments made against or associated with the Aircraft with respect to the possession, use or operation of the Aircraft by or for User, including any sales tax on payments and any Federal excise taxes. Operator is responsible for and shall pay all taxes, assessments and charges imposed by any Federal, state, municipal or other public authority upon or relating to the ownership of the Aircraft during the term of this Agreement.

To the extent that any Federal Excise Taxes are levied or assessed against any use hereunder, User shall be responsible for the payment of such Federal Excise Taxes. Operator shall be responsible for the collection from User, and remission to the proper authority, of such Federal Excise Taxes.

SECTION TWELVEAssignmentUser shall not assign this Agreement or any interest in the Aircraft, or sublet the Aircraft, without the prior written consent of Operator. Notwithstanding the foregoing, User may, without further consent of Operator make the Aircraft available to its officials, employees and guests pursuant and subject to Section91.501 (b)(6)of the FARs. Subject to the foregoing, this Agreement inures to the benefit of, and is binding on, the heirs, legal representatives, successors and assigns of the parties.

SECTION THIRTEENAccident and ClaimUser shall immediately notify Operator of each accident involving the Aircraft, which notification shall specify the time, place and nature of the accident or damage, the names and addresses of parties involved, persons injured, witnesses and owners of properties damaged, and such other information as may be known. User shall advise Operator of all correspondence, papers, notices and documents whatsoever received by User in connection with any claim or demand involving or relating to the Aircraft or its operation, and shall aid in any investigation instituted by Operator and in the recovery of damages from third persons liable thereof.

Owner hereby indemnifies and agrees to hold User harmless from and against any and all liabilities, claims, demands, suits, judgments, damages, losses, costs and expenses (including reasonable legal expenses and attorneys' fees) for or on account of or in any way connected with injury to or death of any persons whomsoever or loss of or damage to property arising out of (i)the use or operation of the Aircraft under this Agreement or in any way connected with this Agreement including but not limited to the Aircraft and related equipment or (ii)the performance or nonperformance by Owner of its responsibilities under this Agreement, unless such loss or damage results from the gross negligence or willful misconduct User.

SECTION FOURTEENReturn of Aircraft to OperatorUpon the termination of this Agreement and after the termination of any use of the Aircraft by User hereunder, User shall return the Aircraft to Operator in as good operating condition and appearance as when received, ordinary wear and tear excepted. Delivery and redelivery of the Aircraft shall ordinarily be made at the operating base set forth on Exhibit A; provided, however, that the parties may agree on another airport from time to time.

SECTION FIFTEENLiensUser shall not assign, sell, transfer, or encumber the Aircraft, any engine, or any part thereof. User will not directly or indirectly create, incur, assume or suffer to exist any lien on or with respect to the Aircraft. User will promptly, at its own expense, take such action as may be necessary to discharge any lien created by, through or under User if the same shall arise at any time.

SECTION SIXTEENDefaultIf User fails to comply with any provision of this Agreement, Operator shall have the right to take possession of the Aircraft wherever it may be located, without demand or notice and without any court order or other process of law and to pursue any other remedy available to Operator at law or in equity. In the event of such default by User, Operator, at Operator's option, may immediately terminate this Agreement. Notwithstanding any repossessions or other action that Operator may take, User shall be and remain liable for the full performance of all obligations on the part of User to be performed under this Agreement. Operator's waiver of any default on the part of User shall not constitute a waiver of subsequent defaults.

SECTION SEVENTEENMiscellaneousA. Each party participated equally in the drafting of this Agreement and accordingly no court shall construe this Agreement any more stringently against one party hereto.

B. This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois excluding its conflict of law provisions.

C. This Agreement constitutes the entire agreement of the parties hereto regarding the subject matter hereof. This Agreement shall not be modified or amended except by a further written document signed by both parties. No provision hereof may be waived except by an agreement in writing signed by the waiving party. A waiver of any term or provision shall not be construed as a waiver of any other term or provision.

D. In the event any litigation is commenced by a party to this Agreement that is in any way related to or associated with the subject matter of this Agreement, the prevailing party in such litigation shall be awarded their reasonable attorney's fees and costs through and including any appeals.

E. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

QWEST BUSINESS RESOURCES,INC.AIRCRAFT TIME SHARING AGREEMENTThis Aircraft Time Sharing Agreement ("Agreement") by and between Qwest Business Resources,Inc. ("Lessor"), a Delaware corporation whose address is 1801 California Street, Denver, Colorado 80202 and Richard C. WHEREAS, this Agreement sets forth the understanding of the Parties as to the terms under which Lessor will provide Lessee with the use, on a periodic basis, of the Aircraft as described in ExhibitA hereto, currently owned by Lessor.

WHEREAS, the use of the Aircraft will at all times be pursuant to and in full compliance with the requirements of Federal Aviation Regulations ("FAR") 91.501(b)(6), 91.501(c)(1), and 91.501(d);

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the Parties agree as follows:

1.Termination.Either party may terminate this Agreement for any reason upon written notice to the other, such termination to become effective ten (10)days from the date of the notice; provided that this Agreement may be terminated on such shorter notice as may be required to comply with applicable laws, regulations, the requirements of any financial institution with a security or other interest in the Aircraft, insurance requirements or in the event the insurance required hereunder is not in full force and effect.

2.Use of Aircraft.(a)Lessee may use the Aircraft from time to time, with the permission and approval of Lessor's Flight Operations Department, for any and all purposes allowed by FAR 91.501(b)(6). Lessee's use shall include the use of the Aircraft by his Spouse or related family member (including children or grandchildren) ("Related Family") if they accompany him on the flight.

(b)Lessee represents, warrants and covenants to Lessor that:

1.

Lessee will use each Aircraft for and on his own account only and will not use any Aircraft for the purposes of providing transportation of passengers or cargo in air commerce for compensation or hire;2.

Lessee shall refrain from incurring any mechanics or other lien in connection with inspection, preventative maintenance, maintenance or storage of the Aircraft, whether permissible or impermissible under this Agreement, and Lessee shall not attempt to convey, mortgage, assign, lease or any way alienate the Aircraft or create any kind of lien or security interest involving the Aircraft or do anything or take any action that might mature into such a lien;

3.

during the term of this Agreement, Lessee will abide by and conform to all such laws, governmental, and airport orders, rules, and regulations as shall from time to time be in effect relating in any way to the operation and use of the Aircraft by a time-sharing Lessee;

(c)Lessee shall provide Lessor's Flight Operations Department with notice of his desire to use the Aircraft and proposed flight schedules as far in advance of any given flight as possible, and in any case, at least forty-eight (48)hours in advance of Lessee's planned departure. Requests for flight time shall be in a form, whether written or oral, mutually convenient to, and agreed upon by the Parties. In addition to the proposed schedules and flight times Lessee shall provide at least the following information for each proposed flight at some time prior to scheduled departure as required by the Lessor or Lessor's flight crew:

1.

proposed departure point;2.

destination;3.

date and time of flight;4.

the number and identity of anticipated passengers and relationship to the Lessee;5.

the nature and extent of luggage and/or cargo to be carried;6.

the date and time of return flight, if any; and7.

any other information concerning the proposed flight that may be pertinent or required by Lessor or Lessor's flight crew.

(c)Lessor shall notify Lessee as to whether or not the requested use of the Aircraft can be accommodated and, if not, the Parties shall discuss alternatives.

(d)Lessor's prior planned utilization of the Aircraft will take precedence over Lessee's use. Additionally, any maintenance and inspection of the Aircraft takes precedence over scheduling of the Aircraft unless such maintenance or inspection can be safely deferred in accordance with applicable laws and regulations and within the sound discretion of the Pilot-In-Command.

(e)Lessor shall have sole and exclusive authority over the scheduling of the Aircraft, including which Aircraft is used for any particular flight.

(f)Lessor shall not be liable to Lessee or any other person for loss, injury, or damage occasioned by the delay or failure to furnish the Aircraft and crew pursuant to this Agreement for any reason.

3.Time-Sharing Arrangement.It is intended that this Agreement will meet the requirements of a "Time Sharing Agreement" as that term is defined in FAR Part91.501(c)(1) whereby Lessor will lease its Aircraft and flight crew to Lessee.

4.Cost of Use of Aircraft.(a)In exchange for use of the Aircraft, Lessee shall pay the direct operating costs of the Aircraft permitted pursuant to FAR 91.501 for any flight conducted under this Agreement or a lesser amount as mutually agreed to by the Parties. Pursuant to FAR 91.501(d), those direct operating costs shall be limited to the following expenses for each use of the Aircraft:

(1)

Cost of Fuel, Oil, Lubricants and Other Additives;(2)

Travel expenses of the crew, including food, lodging, and ground transportation.

(3)

Hangar and tie-down costs away from the Aircraft's base of operation.(4)

Insurance obtained for the specific flight.(5)

Landing fees, airport taxes, and similar assessments.(6)

Customs, foreign permit, and similar fees directly related to the flight.(7)

In flight food and beverages.(8)

Passenger ground transportation.(9)

Flight planning and weather contract services.(10)

An additional charge equal to 100percent of the expenses listed in sub-paragraph(a)(1) of this section.

(b)Lessor will invoice, and Lessee will pay, for all appropriate charges.

(c)In addition to the rental rate referenced in Section4(a) above, Lessee shall also be assessed the Federal Excise Taxes as imposed under Section4261 of the Internal Revenue Code, and any segment and landing fees associated with such flight(s).

5.Invoicing and Payment.All payments to be made to Lessor by Lessee hereunder shall be paid in the manner set forth in this Paragraph5. Lessor will pay to suppliers, employees, contractors and government entities all expenses related to the operations of the Aircraft hereunder in the ordinary course. As to each flight operated hereunder, Lessor shall provide to Lessee an invoice for the charges specified in Paragraph4 of this Agreement (plus domestic or international air transportation Excise Taxes, as applicable, imposed by the Internal Revenue Code and collected by Lessor), such invoice to be issued within thirty (30)days after the completion of each such flight. Lessee shall pay Lessor the full amount of such invoice upon receipt of the invoice. In the event Lessor has not received a supplier invoice for reimbursable charges relating to such flight prior to such invoicing, Lessor shall issue a supplemental invoice for such charges to Lessee within thirty (30)days of the date of receipt of the supplier invoice and Lessee shall pay such supplemental invoice amount upon receipt thereof. All such invoices shall separately itemize the expenses in items (1)through (10)of paragraph4(a) for each flight included in that invoice. Delinquent payments, defined as payments received more than thirty (30)days after invoice, to Lessor by Lessee hereunder shall bear interest at the rate of ten percent (10%) per annum from the due date until the date of payment. Lessee shall further pay all costs incurred by Lessor in collecting any amounts due from Lessee pursuant to the provisions of this Paragraph5 after delinquency, including court costs and reasonably attorneys' fees.

6.Insurance and Limitation of Liability.Lessor represents that the flight operations for the Aircraft as contemplated in this Agreement will be covered by the Lessor's aircraft all-risk physical damage insurance (hull Coverage), aircraft bodily injury and property damage liability insurance, passenger, pilot and crew voluntary settlement insurance and statutory workers compensation and employer's liability insurance.

(a)Insurance.

1.

Lessor will maintain or cause to be maintained in full force and effect throughout the term of this Agreement aircraft liability insurance in respect of the Aircraft in an amount at least equal to $100million combined single limit for bodily injury to or death of persons (including passengers) and property damage liability. Lessor will retain all rights and benefits with respect to the proceeds payable under policies of hull insurance

maintained by Lessor that may be payable as a result of any incident or occurrence while an Aircraft is being operated on behalf of Lessee under this Agreement.

2.

Lessor shall use best efforts to procure such additional insurance coverage as Lessee may request naming Lessee as an additional insured; provided, that the cost of such additional insurance shall be borne by Lessee pursuant to Paragraph4(a)(4) hereof.

(b)Limitation of Liability. Lessee agrees that the insurance specified in paragraph6(a) shall provide its sole recourse for all claims, losses, liabilities, obligations, demands, suits, judgments or causes of action, penalties, fines, costs and expenses of any nature whatsoever, including attorneys' fees and expenses for or on account of or arising out of, or in any way connected with the use of the Aircraft by Lessee or its guests, including injury to or death of any persons, including Lessee and its guests which may result from or arise out of the use or operation of the Aircraft during the term of this Agreement ("Claims"). This Section6 shall survive termination of this Agreement.

(c)Lessee agrees that when, in the reasonable view of Lessor's Flight Operations Department or the pilots of the Aircraft, safety may be compromised, Lessor or the pilots may terminate a flight, refuse to commence a flight, or take other action necessitated by such safety considerations without liability for loss, injury, damage, or delay. Lessee agrees that Lessor's operation of aircraft is within the operation guidelines of the Lessor's Flight Operations Department Manual the crews are responsible to operate within the guidelines of FAR 91 and the Lessor's Flight Operations Department Manual.

(d)In no event shall Lessor be liable to Lessee or his employees, agents, representatives, guests, or invitees for any claims or liabilities, including property damage or injury and death, and expenses, including attorney's fees, in excess of the amount paid by Lessor's insurance carrier in the event of such loss.

(e)LESSOR SHALL IN NO EVENT BE LIABLE TO LESSEE OR HIS EMPLOYEES, AGENTS, REPRESENTATIVES, GUESTS, OR INVITEES FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES AND/OR PUNITIVE DAMAGES OF ANY KIND OR NATURE UNDER ANY CIRCUMSTANCES OR FOR ANY REASON INCLUDING ANY DELAY OR FAILURE TO FURNISH THE AIRCRAFT OR CAUSED OR OCCASIONED BY THE PERFORMANCE OR NON-PERFORMANCE OF ANY SERVICES COVERED BY THIS AGREEMENT.

7.Covenants Regarding Aircraft Maintenance.The Aircraft has been inspected and maintained in the twelve-month period preceding the date hereof in accordance with the provisions of FAR Part91. Lessor shall, at its own expense, inspect, maintain, service, repair, overhaul, and test the Aircraft in accordance with FAR Part91. The Aircraft will remain in good operating condition and in a condition consistent with its airworthiness certification, including all FAA-issued airworthiness directives and mandatory service bulletins. In the event that any non-standard maintenance is required during any applicable lease term, Lessor, or Lessor's Pilot-In-Command, shall immediately notify Lessee of the maintenance required, the effect on the ability to comply with Lessee's dispatch requirements and the manner in which the Parties will proceed with the performance of such maintenance and conduct of the balance of the planned flight(s).

8.No Warranty.NEITHER LESSOR (NOR ITS AFFILIATES) MAKES, HAS MADE OR SHALL BE DEEMED TO MAKE OR HAVE MADE ANY WARRANTY OR REPRESENTATION, EITHER EXPRESS OR IMPLIED, WRITTEN OR ORAL, WITH RESPECT TO ANY AIRCRAFT TO BE USED HEREUNDER OR ANY ENGINE OR COMPONENT THEREOF INCLUDING, WITHOUT LIMITATION, ANY WARRANTY AS TO DESIGN, COMPLIANCE WITH SPECIFICATIONS, QUALITY OF MATERIALS OR WORKMANSHIP, MERCHANTABILITY, FITNESS FOR ANY PURPOSE, USE OR OPERATION, AIRWORTHINESS, SAFETY, PATENT, TRADEMARK OR COPYRIGHT INFRINGEMENT OR TITLE.

9.Operational Control.Lessor shall be responsible for the physical and technical operation of the Aircraft and the safe performance of all flights and shall retain full authority and control, including exclusive operational control, and possession of the Aircraft at all times during the term of this Agreement. In accordance with applicable FARs, the qualified flight crew provided by Lessor will exercise all required and/or appropriate duties and responsibilities in regard to the safety of each flight conducted hereunder. The Pilot-In-Command shall have absolute discretion in all matters concerning the preparation of the Aircraft for flight and the flight itself, the load carried and its distribution, the decision whether or not a flight shall be undertaken, the route to be flown, the place where landings shall be made and all other matters relating to operation of the Aircraft. Lessee specifically agrees that the flight crew shall have final and complete authority to delay or cancel any flight for any reason or condition which, in sole judgment of the Pilot-In-Command, could compromise the safety of the flight and to take any other action which, in the sole judgment of the Pilot-In-Command, is necessitated by considerations of safety. No such action of the Pilot-In-Command shall create or support any liability to Lessee or any other person for loss, injury, damages or delay. The Parties further agree that Lessor shall not be liable for delay or failure to furnish the Aircraft and crew pursuant to this Agreement which such failure is caused by government regulation or authority, mechanical difficulty or breakdown, war, civil commotion, strikes or labor disputes, weather conditions, acts of God or other circumstances beyond Lessor's reasonable control. Lessee agrees that Lessor's operation of aircraft is within the operation guidelines of the Lessor's Flight Operations Department manual the crews are responsible to operate within the guidelines of FAR 91 and the Lessor's Flight Operations Department manual.

10.Governing Law.The Parties hereto acknowledge that this Agreement shall be governed by and construed in all respects in accordance with the laws of the State of Colorado.

11.Counterparts.This Agreement may be executed in one or more counterparts each of which will be deemed an original, all of which together shall constitute one and the same agreement.

12.Entire Agreement.This Time Sharing Agreement constitutes the entire understanding among the Parties with respect to its subject matter, and there are no representations, warranties, rights, obligations, liabilities, conditions, covenants, or agreements other than as expressly set forth herein.

13.Notices and Communications.All notices, requests, demands and other communications required or desired to be given hereunder shall be in writing (except as permitted pursuant to Paragraph2(c)) and shall be deemed to be given: (i)if personally delivered, upon such delivery; (ii)if mailed by certified mail, return receipt requested, postage pre-paid, addressed as follows (to the extent applicable for mailing), upon the earlier to occur of actual receipt, refusal to accept receipt or three (3)days after such mailing; (iii)if sent by regularly scheduled overnight delivery carrier with delivery fees either prepaid or an arrangement, satisfactory with such carrier, made for the payment of such fees, addressed (to the extent applicable for overnight delivery) as follows, upon the earlier to occur of actual receipt or the next "Business Day" (as hereafter defined) after being sent by such delivery; or (iv)upon actual receipt when sent by fax, mailgram, telegram or telex:

Notices given by other means shall be deemed to be given only upon actual receipt. Addresses may be changed by written notice given as provided herein and signed by the party giving the notice.

14.Further Acts.LESSOR and LESSEE shall from time to time perform such other and further acts and execute such other and further instruments as may be required by law or may be reasonably necessary to: (i)carry out the intent and purpose of this Agreement; and (ii)establish, maintain and protect the respective rights and remedies of the other party.

15.Successors and Assigns.Neither this Agreement nor any party's interest herein shall be assignable to any other party whatsoever. This Agreement shall inure to the benefit of and be binding upon the Parties hereto, their heirs, representatives and successors.

16.Severability.In the event that any one or more of the provisions of the Agreement shall for any reason be held to be invalid, illegal, or unenforceable, those provisions shall be replaced by provisions acceptable to both Parties to this Agreement.

17.Flight Crew.Lessor shall employ, pay for and provide a qualified flight crew for all flight operations under this Agreement.

18.Base of Operations.For purposes of this Agreement, the base of operation of the Aircraft is Centennial Airport, Denver, Colorado; provided, that such base may be changed permanently upon notice from Lessor to Lessee.

19.Taxes.The Parties acknowledge that reimbursement of all items specified in Paragraph4, except for subsections (7)and (8)thereof, are subject to the Federal Excise Tax imposed under Internal Revenue Code 4261 (the "Commercial Transportation Tax"). Lessee shall pay to Lessor (for payment to the appropriate governmental agency) any Commercial Transportation Tax applicable to flights of the Aircraft conducted hereunder. Lessee shall indemnify Lessor for any claims related to the Commercial Transportation Tax to the extent that Lessee has paid Lessor the amounts necessary to pay such taxes.

20.Title.Legal title to the Aircraft shall remain in the Lessor at all times.

21.Truth-in-Leasing.The Lessor shall mail a copy of this Agreement for and on behalf of both Parties to: Flight Standards Technical Division, P.O.Box 25724, Oklahoma City, Oklahoma 73125, within twenty-four (24)hours of its execution, as provided by FAR 91.23(c)(1). Additionally, Lessor agrees to comply with the notification requirements of FAR Section91.23 by notifying by telephone or in person the Rocky Mountain FAA Flight Standards District Office at least forty-eight (48)hours prior to the first flight under this Agreement.

(a)LESSOR CERTIFIES THAT THE AIRCRAFT HAS BEEN INSPECTED AND MAINTAINED WITHIN THE 12-MONTH PERIOD PRECEDING THE DATE OF THIS AGREEMENT IN ACCORDANCE WITH THE PROVISIONS OF PART 91 OF THE FEDERAL AVIATION REGULATIONS AND THAT ALL APPLICABLE REQUIREMENTS FOR THE AIRCRAFT'S MAINTENANCE AND INSPECTION THEREUNDER HAVE BEEN MET AND ARE VALID FOR THE OPERATIONS TO BE CONDUCTED UNDER THIS AGREEMENT.

(b)LESSOR, WHOSE ADDRESS APPEARS IN PARAGRAPH 13 ABOVE AND WHOSE AUTHORIZED SIGNATURE APPEARS BELOW, AGREES, CERTIFIES AND ACKNOWLEDGES THAT WHENEVER THE AIRCRAFT IS OPERATED UNDER THIS AGREEMENT, LESSOR SHALL BE KNOWN AS, CONSIDERED AND SHALL IN FACT BE THE OPERATOR OF THE AIRCRAFT AND THAT LESSOR UNDERSTANDS ITS RESPONSIBILITIES FOR COMPLIANCE WITH APPLICABLE FEDERAL AVIATION REGULATIONS.

(c)THE PARTIES UNDERSTAND THAT AN EXPLANATION OF FACTORS AND PERTINENT FEDERAL AVIATION REGULATIONS BEARING ON OPERATIONAL CONTROL CAN BE OBTAINED FROM THE NEAREST FAA FLIGHT STANDARDS DISTRICT OFFICE.

6.
