We have audited the accompanying financial statements of Aloma D. Johnson Charter School (School) which comprise the statements of financial position as of June 30, 2018 and 2017, and the related statements of activities and changes in net assets, functional expenses and cash flows for the years then ended and the related notes to the financial statements.

Our responsibility is to express an opinion on these financial statements based on our audits. We conducted our audits in accordance with auditing standards generally accepted in the United States of America and the standards applicable to financial audits contained in Government Auditing Standards issued by the Comptroller General of the United States. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditor's judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. NOTES TO THE FINANCIAL STATEMENTS

NOTE 1. NATURE OF THE BUSINESS

The Aloma D. Johnson Charter School (the School) was chartered by the Board of Regents of the State University of New York on February 12, 2008 for a term of five years pursuant of Article 56 of the New York State Education Law. The Schools original charter was renewed for a term of three years through June 30, 2016 and further renewed for a term of three years through June 30, 2019. The School is a Type B New York State Not-For-Profit Corporation defined under the laws of the State of New York. The School is a K-4 public school primarily funded through the Board of Education, City of Buffalo, New York.

NOTE 2. SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

Basis of Accounting: The School's policy is to prepare its financial statements on the accrual basis of accounting, which means that revenues are recorded when earned and expenditures are recorded when incurred. This basis of accounting conforms to accounting principles generally accepted in the United States of America.

Display of Net Assets by Class: The accompanying financial statements have been prepared in conformity with the requirements of Financial Accounting Standards Board that requires that resources be classified for reporting purposes into three net asset categories (unrestricted, temporarily restricted and permanently restricted) according to the existence or absence of donor-imposed restrictions. Temporarily restricted net assets are those whose use has been limited by donors to a specific purpose or time period. Permanently restricted net assets are those for which donors require the principal of the gift to be maintained in perpetuity. There were no temporarily or permanently restricted net assets as of June 30, 2018 and 2017.

Revenue Recognition: The School recognizes public school district revenue on a per student basis at rates established by New York State for the school district in which the student resides. Final determination of the revenue earned by the School is subject to review by New York State. Provision is made in the financial statements for anticipated adjustments that may result from such reviews. Differences between amounts provided and final settlements are included in the statements of activities and changes in net assets in the year of settlement.

Grant awards accounted for as exchange transactions are recorded as revenue when expenditures have been incurred in compliance with grant restrictions. Amounts unspent are recorded in the statement of financial position as deferred revenue.

Contributions: Unconditional promises to give cash and other assets to the School are reported at fair value at the date the promise is received. Conditional promises to give and intentions to give are reported at fair value at the date the gift is received. The recorded value of gifts-in-kind approximates the fair value at date of receipt. The gifts are reported as either temporarily or permanently restricted support if they are received with donor stipulations that limit the use of the donated assets. When a donor restriction expires, that is, when a stipulated time restriction ends or purpose restriction is accomplished, temporarily restricted net assets are reclassified as unrestricted net assets and reported in the statements of activities as net assets released from restrictions. Donor restricted contributions whose restrictions are met within the same year as received are reflected as unrestricted contributions. The School did not receive donor-restricted contributions during the years ended June 30, 2018 and 2017.

Cash: Cash, at times, may exceed federally insured limits. The School has not experienced any losses in these accounts and believes it is not exposed to any significant credit risk with respect to cash. Restricted cash includes an escrow deposit of $75,137, as of June 30, 2018 ($75,125 2017). Pursuant to Section 5, Fiscal Management Plan, contained in the Schools Charter Application and Section 2851.2.(t) of the NYS Education Law, it was determined that an escrow account of $75,000 should be established and maintained.

Accounts Receivables: The Schools policy is to present accounts receivable net of an allowance for uncollectible accounts. On a periodic basis, management evaluates accounts receivable and adjusts the allowance for uncollectible accounts. Customer balances are written off when amounts are deemed uncollectible. As of June 30, 2018 and 2017 all accounts receivable were deemed collectible.

State and Federal Aid Receivable: The Schools policy is to present the state and federal aid receivable net of an allowance for uncollectible accounts. Amounts received in advance of incurring the related costs are reported as deferred revenue. On a periodic basis, management evaluates accounts receivable and adjusts the allowance for uncollectible accounts. As of June 30, 2018 and 2017 all state and federal receivable were deemed collectible.

Property and Equipment: Property and equipment are recorded at cost. Contributed assets are recorded at their fair value at the date of contribution. Significant purchases and improvements that extend the useful life of an asset are capitalized. Repairs and maintenance are charged to expense in the period incurred. Depreciation is calculated using the straight-line method over the estimated useful lives of the assets. Estimated useful lives are five years for furniture, fixtures and equipment and the lessor of the lease term or useful life for building improvements. The cost and related accumulated depreciation of fixed assets are removed from the accounts as they are retired or otherwise disposed of and gain or loss, if any, is reflected in operations of the period. Depreciation expense was $37,124 and $20,175 for the years ended June 30, 2018 and 2017, respectively.

Impairment of Long-Lived Assets: If facts and circumstances exist that indicate the carrying values of the Schools fixed assets to be held and used exceed their recoverable value, an impairment analysis is performed. The School assesses the recoverability of its assets by comparing the projected undiscounted net cash flows associated with those assets to their respective carrying amounts. Impairment, if any, is based on the excess of the carrying amount over the fair value of those assets. Fair value is determined by available market valuations, if applicable, or by discounted cash flows. There was no impairment recorded on long-lived assets by the School for the years ended June 30, 2018 and 2017.

Donated Services: Volunteers have donated significant amounts of time in support of the Schools activities. However, the value of these services is not reflected in the accompanying financial statements, as they do not meet the criteria for recognition as set forth under generally accepted accounting principles in the United States of America.

Use of Estimates in Preparation of Financial Statements: The preparation of financial statements in conformity with generally accepted accounting principles in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements. Actual results could differ from those estimates.

Functional Allocation of Expenses: Costs of providing the various programs and activities have been summarized in the Statements of Functional Expenses and have been allocated among the programs and supporting services benefited.

Income Taxes: The School is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provisions for federal income taxes are included in the financial statements. The School files its Return of Organization Exempt from Income Tax in the U.S. Federal Jurisdiction.

Comparative Information: The financial statements include certain prior year summarized comparative information in total, but not by functional expense classification. Such information does not include sufficient detail to constitute a presentation in conformity with generally accepted accounting principles in the United States of America. Accordingly, such information should be read in conjunction with the Schools financial statements for the year ended June 30, 2017, from which the summarized information was derived.

Recently Issued Accounting Pronouncements: In August 2016, the FASB issued ASU 2016-14, Presentationof Financial Statements of Not-for-Profit Entities, which will improve current net asset classification requirementsand the information presented in financial statements and footnotes about a not-for-profits liquidity, financial performance, and cash flows. The ASU is effective for fiscal years beginning after December 15, 2017 with earlyadoption permitted. The School is currently evaluating the impact the adoption of this guidance will have on itsfinancial statements.

Subsequent Events: These financial statements have not been updated for subsequent events occurring after October 12, 2018, which is the date these statements were available to be issued.

NOTE 4. LINE OF CREDIT

In July 2014, the School entered into a line-of-credit with Evans Bank with a maximum authorization of $200,000. The line is collateralized by substantially all of the Schools assets. Advances against this line bear interest at the prime rate plus .5% which amounted to 5.5% at June 30, 2018. There was no outstanding balance as of June 30, 2018 and 2017. The line of credit has financial reporting requirements, which the School is in compliance with.

NOTE 5. PENSION AND RETIREMENT PLANS

Teachers Retirement System (TRS): The School participates in the New York State Teachers Retirement System (TRS). This is a cost-sharing multiple-employer retirement system. The System provides retirement benefits as well as, death and disability benefits to plan members and beneficiaries as authorized by the Education Law and the Retirement and Social Security Law of the State of New York. The System is governed by a 10 member Board of Trustees. Once a public employer elects to participate in the System, the election is irrevocable. The New York State Constitution provides that pension membership is a contractual relationship and plan benefits cannot be diminished or impaired. Benefits can be changed for future members only by enactment of a State statute. Additional information regarding the System, may be obtained by writing to the New York State Teachers Retirement System, 10 Corporate Woods Drive, Albany, NY 12211-2395 or by referring to the NYSSTR Comprehensive Annual Financial report which can be found on the Systems website at www.nystrs.org.

The System is noncontributory except for employees who joined after July 27, 1976, who contribute 3 percent of their salary for the first ten years of membership, and employees who joined on or after January 1, 2010 who generally contribute 3.0 to 3.5 percent of their salary for their entire length of service. For TRS, contribution rates are established annually by the New York State Teachers Retirement Board pursuant to Article 11 of the Education law. Required contributions by the School for the year ended June 30, 2018 and 2017 amounted to $158,231 and $174,619, respectively.

The funded status of the TRS plan is 100.66% as of June 30, 2017. TRS has provided all participants with certain information regarding their proportionate share of plans net position as of June 30, 2017. TRS performs an actuarial calculation of the funded status for the prior year on an annual basis. Therefore, at June 30, 2018 the only available information for the plan is as of June 30, 2017. The Schools proportion of the pension liability was based on a projection of the Schools long-term share of contributions to TRS relative to the projected contributions of all participating members, actuarially determined. The Schools portion of the TRS plans total pension asset is .008957%. If the pension liability was required to be recorded, the net pension asset and pension expense as of the measurement date of June 30, 2017 was $166,348 and $169,514, respectively.

Retirement Plan: The School sponsors a Section 403(b) salary reduction plan which is available to all eligible employees. Effective July 1, 2014, the School amended the 403(b) plan to provide for an employer match up to 6% of the affected employees annual salary for specific employees not covered under the TRS plan. The Schools contributions to the plan amounted to $14,145 and $10,862 for the years ended June 30, 2018 and 2017, respectively.

NOTE 6. COMMITMENTS AND CONTINGENCIES

Facility Lease: The School entered into a non-cancellable operating lease at their current principal facility through June 30, 2019. In November 2016, an additional rent payable of $6,921 per month related to an expansion of their current principal facility began and is also due through June 30, 2019. Rent expense for the year ended June 30, 2018 amounted to $459,264 ($416,749 2017).

The following is the future minimum lease payments under the non-cancellable operating facility lease for the fiscal year ending June 30:

Government Grants: The School has received grants, which are subject to audit by agencies of the State and federal governments. NOTE 7. CONTRACT

Buffalo Public School District: The Schools food services are substantially provided under contract with the Buffalo Public Schools. Buffalo Public Schools administers the Schools food services and claims the funding available through New York States National School Lunch and School Breakfast Programs to pay for these operations.

Collective bargaining Unit: The School has a collective bargaining agreement in place with the Aloma D. Johnson Charter School Educational Association. This three year agreement expires on July 31, 2020. The bargaining unit covers teachers, social workers, nurses, specialists, and math coaches. The agreement includes compensation increases in the form of wages, medical, and pension benefits, which go up at various times over the term of the agreement.

Johnson Charter School (the School), which comprise the statement of financial position as of June 30, 2018, and the related statements of activities and changes in net assets, functional expenses and cash flows for the year then ended, and the notes to the financial statement, and have issued our report thereon dated October 12, 2018.

Internal Control Over Financial Reporting

In planning and performing our audit of the financial statements, we considered the Schools internal control over reporting (internal control) to determine the audit procedures that are appropriate in the circumstances for the purpose of expressing our opinion on the financial statements, but not for the purpose of expressing an opinion of the effectiveness of the Schools internal control. Accordingly, we do not express an opinion of the effectiveness of the Schools internal control.

A deficiency in internal control exists when the design or operation of a control does not allow management or employees, in the normal course of performing their assigned functions, to prevent or detect and correct misstatements on a timely basis. A material weakness is a deficiency, or combination of deficiencies, in internal control, such that there is a reasonable possibility that a material misstatement of the entitys financial statements will not be prevented, or detected and corrected on a timely basis. A significant deficiency is a deficiency, or combination of deficiencies, in internal control that is less severe than a material weakness, yet important enough to merit attention by those charges with governance.

Our consideration of internal control was for the limited purpose described in the first paragraph of this section and was not designed to identify all deficiencies in internal control that might be material weaknesses or significant deficiencies. Given these limitations, during our audit we did not identify any deficiencies in internal control that we consider to be material weaknesses. However, material weaknesses may exist that have not been identified.

Compliance and Other Matters

As part of obtaining reasonable assurance about whether the Schools financial statements are free from material misstatement, we performed tests of its compliance with certain provisions of laws, regulations, contracts, and grant agreements, noncompliance with which could have a direct and material effect on the determination of financial statement amounts. However, providing an opinion on compliance with those provisions was not an objective of our audit, and accordingly, we do not express such an opinion. The results of our tests disclosed no instances of noncompliance or other matters that are required to be reported under Government Auditing Standards.
