1. Choose and register with secretary companies.

Step 1: Get and fill form 13A to find the company names. Then, submitted this form to SSM (Syarikat Suruhanjaya Malaysia) to get the approval letter.

Step 2: New Incorporation:Form Memorandum and Articles of Association ( M&A)Form 48A – must be signed by the directorForm 6 – declaration of compliance for secretary companyAll of the form above must be submitted to SSM to get the form 9Form 48F – Company secretary declaration. This form do not used to submit to SSM, it only will keep by the secretary company.

3. Register the company with KWSP and PERKESO- Register the employee and staff.

4. Register with PKK (Pusat Khidmat Kontraktor)- Fill the PKK/1/98/PIN5 form

5. Register with CIDB (Construction Industry Development Board)- Fill the R1/95(Pin.2/01) form

REGISTRATION OF COMPANY

1.0 SECRETARY COMPANIES

INTRODUCTION

Before we register our company, we have to submit the required

registration documents and fees payable to the Commission. Our company shall

have:

1. At least two directors (the director and promoter can be the same

person)

2. A company secretary who is member of a professional body

prescribed by the Minister or is licensed by the Commission.

Both the director and company secretary must have their principal or only place

of residence within Malaysia.

PROCEDURE FOR REGISTRATION

1. Conduct a name search

Before proposing a name for incorporation of company, a name search

has to be done to determine whether the name can be used to register the

company. The steps are:

a) Complete Form 13 A

b) Pay RM 50.00 fee for each name applied. The name if approved ,

shall be reserved for three months from the date of approval

2. New in Corporation

Submit the following document:

1. Memorandum and Article of Association:

a) Original copy stamped at any stamp office with an RM100.00 stamp

in the memorandum and another RM100.00 stamp in the articles.

b) The first director and secretaries are named in the memorandum

and articles of association in front of a witness.

A company having a share capital may be registered as a private

company if the memorandum and articles:

a) Restricts the right to transfer its share ;

b) Limits the number of its members to not more than fifty;

c) Prohibits any invitation to the public to subscribe any share or

debenture of the company ; and

d) Prohibits any invitation to the public to deposit money with the

company for fixed period.

2. Form 48A – Statutory Declaration by a director or promoter before

appointment. The director or promoter declares under oath that

a) He/she is not a bankrupt ; and

b) He/she has not been convicted of an offence and sentenced by

the Court.

This declaration should be signed in front of any one of the following

persons of authority

1. commissioner of Oaths ;

2. President of the sessions Court ;

3. Magistrate ; or

4. Those empowered under the statutory declaration Act 1960.

3. Form 6 – Declaration of Compliance

This declaration state that all the requirement of the companies Act 1965

has been complied with. It must be signed by the company secretary who

handles the registration and is named in the Memorandum and Articles of

Association.

Issue of Certificate of Incorporation

The following certificate will be issued when all document for registration are in

order:

1. Form 8 – Certificate of incorporation for a public company

2. Form 9 – Certificate of Incorporation for a private company

3. Post in Corporation

The company number will be finding in form 8 or 9. The company number is

important to register the company with the PKK (Pusat Khidmat Kontraktor)

and CIDB (Construction Industry Development Board).

After get the Form 9- Certificate of Incorporation for Private Company, fill up

the another form from secretary:

1. Form 24 – Return of Allotment of Shares

2. Form 49 – Return Giving Particulars In Register of Directors Managers

and Secretaries and Change of Particulars.

3. Form 44 – Notice of Situation of Registered Office and Office Hours

and Particulars of Changes

Required Documents

Register Application Form (PNA.40)

To register, we have to fill in this form completely. This form also stated

the registration payment which is RM 30.00 for own name, RM 60.00 for

partnership, RM 20.00 for changes registration and RM 5.00 for every branch.

Beside that, RM 10.00 for business information, RM 10.00 for certificate, RM

5.00 for copy registration form have been prove, RM 1.00 not been prove and fail

checking.

Application for Business Name Approval Form (PNA.42)

This form is used by applier to propose their business name to the SSM.

Then SSM will choose the suitable name for them. If the application does not

fulfill the conditions, it will be reject. The conditions are:

a. The business name does not suitable with the business

b. They apply the same name with other application.

c. Use the words that controlled by Registration.

d. Use the name which is not the real name.

The name that has been approved can not be change or add and it cannot be

transfer to other person.

2.0 MAKE A SAVING ACCOUNT IN BANK

Before register with PKK (Pusat Khidmat Kontraktor) or CIDB

(Construction Industry Development Board), the company must make the saving

account in bank first. The company must submit the copy of financial statement

to PKK and CIDB.

The company secretary will prepared an application letter to the bank to

make the saving account from the bank. This letter contains the director’s name,

which will be accepted to sign the cheque. This director had been chosen and

agrees from all the board of directors.

After fill all the form, it will be submit to the bank include the copy of

identity card the directors who accepted to sign the cheque.

3.0 REGISTER THE COMPANY WITH KWSP AND PERKESO

KWSP

Register the Employee

All employees must register with KWSP form KWSP 1. This form must

attach together with Form 49 or Business Certificate Registration in 7 days from

date employee paid salary for their staffs. After registration, the employee will get

the reference numbers. This reference numbers is able to use in every KWSP

affair. The employee’s also will get these documents:

a) Form KWSP 6 (Form A) – to pay monthly payment to KWSP

b) Form KWSP 3 – to register the staffs as members

c) Employee Registration Certificate – this certificate must show in

employee’s premise.

d) Employee Guide’s Book.

The employee can apply to register more than one employee’s numbers to

make the affair of monthly payment be easier.

Form KWSP 6 (Form A)

Every month, KWSP Form 6 will supply to the employee. This form

contains the data’s such as KWSP membership numbers, NK (nombor kawalan),

NIRC and name of staffs who register with KWSP. All of these data will be

printed by KWSP computers.

Form KWSP 6 will supply to employee at the end of the month to pay the

payment to KWSP for the next month. When KWSP form 6 (Form A) received,

make sure all the numbers, name and employee address on this form is right.

The employee not supposed to attach the hand written, typed or photocopy of

Form KWSP 6 (Form A). The employee also not allowed using the empty Form

KWSP 6 (Form A) to print the member’s data with their own computers.

PERKESO

Form 1 used to register employee. For the private limited company, these

forms needed:

1. Form 9 (Akta Syarikat 1965)

2. Borang 49 (Companies Act 1965)

3. Form 13 (Company change the name)

(PREPARE 2 COPIES EACH 1)

Form 2 used to register the staff. The form 2 must filled in two copies of

original form with the staff information. Every single of Form 1 and Form 2 must

have the company chop. After finished the form, the applicant is embolden to

submit by hand or pos to PERKESO address:

4.0 REGISTER WITH PKK (PUSAT KHIDMAT KONTRAKTOR)

First, the applicant must fill the Contractor of Civil and Electrical Works

Application Form (PKK/1/98/PIN.5). Then, the form will be send to PKK with fee

process, RM 100.00 for the class A contractor’s. The fee must be paid to

Manager of PKK using bank draft. The other way of payment will not acceptance.

The address to send the application form including the fee process is:

The applicant must inform what the type of class they want to apply. The

register contractor’s allowed to join the tender depend on their class. For class A,

the financial limit is more than RM 10,000,000.00. The class A contractor allowed

to operation around the country (Malaysia). The applicant also must inform the

type of ‘Header’ and ‘Sub-Header’ they want to apply. There are six type headers

exist in PKK, such as:

Header I – Civil engineering works

Header II – Building works

Header III – Mechanical, Sanitary and water engineering works

Header IV – Other specialist civil engineering works

Header V – Quarrying metal and earth supply, cartage and transport

Header VI – Forest and land development

Header VII – Telecommunication works

Registration condition

The company must register with Suruhanjaya Syarikat Malaysia (SSM)

first. The applicant must inform the company capitals. For class A contractor’s,

the minimum capital is RM 600,001.00. The company should have at least one of

their boards of director, shareholders or staff that have technical qualification. For

class A contractor’s, a relevance degree or diploma with the application domains

is needed. The degree or diploma must be recognized from government. If the

company has the experienced board directors, shareholders or staff, they must

show the evidence of their experience.

The company, who already had their own plant or appliance, must show

the purchase receipt, registration book of vehicles or any document can used to

proof that the plant and appliance is their own. If the company has the rental

plant or appliance, they need to show the authentic document from the rental

agencies. The agency right from suppliers must be attaching for the mechanical

works.

If the shareholders have shared more than 5% or RM 50,000.00 in the

other company, their application will never attend. The application will not

deliberate if the board of director or staff already has a post in the other

company, which that company already registers with PKK.

When the company application passes, they will get the information from

the registration offer letters. The letter also obtains the registration class, header

and sub-header. The letters also tell the amount the registration fee. For class A

contractor’s, the registration fee is RM 5,000.00. The registration fee must being

paid between 30 days from the date of the offer latter’s. The payment must paid

by Bank Draft or Pos Order to MANAGER, PUSAT KHIDMAT KONTRAKTOR.

The other way of payment will not acceptance.

The authentic period is two years. The applicant can renew the application

3 months before the expired date of registration. After the expired date, the

registration not considers anymore and if the company still wants to register, they

need to make a new registration application.

Bumiputra Recognition

There are a few rules if the company wants to apply the Bumiputra

Recognition. The rule was written in ‘surat Pekeliling Perbendaharaan Bil.4

Tahun 1995’.

i. Share of the company must majority or more than 51% owned to

Bumiputra shareholders.

ii. There are majorities or more than 51% Bumiputra board of director’s in the

company.

iii. There are majorities or more than 51% Bumiputra staff’s in the company.

iv. Executive, Director or Manager or others key post in the company is

Bumiputra.

v. Organization chart must shown the managing of the company is fully

control by the Bumiputra; and

vi. Financial managing controlled by the Bumiputra.

The Others Document Must Be Attach with the Application is:

i. NIRC copy’s (passport copy’s if foreigner) of board of director,

shareholders, officers and staffs.

ii. Copy’s of KWSP statement (Form A) last 3 months with resist copy’s.

iii. Authentic certificate copy’s of board of directors, shareholders, officers

and staffs.

iv. Permit copy’s from Jabatan Tenaga Rakyat or Jabatan Imegresen if have

foreigner board of directors.

v. Authentic experience document’s from board of directors, officers and

staffs.

vi. Authentic bank or others money institution documents about financial

facilities.

vii. Bank statement copy’s for current account after 3 months.

viii. Authentication of plants/machineries rental and registration of company’s

vehicles copies.

ix. Authentication document of plants/equipment/vehicles.

x. Authentication documents copy’s of materials credit facilities.

xi. Letter of acceptance, Works Order copy’s for finished projects if the

applicants main contractor.

xii. Stamped and authentic Sub-Contracts agreement between main contactor

and sub-contactors copy’s, including the Letter of Acceptance copy’s and

work finished certificate from client to main contactor if the applicant is

sub-contactor.

For private limited company, these documents must be attached together with

the application:

i. Copy’s of Form 9 and Memorandum and Articles of Association.

ii. Authentication copy’s by Suruhanjaya Syarikat Malaysia (SSM):

a. The last Annual Return Of A Company Having A Share Capital letter

and Form 24 (Return of Allotment of Shares) for addition share after

that Annual Return, OR

b. All of Form 24 (Return of Allotment of Shares) AND all of stamped

Form 32A copies if had change in share properties.

c. The last Form 49 (Return Giving Particulars in Register of Directors.

Managers and Secretaries and Changes of Particulars).

iii. If the company share’s owned to others company, attach the

authentication by Suruhanjaya Syarikat Malaysia copy of ‘Annual Return

Of A Company Having A Share Capital’ and copy’s of Form 24.

5.0 REGISTERION CIDB

The new construction company must be registering under Construction

Industry Development Board (CIDB) before undertake to execute and complete

any construction works in Malaysia.

Application Details

A new local firm or companies or locally incorporated companies and local

firms or companies currently engaged in construction activities shall apply for

registration using Form CIDB R1/95.(PIN 1/99) from CIDB Perak Office, Lot 5.02,

5th floor, Bangunan KWSP, Jalan Greentown, 30450 Ipoh, Perak.

The processing Fees shall be accompanied by payment of RM50.00.

Processing fees can be in the form of cash or postal order or money order or

company’s cheque made payable to ‘”Construction Industry Development Board

Malaysia”

Processing Time and Certificates of Registration

Under Normal circumstances, if the submission are complete and in order,

applicants will be informed of the outcome not later than 2 months from date of

submission of applications.

Qualified local construction firms or companies or locally incorporated

companies shall be registered with CIDB and shall be issued Certificates of

Registration which authorize the firms to undertake and complete construction

works within the scope of their grades and categories long as the certificates are

still valid. The validity of registration shall be valid for minimum of one year and

not more than three year.
