Memorandum of Agreement (MOA) for Feeding the Gulf Coast's 19 th Annual Alabama Chef Challenge – A Challenge to End Hunger 2017 Chef Challenge Overview Chef Challenge is Feeding the Gulf Coast’s, formerly Bay Area Food Bank, fundraiser that brings together some of our area’s most celebrated chefs and restaurants for an evening of superb food and drink while they compete to win best dish of the night, live entertainment, and a vast silent auction—all in the name of ending hunger. Chef Challenge is held as a kickoff to Hunger Action Month (September). Hunger Action Month is a nationwide awareness campaign set forth by our corporate affiliate, Feeding America ® , that educates the public about the issue of hunger and helps raise awareness about our hungerrelief efforts along the Central Gulf Coast. All proceeds from the Alabama Chef Challenge will be used to support our hungerrelief programs and provide meals to more than 250 partner agencies throughout our 9county south Alabama service area, as well as assist with our other numerous nutrition programs. It is through the generosity and support of businesses like yours that enable us to accomplish this mission. Space is limited. Please inquire as soon as possible. We do not need to know your final dish until July 14, 2017, but a completed MOA is needed to reserve your spot. We thank you in advance for your support. In 2016, the food bank distributed over 22 million pounds of food through their network of over 400 partner agencies including church pantries, soup kitchens, and other nonprofit organizations throughout its service area. The food bank also operates multiple nutrition programs, including Summer Food Service, Afterschool Snack, Backpack, Disaster Relief, Community Garden, Mobile Pantry, Cooking Matters, and SNAP Outreach. 2017 Chef Challenge Overview

THIS MEMORANDUM OF AGREEMENT

BETWEEN: (1) Feeding the Gulf Coast a  non-­‐profit  hunger  relief  organization  whose  principal  business  address  is    

5248  Mobile  South  Street,  Theodore,  AL  36582;  and (2) __________________________________, Name of Chef/Restaurant whose  principal  address  is:

WHEREAS: (1)   Feeding  the  Gulf  Coast  is  hosting  its  annual  fundraising  event,  Chef  Challenge,  on    

Thursday,  August  31,  2017  at  the  Fort  Whiting  Armory.     NOW IT IS HEREBY AGREED AS FOLLOWS: 1.   As  a  participating  chef  sponsor,  I,  __________________________________,  affirm  that    __________________________________,  

Chef/Restaurant  will  participate  in  the  August  31,  2017  Feeding  the  Gulf  Coast  Chef  Challenge  fundraising  event.    I,  _____________________________,  agree  that    __________________________________,  Chef/Restaurant  will  provide  the  culinary  staff  and  enough  food  to  prepare  600  tastings  of  the  menu  item  from  the  selected  category  agreed  upon  with  Feeding  the  Gulf  Coast  for  approximately  600  guests  (Menu  Item  Agreement  Page  3  of  3).    I,  _______________________________,  will  ensure  my  staff  is  setup  at  the  venue  no  later  than  5:15  p.m.  and  does  not  breakdown  setup  until  the  conclusion  of  the  event  at  9  p.m.  

   2.   As  an  event  host,  we,  Feeding  the  Gulf  Coast,  will  provide  two  8  ft.  banquet  tables  and  linens  for  setup.      

3.   Each  party  to  this  Memorandum  of  Agreement  represents  and  warrants  to  the  other  party  that:-­‐             (a)   it  has  full  power,  authority  and  legal  right  to  execute  and  perform  this  Memorandum  of  Agreement;        

    (b)   it  has  taken  all  necessary  legal  and  corporate  action  to  authorize  the  execution  and  performance  of  this  Memorandum  of  Agreement;  and    

   

    (c)   this  Memorandum  of  Agreement  constitutes  the  legal,  valid  and  binding  obligations  of  such  party  in  accordance  with  its  terms.
