End User Licence for RYMAN Eco

This End User License Agreement (hereinafter Agreement) is a legal agreement between You, or, if You represent a legal entity, that legal entity (hereinafter You) and RYMAN (hereinafter RYMAN), and is applicable to the Font Software that is accompanied by this Agreement or that You have ordered online.

This End User Licence Agreement (hereinafter Agreement) is a limited and non-exclusive Agreement between You the Licensee or, if You represent a legal entity, that legal entity (hereinafter You) and the Licensor, RYMAN Limited of RYMAN House, Savoy Road, Crewe, CW1 6NA, Company number 3007166 (hereinafter RYMAN) and is applicable to the licensed software, licensed Fonts, Documentation and any Updates. RYMAN retain all right, title and interest, including all copyright and intellectual property rights, in and to these materials.

By downloading the Font software, You agree to be bound by the terms of this Agreement. If You do not agree to the terms of this Agreement, do not download, install, or use the Font Software.

1. Definitions

Font Software means coded software that is accompanied by this Agreement or that You are about to order online and which generates typeface designs when used with the appropriate hard- and software plus any and all other data including documentation provided with such software.

Agreement: the terms and conditions of the present document, as offered by RYMAN and accepted by You. Documentation: any manuals, instructions, readme files and other information concerning the Licensed Software, whether in electronic or hardcopy form, made available by RYMAN to You. Licensee: any natural person or legal entity that has accepted the terms of the Agreement. Licensed Font: any typefaces in Truetype or similar formats provided by Licensor to Licensee for use in the Licensed Software. Licensed Software: the Ryman Eco software as downloaded or otherwise acquired by Licensee. Update: any changes, improvements, enhancements, extensions, additions, adaptations, translations or modifications or of the Licensed Software provided to You by RYMAN. New versions of the Licensed Software do not qualify as an Update.

2. Grant of Software License and Restrictions 2.1 Subject to Your full and unconditional compliance with its obligations under the Agreement, RYMAN hereby grants You a non-exclusive, non-transferable, non-sublicenseable license to install, copy and use the Licensed Software, any Updates and Documentation. 2.2 This license does not include any right to modify or adapt the Licensed Software, to distribute or make available the Licensed Software to third parties, to provide access to the Licensed Software by means of an Internet service (Software-as-a-Service) or to sublicense, sell, rent or lease any portion of the Licensed Software. 2.3 You shall not reverse engineer, disassemble, decompile or make any attempt to discover the source code of the Licensed Software. 2.4 Any unlicensed copying, modification or distribution of the Licensed Software by You immediately terminates the Agreement. 3. Grant of Font License and Restrictions 3.1 For as long as You are licensed under article 2 regarding the Licensed Software, RYMAN hereby grants You during the Term a non-exclusive, non-transferable non-sublicenseable license to install, copy and use any Licensed Fonts as provided with the Licensed Software. 3.2 You shall not alter, merge, modify, adapt, translate or decompile, reverse engineer, disassemble, or otherwise reduce the Licensed Fonts to a human-perceivable form. 3.3 You shall not rent, lease, distribute, or sublicense the Licensed Fonts, or create derivative works based upon the Licensed Fonts. 3.4 You shall not (attempt to) extract or recover Licensed Fonts from the Licensed Software or copy any Licensed Fonts, or encourage others to do so. 3.5 You represent and warrant that You are licensed to use the original versions of any Licensed Fonts. 3. Ownership

The Font Software, and all copies thereof, is protected by the United Kingdom Copyright Law, by the copyright and design laws of other nations, and by international treaties. Any copyright, trademark and other rights belong exclusively to RYMAN, except as expressly provided in 2.1. You do not gain the ownership of the Font Software under this Agreement. The structure, organization, and the code of the Font Software are trade secrets of RYMAN, and You agree to treat them as such.

4. Disclaimer of Warranties

RYMAN does not and cannot warrant the performance or results You may obtain by using the Font Software or Documentation. RYMAN and its suppliers make no warranties express or implied, as to non-infringement of third party rights, merchantability, or fitness for any particular purpose. In no event will RYMAN or its suppliers be liable to You for any consequential, incidental or special damages, including any lost profits or lost savings, even if a RYMAN representative has been advised of the possibility of such damages, or for any claim by any third party.

You agree to indemnify and hold RYMAN and its affiliates harmless from any and all claims, liability and expenses arising out of your use of the licensed software and licensed font.

5. Governing Law

This Agreement will be governed by the laws of England and Wales. This agreement will not be governed by the United Nations Convention of Contracts for the International Sale of Goods, the application of which is expressly excluded. If any part of this agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms.

6. Termination

RYMAN has the right to terminate Your license immediately if You fail to comply with any term of this Agreement. Upon termination, You must destroy the original and any copies of the Font Software.

7. General Provisions

You agree to inform all users who have access to the Font Software about the content of this Agreement and to ensure that they agree to comply with the terms of this Agreement.

Clauses that can be included

8. Support 8.1 You are solely responsible for acquiring, installing and configuring the Licensed Software, Licensed Fonts and any Updates. RYMAN will indicate in the Documentation the minimal system requirements. 8.2 If You discover a Defect in the Licensed Software or any Updates, You shall promptly report such Defect to RYMAN. RYMAN shall strive to address the Defect in an Update and release this Update within a reasonable timeframe, but cannot make any guarantees to this effect. 9. Updates

9.1 From time to time, RYMAN may make available Updates to the Licensed Software. RYMAN is under no obligation to prepare or make available any Updates. 9.2 The terms and conditions of this Agreement apply to any Updates. 10. Publicity concerning the Licensed Software and Font 10.1 You are encouraged to publicly report the use of the Licensed Software, e.g. in press releases, annual reports or environmental reports concerning Your organization. 10.2 To this end, RYMAN hereby grants You a license under its trademark(s) and copyrights concerning the name RYMAN Eco and the associated logos as made available on RYMANs Website (www.RYMAN.co.uk.) or specifically provided by RYMAN. However, You must use name and logos in unmodified form and You must adhere to any specific rules given on the Website. 10.3 When using the name and/or any logos, You may not create any false or misleading impressions regarding its affiliation with RYMAN. Furthermore, You may not use any names or signs, or register or apply for any trademarks or Internet domain names that contain the name RYMAN Eco or any confusingly similar designation. RYMAN is entitled to demand transfer of any such trademarks or domain names by You to RYMAN. 10.4 The license of this article terminates automatically upon termination or expiry of this Agreement, regardless of reason.

11. Revision of the agreement 11.1 The Agreement may only be modified by a written document executed by the parties. 11.2 RYMAN has the right to adapt or add to the Agreement at any time. 11.3 If You do not wish to accept an adapted or additional term, You must terminate the Agreement. Failure to do so constitutes acceptance of such terms.

12. Language 12. 1 Any translation of this Agreement is done for local requirements and in the event of a dispute between the English and any non-English version, the English version of this Agreement shall govern.
