bốicảnhđó,vớinhữnggiảiphápquyếtliệt và hiệu quả trong việc thực hiệnmục tiêukép “vừaphòngchốngdịch,vừa phát triển kinh tế – xã hội”, kinhtếViệtNamvẫnđạt kếtquả tíchcựcvớiviệcduytrìtăngtrưởngdươngquađó giúp thị trường chứng khoán ViệtNam phục hồi và tăng trưởng mạnhmẽ trong những tháng cuối năm: sốlượng tài khoản nhà đầu tưmới tănggần 400.000 tài khoản; thanh khoảnthị trường gia tăng kỷ lục với giá trịgiaodịchbìnhquânđạt6,29ngàn tỷđồng/mộtphiên,tăng55%sovớitrungbìnhnăm2019; giá trị giao dịch cuốinăm tănggấpkhoảng4 lầnmứcđầunăm 2020. Năm 2020 có 20 doanhnghiệp niêm yếtmới với quymô 116ngàntỷđồng.Cácdoanhnghiệpniêmyếtcũngthựchiệnthànhcông120đợtphát hành tăng vốn, huy động được9,33ngàntỷđồng.

ChỉsốVNIndexnăm2020tăng14,87%,đưa giá trị vốn hóa các doanh nghiệpniêm yết trên HOSE đạt 4,08 triệu tỷđồngchiếm95,05%giá trị vốnhóa thịtrường cổphiếu cảnước, tươngđương64,84%GDPnăm2020.

Vớisựpháttriểnmạnhmẽcủathịtrườngchứngkhoántrongnăm2020,chúngtacó thể hy vọng rằng thị trường chứngkhoánđangdầnkhẳngđịnhlàkênhhuyđộngvàphânbổvốnhiệuquảcủanềnkinh tế, là hạt nhân cốt lõi thúcđẩy vịthế trung tâmtàichínhcủaThànhphốHồChíMinh.

Tiên phong triển khai các phương thức giao dịch tiên tiến, các sản phẩm, dịch vụ mới, đề xuất nhiều giải pháp phát triển thị trường để thu hút đầu tư và nâng cao thanh khoản thị trường.

Trong20nămhoạtđộng,HOSEđãđềxuấtvàtriểnkhaihàngloạtcácgiảiphápkỹthuậtvềgiaodịchcũngnhưđadạnghóasảnphẩm,trongđóđángchúýlàviệctriểnkhaikhớplệnhliêntụcvàonăm2007,giaodịchtrựctuyếnvàonăm2009,kéodàithờigiangiaodịchvàtriểnkhailệnhthịtrườngvàonăm2012,ápdụngđơnvịyếtgiámớivớibướcgiátốithiểu10đồng/cổphiếuvàtăngkhốilượngđặtlệnhtốiđacho1lệnhgiaodịchtừ19.990lên500.000cổphiếu/chứngchỉquỹvàonăm2016đãcảithiệnđángkểthanhkhoảntrênthịtrường.HOSEcũngtiênphongđềxuấttriểnkhainhiềugiảipháp,vậndụngsángtạonhằmthựctiễnhóachínhsáchcủaChínhphủ,thựchiệnđấugiábáncổphầncủacácdoanhnghiệpnhànướccổphầnhóaquaSởgiaodịchchứngkhoán.CuộcđấugiáđầutiênvàthànhcôngcủaVinamilk(năm2005)đãtạonềntảngchocáccuộcđấugiáthànhcôngtiếptheo,đónggópvàoviệcthựchiệnkếhoạchcổphầnhóacủaChínhphủ.

CấutrúcsảnphẩmniêmyếtcủaHOSEngàycànghoànthiệnvà tiệm cận hơn với xu hướng quốc tế, góp phần tăngthanhkhoản trên thị trườngcơsở,đadạnghóacáclựa chọn đầu tư trên thị trường. Ngoài cổ phiếu,trái phiếu, chứng chỉ quỹ đóng, HOSE đã tiếptụcpháttriểnvàniêmyếtcácdòngsảnphẩmcấutrúctiêntiếnnhưchứngchỉquỹhoánđổidanhmụcETF (2014)vàchứngquyềncóbảođảm–coveredwarrant(tháng6/2019)và phát triển hơn 30 chỉ số đa dạng,manglạinhiềugiátrịsửdụngtrênthựctiễn,trongđóchỉsốVN30đanglàchỉsốthamchiếucủanhiềuQuỹETFvàsảnphẩmpháisinh.

Thiết lập các chuẩn mực về công tác quản trị doanh nghiệp, nâng cao tính minh bạch của thị trường và chất lượng hàng hóa, dịch vụ

Trênnềntảngkhungpháplývàcácquyđịnhvềquản trịcông tyngàycànghoànthiện,HOSEđã thường xuyên hướng dẫncác doanh nghiệp niêm yết (DNNY) trongviệcthựcthicácquyđịnh,phốihợpcùngcácđốitáctrongvàngoàinướctổchứccácchươngtrìnhđàotạochoDNNYcácquyđịnhmớivềquảntrịcôngtyvàcácthựchànhtốttheothônglệquốctế.

CácdoanhnghiệpsaukhiniêmyếttrênHOSEcósựcảithiệnrõrệtvềchất lượngquảntrịcôngtyvàhiệuquảhoạtđộng.Cuộcbình chọnbáo cáo thườngniên cho cácDNNY, đượcHOSEkhởixướngtừnăm2008,đãtrởthànhbiểutượngchosựminhbạchvàquảntrịcôngtytốttrênthịtrườngchứngkhoánvàtiếptụcđượcnângtầmthànhgiảibìnhchọnDNNY(VLCA)sauhơn10nămđồnghànhcùngthịtrườngchứngkhoánViệtNamvàcộngđồngcácDNNY.

Năm2017,HOSEđãramắtchỉsốPháttriểnbềnvững(VNSI)gồm20cổphiếuđượcchọnlọctừchỉsốVN100cóđiểmđánhgiápháttriểnbềnvữngcaonhấtdựatrên3yếutốMôitrường(E),Xãhội(S)vàQuảntrị(G)nhằmnângcaonhậnthứccủadoanh nghiệp niêm yết về phát triển bền vững, hướng đếnnguyêntắcđầutưcótráchnhiệm.

NỗlựccủaHOSEđãgópphầnkiếnlậpnênnhữnggiátrịnềntảngcủathịtrườngchứngkhoánvànângcaochấtlượnghànghóathị trường.Nhiềudoanhnghiệpđãđưavaitròcủaquảntrịcôngtyvàpháttriểnbềnvữngvàotầmnhìnvàchiếnlượcpháttriểndàihạn,quađónângcaogiátrịdoanhnghiệp,giatăngniềm tincủanhàđầu tư.Chất lượngcôngbố thông tincủaDNNYđãcósựcảithiệnđángkể,thểhiệnởtínhchuyênnghiệp,minhbạchvàkịpthờicủathôngtin,cácviphạmquiđịnhvềcôngbốthôngtinđãgiảmrõrệt.

khoánTP.HCM.Qua20nămhoạtđộngvàpháttriển,HOSEđãtrưởngthànhvàcùngvớinhữngbướcchuyểnmìnhngàycànglớnmạnhcủathịtrườngchứngkhoánViệtNam,khẳngđịnhvaitròvớivịtrílàkênhhuyđộngvàphânbổvốntrung,dàihạnhiệuquả,phụcvụpháttriểnkinhtếđấtnước.

Xây dựng một thị trường chứng khoán tập trung quy mô lớn nhất cả nước, quy tụ các doanh nghiệp niêm yết hàng đầu trong nền kinh tế.

Qua20nămhoạtđộng,cótổngcộng497mãcổphiếu,10mãchứngchỉquỹđóng,485mã tráiphiếu,07mãchứngchỉquỹETF,295mãchứngquyềncóbảođảmđãđượcniêmyết(trongđócó105mãcổphiếu,06mãchứngchỉquỹđóng,98mãtráiphiếuvà177mãchứngquyềncóbảođảmđãhủyniêmyết).Tổnggiá trịchứngkhoánđượcmuabántraođổiquaHOSEsau20nămđạthơn8,7triệutỷđồng(gần392,8tỷchứngkhoán).

Tínhđếnhếtngày31/12/2020,HOSEcó392mãcổphiếu,03mãchứngchỉquỹđóng,07mãchứngchỉquỹETF,33mãtráiphiếuvà118mãchứngquyềncóbảođảmđangniêmyết.Tổnggiátrịvốnhóacổphiếuđạttrên4,08triệutỷđồng,chiếm95,05% giá trị vốn hóa thị trường cổ phiếu cả nước, tươngđương64,84%GDPnăm2020.Có73côngtychứngkhoánthànhviênvớihơn2,7triệutàikhoảncủanhàđầutư.

CáccôngtyniêmyếttrênHOSElàcáccôngtylớn,đầungành,cóhoạtđộngkinhdoanh tăng trưởngổnđịnh.Có30doanhnghiệpcóvốnhóatrên1tỷUSDniêmyếttrênHOSEtrongđócó13ngânhàng,khẳngđịnhvaitròvàvịtríquantrọngcủaHOSEtrongviệcthuhútniêmyếtvàgiaodịchcổphiếucủacáccôngtylớntrongnềnkinhtế.

Xây dựng kênh huy động và phân bổ vốn năng động hiệu quả cho nền kinh tế và từng bước trở thành

kênh đầu tư quan trọng, thúc đẩy công tác cổ phần hóa và hỗ trợ tái cấu trúc nền kinh tế.

Kểtừkhithamgianiêmyết,cácdoanhnghiệpđãhuyđộngđượcmột lượngvốnđángkểđểphụcvụchohoạtđộngsảnxuấtkinhdoanh.Tổng giá trị huy động thông qua phát hànhthêmtrênthịtrườngcổphiếukểtừnăm2000đếnnayướcđạthơn336.240tỷđồngvới931đợtpháthành,trongđó,giaiđoạntáicấutrúcnền kinh tế 2010-2015mức huy động tănghơn5 lần so với giai đoạn2004-2009.Trên80%côngtyniêmyếttrênHOSEđãthựchiệntăngvốnđiềulệsaukhiniêmyếttrênthịtrườngchứngkhoán,giúpcáccôngtynângcaonănglựctàichính,đầutưchocácdựánmới,mởrộngsảnxuấtkinhdoanh,tăngsứccạnhtranhvàhiệuquảhoạtđộng.

Năm 2020 là một năm thành công đối với thị trường chứngkhoánViệtNammặcdùbịảnhhưởngbởiđạidịchCovid-19.Nhờcóchínhsáchtốt,kinhtếvĩmôổnđịnh,dịchbệnhđượckiểmsoát,chỉsốVN-Indexđãhồiphụcnhanhchóng, thanhkhoảntăngmạnh,sốlượngnhàđầutưthamgiathịtrườngtăngđộtbiến.ThịtrườngchứngkhoánViệtNamdẫnđầutrongkhốiASEANvềtăngtrưởnggiátrịvốnhóathịtrườngvàđứngthứ2(sauMalaysia)vềtăngtrưởnggiátrịgiaodịch.

Năm 2020 cũng là một năm nhiều ý nghĩa với thị trườngchứngkhoánViệtNamvàHOSEkhithịtrườngghidấumốc20nămđivàohoạtđộng.Sauhơn20nămvậnhành,HOSEđãđạtđượcnhữngthànhtựuquantrọngvềquymôvàthanhkhoản,nângcao tínhcôngkhai,minhbạchcủa thị trường,trởthànhkênhhuyđộngvốnquantrọng,đónggópdòngvốnvàocôngcuộcpháttriểnkinhtế-xãhộicủaViệtNam.

Các chỉ số ngành cũng có sự tăngtrưởngsovớicuốinăm2019, trongđóhaichỉsốcótốcđộtăngcaonhấtlàchỉsốngànhnguyênvậtliệu(Materials)với89,1% và chỉ số ngành tài chính(Financials) với 38,6%, và một chỉ sốgiảmnhẹsovớicuốinămtrướclàchỉsốngànhnănglượng(Energy)giảm4,6%.

Bachỉ sốđầu tưđượcgiới thiệu ra thịtrường vào cuối năm 2019 làVNFINLEAD, VNFINSELECT vàVNDIAMOND,đềucómứctăngtrưởngấn tượng trong năm 2020. Trong đóVNFINLEAD là chỉ số có tốc độ tăngtrưởng cao nhất với 40%, tiếp đến làVNFINSELECT39,3%vàVNDIAMOND24,7%.

Hai chỉ số VNDIAMOND, VNFINLEADđãđượchaiquỹđầutưnộiđịasửdụnglàm chỉ số tham chiếu cho hoạt độngcủahaiquỹETFlàFUEVFVNDvàETFFUESSVFL.Dùmớichỉchínhthứcđượcniêmyết trênHOSE từđầunăm2020cácQuỹETFmớinàyđãthuhútđượcsựquantâmđặcbiệtcủanhàđầutưvàtrởthànhhai trongsốcácQuỹETFthànhcôngnhấttrênthịtrường.

ChỉsốVNSIcũngcósựbiếnđộngcùngchiều với các chỉ số chung của thịtrường.Ngày 31/01/2020, chỉ số VNSIgiảmmạnhvềmức871,58điểm,giảm28,3%sovớiđầunăm2020.Tuynhiênsau đó chỉ số này đã phục hồi và giữđượcnhịptăngtrưởngổnđịnhtrongcáctháng còn lại của năm. Kết thúc nămvàongày31/12/2020,chỉsốVNSIđóngcửaởmức1.495,2điểm,tăng71,6%sovớithờiđiểmthấpnhất(Tháng3/2020)vàtăng23%sovớiđầunăm2020.

Diễn biến này cho thấy VNSI là mộtnguồnthamkhảoổnđịnhvàbềnvữnghơnchonhàđầutưkhiquantâmđếnthịtrườngchứngkhoánViệtNamngaycảtrong bối cảnh thị trường bị biến độngbởiảnhhưởngcủacácrủiro.

Trongnăm2020,sốlượngtàikhoảngiaodịchmớicủanhàđầutưtrongvàngoàinướctăngcaokỷlụcđạtgần400.000tàikhoản,caonhấttừtrướcđếnnay.TổngsốtàikhoảncủanhàđầutưtrênthịtrườngchứngkhoánViệtNamđến31/12/2020đạthơn2,7triệutàikhoản.

TổngGTGDcủanhàđầutưnướcngoàitrongnăm2020đạtkhoảng403.141tỷđồng,chiếmkhoảng12,45%tổngGTGDtoànthịtrường,tăng26,51%sovớinăm2019;tổngKLGDđạt13,6tỷchứngkhoán,chiếmkhoảng7,67%tổngKLGDtoànthịtrường,tăng69,29%sovớinăm2019.

Năm 2020, lượng vốn mà các doanh nghiệp niêm yết trênHOSEhuyđộngđượcquapháthànhthêmđạt40.511tỷđồng,giảm10,16%sovớinăm2019.

ThịtrườngtráiphiếudoanhnghiệptạiHOSEchothấysựtăngtrưởnghấpdẫntrongkhoảngthờigiancuốinăm2020.Cụthể,đãcó10mãtráiphiếudoanhnghiệpvớitổngkhối lượngtráiphiếuniêmyếtlà140triệutráiphiếutươngứnggiátrịniêmyếtlà14.000tỷđồngđượcniêmyếtvàgiaodịch;nângtổngsốtráiphiếudoanhnghiệpđangniêmyếttrênHOSElà21tráiphiếuvớitổnggiátrịniêmyếtlà24.830tỷđồng.Tậptrungvàomộtsố tổ chứcpháthành lớnđồng thời là công tyniêmyếtnhưMasan,tậpđoànVincom,Novaland…

Liên tụcnhiềunăm,HOSE luônđồnghànhcùngcácdoanhnghiệpniêmyếttrongviệcnângcaochấtlượngquảntrịdoanhnghiệp,hướngđếnmụctiêupháttriểnbềnvữngthôngquacáchoạtđộngđàotạovềquảntrịdoanhnghiệp,traogiảibìnhchọncácdoanhnghiệpniêmyếtthườngniên,xâydựngchỉsốpháttriểnbềnvữngvàkhuyếnkhíchcáchoạtđộngđầutưbềnvữngtheotiêuchíESG.

CuộcbìnhchọnDoanhnghiệpniêmyết(tiềnthânlàCuộcbìnhchọnBáocáothườngniên)làhoạtđộngthườngniêndoHOSE,SởGDCKHàNội(HNX),BáoĐầutưvàCôngtyQuảnlýquỹDragonCapitalphốihợptổchức.Năm2020lànămthứ13cuộcbìnhchọnđồnghànhcùngTTCKViệtNam,vớisứmệnhhỗtrợ,khích lệ các doanh nghiệp niêm yết nâng cao tính chuyênnghiệp,minhbạch, tăngcườngkhảnăngtruyềntải thôngtinđếncácnhàđầutư,hướngđếnquảntrịhiệuquảvàpháttriểnngàycàngbềnvững.Đặcbiệt,BộnguyêntắcQuảntrịcôngtyViệtNamđượcgiớithiệunăm2019đãđượcdoanhnghiệpápdụng,sửdụngnhưlà“kimchỉnam”chocáccảicáchquảntrịcôngtytạidoanhnghiệp.

Kếtquảđánhgiá,bìnhchọndoanhnghiệpniêmyếtquacácnămcho thấy:Quản trị tốtgiúpdoanhnghiệpngănngừa rủi ro,hệthốngvậnhànhổnđịnh,cóthểkiểmsoáttốtchiphí,giúpdoanhnghiệpcóthểvượtquakhủnghoảngvàphụchồinhanh.

Năm2020,có40doanhnghiệpniêmyếtxuấtsắcđượcchọnđểvinhdanhở3hạngmục:Doanhnghiệpcóbáocáothườngniêntốtnhất;DoanhnghiệpcóbáocáopháttriểnbềnvữngtốtnhấtvàDoanhnghiệpcóđiểmquảntrịcôngtycaonhất.Ngoàira,ởmỗihạngmục,BanTổchứccũngchọn01doanhnghiệpcósựtiếnbộvượtbậcđểtraogiải“Tiếnbộvượttrội”nhằmghinhậnnỗlựccủacácdoanhnghiệptrongviệcminhbạchthôngtin.

Năm2020,HOSEđãtổchứcthànhcông15đợtđấugiábáncổphần,trongđócó03phiênchàobánracôngchúngcủacôngtyđạichúng,04đợtchàobáncổphầnhóa(IPO)củacácdoanhnghiệpnhànước,và08đợtchàobánnhằmthoáivốnnhànước

từcácdoanhnghiệp.Tổngsốcổphầnđấugiáthànhcôngđạthơn316,27triệucổphần(tănghơn2lầnsovớinăm2019),vàtổnggiátrịcổphầnbánđượcthôngquađấugiátạiHOSEđạt6.916tỷđồng(tănghơn2,4lầnsovớinăm2019).

Đặcbiệt làquỹETFFUEVFVND,kểtừkhiđượcniêmyếtvàgiaodịchtrênHOSEvàongày12/05/2020vớiquymôbanđầulà102tỷđồng,đãliêntụcthuhútđượcdòngvốnđầutưtừnướcngoài.Tínhđến31/12/2020,sau07thángniêmyết,QuỹETF

nàyđãthuhútđượchơn5.000tỷđồngtừcácnhàđầutưnướcngoài,tăng49lầnsovớiquymôbanđầu.

Tính đến ngày 31/12/2020, có tổng cộng 07 quỹ ETF đangđượcniêmyếttrênHOSE.TỷlệsởhữucủanhàđầutưnướcngoàiđốivớicácquỹETFnộiđịanàylàrấtlớn,trongđócó04quỹETFđượccácnhàđầutưnướcngoàisởhữutrên90%tổnggiá trị tài sản của quỹ bao gồm: FUEVFVND, E1VFVN30,FUESSVFLvàFUEMAVN30.GiátrịgiaodịchcủacácquỹETFtrongnăm2020cósựgiatăngđángkểsovớinămtrước:tổngKLGDđạthơn1tỷchứngchỉ(tăng149,3%sovớinămtrước),GTGDđạt13.700tỷđồng(tăng123,9%sovớinămtrước).

Tínhđến31/12/2020,sauhơnmộtnămtriểnkhaisảnphẩmCW,có295mãCW(trongđó118mãđangniêmyếtvà177mãđãđáohạn)đượcpháthànhtrên25cổphiếucơsởdo08tổchứcpháthành,với tổngkhối lượngniêmyếtđạt437,4 triệuCW,tăng346,78%sovớicùngkỳnăm2019.KLGDbìnhquânngàylà11,8triệuCW(chiếm3,36%tổngkhốilượnggiaodịchchứngkhoántạiHOSE)vàGTGDtrungbìnhngàylà21,6tỷ

đồng(chiếm0,34%tổngGTGDchứngkhoántạiHOSE).

Năm2015,HOSEtrởthànhđốitáccủaSángkiếncácSởGiaodịch chứng khoán bền vững (Sustainable Stock Exchanges(SSE) Initiative) của Liên Hợp quốc. Trong quá trình hoạtđộng,HOSEluôngắnliềntăngtrưởngthịtrườngvớicáctiêuchívềpháttriểnbềnvữngliênquantớimôitrường,tráchnhiệmcộngđồngvàquảntrịcôngty.

Vớivai trò làđơnvị vậnhành thị trường,HOSEnỗ lực thúcđẩy các các hoạt động phát triển bền vững (PTBV) trên thịtrườngchứngkhoánViệtNamđặcbiệtlànângcaovaitròcủa

quảntrịcôngtytốt,minhbạchthôngtin…Trongnăm2020,dùgặpnhiềukhókhăndodịchbệnhCovid-19gâyraHOSEvẫnduytrìviệcphốihợpvớicáccơquanquảnlý,cácđốitáctổ chức các chương trình hội thảo, đào tạo trực tuyến, chiasẻthôngtinvềQuảntrịcôngtytớicácthànhviênthịtrường,nhằmtạođộnglựcvànângcaonhậnthứccácđơnvịvềtầmquantrọngvàsựcầnthiếtcủapháttriểnbềnvững,hướngtớimộtthịtrườngchứngkhoánViệtNamcôngkhai,minhbạchvàbềnvững.

năm2020 là 7,8 tỷ đồng giảm23%so với 2019 (tỷ lệ tríchnăm2019là1,7%,năm2020là0,9%).Chiphícôngcụ,dụngcụkhấuhaotàisảncốđịnhchiếm15,4%tổngchiphíởmức55,725tỷđồng,tứctăng10,1%.Khoảnchiphí lươngvàcáckhoảnphảiđóngchongườilaođộngcóđiềuchỉnhnhẹsovớinămtrước,tăng0,1%chiếm20,7%.Phầnchiphícònlạichiếm21,6%trongtổngcơcấuchiphícủaHOSEnăm2020.

HOSEluônchấphànhđầyđủvàminhbạchcácnghĩavụvớiNhànước.Năm2020,HOSEthựchiệnnộpvềNhànướckhoảng507tỷđồngtăng48,2%sovớinăm2019.Trongđó,thuếthunhậpdoanhnghiệp là138,2tỷđồngtăng43,4tỷđồngtươngđương

mứctăng45,8%sovớinăm2019.Lợinhuậnsauthuếcònlạisaukhitríchlậpcácquỹtheoquyđịnh,HOSEđónggópvàongânsáchkhoảng368,8tỷđồngtăng49,1%sovớinămtrước.

Chương trình đào tạo nội bộ

Với mục tiêu hướng đến xây dựng thịtrường chứng khoán ngày càng vữngmạnh, đảm bảo các nguyên tắc côngbằng, minh bạch và hiệu quả, HOSEthườngxuyêntổchứccácchươngtrìnhhộithảo,hộinghị,đàotạocậpnhậtcácchínhsáchmới,cácthônglệtốtvềquảntrịcôngty,pháttriểnbềnvữngđếncácthànhviênthịtrường.Năm2020,đạidịchCovid-19diễnbiếnphứctạp,Chínhphủđãápdụngcácchínhsáchgiãncáchxãhộiđểchốngdịch,HOSEvàcácđốitácđãnỗlựctổchứccácbuổihộithảo,hộinghịtheohìnhthứctrựctuyếnhoặcchiasẻtàiliệunhằmcungcấpthôngtin,cậpnhậtcácquyđịnh,chínhsách,thônglệchocácthànhviênthịtrường.

Đàotạovàpháttriểnnguồnnhânlựclàmộthoạtđộngquantrọng,gópphầnđảmbảosựpháttriểnbềnvữngcủaHOSE,giúpnguồnnhânlựccóđượckhảnăngthíchứngvớinhữngthayđổicủamôitrường,đồngthờiđápứngcácyêucầungàycàngcaotronglãnhvựctàichính,chứngkhoán.

Năm2020,HOSEđãtriểnkhai15khóađàotạotrongnước,duytrìtổngsốgiờđàotạo3.486giờchocácchứcdanh.Cáckhóađàotạođượcchọnlọcphùhợpvớinhiệmvụcủatừngvịtrícôngviệc.Nămnay,việcđàotạonộibộtậptrungchủyếuvàongườiquảnlývàchuyênviênnghiệpvụvớicácnộidungvềquảnlýnhànước,quảnlýdựán,côngnghệthôngtin…

Năm2020,tổngsốlaođộngcủaHOSElà238người,giảm3nhânsự,tươngứng1,2%sovớinăm2019.Vềcơcấulaođộngnăm2020theogiớitính:laođộngNamlà129người,chiếm54,2%,laođộngNữlà109người,chiếm45,8%tổngsốnhânsựtạiHOSE.Năm2020,HOSEđãtuyểndụngmới12nhânsựtrongđócó07namvà05nữ.Nguồnlựcnhânsựđượcbổsungnằmtrongđộtuổitừ20–29tuổiđượcbổsungchocácphòngnghiệpvụ.

Năm2020,HOSEđãtậptrungđổimớicôngtácquảntrịvàpháttriểnnguồnnhânlựcthôngquaviệcsửađổiQuychếđánhgiá,xếploạitậpthể,cánhân,trongđó,bổsungthêmcôngtácđánhgiánănglựcvàluânchuyểnlãnhđạocấptrung.Đồngthời,HOSEcũngthựchiệnsắpxếplạichứcdanhngườilaođộngtheonhucầuvàthựctếphâncôngcôngviệctạicácđơnvị.

Xácđịnhnguồnnhânlựclànhântốtrungtâmdẫnđếnthànhcôngcủatổchức,vớiđặcthùlàmộtdoanhnghiệpnhànướchoạtđộngtrênđịabàncóthịtrườnglaođộngnăngđộngvàtínhcạnhtranhcaonhưTPHCM,HOSEluônchútrọngtạodựngmộtmôi trường làmviệcchuyênnghiệp,năngđộng,thânthiện,đánhgiáchínhxácvàtrântrọngnhữngcốnghiếncủađộingũ.Mứclươngvàthưởngcủangườiquảnlý,ngườilaođộngcủaHOSEluônđượcđảmbảotuânthủđúngquyđịnhcủaphápluậthiệnhành.NgườilaođộngtạiHOSEđượcđảmbảochínhsáchbảohiểmxãhội,bảohiểmy tế,bảohiểmtainạnvàchămsócsứckhỏe…HàngnămHOSEđềutổchức“Hộinghịngườilaođộng”,đâylàdịpngườiquảnlýtrựctiếplắngnghetiếngnóitừngườilaođộngđểxâydựnghoặcđiềuchỉnhchínhsách liênquanđếnngườingười laođộngphùhợpvàkịpthời.

Trongnăm,vòngquaynhânsựcủaHOSElà6,72%thấphơnnăm2019,điềunàychothấynguồnnhânlựccủaHOSEđượcduytrìổnđịnhtạođiềukiệnchoviệcđàotạonângcaotrìnhđộchuyênmôn,pháttriểnđộingũnhằmđápứngyêucầucôngviệcngàycàngcaosẵnsànggắnbóvàcốnghiếnvìmụctiêupháttriểncủathịtrườngchứngkhoáncũngnhưcủaHOSE.

Chairman’s message

The year 2020 marks a 20-yearmilestone of establishment anddevelopment of the Hochiminh StockExchange (HOSE) in particular andVietnam’s Stock Market in general.It was such an extraordinary year asthere weremany unexpected changesdue to theCOVID-19pandemic,whichhas severe negative impacts on the

globaleconomies.Inthiscircumstance,with drastic and timely measures ineffectively implementing the dual goalof “both preventing epidemics andboosting socioeconomic development”,Vietnam was able to achieve arelatively impressive economic growthwhich resulted in a strong recoveryof Vietnam’s stock market in the lastquarter of the year. Particularly, thenumber of new investor accounts roseto nearly 400,000 accounts; marketliquidity reached a record high withan average trading value of VND6.29trillionpersession,up55%from2019;trading value at year-end increasedfourfold compared to the beginning ofthe year. During 20 years of operation, HOSE has proposed anddeployed a series of technical solutions for trading as wellas product diversification. Highlights are the introduction ofcontinuoustradingin2007,onlinetradingin2009,tradingtimeextensionandmarket-priceorderintroductionin2012,aswellas the introductionof ticksizeofVND10pershareandtheincreaseofthemaximumordervolumefrom19,990to500,000shares/certificatesin2016,thatsignificantlyenhancedmarketliquidity. HOSE has also pioneered in proposing practicalsolutionsandapplyingsuchsolutionstofacilitateGovernmentpolicies in auctioning and selling shares of State-ownedenterprisesontheExchange.ThefirstandsuccessfulauctiontosellstakesofVietnamDairyProductsCompany–Vinamilk(in 2005) has been a stepping-stone to further successfulauctions,realizingtheGovernment’spolicyofprivatizationofstate-ownedenterprises.

Over the years, HOSE has expanded its product range toevolve with changes in client demand, aligning with theinternational standards, which in turn, boosting marketliquidityanddiversifying investmentoptions.Besidesstocks, bonds, and closed-end fund certificates,HOSEhasalsodevelopedandintroducedmoreadvanced products such as exchange-tradedfund(ETF)in2014,coveredwarrantsinJune2019, andmore than30 indices, ofwhichVN30 is used as the reference index forseveralETFsandderivatives.

Based on legal framework andregulations on corporate governance,HOSEhasconstantlyassisteditslistedcompanies in fulfiling their obligations,as well as worked with various localand international partners to organiseseminars and training sessions updatingnew regulations and propose internationalbest practices on corporate governance tolistedfirms.AfterbeinglistedontheExchange,most companies have remarkedly improvemedtheir corporate governanceandbusiness efficiency.

The Annual Report Awards (ARA) was first conducted byHOSEin2008,whichrepresentedthetransparencyandgoodpracticesincorporategovernanceofthestockmarket.After10yearsofaccompanyingthegrowthofVietnam’sstockmarketandlistedcompanies,theAwardswasextendedandrenamedastheVietnamListedCompanyAwards(VLCA).

In2017,HOSEintroducedVietnamSustainabilityIndex(VNSI)toincreasetheawarenessoflistedcompaniesonsustainabledevelopment towards responsible investment.VNSIconsistsof 20 stock codes selected from VN100 with the highestsustainabilityratingsbasedonthreecriteria,Environment(E),Society(S)andGovernance(G).

HOSE has significantly contributed to the establishmentof the fundamental values for Vietnam’s stock market andthe improvement in financial products and services. Manycompanies have adopted ESG policies to their vision andlong-termstrategies,whichinturn,helpsraisetheircorporatevalueandinvestors’confidence.Inaddition,listedcompaniesdisclosurepracticeshavealsobeenimprovedremarkablytheviolations of information disclosure requirements have beendramaticallyreduced.

HOSE’s key developments over the past 20 years

On 20th July 2020, HOSE celebrated the 20thanniversaryofVietnam’sStockMarketandHochiminhStock Exchange. After 20 years of operation and

development, HOSE has grown maturely together with thestronggrowthofVietnam’sstockmarket,playingakey roleofamediumandlong-termcapitalmobilizingandallocatingchannelforthenationaleconomy.

Developing the biggest centralized stock market in the country, attracting the leading listed companies in the economy.

Over20yearsofoperation,therehavebeen497stockcodes,10closed-endfunds,485bonds,7ETFsand295coveredwarrants listedonHOSE (ofwhich105stockcodes,6closed-endfunds,98bonds,and177coveredwarrants have been delisted). Total trading value over20yearsreachedaboveVND8.7quadrillion(withnearly392.8billionstocks).

Despite the impact of the COVID-19 pandemic, the year2020 was yet another successful one for Vietnam’s stockmarket. Thanks to policies, macroeconomic stability, andCOVID preventive measures, VN-Index has recoveredrapidly, market liquidity increased sharply, and the totalnumber of investors has surged. Vietnam’s stock markettook the lead in Southeast Asia in terms of marketcapitalizationgrowthandplacedsecond(afterMalaysia) intermsoftradingvaluegrowth.

The year 2020was ameaningful year forVietnam’s stockmarket as it marked the 20-year milestone of the stockmarket itself and HOSE. The Sector Indices continue to seesteady growth compared to year-end2019, out of which Materials andFinancialsgrewatthestrongestrate,up89.1% and 38.6%, respectively; whileonlyEnergydropped4.6%.

The performance of three investmentindices, VNFINLEAD, VNFINSELECTand VNDIAMOND, which wereintroduced in late 2019 showed animpressive increase in 2020.VNFINLEAD experienced the highestgrowth of 40%, followed byVNFINSELECT was 39.3% andVNDIAMONDwas24.7%.

VNDIAMONDandVNFINLEADaretwoindicesthathavebeenusedasreferenceindicesfortwolocalETFs–FUEVFVNDandETFFUESSVFL.OfficiallylistedonHOSE in early 2020, these two ETFshave attracted investors’ interest andbecome two of the best performingETFsonthemarket.

TheVietnamSustainabilityIndex(VNSI)alsofluctuatedsimilarlytoothermarketindices. On 31st March 2020, VNSIsharplydroppedto871.58points,down28.3% compared to early 2020.However,theIndexthenrecoveredandexperienced steady growth in theremainingmonths.Asof31stDecember2020,VNSIclosedat1,495.2points,up71.6% from the lowest inMarch2020,andup23%fromearly2020.

ThemovementofVNSIprovesthattheIndexitselfisagoodreferenceindicatorforinvestorswhoareseekinginvestmentopportunitiesinVietnam’sstockmarket.

Asof31stDecember2020,thenumberofnewinvestoraccountsreachedanewrecordhighwithmorethan400,000accountsopened,makingthetotalnumberofinvestoraccountstoabove2.7million.

In 2020, 270 new securities were officially listed on HOSEincluding26stockcodes,10bonds,5ETFsand229CWs.

The capital mobilization of listed companies through thesecondarypublicofferingonHOSEwasVND40,511billionin2020,down10.16%from2019.

Therewassignificantgrowthinthecorporatebondmarket inlate 2020. Particularly, there were 10 new corporate bondcodeswithover140millionbondswere listed,wortharoundVND 14,000 billion, bringing the total number of corporatebondslistedonHOSEto21bondswithatotalvalueofVND24,830 billion. These newly listed bonds mostly came fromsomemajor issuers,whoarealso listedcompanies,suchasMasan,VincomGroupandNovaland.

HOSEhascontinuouslyassistedlistedcompaniesinenhancingcorporate governance towards sustainable development byprovidingtrainingoncorporategovernance,offeringannuallistedcompany awards, developing sustainability index and boostingsustainableinvestmentsaligningwithESGguidelines.

The Annual Listed company Awards (formerly known as theAnnualReport Awards) has been jointly held byHOSE,HNX,VietnamInvestmentReviewandDragonCapital.Theyear2020markedthe13thanniversaryoftheawardsdevelopingalongwithVietnam’s stock market, with the purposes of supporting andencouraging listed companies to improve their operationtransparency, the ability to distribute company information toinvestors towards effective governance and increasinglysustainable development. Especially, the Vietnam CorporateGovernanceCodeofBestPractice forPublicCompanies2019has been widely used among companies as a guide for theircorporategovernanceimprovement.

Theoutcomesofthelistedcompanyawardovertheyearshaveshown thatwithgoodcorporategovernancepractices inplace,businesses canminimize risks,maintain operational resiliency,controlcost-effectiveness,aswellashavetheabilitytoovercomeandpromptlyrecoverfromcrises.

The 2020 event honored 40 winners in three categories:outstandingannual reports,sustainability reportingawards,andcorporategovernanceawards.Besides,ineachcategory,“bestimprovement”awardwasalsopresentedtorecognizetheirgreateffortsforinformationtransparency.

In2020,HOSEsuccessfullyhold15auctions,including3publicofferings of public companies, 4 IPOs of State-ownedenterprises, and 8 offerings of State divestments. The totalnumber of successfully auctioned shares reached 316.27

million shares (double that of 2019), and the total value ofsharessoldthroughtheauctiononHOSEreachedVND6,916billion(2.4timeshigherthan2019).

Fivenew localETFsbasedonVN30,VN100,VNDIAMONDand VNFINLEAD were established in 2020. As of 31stDecember2020,thetotalnetassetvalueofthefiveETFslistedin 2020 (FUEVFVND, FUESSVFL, FUEMAV50, FUEVN100,andFUESSV30)wasVND6,600billion,anelevenfoldincreasefromtheirfirstdayoflisting.

Inaddition,ETFFUEVFVNDhasbeencontinuouslyattractingforeign inflowssince itwas listedon12thMay2020with itsinitialcapitalofVND102billion.Till31stDecember2020whichwassevenmonthssinceitwaslisted,thefundhasraisedmore

thanVND5,000billionfromforeigninvestors,forty-ninetimeshigherthanitsinitialcapital.

Asof31stDecember2020,therewere7ETFslistedonHOSE.TheselocalETFshavehighforeignownership,fourofwhichhavemorethan90%totalassetvalueownerdbyforeigners,includingFUEVFVND,E1VFVN30, FUESSVFL andFUEMAVN30. TotalETFtradingvaluein2020increasedsignificantlycomparedtothepreviousyearasthetotaltradingvolumewere1billioncertificates(up149.3%from2019)whilethetotaltradingvaluereachedVND13,700billion(up123.9%from2019).

Asof31stDecember2020,oneyearaftertheintroductionofcoveredwarrants,therewere295CWcodes(inc.118existingcodesand177expiredcodes)issuedbasedon25underlyingstock codes by 8 issuerswith a total listed volumeof 437.4millionCWs,up346.78%fromthesameperiodof2019.Thedaily average trading volume ofCWswas 11.8millionCWs(accountedfor3.36%ofHOSE’sdailyaveragetradingvolume)

andthedailytradingvaluewasVND21.6billion(accountedfor0.34%ofHOSE’sdailyaveragetradingvalue).

OneyearafterthelaunchdateofCWs,market-makingactivitieshave been safelymanaged, with no suspicious transactionsdetected,thisisconsideredasuccessinmarketsupervisionofHOSE.

On 14th August 2020, HOSE hosted the 31st ASEAN Exchanges CEOsMeeting that was held online for the first time. The event was to focus onmarketingstrategiesandfosteringcommunicationtoattractmoreinvestmentsinSoutheastAsia.ASEANExchangeshave invested further in theirASEANExchanges website, provide search tools for securities information, brokerinformationandbrokerresearchesintheSoutheastAsiastockmarkets.

From17thto21stAugust2020,HOSEandDaiwaSecuritiesCo.Ltdjointlyheldanonlineconferenceof“VietnamCorporateDay2020”.Thisisanannualeventthat has offered benefits to Vietnam’s stock market and also providedopportunities to all HOSE’s listed companies for idea sharing, bilateralcooperationbetweenbusinesses,andforeigninflowattraction.This2020eventattracted theparticipationof leadingenterprises, includingBVH,MSN,FPT,NVL,SSI,VNM,VCB,MWG,SAB,VJC,VIC,VRE,VHM,andPNJ.

Inrespondingto“Nationaldigitaltransformationprogramto2025,orientationto2030”,HOSEhasalwaysprioritized its investment in the development of technology projects. To ensure the safety, stability andconsistencyoftheinformationtechnologysystem,HOSEhasmanageditsprojectsinlinewiththeproposedtimelineandtraineditsstafftobeabletotakeoverandoperatethenewITsystems,aswellasstrengtheneditsinformationsafetyproceduresinaccordancewithOnlineSafetyMeasuresoftheMinistryofFinance.

HOSE has adopted a corporate governancemodel aligningwith international corporate governance standards, includingthe Board of Directors, the Supervisory Board, the Boardof Management and direct committees under the Board ofDirectorstoensureaneffectivesupervisionandmanagementmechanism from the Board of Directors to the Board ofManagementanddepartments/units.

Inaddition, thecorporategovernanceunitof theListingandDisclosureDepartmenthasbeenestablishedwiththedutyofplanning,organisingandconductingseminars,generaltrainingand on-job training on corporate governance for all marketmembers (mostly listed companies) to keep them informed,updatedandassistedinsustainabledevelopment inatimelymanner.

In2015,HOSEofficiallybecameapartneroftheSustainableStockExchanges(SSE)InitiativeoftheUnitedNations.Sincethen,HOSEhasalwaysstrivedtogrowitsstockmarketwhilemeaningfullymakingenvironmental,socialresponsibility,andcorporategovernanceessentialtoitsoperations.

Beingamarketoperator,HOSEhasaccentuatedsustainabledevelopment-orientedactivities in theoperationofVietnam’sstockmarket,especiallygoodcorporategovernancepractices

and market transparency. Additionally, although facingmultiplechallengesoftheCOVID-19pandemicin2020,HOSEproactively worked with its partners and regulators to holdonline seminars and workshops on corporate governance,keeping itsmarketmembers informedandassistedpromptlyduring the tough timewhile increasing the awareness of allmembers on sustainable development towards an open,transparentandsustainablestockmarketofVietnam.

HOSE’s total expense was VND 360.8 billion in 2020, up22.6% over the same period of 2019. Market surveillanceexpensesreachedVND144.815billion,accountingfor40.1%of the total expenses, up 56.7% yoy. Such an increase inmarket surveillance expenses illustrated a similar upwardtrend in the revenuegenerated fromsecurities transactions.The cash reserves formember compensation dropped 23%comparedwith thesameperiodof2019, toVND7.8billion,

(with1.7%in2019and0.9%in2020).Tools,equipmentandassetdepreciationcontributedto15.4%ofthetotalexpenses,or VND 55.725 billion, up 10.1% yoy. Salaries and otheremployee benefit payables mostly remained unchangedcompared to 2019, slightly increasing 0.1%, accounting for20.7%ofthetotal.Otherexpensesmadeupabout21.6%ofthetotalexpenses.

HOSEhas always fulfilled tax obligations andpayables to theStatebudgetinatimelyororderlymanner.In2020,AnamountofVND507billionwascontributedtotheStatebudget,ayoygrowthof 48.2%. Most of such contribution came from its corporate

incometaxwhichwasVND138.2billion,anincreaseof45.8%orVND43.4billioncomparedto2019.NetoperatingprofitaftertaxwasVND368.8billion,up49.1%overthesameperiodin2019.

HOSE’s revenue mostly comes from three main activities,including (i) operational activities, (ii) services, and (iii)financial activities. In 2020, HOSE achieved total revenueof approximately VND 1,052 billion, up 37% over the sameperiod. The revenue from the operational activities reachedVND908.228billion,contributingto86.36%oftotalrevenue,up

Internal training programs

To promote a sustainable stockmarketwithequality, transparencyandeffectiveness, HOSE usually hostsseminars, conferences and trainingsessions to assist market memberswith updates on new policies, bestpractices in corporate governance andsustainable development. Due to thecomplicated situation of the Covid-19pandemicin2020,socialdistancingandsocial isolation were officially appliedthroughout the country, HOSE and itspartnersproactivelyheldseminarsandconferences online instead of face-to-face as usual to promptly provideits market member with all necessaryupdatesonregulationsandpractices.

HOSEconsiderstraininganddevelopingitshumanresourcesas one of the keys to the sustainable development; thushelpstheemployeesbeabletoadapttochangesintheworkenvironmentandmeetthehigherdemandsofthefinancialandsecuritiesindustries.

In 2020, HOSE arranged 15 training courses with 3,486training hours for several key positions. These courseswereselectedtomeettherequirementsandneedsofsuchparticularpositions.Thisyear,internaltrainingprogramwasmainlyprovided tomanagersandoperationalexpertswithstate management, project management, and informationtechnology.

By the end of 2020, HOSE’s total headcount was 238dropped1.2%or3employeescompared to2019.Amongthesestaffs,129employeesaremale,accountingfor54.2%,while109employeesarefemale,accountingfor45.8%.In2020,12newhiresagedfrom20to29yearswererecruitedfor the operational departments, including 7 males and 5females.

In2020,HOSEhas focusedonstrengthening itsmanagementsystemandhumanresourcesdevelopmentpoliciesbyamendingPerformanceEvaluationandAppraisalpolicy,addingregulationsonperformanceassessmentandjobrotationofmiddlemanagers.HOSEalsorepositionorretitlestaffbasedontheiractualdutyandresponsibilitywithinthedepartments.

Being a state-owned enterprise located at the centreof Hochiminh City with an energetic, young workforceand competitive labour market, HOSE has maintained acomfortable and professional work environment wherestaff contributions/ performances are properly assessedand well recognised. Salary and remuneration of themanagements and all staff have always been securedandpaid incompliancewith the labor law, includingsocialinsurance, health insurance, accident insurance, andperiodichealthexamination,etc. EmployeeConference isorganisedannually,wherestaffs’opinionsandexpectationscanbeheardbythemanagementinordertodevelopbetterpersonnelpoliciesinatimelymanner.

Humanresourcesplayanessentialroleinthedevelopmentandexistenceof anorganization.By constantly improvingthe quality of new hires, providing proper guidanceand training, HOSE has been able to attract and retaintalented professionals for years. In addition, the majorityof the employees held bachelor’s and master’s degrees.Particularly,about61.3%of staffshadbachelor’sdegrees(up1.4%from2019),followedby24%heldmaster’sdegreesand14.7%werenon-graduates.

In2020,theemployeeturnoverratewas6.72%lowerthanthatof2019.ThisdemonstrateshowHOSEhasputitsbestefforttofosteraninclusiveculturetoretainitsdiversetalent.HOSEalsoworkshardtoensurethatitspeoplehavetheappropriateskills and experience to satisfy the higher demands for thedevelopment of the stockmarket as a whole and HOSE inparticular.

In2020,HOSE’sTradeUnionaccomplishedanoutstandingperformance,playingapartintheachievementofHOSEafterone year being a Unionmember of the FinanceMinistry’sTrade Union. Apparently, Trade Union held annual healthexaminationforallstaff;providedcomprehensivehealthandmedicalinsuranceforallmembersandtheirsignificantothers;maintainedstaffcanteenactivitesandregularlyimprovesthequalityofthemeal. DespitethecomplicatedsituationoftheCovid-19pandemicin2020,TradeUnionkeptbenefitssecuredforallmembers.This includes paying visits, providing mental and financialsupports tomembers during difficult times; gifts on specialoccasions such as birthday, wedding, childbirth, sickness;gifts to femalememberson the InternationalWomen’sDay

(8thMarch)andVietnamWomen’sDay(20thOctober);giftstomembers’ offspringwith highacademicperformance, onthe International Children’s Day as well as at Mid-autumnfestival; providing in-office fully equipped gymnasium andorganizing yoga sessions for staff wellness, encouragingmemberstoparticipateinphysical-sportsactivitiesorganizedbytheFinanceMinistry’sTradeUnion.

Trade Union and Youth Union have continued to carry onmanycharityactivitiesandhelpdisadvantagedpeopleacrossthecountry,suchasraisingfundforthepeopleintheCentralwhohavesufferedbytheseverefloodinOctober2020;andorganisedthe5th“Heart-to-heartconnection”BloodDonationDaywiththeenthusiasticparticipationofthestaffsandmarketmembersinDistrict1aswell.
