STORIA HISTORY
The history of the WEGH Group dates back to 1958 with the founding of “Niccoli e Naldoni”, a well-established Italian company active in the railway sector, particularly in the manufacture of components for signalling systems and for railway superstructure.Over the time other companies have been added to the Group, always operating in the railway sector. Each has brought its own expertise developing the general know-how:BIMA: design and production of prefabrication plants.SICI Impianti: plants for the manufacturing of concrete sleepers, turnout bearers and precasted slab.COSMET: manufacture of bridge cranes, hoisting equipment, and rubber tire cranes.NICCOLI E NALDONI / TECNO DEVICE: design and manufacture of signalling systems.LES Elettronica: research and design of high-reliability electronic equipment.IPA FERROVIARIA: design and manufacture of prestressed concrete railway sleepers and switch bearers.IPA International: design, consulting, operational coordination, production and laying of ballasted innovative or conventional railway, metro and tramway superstructure.FERLAGO: design, manufacture and optimization of prefabricated reinforcement solutions.OLMI: design and production of prefabrication Carousel plants for the manufacturing of concrete sleepers, turnout bearers and precasted slab.

WEGH MOÇAMBIQUE / TRAVESSAS DO NORTEFollowing an international tender award, WEGH Group founded the companies WEGH Moçambique and Travessas Do Norte together with local partners. The Namialo factory, equipped with a 4 lines long-line system, is operative and produces concrete sleepers and switch bearers to realize the Nacala Corridor.

L’età media dei dipendenti nel corso degli ultimi anni è aumentata. La maggior parte dei dipendenti presenta un’età compresa tra i 30 e i 50 anni.Esaminando le varie aree notiamo che l’età media nell’area produttiva è alta, questo per mantenere fede al principio portato avanti negli ultimi anni da Wegh secondo il quale il know-how operativo fondamentale per lo svolgimento delle attività aziendali risiede nella produzione.

RISORSE UMANELa forza vincente, l’elemento portante del vero successo, la risorsa che più di qualsiasi altra è da valorizzare è la risorsa umana.Wegh pone particolare attenzione durante la selezione del personale ricercando dei requisiti fondamentali come la competenza. Il secondo, altrettanto importante, è lo spirito di squadra. L’unione di queste due doti ha come risultato l’efficienza nella realizzazione dei prodotti, progetti e processi d’impresa.
HUMAN RESOURCESThe winning strategy, the basis for real success and the resource that must be capitalized on above all others are the company’s human resources.During the staff selection process Wegh gives particular attention to identifying those characteristics of fundamental importance such as professional skills. The second characteristic of equal importance is team spirit. The combination of these two qualities leads to increased effi ciency in the creation of products, projects and business processes.
Wegh’s purpose for 2018 was to consolidate the new division-based organizational structure illustrated in the organizational chart created in 2015, strengthening the Business Units. The work force includes 132 members of staff, of which 45% is white collars, including middle management. The figures above show Wegh’s intention to pursue continuous improvement of the division that makes decisions and manages production.
The average age of employees has increased over the past few years. Most employees are aged between 30 and 50.If you take a closer look at the different areas, the average age in Production is quite high. This abides to the principle, which Wegh has adopted over the past few years, according to which Production carries the fundamental operating know-how required to perform the company activities.

Nel corso del 2018 Wegh ha voluto consolidare la nuova struttura divisionale dell’organigramma creato nel 2015 rafforzando le Business Unit. La forza lavoro è composta da 132 risorse di cui il 45% nel settore impiegatizio, considerando anche i livelli quadri. Da questo dato possiamo dedurre la volontà di Wegh ad un continuo miglioramento di quella divisione che prende le decisioni e porta avanti la produzione.
In 2018 the number of employees experienced an increase, as was the case the year before, moving from 124 resources to a total staff of 132 units.

TRAINING
At Wegh the belief is that success inevitably requires trained staff. Training is not only intended for people who work with specific mechanical equipment, but also for and including people working in the offices.Newly hired staff are given specific on-the-job training, especially designed for each and every duty. A total of 1344 hours of training were delivered in 2018.
Wegh crede che per avere successo sia fondamentale avere personale formato non solo per chi opera con attrezzature meccaniche specifiche, ma anche e soprattutto per gli impiegati.Ai nuovi ingressi viene fatta una formazione on the job specifica e mirata per la posizione per la quale sono stati inseriti. Nel corso del 2018 sono state eseguite 1344 ore di formazione.

Women working in the company amount to around 17% of the total employees. This figure is mainly motivated by a high prevalence of men at work in the production area, whereas the percentage of women is sensitively higher among white collars.
One aspect worth considering is that 50% of the women employed are on a part-time contract. This is mostly due to the fact that most of such female employees are also mothers and family managers.
The share of foreign workers is stable at 18% if compared with 2017. This situation is mostly motivated by Management’s orientation to increasingly open up to the world. This does not only apply to the way they direct their sales strategy, but it is mainly focused on getting to know the world through people.
Il personale femminile copre circa il 17% dell’organico totale: tale dato dipende dal fatto che nell’area produttiva il personale è di larga maggioranza maschile, mentre nella parte impiegatizia la percentuale di donne aumenta sensibilmente.
Un aspetto da tenere in considerazione è che il 50% delle donne sono assunte con contratto part-time. Questo per andare incontro alle esigenze delle maggior parte di loro che sono anche mamme e donne di famiglia.
La quota di lavoratori stranieri è stabile rispetto al 2017 al 18%. Questo perché sempre più la Dirigenza si sta orientando verso l’apertura al mondo, non solo per quanto riguarda indirizzare la strategia di vendita, ma anche e soprattutto conoscere il mondo attraverso la popolazione.

WEGH Group has not forgotten its roots. The Monte Chervano farming estate is a place to rediscover ancient flavors and love for earth. Valmalengo s.r.l., a major shareholder in the Group, devotes the selfsame passion to safeguarding and caring for the land we belong to as it does to meeting its market challenges on a daily basis.
WEGH Group contributes to medical research with donations to the Italian Cancer Research Association (AIRC). Since 2013 it has supported the Infantario 1° de Mayo of Maputo, Mozambique, where children of all ages who fi nd themselves in diffi culty are assisted with the goal of giving them a family and a brighter future.
WEGH Group contribuisce alla ricerca medica con donazioni all’AIRC. Dal 2013 sostiene l’Infantario 1° de Mayo di Maputo, in Mozambico, dove bambini di ogni età che si trovano in diffi coltà vengono aiutati con l’obiettivo di dare loro una famiglia e un futuro migliore.

Continuato nella costruzione operativa delle 5 Business Unit e si è proseguito nella formazione e verifica dei futuri responsabili delle singole B.U., valutandone le caratteristiche personali, attitudinali e professionali a ricoprire il ruolo.
Abbiamo strutturato ed incrementato l’organigramma al fine di poter meglio gestire il progetto Industriale triennale che ci vedrà fortemente impegnati su attività estere.
Continuando ad affiancare i responsabili di Business Unit già il 2019 viene affrontato il Budget Aziendale aggregazione dei singoli Budget realizzati dai singoli responsabili e dai responsabili di funzione.
Abbiamo predisposto l’Azienda anche al cambio generazionale della compagine Sociale che inizierà nel 2019 con affiancamento nelle Assemblee iniziando con l’Assemblea volta a valutare il bilancio 2018.
Nel 2018 i Responsabili di BU hanno iniziato la seconda fase di formazione con un percorso approfondito per raggiungere le competenze Tecniche, Commerciali, Finanziarie e Gestionali, necessarie al ruolo con i Tutor specifici.
Si è proseguito nel turnover dei responsabili prescelti al fine di garantire la gestione del piano industriale atteso dall’Azienda mediante un Team aggregato e

The operational construction of the 5 Business Units has continued so as training and verification of the future managers of each BU through the assessment of their personal, behavioural and professional suitability to fill this role.
The organisational chart has been structured and expanded for better management of the three-year industrial project during which the company will be extensively engaged in operations abroad.
As shadowing of the Business Unit Managers continue, the company will be able to produce a Corporate Budget in 2019, which is an aggregation of the budgets generated by each individual manager and by the function managers.
The Company was also prepared for the generational turnover of the business structure which will be started in 2019 with new entries attending the Shareholders’ Meetings, starting from the meeting for the approval of the 2018 financial statements.
In 2018 the BU Managers started the second phase of training taking in-depth sessions to acquire the technical, commercial, financial and managerial skills required for their role with the help of specific tutors.
The turnover of the selected managers continued in order to manage the industrial plan expected by the

rivolto al risultato sia della BU che dell’Azienda nel suo complesso.
Abbiamo definito il percorso per la formazione del futuro Direttore Generale al fine di non creare tensioni nel cambio generazionale e garantire il proseguo delle linee guida che ad oggi hanno governato la Vostra Società.
Contestualmente abbiamo rilasciato un nuovo Organigramma che comprende il controllo esterno alle 5 Business Unit volto a monitorare le attività delle stesse e prevenire scostamenti al progetto ed ai Budget. Questo percorso che riteniamo possa concludersi nel 2021, porterà ad una gestione di ogni Business Unit con a capo delle stesse soggetti che fidelizzati ne garantiscono i risultati in accordo con la Direzione Generale. Obbiettivo è che ogni Business Unit si confronti sul mercato in competizione con i migliori competitors del segmento merceologico, gestendo budget e risorse di Business Unit in coerenza con i piani ed il budget complessivo della WEGH Group. Ugualmente si è proceduto all’implementazione organizzativa delle varie funzioni e grazie anche alla professionalità dei responsabili abbiamo:
• gestito con Tools specificamente realizzati un costante controllo dell’andamento delle singole BU e scostamenti rispetto ai Budget delle stesse ed al controllo dell’efficienza
• costituito una funzione Tesoreria volta alla gestione del Cash-flow e dei piani finanziari a supporto dei Budget pluriennali
• abbiamo calato su ogni singola BU il progetto secondo la Lg. 231.
PER LA CRESCITA ALL’ESTERO: Nel 2018 abbiamo:
incrementato lo staff volto alla gestione fluida della BU “NEW Partnership” volta alla produzione e vendita locale di prodotti e/o attività non esportabili;
consolidato lo schema commerciale per la penetrazione sui mercati esteri incrementando l’organico.
PER L’INCREMENTO DEL FATTURATO /UTILE E MARGINE DI CONTRIBUZIONE: come espresso nel bilancio d’esercizio 2018 e come preannunciato nel bilancio 2017 ,al netto delle controllate, il fatturato, l’utile come tutti gli indici di riferimento sono cresciuti di due cifre percentuali.
Inoltre per ogni Business Unit abbiamo fatto le seguenti Attività.
BU MANUFATTI: si è proceduto a realizzare un’importante piano di investimenti volto a

We defined the path required to train the future General Manager in order to avoid tensions in the generational turnover and to ensure continuity in terms of guidelines which have so far governed your company.
We also issued a new Organisational Chart which includes an external control function to the 5 Business Units with the purpose of monitoring their activities and of preventing deviations from the project and the budgets. We feel that this path may be concluded in 2021 when each Business Unit will be run by loyal individuals who will guarantee the fulfilment of results in agreement with the General Management. The objective is for every Business Unit to confront with the market, competing with the best competitors from the same goods sector, managing its budget and resources consistently with the general plans and budgets of WEGH Group. We also implemented the various functions and with the help of the managers’ professionalism we:
• developed tools specifically made to constantly control the performances of each BU and any deviations from the budgets and to monitor efficiency;
• set up a Treasury function to manage the cash flows an the financial plans supporting multi-year budgets;
• redesigned the project specifically for each BU, pursuant to Italian Law 231.
GROWTH ABROAD: In 2018 we: increased the staff in charge of managing the “New
Partnership” BU smoothly. This BU is engaged in the production and local sale of products and/or services which cannot be exported;
consolidated the sales pattern to penetrate foreign markets through the increase of the number of staff.
INCREASE TURNOVER/PROFIT RATIO AND CM: as expressed in the budget for 2018 and as previously stated in the financial statements for 2017, the turnover, profits and all reference indicators have increased by double digit percentages, net of the subsidiaries.
Below is a list of the activities implemented for each Business Unit:
PREFAB ELEMENTS BU: a significant investment plan was implemented with a view to building a new production plant of superstructure elements under the “Industry 4.0” standard with three major purposes: • to reduce the product cost; • to increase the turnover;

• Ridurre il costo del prodotto
• Incrementare il fatturato
• Incrementare il Margine di Contribuzione. BU ARMAMENTO: abbiamo proseguito
nell’ingegnerizzazione di sistemi BALLASTLESS in quanto riteniamo che sia la risposta futura al comparto. Per questo motivo abbiamo incrementato il Team tecnico e di R&D realizzando:
• Analisi RAMS di realizzazioni eseguite
• Progettazione di attrezzature specifiche per incrementare la produzione e la posa del sistema ARIANNA
• Acquisito importanti commesse che si svilupperanno nel 2019 e 2020
• Siamo stati scelti nella rosa di possibili realizzatori di Armamento Ballastless in alcuni importanti progetti esteri
BU IMPIANTI: abbiamo realizzato un impianto per la produzione di traverse con un forte uso di automazione e controllo di processo nello stabilimento di Calcinate. L’impianto realizzato, rivolto ai mercati più evoluti con uso di mano d’opera che permettono una forte riduzione dei costi dei manufatti, si propone i seguenti risultati per la Divisione Impianti:
• Dimostrare il livello tecnologico raggiunto dalla BU Impianti grazie anche all’acquisto fatto del ramo d’Azienda OLMI dall’Alfa Laval.
• Incrementare la professionalità del Team Tecnico migliorando la conoscenza del prodotto da gestire con il processo produttivo.
• Incrementare la competitività della BU Impianti.
• Implementare il fatturato della BU Impianti. BU APPARATI PER SEGNALAMENTO:
abbiamo proseguito con forti investimenti nella R&D realizzando i seguenti obbiettivi:
• Ottenimento della SIL 4 per l’apparato di protezione dei Passaggi a Livello.
• Stiamo proseguendo nelle prove di tipo della nuova METRA macchina per deviatoi.
BU NEW PARTNERSHIP: abbiamo proseguito nella realizzazione dell’organigramma di gestione e controllo delle Newco migliorando i Tools e la professionalità del Team. Abbiamo migliorato il modello volto alla valutazione delle opportunità
• to increase the contribution margin. SUPERSTRUCTURE BU: the engineering
of BALLASTLESS systems has continued as we feel that this is the future response to the business sector.The Engineering Team and the R&D Team have been expanded to perform:
• RAMS analysis of the executed projects;
• engineering of specific equipment to increase production and installation of the ARIANNA system;
• acquisition of valuable project orders which will be developed in 2019 and 2020;
• our company was selected among a group of manufacturers of ballastless superstructures for some important foreign projects.
PLANTS BU: we built a plant in the Calcinate factory for the production of sleepers where automation and process control equipment is extensively used. The plant, which is intended for the manufacture of prefab elements for the most evolved markets with a reduced workforce that contributes to significantly cutting the production costs, is intended to pursue the following results for the Installations Division:
• to give proof of the technological level achieved by the Installations BU following, among other factors, by the purchase of the OLMI business branch from Alfa Laval;
• to increase the professionalism of the Engineering Team and to improve the knowledge of the product that is handled throughout the production process;
• to enhance the competitiveness of the Installations BU;
• to boost the turnover of the BU.
SIGNALLING BU: we continued to strongly invest in R&D and fulfilled the objectives below:
• achievement of SIL 4 certification for level crossing protection device.
• We are continuing type tests for the new switch bearer machine METRA.
NEW PARTNERSHIP BU: we continued the implementation of the organisation chart for the management and control of the Newcos and the improvement of the Tools and professionalism of the Teams. We improved the model to assess opportunities and implemented projects to offer our products to various partners on the market in a cost-effective manner.

Ugualmente nella funzione produzione abbiamo specializzato per ogni singola BU la funzione approvvigionamenti.
Rivalutazione dei beni dell’impresa, ai sensi del decreto legge n.185/2008La vostra società nell’esercizio 2008 si è avvalsa, limitatamente agli immobili strumentali, della rivalutazione facoltativa dei beni d’impresa di cui alla Legge n. 2/2009. Non sono state effettuate rivalutazioni discrezionali o volontarie e le valutazioni effettuate trovano il loro limite massimo nel valore d’uso, oggettivamente determinato, dell’immobilizzazione stessa.A fronte della rivalutazione eseguita, pari a €. 1.000.000, sono state stanziate le imposte sostitutive del 3% (pari a €. 30.000) per l’affrancamento fiscale dei maggiori valori iscritti e un’apposita riserva di patrimonio in sospensione d’imposta di €. 970.000.Si attesta, pertanto, che la rivalutazione dei beni non eccede i limiti di valore indicati al comma 3 dell’Articolo 11 della Legge n. 342/2000, richiamato dall’Articolo 15, comma 23, del d.l. n. 185/2008 convertito con modificazioni dalla Legge n. 2/2009.Si precisa che, con l’assemblea straordinaria del 20 ottobre 2009, i soci hanno deliberato di aumentare il Capitale Sociale da euro 10.400 ad euro 1.000.000, mediante l’imputazione a capitale della riserva di rivalutazione, per l’intero importo di euro 970.000, e per euro 19.600, mediante l’imputazione a capitale della riserva utili portati a nuovo.

Revaluation of company property pursuant to Italian Decree Law no. 185/2008In 2008 your company, limited to instrumental property, resorted to the optional revaluation of company property, pursuant to Italian law no. 2/2009.
