NON-DISCLOSURE AGREEMENT
The undersigned consultant agrees to the following:
1. During the regular course of business with Cuttingedge
Translation Services Pvt. Ltd. (Cuttingedge), Consultantmay be
provided with confidential information.
2. The confidential information may include, but is notlimited
to the following: Trade Secrets, Privacy Act Information,Client
Names & Personal Factual Data, Prototype Specificationsfor
Products & Procedures, Training Materials, ClassifiedGovernment
Documents, Classified Commercial Documents,Photographs, Video &
Audio Recordings, Models, and ElectronicFiles.
3. The Consultant will protect any/all information
fromunauthorized disclosure, and will limit disclosures to
personnelwith a confirmed need to know.
4. The Consultant will not copy, distribute, disclose,
discuss,publish electronically and/or in print any information, or
abstractof such information, without prior written permission
ofCuttingedge.
5. The Consultant will not maintain copies, electronic
orotherwise, whole or in part, of any confidential information,
materials directly used in developing that information,
orabstracts of any portion of the confidential information.
Allinformation/materials must be returned to Cuttingedge,
ordestroyed upon completion of the specific project for which
theywere obtained.
6. You agree not to discuss or negotiate any fees or
paymentsdirectly with any of our clients. At any time you are
engaged byus, during which you may have contact with our client,
you willrepresent yourself only as a representative
ofCuttingedge.
7. The Consultant agrees to be bound by this Non
DisclosureAgreement for a period of no less than three (3) years.
Certaininformation and materials may be held confidential for
longerperiods, to ensure compliance with INDIAN (Delhi) law.

8. Cuttingedge has the right to seek injunctive relief from
acompetent court in the event of an unauthorized disclosure bythe
Consultant.
9. The placed consultant shall not apply for a permanentposition
with the client ofCuttingedge for freelancing, part-timework, daily
work or permanent position for a min period of 1 year
from the date of commencement of the project.
10. While you are free to perform similar services for
otherfirms, you agree not to solicit or accept work from any
individualor company of whom you became aware through your work
withCuttingedge, unless you had a prior business relationship
withthis individual or company. This clause shall remain in effect
for3 years from the date on which this Agreement is
terminated.Failure to comply with this clause may subject you to
injunctiverelief and/or monetary damages.
11. Warranty: The consultant warrants that the services to
beprovided hereunder will be performed in a good and
professionalmanner and will be of a quality conforming to
standardsgenerally accepted in the field and has to reflect
standardsaccepted by Cuttingedge.
I hereby agree on the above terms and conditions set
byCuttingedge.
