    Consequently,aprofitwhichisrecognisedforaccountingpurposesundertheSMEFRSmaynotnecessarilybecapableofdistribution toshareholdersbywayofadividend.

    DeterminationofRealisedProfitsandLossesintheContextofDistributionsundertheHongKongCompaniesOrdinance,aprofit shallbetreatedasrealisedonlywhenrealisedintheformof:a) cash;orb) otherassets,theultimatecashrealisation ofwhichcanbeassessedwith

    reasonablecertainty (SMEFRFpara.48) MosttransactionsrecognisedundertheSMEFRSincompanylevelfinancialstatements wouldsatisfythistest (SMEFRFpara.49)

    However,ifthesalewasinexchangeforanilliquidasset,suchasaproperty,theprofitcouldnotberegardedasrealizeduntilthepropertyitselfwassoldinacashornearcashtransaction,becausethepropertywouldnotberegardedasreadilyconvertibletocashwithoutaperiodofmarketing (SMEFRFpara.50)
