1. 簡介INTRODUCTION

深圳市騰訊電腦系統有限公司，是一家於中華人民共和國（以下簡稱"中國"）成立的公司，及其關聯企業（以下簡稱"騰訊"）在騰訊微信公众平台（域名：mp.weixin.qq.com）上為某些合乎資格的公司提供一個微信公眾帳號（以下簡稱"帳號"），使該等公司能利用帳號促進及幫助它們透過微信公眾平臺提供不同的服務及品牌推廣活動。騰訊提供的帳號，是為騰訊的使用者提供的整體微信公眾平臺服務之一。Shenzhen Tencent Computer Systems Company Limited, a People's Republic of China ("PRC")

company, together with its affiliates ("Tencent"), provides certain eligible companies with a Weixin

Official Account (an "Account") at Weixin Official Account Platform (Domain name:

mp.weixin.qq.com). Such companies can then use the Account to facilitate and enable their

provision of various services and brand promotional activities on Weixin Official Account Platform.

Tencent provide the Accounts as part of the overall Weixin Official Account Platform service that

Tencent provide to its users.

2. 申請人對微信協議的同意THE APPLICANT'S AGREEMENT TO THE WEIXIN AGREEMENTS

2.1. 當提交此申請，申請人同意本申請內的條款，以及任何有關您使用微信公众平台及您的帳號的其他適用條款及政策（騰訊會不時通知您）（所有此等條款及政策均統稱為"微信協議"），包括以下各項：

a) 騰訊服務協議；b) 騰訊微信軟件許可及服務協議（以下簡稱"微信服務協議"），包括有關申請人使用騰訊提供的微

信應用程式介面的特定條款；c) 微 信 公 眾 平 台 服 務 協 議 （ 指 发 布 于 以 下 网 址 的 协 议 ： https://mp.weixin.qq.com/cgi-bin/

readtemplate?t=home/agreement_tmpl&type=info&lang=zh_CN&token=，以下簡稱"公眾平台協議"），包括微信公眾平台認證服務協議；

d) 在微信協議中列出並納入微信協議的任何其他協議；e) 有關您使用微信及/或您的帳號的所有適用法律和規則；以及f) 其他由騰訊通知您適用於您使用微信或您的帳號的條款及政策。By making this "Application", the Applicant agrees to the terms of this Application, as well as any

other terms and policies applicable to your use of Weixin and your Account (as notified to you from

time to time) (all such terms and policies being collectively the "Weixin Agreements"), including

the following:

a) the Tencent Service Agreement;

b) the Weixin Software Licence and Service Agreement (the "Weixin Terms of Service"), which

includes certain terms in relation to the Applicant's use of Weixin APIs provided by Tencent;

c) the Weixin Official Account Admin Platform Service Agreement, published at the website

https://mp.weixin.qq.com/cgi-bin/readtemplate?t=home/agreement_tmpl&type=info&lang=zh_C

N&token= (the "OA Agreement"), including the Weixin Official Account Verification Service

Agreement;

d) any other agreements set out in the Weixin Agreements as being incorporated within the Weixin

Agreements;

e) all applicable laws and regulations in all jurisdictions relevant to your use of Weixin and/or your

Account; and

f) any other terms and policies as notified by Tencent to you that apply to your use of Weixin or

your Account.

2.2. 申請人聲明、保證及承諾其：2

a) 已就此申請公函取得獨立的法律意見；b) 確認微信協議只有中文版，並且騰訊可根據微信協議的條款隨時對它們作出更改；c) 已審閱和同意微信協議的內容。The Applicant represents, warrants and undertakes that it:

a) has received independent legal advice in relation to this Application Form; b) acknowledges that the Weixin Agreements are available only in Chinese, and may be amended

by Tencent from time to time pursuant to the terms of the Weixin Agreements; and c) has reviewed and agrees to the Weixin Agreements.

3. 帳號的申請APPLICATION FOR THE ACCOUNT

3.1. 當騰訊收到申請人的申請後，騰訊會審查及核證有關申請（以及有關申請中包含的信息）。After Tencent receive the Applicant's Application, Tencent will review and verify such Application

(and the information within such Application).

3.2. 騰訊可自行決定接納或拒絕申請人的帳號申請，包括有關申請人必須通過騰訊要求的任何認證程序，或在任何或沒有原因的情況下拒絕任何申請。Tencent may, in its sole discretion, accept or reject the Applicant's Application for an Account,

including subjecting any Application to the relevant Applicant passing any verification process

required by Tencent or rejecting any Application for any or no reason.

4. 申請人及帳號運營者THE APPLICANT AND THE OA OPERATOR

4.1. 申請人授權及委託帳號運營者：a) 以申請人名義申請註冊帳號，包括按騰訊要求就申請人的信息提供認證；以及b) 負責帳號（如獲騰訊授予）的運作，包括對該帳號內容的管理。The Applicant appoints and authorizes the OA Operator to:

a) apply for an Account on behalf of the Applicant, including verifying the Applicant's information

as required by Tencent; and

b) to operate the Account (if granted by Tencent), including managing the content within such

Account.

4.2. 帳號運營者聲明及保證其已獲授權：(a) 以申請人名義提交此申請；以及(b) 使申請人受此申請的約束。除了上、下文需要外，此申請中對"帳號運營者"的提及，亦被視為對申請人的提及。The OA Operator represents and warrants that they are authorised to: (a) enter into this Application

on behalf of the Applicant; and (b) bind the Applicant to this Application. References to the "OA

Operator" under this Application shall be deemed to also refer to the Applicant, except where the

context requires otherwise.

5. 申請人就帳號的陳述、保證及責任THE APPLICANT'S REPRESENTATIONS, WARRANTIES AND LIABILITY

5.1. 如其獲騰訊授予帳號，申請人同意承擔由該帳號而產生或與之有關的一切義務和法律責任。此外，在申請人帳號下的所有運營及商業活動都必須以申請人的名義進行。The Applicant agrees that, should it be granted an Account by Tencent, it will be responsible for all

obligations and liabilities arising from or in connection to its Account; and all operational and

business activities carried out under its Account shall be carried out in the Applicant's name.

5.2. 申請人持續地作出以下的聲明、保證和承諾： a) 申請人就此申請及其帳號的使用而提供予騰訊的信息是真實、準確及完整，包括有關其本身（及

帳號運營者）的身份，並且如日後該等信息有任何更改，會盡快通知騰訊；b) 申請人是合法地成立，並且有開展其業務的權力；c) 此申請及微信協議對申請人構成有效和具約束力的法律義務；d) 申請人就其帳號的使用遵守所有適用司法管轄區的一切適用法律（包括中華人民共和國大陸地區

和香港特別行政區）；e) 在訂立和履行此申請，申請人不會違反對其有約束力的任何其他協議的條款、承諾、裁決或法庭命令，或不會與之造成衝突；以及

f) 申請人就其對帳號的使用不會違反或侵害他人的權利（包括知識產權）。The Applicant represents, warrants and undertakes on an ongoing basis that:

a) it will provide Tencent with true, accurate and complete information in relation to this Application

and its use of its Account, including in relation to its (and the OA Operator's) identity, and it will

promptly update Tencent if any such information changes in the future;

b) it is validly incorporated and has the power to conduct its business;

c) this Application and the Weixin Agreements constitutes valid and binding obligations on it;

d) it will comply with all applicable laws in all applicable jurisdictions (including the People's

Republic of China and Hong Kong Special Administrative Region) in its use of the Account;

e) its entering into and performance of this Application and the Weixin Agreements do not breach

or conflict with the terms of any other agreement, undertaking, judgment or court order that bind

it; and

f) it will not breach or infringe upon the rights (including intellectual property rights) of any person

via its use of the Account.

6. 管轄法律及爭議解決地GOVERNING LAW AND DISPUTE RESOLUTION FORUM

6.1. 除了在以下範圍內： (a) 任何納入微信協議的適用額外條款另行規定，或 (b) 您的司法管轄區的適用法律和規例另行規定，此申請及微信協議（以及由其產生或有關的任何爭議或申索）將受中華人民共和國的法律管轄。Except to the extent that: (a) any applicable additional terms incorporated into the Weixin

Agreements provide differently, or (b) the applicable laws and regulations of your jurisdiction

mandate otherwise, this Application and the Weixin Agreements (and any dispute or claim arising

out of or in connection with such) will be governed by the laws of the People's Republic of China.

6.2. 雙方同意，即使有任何條文與任何微信協議有衝突，任何與此申請或雙方訂立的任何微信協議所引起的、或與之相關的任何爭議，糾紛或索賠（無論是有關合同、侵權或其他方面的），包括它們的存在、效力、解釋、履行、違反或終止，均應提交由香港國際仲裁中心管理的機構仲裁，並按照提交仲裁通知時有效的《香港仲裁中心機構仲裁規則》最終解決。仲裁地應為香港。仲裁員人數為一名。仲裁程序應按照英語進行。The parties agree that, notwithstanding any provisions to the contrary in any of the Weixin

Agreements, any dispute, controversy or claim (whether in contract, tort or otherwise) arising out

of, relating to, or in connection with this Application or any Weixin Agreements between the parties,

including their existence, validity, interpretation, performance, breach or termination, will be

referred to and finally resolved by arbitration administered by the Hong Kong International

Arbitration Centre under the Hong Kong International Arbitration Centre Administered Arbitration

rules in force when the relevant notice of arbitration is submitted. The seat of the arbitration will be

Hong Kong. There will be one arbitrator only. The arbitration proceedings will be conducted in

English.

6.3. 除了适用法律禁止的情况外，申请人同意放弃以任何理由（包括公共政策）对騰訊在任何司法管辖区强制执行任何仲裁裁决（有关本申请或微信协议）提出质疑的权利。Except to the extent prohibited by applicable laws, the Applicant agrees to waive any right to

challenge Tencent’s enforcement of any arbitral award (in relation to this Application or the Weixin

Agreements) based on any grounds (including public policy) in any jurisdiction.

6.4. 如與任何微信協議的條款有衝突的，以本條款為準（包括微信服務協議的第 12.3 及 12.4 條）。This clause 6 will override any provisions to the contrary in any of the Weixin Agreements

(including clauses 12.3 and 12.4 of the Weixin Terms of Service).

7. 一般條款GENERAL

7.1. 如本申請公函及任何微信協議的中、英文版本有衝突，以中文版本為準。To the extent there are any conflicts between the English and Chinese versions of this Application

and any of the Weixin Agreements, the Chinese language version shall prevail.

7.2. 如本申請與微信協議的內容有衝突，以微信協議為準（惟此申請中第 6 條款則除外，如出現任何此等衝突，以該節的條款為準）。To the extent there are any conflicts between this Application and the Weixin Agreements, the Weixin Agreements shall prevail (except with respect to clause 6 above – the terms of that clause shall prevail in the event of any such conflict).

7.3. 申請人承諾放棄任何非申請人本國法律均對其無約束力的抗辯。The Applicant undertakes to waive any defence in relation to any non-domestic laws which are not binding to the Applicant.
