• To provide standard definitions for the range of solutions involved in the Company’s enterprise business landscape

• To establish clear roles and responsibilities among IT, BU’s and Vendor Partners

Standard DefinitionsTerm Definition

SO (Partner) Strategic Outsourcer / “SO” –The relationship maintained between IT and (Partner) to provide both infrastructure and application management services for the Company enterprise including ERP.

SO-Hosted Applications installed within the Company enterprise environment where the SO is responsible for maintaining the infrastructure supporting the solution but application development and related maintenance services are provided by another 3rd party (e.g. Sales Logix)

SaaS “Software As a Service” – A solution where a 3rd party (other than the SO) provides both infrastructure and application management support

SaaS-Integrated A SaaS solution that interacts with systems either hosted or maintained within the Company IT enterprise environment managed by IT (e.g. Ariba)

Saas-Not Integrated A SaaS solution that does NOT interact with systems within the Company IT enterprise (e.g. Salesforce.com)

Governance The set of activities that:

(1)Ensures alignment of Global, Enterprise and BU/Shared Service policies and procedures relative to IT(2)Optimizes overall enterprise IT costs by eliminating redundancies(3)Incorporates appropriate strategies for risk mitigation

IT Support Activities to resolve issues and maintain the appropriate functioning of the Company Enterprise IT Environment

SLA Service Level Agreement – the metrics used to determine that the service is being provided as agreed

Standard RolesRole Definition

IT (1) Provides efficient and cost effective IT solutions and services to Company

(2) Ensures that the Company Enterprise Operating Environment is appropriately maintained to meet company needs

(3) Governs alignment and operating procedures according to Company Global Policies and Procedures

Contract Owner Party responsible for using, funding and monitoring the activities of a Technology Vendor Partner. May be IT or Business.

Technology Vendor Partner

An external organization that provides computer based solutions and services to the company (BU’s and Shared Services)

• Maintains current portfolio of major Company IT Enterprise Initiatives• Provides standard procedures and tools for the successful execution of Company IT Enterprise Initiatives

Vendor Partner Compliance Information provided by and Reviews held with Vendor Partners that ensure the performance indicators agreed to with Company are maintained

Enhancements Small changes made to a systems environment. Company currently views all activities totaling $25,000 or less as enhancements.

Projects An Initiative whose value is greater than $25,000. All Projects are subject to applicable compliance requirements.

Support Tasks associated with issue identification and resolution. These are commonly referred to as “Break / Fix” events. The Company term is “Incident”.

IT Governance Policies, procedures and tasks developed to ensure the security of data (in all forms including assets) and business continuity of the enterprise as required by both US Law, the SEC and Panasonic Headquarters in Japan.
