The nominal capital of the company is TanzaniaShillings Three hundred Million (Tsh. 300,000,000/=). divided into three Thousand (3000) shares ofTanzanian Shillings One hundred Thousand (Tsh.100,000/=) each. The amount of the capital paidup or credited as paid up is Tanzanian ShillingsOne Million.

5. The principal objects for which the company wasestablished are as follows:

(a) To carry on business of recruitment provisionand supervision of office, garden homes andfield working personal and cater for clients’needs according to the terms and methodsagreed upon and signed in a businesscontract between the personal client and thecampany;

(b) To carry and strive at all times to safeguard thewelfare of workers under contract includingtheir working benefits, ie salaries, pension andgratuities and other allowances;

(c) To carry on business of establishing andrunning educational institutions of variouslevels and disciplines both in rural and urbansetting;

(d) To carry business of import supply and installsecurity system contracts for residentialCommercial and other Building Structuresincluding car parks, Clubs and Stadiums; andother objects stated in the memorandum ofassociation of the Company.


6. The grounds upon which a winding-up order issought are two:

(i) that it is just and equitable that the Companybe wound up; and

(ii) that the Company is unable to pay its debts,as follows;

(a) That it is just and equitable that the Companyshould be wound up in that:

That there is a complete breakdown in relationsbetween the directors, as directors all of them cannot takeauthority in the business and affairs of the company andthus the directors and shareholders they have come toconclusive remark that it’s just and equitable that theCompany should be wound up;

(b) That the Company is unable to pay its debts:(i) That as far as the Petitioners are aware, the

Company has insufficient assets to apply tosettle creditors’ claims arising from variouscompany conducts, Morcover, Petitionersbelieves that there might be more claims thatthey do not have knowledge about, as theydo not have immediate means of verifyingevery such claims;

(ii) That the Petitioners are aware of the fact andissue that the company is unable to pay itsdebts and liabilities as the fall due;

(iii) That the Petitioners are aware of the fact andissue that the value of the company assets isless than the amount of its liabilities takinginto account the contingent and prospectiveliabilities of the company.

(iv) That the Petitioners have reasonable cause tobelieve that the Company will be unable todischarge its indebtedness if execution ofjudgements, decree or orders of any court infavour of any creditor of the Company isinitiated.

7. In the circumstances, it is just and equitable thatthe company should be wound up.

The Petitioners Therefore Prays as follows:(a) That Highlands Home and Office Services

Limited may be wound up by the Court under theprovisionss of the Companies Act.

(b) That the Court grant the sought interim and/orpreservatory orders to safeguard the Companyand its Petitioners pending granting of a winding

up order including but not limited to appointmentof a provisional liquidator to take into custodyand control of the Company’s affairs.

(c) That the court grants such other orders as it maydeems fit.

It is intended to serve this Petition on the Company.This Petition have been presented to the Court on 12th dayof February, 2019 will be heard at the High Court ofTanzania Dar es Salaam District Registry at Dar es Salaamon the 11st day of September, 2019 at 09:00 O’clock in theforenoon or soon thereafter as the Petition can be heard.
