    Section 3 The annual dues of each active member shall be set by the Board ofDirectors. Dues shall be payable into the general fund annually, semi-annually and quarterly inadvance as each member shall elect. If the member requests a ribbon cutting, one year's dues inadvance are required.

    Section 4 Any member whose membership investment remains unpaid sixty (60)days after an anniversary date for said member, shall automatically become a delinquentmember. A bill covering the unpaid membership investment and notice of the effect on thisSection shall thereupon be mailed to such member. If the membership investment remainsunpaid for an additional period of thirty (30) days after the mailing of the bill and notice, thedelinquent member will be referred to the Executive Committee and the Board of Directors forcancellation ofmembership. All rights and privileges of the delinquent member shall beterminated immediately upon cancellation of membership.

    Section 5 Life membership shall be conferred at the annual meeting upon those whohave qualified during the year by having secured at least fifty membership units within a twelve-month period. Such life membership shall be without dues and without the privilege of voting.

    Section 6 Honorary membership may be conferred from time to time as the Boardmay determine. Such Honorary membership shall be without dues and without the privilege ofvoting.

    Section 7 Any member, upon written request to the Executive Committee or theBoard, may resign from the Chamber.

    Section 8 The death of a member or the removal of a member ' s residence from thecity or vicinity will cancel his membership pledge.

    Section 9 Any person, firm, corporation, partnership or estate holder with one ormore memberships shall have the right at any time to change any or all of its representativesupon written notice.

    Section 10 Every active member in good standing shall be entitled to cast one vote.Section 11 Special subscriptions and assessments shall be solicited only when

    authorized and directed by the Board of Directors. All such special subscriptions andassessments shall likewise be paid into the general fund, or into a special fund if so designated bythe Board of Directors. Such special funds shall be controlled and audited in the same manner asthe general fund.

    Section 12 No member shall sell, assign , transfer or in any manner whatsoeverdispose of his membership in the Chamber, or be deprived thereof, except in the manner hereinprovided.

    Section 13 Special membership meetings may be called by the Executive committee,th e board and/or Chairman, and shall be called by the Chairman upon written request of nine

    Directors or five percent of the members in good standing; provided, however, that such requestsspecifies the purpose for which the meeting is to be called.

    ARTICLE IV NOMINATING CONMTTEESection 1 The Nominating committee will consist of one Vice Chairman and twoDirectors chosen from the current board in June of each year who will be responsible for seeking

    candidates for the board and submitting nominations to the board for all opened board positions.Section 2 It shall be the duty of this committee to nominate from the membership of

    the Chamber as many candidates as there are vacancies on the Board to be filled. They willsecure agreements to serve as Directors elected. These names shall be submitted to themembership by mail or email as soon as practicable. From this date of notification, themembership will have ten days to make further nominations from the current "in good standing"membership list in June each year. Additional nominations can be made by written petition tothe Nominating committee by ten members of the Chamber who are in good standing". Shouldadditional names be submitted, then the total new number nominees shall be resubmitted by mailballot to the membership. Those receiving the highest number of votes necessary to filling allthe vacancies shall be declared elected Directors.

    Section 3 The Nominating Committee is to count the ballots and certify the results.In case of a tie vote, the decision shall be by lot, in such a manner as may be determined by theNomination Committee.

    Section 4 In addition, it shall be the duty of the Nominating Committee torecommend to the Executive committee in June of each year, a Chairman-Elect, a Treasurer, aVice-Chairman for Workforce Initiatives, a Vice-Chairman for Economic Development (SmallBusiness Development), a Vice-Chairman for Education, a Vice-Chairman for MembershipServices, and as many others as are necessary to accomplish program objectives.

    ARTICLE V BOARD OF DIRECTORS

    Section 1 The activities, program, property control and policy statement of theorganization shall be vested in the Executive Committee through a Board of Directors ofno lessthan fifteen (15) members. Said Board shall be composed of ;

    (a ) members elected by the membership to the board, as hereinafter provided, for a three-year term for a maximum ofthree consecutive terms(b) the Chair and Chair-Elect elected by the membership, from within the duly electedboard, as herein provided, for a term ofone year term for a maximum of two consecutivetermsThe Directors, by recommending individuals to Nominating Committee and voting, shall

    fill all vacancies on the board at a regularly scheduled Board meeting. The Board of Directorsshall meet at least ten times a year.

    f Section 2 Special meetings may be called by the Chairman and shall be called by theExecutive upon written request of nine Directors.

    Section 3 The three year term of the Board of Directors and all officers, excludingthe Executive, shall correspond to the fiscal year of the Chamber.

    Section 4 Absence from three regular meetings, without an excuse deemed valid bythe Executive Committee, shall be construed as a resignation and it shall be the responsibility ofthe Chairman to notify the member of the pending resignation after two unexcused absences.Any Board member may be removed, either with or without cause, by a majority vote at anyregular or special meeting of the Board at which a quortun is present.

    Section 5 Eight members of the Board shall constitute a quorum.Section 6 After serving three full elected consecutive terms of three years a person

    shall remain offthe Board at least one year before being eligible to serve another three yearelective term. Assuming a person has not exhausted his/her three term limit, he/she will beeligible to he elected to the board

    Section 7 Proxy voting shall not be allowed.

    ARTICLE VI EXECUTIVE COMMITTEESection I The Executive Committee consists on the Chairman, Chairman-Elect,

    Immediate Past Chairman, in Ex-officio capacity, Treasurer, and all Vice-Chairmen, elected bythe Board from its own number at a meeting in June of each year; and the Chief ExecutiveOfficer of the Chamber shall be an ex-officio member of both the Executive Committee and theBoard.

    Section 2 The Chief Executive Officer shall prepare an organizational structure andprocedures for accomplishing the objectives of the year for presentation to the board . Followingboard approval , the Executive Committee will represent the Board in making certain that thepolicies , procedures and By-Laws of the Board are followed and that the objectives , approved bythe Board , are accomplished . The CEO will make regular reports to the Board.

    Section 3 The Executive Committee shall, during the intervals between meetings ofthe Directors, possess and exercise all the functions ofthe Board. The Executive Committeeshall attend to the Chamber and also shall perform such duties as from time to time may bedelegated to it by the Board.

    Section 4 The Executive Committee may refer matters brought before it to a properstanding committee, which it or the Board, may designate.

    Section 5 The Executive Committee is responsible to the Board ofDirectors for thef operation and function of all its committees. They are to represent the Directors in critical

    analysis and discussion for each item in the Program of action, each project and special activityengaged in the Odessa Hispanic Chamber of Commerce.Section 6 A majority of the Executive Committee shall constitute a quorum.

    ARTICLE VII DUTIES OF OFFICERSSection 1 The Chairman shall be th e Chief Executive and policy officer who shall

    preside over meetings of the membership, of the Board, and the Executive Committee. He/sheshall be the chief spokesman of th e Chamber's Board. He/she shall have the power to appoint allCommittee Chairs to those committees deemed necessary by the Executive Committee and anyspecial Adhoc committees created by the Chair. The Chief Executive Officer reports to the chairof the board. The Chair will be elected to a term of no less than one (1) year with a limit of twoconsecutive years.

    Section 2 The Chairman-Elect shall be the next succeeding Chairperson. He/sheshall perform duties delegated to him/her from time to time by the Chairman. In the case of theChairman's long-termerm incapacity, resignation or removal from office, the Chairman-Elect willsucceed to th e role of Chairman. In th e event that a Chair-elect succeeds a Chair under thisprovision, this succession does not affect the two consecutive term rule listed herein.

    Section 3 The Vice-Chairman and Treasurer shall be responsible for performing allthe financial and accounting responsibilities of the organization, for keeping and updatingchamber by laws, policies, procedures and any duties as delegated to them by the Chairman fromtime to time.

    Section 4 The Vice-Chairman ofMembership Services shall be responsible forincreasing the membership, reporting all delinquents, recommend all membership cancellationsand expulsions of chamber members to the Board for its approval.

    Section 5 The Chief Executive Officer/President shall be the chief administrativeofficer, operating under policy established by the Board and responsible to the ExecutiveCommittee, at a salary fixed by the Executive Committee and approved by the board. It will alsobe the responsibility of the Chief Executive Officer/President or his/her designate to serve assecretary for the Odessa Hispanic Chamber of Commerce.

    Section 6 The Treasurer will serve as Chairman of the Budget Committee and willbe responsible for reviewing the financial reports ofthe Chamber and reporting to the directorson the financial condition of the Chamber of Commerce. It will also be the responsibility of theTreasurer to be chairman of the By-Laws committee and to review the By-Laws to makerecommendations on any needed changes to the Executive Committee. In addition, he/she shallattest all official papers.

    Section 7 All elected Vice Chairs of the chamber and their committees willautomatically be responsible for all chamber program initiatives in their respective areas, makingrecommendations and reports for the given position to which they were duly elected. Theseelected positions will include, bu t are no t limited to; Vice-Chairman for Workforce Initiatives, aVice-Chairman for Economic Development (Small Business Development), a Vice-Chairman forEducation, a Vice-Chairman for Membership Services, and as many ot hers as are deemednecessary to accomplish the Chamber program objectives.

    ARTICLE VIII COMMITTEES

    1

    Section 1 The Executive Board shall authorize and define the powers and duties ofall committees.

    Section 2 The Chairman shall appoint or authorize the appointment of all committeeChairman with approval of the Executive Committee.

    Section 3 The Budget Committee shall compile a budget of estimated expenses andincome for approval of the Board. This committee shall also be responsible for an annual auditof the books and accounts of the Chamber.

    Section 4 The Board must approve all programs and resolutions of committees priorto being made public.

    Section 5 No "Special Purpose" organization may be established under the auspicesof the Chamber until a proposal stating the purposes, policy and By-Laws is submitted to theBoard. If approved and established, such organization will be required to make regular reports tothe Board.

    Section 6 The members of the Executive Committee and the (Executive) Chief-Executive Officer shall be ex-officio members of al l committees of the Chamber, as well as al lorganizations approved under this Article.

    ARTICLE IX NUSCELLANEOUSSection 1 Finds: Upon approval of the budget by the Board of Directors, the Chief

    Executive Officer may be authorized to make expenditures approved in the budget. TheExecutive Committee must approve any additional expenses not approved in the budget.

    Section 2 Fiscal Year: The fiscal year ofthe Chamber shall end the last day onSeptember of each year.

    Section 3 Referenda: Upon written request of five percent of the members in goodstanding of the Chamber, the Board shall, or upon its own initiative, submit any question to the

    members for a mail referendum vote, the ballot for such vote to be accompanied by statementspresenting both sides ofthe question. When so stated in the request, action taken therein by themembership shall be final.

    Section 4 Endorsements : The Chamber makes no endorsements by letter, throughmedia or otherwise, or any individual, private product , scheme , promotion , company or agency.

    Section 5 Dissolution: The Chamber shall use its funds only to accomplish theobjectives and purpose specified in these By-Laws, and no part of said fund shall inure, or bedistributed, to the members of the Chamber. On dissolution of the Chamber, any fundsremaining shall be distributed to one or more regularly organized and qualified charitable,educational, scientific or philanthropic organizations to be selected by the Board of Directors.

    Section 6 All questions of parliamentary procedure shall be decided according toRoberts Rules of Order (Revised).

    Section 7 Contributions to outside agencies. The Chambers funds are to beexpended for Chamber purposes in accordance with the duly adopted budget. Funds shall not bebudgeted or expended for charitable contributions.

    ARTICLE X AMENDMENTSSection 1 These By-Laws can be amended at any regular meeting by a majority vote

    of the Board present , with quorum requirement being met , or at any special meeting called forthis purpose only after following procedures listed in Section 2 of this Article have beenfollowed.

    Section 2 Any and al l proposed changes to these By-Laws must first be submitted tothe Treasurer who will place said proposed changes before the Board for consideration. Oncethe Board has reviewed and voted to make proposed changes, the Treasurer will create a By Lawcommittee who will be responsible for creating the first draft of any proposed changes. Theproposed changes will then be presented to the Executive Committee for review, discussion andsubmission to the Board.

    Section 3 Notice of meetings at which such amendments are to be considered must begiven at least three days prior to the time of the meeting, and copies of present section(s) togetherwith proposed changes, shall be included with said notices.

    ARTICLE XI INDEMNIEICATION

    Section 1 The Chamber shall indemnify any Director, Officer or agent againstexpenses incurred by him/her for the amount paid in satisfaction of judgments in connection withany action, suit or proceedings to which he/she is made a party by reason of being or having

    been such a Director, Officer or agent, except in relation to matters as to which he/she shall bej adjudged in such action, suit or proceedings to be liable for negligence or misconduct in the
